THIS AGREEMENT outlines important issues and obligations pertaining to your
family's involvement with Venture Academy, and its programs.

Please read, understand and remain familiar with the agreement throughout your family's
involvement with Venture Academy. The Agreement not only serves as the Agreement
itself but is also a useful to become familiar with some of Venture Academys protocols
and operating procedures. Please refer to the Agreement frequently and as necessary.

AGREEMENT sections and numbers may be quoted when responding to applicable

BACKGROUND FACTS:


A. The Guardian wishes to enroll the Client in one of Venture Academys residential
program (the Residential Program).

B. The Guardian is the parent and/or legal guardian of the Client.

C. The Client acknowledges his or her entrance into the Residential Program.

D. Venture Academy is in the business of providing residential support services to young
individuals.

THE PARTIES AGREE AS FOLLOWS:

THE PLAN:


1. Venture Academy shall conduct an assessment, and/or prepare a service or treatment
plan and/or provide services based on;
a. the selected program;
b. the Clients needs as perceived by Venture Academy,
c. and/or the Agency's therapeutic objectives within Venture Academy's
operational framework.

2. Venture Academy shall use its best efforts to implement services according to
program descriptions.

SERVICES

3. Venture Academy agrees with the Guardian to provide to the Client the following
clinical and therapeutic services based on program selected and program descriptors:

a. supervision and support from live-in support staff, and access to such other
support personnel as may be identified;

b. clinical consultation and/or counselling sessions with the consulting
psychologist or clinical counsellor or therapist if identified as per program
selected;

c. periodic meetings and/or outings attended by either a Youth Counsellor,
Substance Use Counsellor, or Family Therapist or other identified support
person ;

d. regularly scheduled activities of interest (Activities);

e. (where possible, not guaranteed) wilderness or backcountry excursions
(Excursions)

f. educational support and supervision and teaching of materials as supplied by
and arranged by Guardian and provided to Venture Academy usually by way
of previous school attended or distance learning sources also as arranged by
Guardian.

4. The Guardian agrees that Venture Academy will deliver services according to its best
efforts within the framework of the program offered. The Guardian agrees that
Venture Academy cannot provide an unlimited all-inclusive service to meet the needs
of all clients all the time. In some cases augmented services (such as psychiatric nurse
consultation) will be offered at and additional charge.

5. Venture Academy shall also provide to the Client the following non-clinical and non-
therapeutic services based upon program descriptors:

a. housing, including all residential expenses relating to housing but excluding
long distance telephone calls made by the Client;

b. meals, including all meals and snacks prepared in the home and all meals
ordered in, eaten out; (not including significant, pre-identified dietary or
medical considerations);

c. transportation, which may include specialized transportation services where
required by the Venture Academy at their sole discretion for a Client,
including transportation to and from Venture Academy sponsored activities,
recreational outings including but not limited to Meetings, Recreational
Activities, Excursions and identified appointments, and to and from a local
airport or bus depot for home visits or scheduled trips;

d. household care, including the provision of housekeeping, laundry access and
other homecare costs but excluding personal care and grooming products such
as toothpaste, shampoo, lotions, etc; and

e. a weekly allowance, (further conditions apply).

PAYMENT in Canadian Dollars

6. The following is a list of services and fees including GST, which apply to programs
chosen payable at or before admission and immediately upon the execution of this
agreement.

7. $1,575.00 - the Admission Fee - all programs,

8. $1,000.00 - the Emergency Use Deposit - all programs,

9. If the 30 Day Assessment and Intervention is chosen,
$11,025.00 - 30 Day Assessment and Intervention Fee

$13,600.00 - Total due upon admission if 30 day program is chosen

10. If the Residential Treatment Program is chosen, beyond the initial 30 Day
Assessment and Intervention Program, the fees (daily rate of $323.68 including GST)
are as follows:

a. $5,178.88 - payment for the first month's service or part thereof;

b. $9,872.24 - a deposit equal to one months total service fee (the Deposit) if
the Residential Program is chosen;

c. $15,051.12 - Sub Total: Due on day 31 after roll out of 30 day program.

d. Five post-dated cheques for the first of the month representing payment for
the minimum projected five months of scheduled service provision, each for
the amount of:
$9,872.24 (collectively, the Payments).

11. The Guardian shall make all Payments in Canadian funds ($CDN) to Venture
Academy by cheque delivered prior to the first of the month, of the month that
services are provided, delivered to:

12. The Guardian agrees and acknowledges that except for any non-used portions of the
Emergency Use Deposit, all fees are nonrefundable under any circumstances.

13. Upon the Client's acceptance into the Residential Program, the Guardian agrees to
pay to Venture Academy a non-refundable Deposit equal to one months total service
fee (Deposit); - The Deposit is retained by Venture Academy and credited and
applied to the last month's service charge whether or not the Client is enrolled in the
Residential Program for the entire month if the Residential Program is chosen.

14. In addition, the Guardian agrees to pay to Venture Academy The Emergency Use
Deposit to be used by Venture Academy as agreed for any incidental expenditures the
Client may incur while enrolled in the Residential Program. Initial third party
requested (Venture Academy requested) physical examination by medical doctor
($90.00), prescription medication and toiletries and $157.00 for school clothing will
automatically be deducted from Emergency Use Deposit.

15. In addition, if the Residential Treatment Program is chosen the Guardian agrees to
pay to Venture Academy the one month service fee amount inclusive of GST for each
month the Client is enrolled in the Residential Program (the Monthly Service Fee),
payable as a whole for the entire month, whether or not the Client is in attendance in
the Residential Program for the entire month, by way of post-dated cheques dated for
the first of every month for services provided for the following month, and received

by Venture Academy in a package of five prior to or upon admission and then prior to
the first of every month, for the next months of service provision. No exceptions.

16. The Guardian agrees and acknowledges that funding and receipt of timely payment is
critical to the fiscal health of the agency and commits to working cooperatively with
Venture Academy as it relates to financial issues. Venture Academy acknowledges
the significant financial commitment undertaken by the Guardian in order to access
our services.

17. The Guardian agrees and acknowledges that invoices will be sent by email only and
agrees to maintain a functional email address capable of receiving email with
attachments.

18. The Guardian agrees that if need arises to divide payment responsibilities among
family and/or others, that the Guardian agrees to resolve accounting and payment
matters amongst themselves and agree that Venture Academy will not be involved in
any way, and will only deal with accounting and payment matters with the Guardian
as listed above.

19. The Guardian agrees and acknowledges that services will not be implemented (except
for the residential placement) if Venture Academy has not received the monthly
service fee, paid in full by the first of the month of that month's service provision.
Services will be reinstated once Venture Academy has received payment for that
month's service provision. There will be no attempt to make up for lost services due
to late payment.

20. The Guardian agrees and acknowledges that should full payment, not be received by
Venture Academy by the 15
th
of the month of that month's service provision, the
Client will be automatically discharged from the Residential Program and will, upon
notice being given in accordance with the terms of this Agreement, be sent home to
the Guardian's place of residence on the next available flight (projected to be within
48 hours) of the end of the business day of the 15
th
of the month in which the regular
non-discounted monthly payment is due. The Guardian agrees and acknowledges
forfeiture of all service payments and deposits held by Venture Academy, and agrees
to be responsible for payment of all transportation costs as set out herein.

21. The Guardian agrees and acknowledges that therapeutic relationships will be formed
with Venture Academy staff while the Client is enrolled in the Venture Academy
Residential Program and that there may be a desire to continue to maintain these
relationships upon the Client's transition or discharge from the Residential Program.
The Guardian or Client may wish that the Client return to the Host home for an
overnight visit or short-term stay with the perception that the overnight visit or short-
term stay is not related to Venture Academy support services or treatment
programming. The Guardian agrees and acknowledges that Venture Academy
insurers may not distinguish the relationship and that Venture Academy staff are
responsible for conducting themselves in a manner to what they would while the
Client was enrolled in the Residential Program. These considerations constitute a
work environment which includes liability which in turn demands Venture Academy
treat the overnight visit or short-term stay with positive therapeutic regard and treat
resulting interactions as a service provider/client relationship. Therefore all applicable
residential per diem rates apply with a two day minimum charge, to be paid in full
prior to the client returning to the Host Home.

22. The Guardian agrees to be financially responsible for, and will pay the costs of
repairing or replacing any property, personal or real, damaged, defaced or destroyed
by the Client while enrolled or participating in Venture Academy programs.

23. While an AWOL may occur, the Guardian agrees to be financially responsible for and
will pay the full amount of such extra expenses such as staff time, on-call staffing
costs, travel expenses etc., incurred by Venture Academy in those instances where the
Client runs away (AWOL) prior to arrival or during the designated enrollment period
of the Venture Academy Residential Program. The response to AWOL fee and
related recovery efforts is at $400.00 per occurrence plus GST and will be
immediately deducted from the Emergency Use Deposit. AWOL is defined as the
Client being away from Venture Academy support and supervision and whereabouts
unknown, for a period of a minimum of 30 minutes.

24. The Guardian agrees and acknowledges that expenditures may vary from day to day
and even month to month based on the needs of the client at that particular time and
based on the projected length of stay for the Client with the goal of having service
hours balanced at the end of the client's enrollment period of the Venture Academy
Residential Program. The Guardian further agrees that all Venture Academy
appointments required for the Client or anyone other than the Client, (such as the
Guardian or other family members) shall be coordinated by and approved through the
Venture Academy Program Director or designate.

25. The Guardian agrees and acknowledges that the Venture Academy Residential
Program incurs expenses (such as staff salaries, operating expenses, etc.) on primarily
a monthly basis from the first day of the calendar month to the last day of the
calendar month. Guardian further agrees that except for the month of initial
placement, the Client is enrolled in the Residential Program on a month to month
basis from the first day of the calendar month to the last day of the calendar month
and that all fees apply accordingly.

26. The Guardian agrees that the full amount of the Monthly Service Fee is payable
monthly whether the Client is in the Host Home or absent from the program for any
reason, including recommended and non-recommended home visits or being AWOL
from the Venture Academy Residential Program.

27. Any accrued costs, or any other outstanding monies owing hereunder and not paid
when due shall be deducted from the Emergency Use Deposit or other deposits as
applicable upon the Client's discharge from the Venture Academy Residential
Program, in addition to and not in substitution for the Venture Academy being able to
seek further payment from the Guardian or to pursue any available remedy in law to
which it is entitled.

COMMUNICATION AND REPORTING

28. Venture Academy shall maintain regular (one time weekly) communications via
telephone or email with the Guardian or agreed upon designate regarding the Client
by the Venture Academy Program Director or designate with communications
totaling not more than 30 minutes in length per week.

29. The Guardian agrees and acknowledges that communication over and above what is
outlined above may be provided to the Guardian if requested in writing and billed at
hourly rates as identified by Venture Academy, from time to time, with invoices
payable by the Guardian upon receipt or in default of such payment deducted from
the Emergency Use Deposit.

30. The Guardian agrees and acknowledges that the only exceptions to communicating as
outlined above are as follows: 1. during the initial week of placement of which up to
three hours of communication (not including the initial admissions meetings) may
occur, or 2. communication resulting because of a critical incident or AWOL.

31. The Guardian agrees to be available during weekdays, during the day between the
hours of 9:00 AM and 4:00 PM local time, for personal meetings, teleconference calls
and other communications with Venture Academy.

32. The Guardian acknowledges that Venture Academy staff will not be accessible for
meetings, consultation or other communication beyond the times described above
which includes not being available to the Guardian evenings and weekends. Any
communication initiated by the Guardian under any circumstances outside the hours
described above will be billed separately at an overtime rate set by the Venture
Academy and deducted from the Emergency Use Deposit.

33. The Guardian agrees to not make any unscheduled or unauthorized calls or personal
visits to the Host Home without prior approval from the Venture Academy Program
Director or designate except in the case of a health related or other similar family
emergency.

34. The Guardian agrees to immediately report to Venture Academy any calls or
communications received from the Client which are unauthorized, unscheduled or
suspected to be unauthorized, or unscheduled.

35. The Guardian acknowledges that emails will generally be responded to by the
Venture Academy within 48 hours or two business days on a best-efforts basis.

36. The Guardian agrees and acknowledges that communication between Venture
Academy and the Guardian not only results in the allotted time spent with the Venture
Academy Program Director or designate, but requires significant time invested into
information gathering and disbursing prior to and subsequent to the call or email
communication. The Guardian agrees and acknowledges that communication between
Venture Academy and the Guardian exceeding the agreed upon time during the

weekly phone updates directs resources away from the Client which are not replaced
for the Client by the Venture Academy.

37. Venture Academy shall provide to the Guardian regularly scheduled verbal updates
regarding the Client which may or may not cover all issues that the Guardian may
wish to have addressed. If there are specific issues that the Guardian wishes
addressed, it must provide prior written notice of those issues to the Venture
Academy. The Venture Academy does not guarantee that any of those issues will be
part of any subsequent update.

38. The Guardian acknowledges that admissions or crisis admissions may occur suddenly
and may have an impact on scheduled calls from time to time. Venture Academy will
put forth its best efforts to make up for and reschedule such calls.

39. If identified as appropriate by Venture Academy, Venture Academy shall attempt to
provide to the Guardian a Transition Planning Report or develop a transition plan
prior to the Clients completion of the Residential Program. The Guardian agrees and
acknowledges that a Transition Planning Report will be provided only if Venture
Academy is suggesting client readiness to graduate in a projected 60 day or more time
frame (in order to provide time needed to all involved develop the plan and prepare
the report). Alternately a brief discharge summary and recommendations will be
provided.

GENERAL


40. The Guardian agrees that Venture Academy is not responsible for the following:

a. providing to the Client any medical treatment or services, including but not
limited to the payment of hospital fees, physician fees (including a required
initial physical exam), optometrist fees, dental fees or any costs associated

with prescription medication, other than any specific counselling by a
counsellor as agreed to by Venture Academy. Venture Academy will use its
best efforts to facilitate medical treatment and services in emergency
situations;

b. the payment of any of the costs of the Clients extracurricular activities,
including without limiting the foregoing, membership fees and the cost of
lessons or equipment outside of Sponsored Outings, Activities or Excursions;

c. clothing and capital recreation equipment such as skis or snowboards etc.;

d. any other goods and services not provided for in this Agreement.

41. Responsibility for loss or damage of Client's property - Guardian(s) agree(s) to hold
harmless and release Venture Academy and its staff from all liability associated with
loss or damage of any of the Client's property.

42. The Guardian agrees on its and the Clients behalf, and as the Clients legal guardian,
(unless the Client is 19 years of age or older, in which case the Client on its own
behalf), as follows:

a. To waive any and all claims that I, or the Client or anyone claiming through or
on the Clients behalf have or may in the future have against Venture
Academy Inc. and its directors, officers, employees, agents and
representatives (collectively, the Releasees);

b. To release the Releasees from any and all liability for any loss, damage, injury
or expense I or the Client may suffer or that our next of kin may suffer as a
result of my or the Client, including the negligence, breach of contract, or
breach of statutory duty of care on the part of the Venture Academy Inc., its
directors, officers, employees, agents and representatives;

c. To hold harmless and indemnify the Venture Academy, its directors, officers,
employees, agents and representatives from any and all liability for any
property damage or personal injury to any of myself, the Client or third party,
resulting from my conducting or taking part in any Venture Academy program
or activity;

d. That this Agreement shall be effective and is intended to be and is binding
upon my and the Clients heirs, next of kin, executors, administrators and
assigns, in the event of my or the Clients death.

43. The Guardian acknowledges a varying level of skills sets and qualifications of
Venture Academy employees or contractors.

44. Venture Academy values and relies upon the continuation of its established
relationships with its employees and contractors and the parties to this Agreement
recognize and understand that the cessation or interruption of such relationships may
cause substantial and irreparable harm to Venture Academys business.
a. The Guardian agrees to not solicit, obtain, or request services with or from
any present or past Venture Academy employee or contractor for purposes or
services which are substantially similar to those for which this Agreement has
been created and for which the Guardian has contracted with Venture
Academy, except within the terms of this Agreement or with the express prior
permission of Venture Academy.
b. In particular, the Guardian agrees not to, directly or indirectly, cause or allow
the Client to reside in a Host Home residence, except in accordance with the
terms of this Agreement and otherwise with the prior, express permission of
Venture Academy, regardless of whether or not the Host parent receives
payment of any kind from the Guardian or from the Client or any other
person, directly or indirectly, as compensation
c. For the purposes of this part, Venture Academy employees and contractors
include those persons or organizations which have been actively employed or
engaged by Venture Academy within a 2 year period of the date on which
their services are solicited, obtained, or requested by the Guardian as
identified in paragraph 45(b) of this Agreement.
d. The parties agree that a genuine and reasonable pre-estimate of the monetary
damages payable to Venture Academy by the Guardian, forthwith upon a
breach by the Guardian of this clause shall be:
i. upon the initial breach of this part, Venture Academys retention and
the Guardians forfeiture of the Deposit; and

ii. for each subsequent month in which the breach continues or is
repeated by the Guardian, an amount equal to the Deposit.
e. Any amounts owing to Venture Academy pursuant to this part shall constitute
a debt duly owing and to be paid by the Guardian, in full, within 10 business
days of Venture Academys notification to the Guardian of circumstances
amounting to a breach, or continuing or repeating breach, of this part.
f. Any amounts owing to Venture Academy pursuant to this part which are not
paid in full within 10 business days shall accrue compound interest at the rate
of 2% per month for the duration of the period during which the amounts
owing have not been paid to Venture Academy in full.
g. Venture Academy may, in part or full satisfaction of the entitlement to
payment pursuant to this clause, withhold the amounts owing to it from any
monetary amounts otherwise owed by Venture Academy to the Guardian.
h. In the event the amounts owing to Venture Academy pursuant to this part are
not paid, in full, by the Guardian within 10 business days of Venture
Academys notification to the Guardian of circumstances amounting to a
breach of this part, Venture Academy may otherwise pursue payment of the
monetary damages by the Guardian in the civil courts of British Columbia
and, in that event, the Guardian hereby indemnifies Venture Academy for all
legal fees, disbursements, and taxes paid out by Venture Academy in the
course of obtaining a courts order compelling payment by the Guardian and
in the course of enforcement of any such order.
IN PLAIN LANGUAGE, PLEASE DO NOT TRY TO ARRANGE FOR YOUR CHILD
TO LIVE OR STAY AT THE HOME IN WHICH HE OR SHE HAS STAYED WHILE
AT VENTURE ACADEMY. THIS WILL CAUSE SIGNIFICANT
ORGANIZATIONAL, FINANCIAL AND RELTIONSHIP PROBLEMS FOR ALL
INVOLVED. PLEASE DO NOT TRY TO HIRE THE HOST PARENTS.

45. The Guardian agrees and acknowledges that the Client may be placed in a Venture
Academy Host Home with other youth or that other youth may be placed in a Venture
Academy Host Home with the Client on a temporary or long-term basis.

46. The Guardian agrees and acknowledges that the Client may be placed in an initial
Venture Academy Host Home on a temporary basis in order that Venture Academy

may evaluate the appropriateness and suitability of the placement, or that the Client
may be placed in an initial Venture Academy Host Home on a temporary basis for
other identified or non-identified reasons (such as assessment, crisis admission,
detoxification purposes etc.). Guardian agrees and acknowledges that the Client may
be placed in another Venture Academy Host Home as a result of unsuitability of the
original placement or possible improved suitability of another Host Home or for
other identified or non-identified reasons.

47. The Guardian agrees and acknowledges that Venture Academy regularly implements
temporary stays which incorporate moving the client to another Host Home for
regularly scheduled or periodic therapeutic purposes, behaviour management
strategies, additional safety measures, and other identified or non-identified reasons.
The Guardian additionally agrees and acknowledges that the temporary stays are
implemented solely at Venture Academy's discretion and may be implemented
without notification to the Guardian and without notification to the Guardian of the
names or location of the Host Home.

48. The Guardian agrees and acknowledges that should the Client AWOL and contact the
Guardian, or if the Client returns to the family home, that the Guardian will act as
directed by the Venture Academy and follow these steps, including but not limited to
the following; confirming Client location, informing the Client that the family is
committed to having the Client participate and follow through with the Residential
Program, informing the client that they cannot return to or remain at the family home
and must return to the Residential Program immediately. The Guardian also agrees
and acknowledges that they will exhaust all efforts to return the Client to the
Residential program at the Guardian's sole expense. The Guardian acknowledges that
the previously engaged Host Home placement may or may not be accessible should
the Client be AWOL from the Residential Program for an extended period with the
understanding that an alternate Host Home will be provided.

49. The Guardian agrees and acknowledges that the Residential Program is implemented
in a community based setting and that the Host Home is a typical family home setting
and the Guardian acknowledges and voluntarily, on its and the Clients behalf,
assumes all the inherent dangers and risks of the Client residing in a typical family

home setting including but not limited to such things as exposure to sharp household
objects such as knives and scissors, sleeping or remaining in a bedroom behind closed
doors for eight hours or more without staff contact, and being out in the community
without supervision.

50. The Guardian agrees and acknowledges that it will not provide any promise or
suggestion, and that it is in their best interest not to provide any promise or
suggestion, to the Client of a pending move or move date, conditional or
unconditional, from the Venture Academy placement in the Residential Program back
home or to any other location, as any promise or suggestion of a pending move or
move date, or perception by the Client that there may be a pending move or move
date, can have a detrimental effect in terms of Venture Academy's ability to continue
to apply therapeutic intervention methods. The Guardian agrees and acknowledges
that upon the Client understanding or misunderstanding that a move out of the
Residential Program is inevitable; the Client may perceive that he or she may no
longer have a reason to continue to comply with program expectations therefore
undermining any previous or future work to be completed by Venture Academy.
Venture Academy reserves the right to discharge the Client back to the Guardian at
the Guardians sole expense, which the Guardian agrees to be responsible for and
pay, if Venture Academy determines our therapeutic ability has been undermined by
the any promise or suggestion of a return home by the Guardian.

51. The Guardian agrees, understands and acknowledges that the Client will be exposed
to emotional discomfort, strain, stress or anxiety as a result of displacement from their
own home or community, or as a result of progressing through the intervention and
counselling process and generally being in an environment that is beyond the Client's
"comfort zone". The Guardian agrees and acknowledges that the resulting emotional
discomfort, strain, stress or anxiety may manifest itself in heightened or new "acting
out" behaviors that may not have been demonstrated or observed prior to admission.
The Guardian agrees and acknowledges, and assumes on its and the Clients behalf,
any and all risks that these heightened or new "acting out" behaviors may result in,
including the Client placing himself or herself in an elevated state of risk to
themselves which may include intentional or non-intentional self harming behaviours
and other "heightened" behaviors not previously demonstrated by the Client.

52. The Guardian agrees, acknowledges and is aware that the Client's emotional,
developmental and behavioral presentation developed over considerable time to reach
the point of the Guardian needing to access the Residential Program. The Guardian
agrees and acknowledges that positive changes, even in a treatment setting take time
as well. The Guardian agrees and acknowledges that the Client or program may not
identify weekly or regular life changing experiences but rather may experience the
occurrence of subtle behavioral differences with moments of identified and
therapeutic insight. The Guardian agrees and acknowledges that periodic setbacks or
relapses may occur and are also a part of the therapeutic process.

53. The Guardian agrees and acknowledges that while it is unlikely, it is possible that,
due to the Client's diagnosed or undiagnosed psychological or physiological
disorders, the Client's genetic make-up or personality traits, family patterns of
interaction, other outside influences, and other unknown contributing factors, the
Residential Program may have no short-term or long-term, positive impact on the
Client whatsoever, and the Guardian assumes that risk.

54. Satisfaction Assurance: Venture Academy implements various protocols and
procedures for consumer satisfaction and quality assurance purposes. Parental and
Guardian consumer satisfaction is of the utmost importance to Venture Academy. The
Guardian agrees and acknowledges satisfaction with Venture Academy services
delivered for the previous month and all months prior to the previous month through
continued and regular monthly payment for services. The Guardian agrees and
acknowledges that regular payment for Venture Academy services and continued
engagement of Venture Academy services confirms Guardian satisfaction of services
delivered and confirms that the Guardian believes that continuation of Venture
Academy services is in their son or daughters best interest even if a third party is
paying for Venture Academy services.

55. The Guardian agrees and acknowledges that should the Guardian not be satisfied with
services delivered, that the Guardian will immediately notify Venture Academy in
attempts to resolve the situation (citing this number of the Residential Program
Agreement). The Guardian agrees that if an agreement is not reached to the

satisfaction of both parties within two weeks of the original notification the Guardian
agrees to give 30-days further written notice to withdraw the Client from the
Residential Program. The Guardian further agrees that failure to give 30-days written
notice to withdraw the Client from the Residential Program confirms Guardian
satisfaction of services delivered and confirms that the Guardian believes that
continuation of Venture Academy services is in their son or daughters best interest.

56. The Guardian agrees and acknowledges that Venture Academy services are intended
to be engaged as a private alternative to government funded services. The Guardian
agrees and acknowledges that government services or government service workers
may sometimes permeate our infrastructure or that government services may become
involved through the medical system, judicial system, social service system or some
other government system through necessity, governing law or some other due or
undue circumstance that may or may not be forseen. Identified government agencies
may include but may not be limited to emergency response services, medical service,
police services, social services etc. The Guardian agrees and acknowledges that
Venture Academy will attempt to work cooperatively with identified government
workers, agencies etc. and the Guardian agrees and acknowledges that response from
such workers and agencies may be unpredictable and incongruent with the values and
philosophy of Venture Academy resulting in differing opinions and subsequent
actions implemented by government organizations that is beyond the control of
Venture Academy.

57. The Guardian agrees and acknowledges that Venture Academy may contact identified
community professionals referred to in the submitted Program Application package
and/or other supporting documentation for clinical liaison purposes as it pertains to
the Client or for other professional or promotional matters.

58. The Guardian agrees that Venture Academy may use written comments or
testimonials and photographic images of my son or daughter as he or she has
participated in the program or has commented about their experience in the program
for promotional and/or commercial use without compensation, with the intent of
conveying a positive message to other professionals or families in order to assist

relationships.

59. Authorization for medical examination - Guardian(s) hereby give(s) consent and
authorizes Venture Academy to administer or alternatively agrees to obtain a physical
examination (as needed and by a qualified physician) to the Client.

60. Authorization for medical care - Guardian(s) hereby give(s) consent and authorizes
on its behalf and on behalf of the Client, Venture Academy to provide for medical
and hospital care and to authorize a physician to perform any procedure or test that
may be medically necessary for the well-being of the Client in the event of any injury,
accident, illness, or other necessity.

61. Authorization for medication dispensing - Guardian(s) hereby give(s) consent and
authorizes Venture Academy to dispense over-the-counter medication as required and
as directed by a physician and/or as directed by the Guardian themselves.

62. Authorization for search - Guardian(s) hereby give(s) consent and authorizes Venture
Academy to search the personal effects and person of the Client. Venture Academy is
hereby authorized to confiscate any and all items deemed by Venture Academy as
contraband. Searches may be conducted upon arrival and at other times as Venture
Academy staff may or may not suspect the Client be in possession of contraband
items. The disposition of all contraband items shall be the sole responsibility of the
Guardian(s) who will receive same at appropriate times chosen by Venture Academy.
Contraband items are those items which the Venture Academy so determines at its
sole discretion from time to time but usually involves items relating to health, safety
and well being of the Client and others.. Venture Academy will provide notice of any
confiscation to the Guardian(s).

63. The Guardian agrees and acknowledges that Venture Academy implements a work
ethic strategy as part of personal responsibility, Venture Academy community
responsibility, self esteem building, and the establishment of values based on the
moral virtues of hard work and diligence. The Guardian agrees and acknowledges
that the Client may be exposed to physical discomfort and emotional strain when
involved in work duties mainly revolving around household chores and outdoor home
maintenance, yard care and landscaping duties.

64. Authorization for transport - Guardian(s) hereby give(s) consent and authorizes
Venture Academy to transport the Client in any company owned or leased vehicles
and/or vehicles owned or leased by Venture Academy employees or contractors.
Guardian(s) hereby give(s) consent and authorizes the Client to access transportation
provided by non-Venture Academy means such as public transit where deemed
appropriate by the Venture Academy.

65. The Guardian agrees and acknowledges that on occasion Venture Academy may
accommodate pre-admission visits where prospective parents contemplating
engagement in Venture Academy services may be given a supervised tour of the
facilities and may engage in conversations with staff and or Clients about the
program.

CANCELLATION

66. The Guardian may cancel the Agreement at anytime and for any reason, upon
providing Venture Academy with a minimum 30-days written notice prior to the first
of the month of the last month of service provision.

a. If the Guardian fails or neglects to provide Venture Academy with 30-days
written notice of its intention to terminate this Agreement prior to the first of

the month of the last month of service provision, Venture Academy shall be
entitled to retain, and the Guardian shall forfeit, the Deposit.

b. The parties agree that Venture Academys retention of the Deposit is not
considered by either party to the Agreement as a penalty for early withdrawal,
without timely notice, of the Client. Because the resulting cost to Venture
Academy of such items as contracted staff, staff salaries, incurred debt
reduction, staff schedules, inventories, operating expenses, and others, are
difficult or impossible to estimate with accuracy in the event timely notice is
not given by the Guardian, the Guardians forfeiture of the Deposit is accepted
by the parties as a genuine and reasonable pre-estimate of Venture Academys
losses resulting from the Guardians failure to provide timely notice of its
early withdrawal of the Client.

67. The cancellation process as outlined above applies in all instances including but not
limited to the following;

a. the Client leaves the Residential Program on his or her own volition (AWOL)
without authorization from the Guardian or Venture Academy;

b. the Guardian voluntarily withdraws the Client from the Venture Academy
Residential Program for any reason;

c. the Client or Guardian relocates residence or moves away from the area of
service delivery;

d. the Client or Guardian becomes ill and is unable to continue with the Venture
Academy Residential Program;

e. the Public Trustee of British Columbia requires termination of the Venture
Academy Residential Program;

f. the RCMP requires that the Client be relocated for any reason.

68. Venture Academy may cancel the Agreement at anytime for any reason upon
providing the Guardian with 24 hours verbal notice. If the Client leaves the
Residential Program of his or her own volition (AWOL) then Venture Academy shall
immediately (within 30 minutes) use its best efforts to notify the Guardian and will
make initial efforts to locate the Client but will not take further action unless so

requested by the Guardian and agreed by Venture Academy. There shall be no
reduction in service fees while the Client is absent from the program.

69. If the Client leaves the Residential Program of his or her own volition (AWOL) and
does not return within 30 days, the Client shall be considered discharged from the
Residential Program as of the date the Client left the Residential program (AWOL).

70. Any transportation costs incurred in order to immediately transport the client home
will be utilized from the Deposit or Emergency Use Deposit, and if such funds are
insufficient, the Guardian agrees to immediately pay any such shortfall upon demand.

71. The Guardian agrees and acknowledges that Venture Academy is not responsible for
any possessions left behind by the Client or Guardian when the Client has left the
residential program under any circumstances. The Guardian agrees and acknowledges
that Venture Academy will use its best efforts to return possessions left behind and
costs of return will be deducted from any remaining deposits. The Guardian agrees
and acknowledges that items that cannot be returned due to size or complicated
logistics will be donated to a local charity within 30 days if the Client or Guardian has
not picked up the possessions during regular business hours within 30 days of the
Client leaving the residential program.

72. Venture Academy recognizes the Public Trustee of British Columbias jurisdiction to
protect childrens legal rights and will attorn to any order made in respect of any
Client by the Trustee.

EXCLUSION OF LIABILITY

73. The Guardian shall and hereby assumes all risks to the Client of personal injury,
death or property loss resulting from any cause whatsoever including but not limited
to: the risks, dangers and hazards of any and all activity of any kind whatsoever,
including high-risk indoor and outdoor recreational activities, during the course of the
Residential Program, or negligence (but not including gross negligence), breach of
contract, or breach of statutory duty of care on the part of Venture Academy, their
affiliated companies and subsidiaries, and their directors, officers, shareholders,
trustees, beneficiaries, employees, agents, representatives, Guardians, successors and
assigns.

74. The Guardian covenants and agrees to indemnify and hold harmless Venture
Academy and its heirs, executors, administrators, successors, and assigns, from any
and all manners of action and actions, causes and causes of action, suits, debts, sums
of money, claims and demands whatsoever at law or in equity which may arise out of
this Agreement by reason of or in relation to Venture Academys provision of
services to the Client, including but not limited to any claims, actions, suits, debts, or
demands by or on behalf of the Client for any reason.

Program and acknowledges that his or her enrollment in the Residential Program may
be in his or her best interests.

76. THE GUARDIAN AGREES AND COMMITS TO NOT HAVING ANY
DISCUSSIONS WITH THE CLIENT ABOUT HOME VISIT DATES AND
LENGTH OF STAY FOR ANY POTENTIAL OR PREVIOUSLY AGREED UPON
HOME VISITS WITHOUT THE SUPERVISION OF THE VENTURE ACADEMY
PROGRAM DIRECTOR OR DESIGNATE.

77. THE GUARDIAN AGREES TO NOT PREDETERMINE WITH, HAVE
DISCUSSIONS ABOUT, IMPLY, OR COMMUNICATE IN ANY WAY TO THE
CLIENT A PENDING DISCHARGE DATE, OR PROJ ECTED TIME PERIOD OF
PARTICIPATION IN, OR LENGTH OF STAY IN, THE RESIDENTIAL
PROGRAM. THE GUARDIAN AGREES AND ACKNOWLEDGES THAT A
BREACH OF THIS CONDITION MAY RESULT IN AN IMMEDIATE
DISCHARGE OF THE CLIENT FROM THE RESIDENTIAL PROGRAM
WITHOUT REFUND OF SERVICE PAYMENT INCLUDING THE ONE
MONTH'S SERVICE FEE DEPOSIT.
