inclu-ing www.nessus.org, or obtain !ia Tenable authori3e- 'D or any other Tenable authori3e- metho-4 (ii) the associate- user
manuals an- user -ocumentation, i" any, as well as any atches, u-ates, imro!ements, a--itions, enhancements another
mo-i"ications or re!ise- !ersions o" Nessus +./ or higher that may be ro!i-e- to .ou by Tenable "rom time to time that were
-e!eloe- by Tenable4 an- (iii) any Nessus -aemons, comman- line inter"aces, web ser!er or Nessus 5*671' inter"ace, an-8or
any grahical user inter"aces .ou obtain "rom Tenable that were -e!eloe- by Tenable.

or in connection with the Non2'ommercial or 'ommercial Subscritions. Any other use o" the So"tware is rohibite-.

0/hibit A) to the So"tware or register the So"tware with any source o" lugins or 1lugins, whether sel"2u-ating or manually,

This Agreement -oes not trans"er to .ou any title to or any ownershi right or interest in the So"tware. .ou
acknowle-ge that Tenable owns an- retains all right, title an- interest in an- to the So"tware. All enhancements, mo-i"ications
an- -eri!ati!e works that Tenable or any Tenable2authori3e- thir- arty makes to the So"tware or accomanying -ocumentation,
an- all intellectual roerty rights therein, will be the roerty o" Tenable. .our rights with resect to the So"tware are limite- to
the right to use the So"tware ursuant to the terms an- con-itions in this Agreement.
No Re/er"e En+neern+, Ot'er Re"tr!ton".
.ou may not -irectly or in-irectly> (i) sell, lease, re-istribute or trans"er any o" the So"tware on a stan-2alone basis4 (ii)
-ecomile, -isassemble, re!erse engineer, or otherwise attemt to -eri!e, obtain or mo-i"y the source co-e o" the So"tware4 (iii)
rero-uce, mo-i"y, translate or create -eri!ati!e works o" all or any art o" the So"tware4 (i!) rent, lease or loan the So"tware in
any "orm to any thir- arty4 (!) remo!e, alter or obscure any rorietary notice, labels, or marks on the So"tware4 or (!i) sell,
resell, loan or otherwise ro!i-e access to thir- arties to the Nessus 5*671' inter"ace, Nessus client inter"ace, or Nessus
communication inter"ace shie- by Tenable an- ro!i-e- to .ou. .ou may not sublicense any o" the rights grante- to .ou in
this Agreement. .ou may not -istribute or otherwise ro!i-e So"tware to thir- arties unless authori3e- to -o so in writing by
Tenable. .ou are resonsible "or all use o" the So"tware an- "or comliance with this Agreement4 any breach by .ou or any user
using the So"tware on .our behal" shall be -eeme- to ha!e been ma-e by .ou. .ou may not coy the -ocumentation as .ou
agree it is ro!i-e- to .ou un-er coyright rotection. .ou may not use the So"tware i" .ou are, or .ou work "or, a cometitor o"
Tenable?s in the network security so"tware in-ustry. :or the a!oi-ance o" -oubt, .ou may not inclu-e or re-istribute the So"tware
on hysical or !irtual aliances to er"orm on2site scans.

.ou may ermit a thir- arty (a Thir- 1arty) to (a) use the So"tware to er"orm security ser!ices "or .our business or
(b) a-minister the So"tware, each ro!i-e- that> (i) any such Thir- 1arty use or a-ministration is "or .our sole bene"it an- on .our
behal"4 (ii) .ou acknowle-ge that .ou shall be legally resonsible "or the Thir- 1arty?s use o" the So"tware inclu-ing any
obligations arising "rom such use an- any breach by the Thir- 1arty o" the terms an- con-itions o" the Agreement, inclu-ing
Section ('on"i-entiality)4 (iii) usage by .ou an- the Thir- 1arty, when taken together, -oes not at any time e/cee- the usage
restrictions imose- un-er this Agreement. @on si/ty (,$) -ays? notice, Tenable shall ha!e the right to with-raw its consent to
the use o" any Thir- 1arty in its reasonable -iscretion. .ou agree not to -eli!er or otherwise make a!ailable the So"tware, in

Tenable?s rior written consent. .ou agree to use .our commercially reasonable e""orts an- to take all reasonable stes to
ensure that no unauthori3e- arties ha!e or use the So"tware an- that no unauthori3e- coy, ublication, -isclosure or
-istribution o" the So"tware, in whole or in art, in any "orm is ma-e by .ou or any thir- arty. .ou agree to noti"y Tenable o" any
unauthori3e- access to, or use, coying, ublication, -isclosure or -istribution o" the So"tware.

As use- in this Agreement, 'on"i-ential In"ormation means any an- all in"ormation an- material that> (i) gi!es o"
Tenable some cometiti!e business a-!antage or the oortunity o" obtaining such a-!antage or is otherwise con"i-ential or a
tra-e secret4 (ii) is marke- 'on"i-ential, 7estricte-, or 'on"i-ential In"ormation or other similar marking4 (iii) is known by .ou
to be con"i-ential or rorietary4 or (i!) "rom all the rele!ant circumstances, shoul- reasonably be assume- by .ou to be
con"i-ential or rorietary. 'on"i-ential In"ormation inclu-es Tenable?s rorietary ortions o" the So"tware. 'on"i-ential
In"ormation -oes not inclu-e any in"ormation that .ou can ro!e> (a) was alrea-y known to .ou without restrictions at the time o"
its -isclosure by Tenable4 (b) a"ter its -isclosure by Tenable, is ma-e known to .ou without restrictions by a thir- arty ha!ing the
right to -o so4 (c) is or becomes ublicly known without !iolation o" this Agreement4 or (-) is in-een-ently -e!eloe- by .ou
without re"erence to the 'on"i-ential In"ormation. 'on"i-ential In"ormation will remain the roerty o" Tenable, an- .ou will not
be -eeme- by !irtue o" this Agreement or any access to the 'on"i-ential In"ormation to ha!e acAuire- any right, title or interest in
or to the 'on"i-ential In"ormation. .ou may not coy any 'on"i-ential In"ormation without Tenable?s rior written ermission. .ou
may not remo!e any coyright, tra-emark, rorietary rights or other notices inclu-e- in or a""i/e- to any 'on"i-ential
In"ormation. Bther than using the So"tware in accor-ance with the terms o" this Agreement, .ou may not use the 'on"i-ential
In"ormation "or .our or a thir- arty?s bene"it, cometiti!e -e!eloment or any other urose. .ou agree> (I) to hol- the
'on"i-ential In"ormation in strict con"i-ence4 (II) to limit -isclosure o" the 'on"i-ential In"ormation to .our own emloyees ha!ing
a nee- to know the 'on"i-ential In"ormation "or the uroses o" this Agreement or those o" any Thir- 1arty, as seci"ie- in

Section 4 (III) not to -isclose any 'on"i-ential In"ormation to any thir- arty other than to a Thir- 1arty as seci"ie- in Section 4
(IC) to use the 'on"i-ential In"ormation solely an- e/clusi!ely in accor-ance with the terms o" this Agreement in or-er to carry out
.our obligations an- e/ercise .our rights un-er this Agreement4 (C) to a""or- the 'on"i-ential In"ormation at least the same le!el
o" rotection against unauthori3e- -isclosure or use as .ou normally uses to rotect .our own in"ormation o" a similar character,
but in no e!ent less than reasonable care4 an- (CI) to noti"y Tenable romtly o" any unauthori3e- use or -isclosure o" the
'on"i-ential In"ormation an- to cooerate with an- assist Tenable in e!ery reasonable way to sto or minimi3e such
unauthori3e- use or -isclosure. .ou agree that i" a court o" cometent 9uris-iction -etermines that .ou ha!e breache-, or
attemte- or threatene- to breach, .our con"i-entiality obligations to Tenable or Tenable?s rorietary rights, Tenable will su""er
irrearable harm an- that monetary -amages will be ina-eAuate to comensate Tenable "or such breach. Accor-ingly, Tenable,
in a--ition to annot in lieu o" any other rights, reme-ies or -amages a!ailable to it at law or in eAuity, shall be entitle- to seek
aroriate in9uncti!e relie" another measures restraining "urther attemte- or threatene- breaches o" such obligations without
reAuirement to ost any bon-. Tenable -oes not o""er suort un-er this Agreement. Accor-ingly, Tenable is not willing to accet
any con"i-ential in"ormation or any ersonal in"ormation "rom .ou un-er this Agreement.

business. .ou acknowle-ge that .our use o" the So"tware is only a ortion o" .our o!erall security solution an- that Tenable is
not resonsible "or .our o!erall security solution. The arties acknowle-ge that the use o" the So"tware may a""ect the oeration
o" .our network -uring !ulnerability scanning. Tenable shall not be liable to .ou "or any imairment o" the oeration o" .our
network arising "rom .our use o" the So"tware -uring such scanning. As between .ou an- Tenable, .ou are (an- Tenable is not)
resonsible "or the success or "ailure o" such security solution. .ou agree that .ou will, at .our e/ense, in-emni"y, -e"en- an-
hol- Tenable harmless in all claims an- actions that seek comensation o" any kin- "or in9ury or -eath to ersons an-8or "or
-amage to roerty, an- that arise out o" or relate to .our security solutions or .our use o" the So"tware or the solutions .ou
ro!i-e to a thir- arty through .our use o" the So"tware. .ou also agree to ay all settlements, costs, -amages, legal "ees an-

The So"tware is ro!i-e- solely "or law"ul uroses an- use. .ou are solely resonsible "or, an- agree to er"orm .our
obligations in a manner that comlies with all alicable national, "e-eral, state an- local laws, statutes, or-inances, regulations,
co-es another tyes o" go!ernment authority (inclu-ing those go!erning e/ort control, un"air cometition, anti2-iscrimination,
"alse a-!ertising, ri!acy an- -ata rotection, an- ublicity an- those i-enti"ying an- reAuiring ermits, licenses, aro!als, an-
other consents) (6aws). I" a charge is ma-e that .ou are not comlying with any such 6aws, .ou will romtly noti"y Tenable o"
such charges in writing. Dithout limiting the "oregoing, .ou agree to comly with all @.S. e/ort 6aws an- alicable e/ort

commercially reasonable e""orts an- to .our knowle-ge all such materials ha!e been -estroye- or returne- to Tenable an-
remo!e- "rom host comuters on which So"tware resi-e-. The remo!al an- -eletion ro!isions o" this Section -o not aly to
coies o" the So"tware that are ma-e ursuant to .our reasonable back2u an- archi!al olicies (un-er which back2u taes that
will be o!erwritten in -ue course may contain coies o" the So"tware), ro!i-e- that (i) such coies are only retaine- by .ou in
the course o" .our back2u roce-ures, (ii) such coies will be -elete- within a reasonable erio- o" time in the normal course o"
o!erwriting un-er the back2u rocess, an- (iii) such coies ne!er be use- to e/cee- the license restrictions un-er this
Agreement.

-istribute- as art o" the Subscrition. Tenable may accet or re9ect lugin submissions base- on co-e Auality, rele!ance,
er"ormance another "actors. Submitte- lugins may inclu-e coyright in"ormation about the authors, an- Tenable will
continue to inclu-e the coyright in"ormation in the lugin. Submitte- lugins may not inclu-e any licensing terms, usage

authenticate- logins remote systems !ia Secure Shell or Din-ows Domain, that use the libraries inclu-e- in the Subscritions or

-istribute- as art o" the Subscrition. Tenable may accet or re9ect lugin submissions base- on co-e Auality, rele!ance,
er"ormance another "actors. Submitte- lugins may inclu-e coyright in"ormation about the authors, an- Tenable will
continue to inclu-e the coyright in"ormation in the lugin. Submitte- lugins may not inclu-e any licensing terms, usage

;. 1lugin writers shoul- also be aware that many o" the A1Is a!ailable in the NAS6 language an-
!arious <.inc< libraries, may be use- to write custom lugins, but such lugins may only be -istribute- within .our organi3ation
an- may not be -istribute- ublicly, whether "or "ree or "or a "ee. :or e/amle, custom lugins that seci"ically make use o"
authenticate- logins remote systems !ia Secure Shell or Din-ows Domain, that use the libraries inclu-e- in the Subscritions or
that ha!e re!iously been -istribute- by Tenable, inclu-ing the 7egistere- :ee-, may not be ublicly -istribute-. To ensure that
.our custom lugins -o not make use o" a library that rohibits ublic -istribution, .ou shoul- au-it them to see which libraries
are being in!oke- an- then rea- each correson-ing license.

&. .ou may terminate this Subscrition Agreement at any time by -estroying or returning to Tenable the 1lugins,
together with all coies, mo-i"ications an- merge- ortions o" the 1lugins in any "orm.
%. This Subscrition Agreement an- .our license to use the 1lugins an- Subscritions shall terminate automatically
i" .ou "ail to comly with any term or con-ition o" this Subscrition Agreement or i" the Nessus So"tware 6icense Agreement
between .ou an- Tenable terminates.
;. Imme-iately uon the e/iration or termination o" this Subscrition Agreement, .ou shall -estroy or return to
Tenable the 1lugins, together with all coies, mo-i"ications an- merge- ortions o" the 1lugins in any "orm, an- shall certi"y to
Tenable in writing that through .our commercially reasonable e""orts an- to .our knowle-ge all such materials ha!e been
-estroye- or returne- to Tenable an- remo!e- "rom all comuters (whether hysical or !irtual) on which the 1lugins resi-e-.
Eecause it is not ractical to searate the 1lugins in the Subscrition "rom the Inclusi!e 1lugins, i" any, ro!i-e- with the
7egistere- Scanner, .our license to the 7egistere- Scanner terminates on the e/iration o" .our Subscrition, with the a--ition
o" any lugin, or termination o" this Subscrition Agreement. Fowe!er, .ou may -ownloa- the then2current !ersion o" the
7egistere- Scanner an- enter into a new license un-er the then2current terms. The remo!al an- -eletion ro!isions o" this
Section -o not aly to coies o" the 1lugins that are ma-e ursuant to .our reasonable back2u an- archi!al olicies (un-er
which back2u taes that will be o!erwritten in -ue course may contain coies o" the 1lugins), ro!i-e- that (i) such coies are

.ou may not rent, lease, len-, sublicense or otherwise ro!i-e the 1lugins to any thir- arty. .ou may not assign or
otherwise trans"er this Subscrition Agreement without Tenable?s rior written consent. .ou may use the 1lugins an-
Subscritions to ro!i-e ser!ices to thir- arties only as e/ressly ro!i-e- in this Subscrition Agreement.

9C Lan+$a+e.
The language o" this Subscrition Agreement is 0nglish an- all notices, in!oices an- relate- -ocuments gi!en un-er
this Subscrition Agreement must be in 0nglish to be e""ecti!e. No translation, i" any, o" this Subscrition Agreement or any
notice will be o" any e""ect in the interretation o" this Subscrition Agreement or in -etermining the intent o" the arties.

This Subscrition Agreement is not inten-e- nor will it be interrete- to con"er any bene"it, right or ri!ilege in any
erson or entity not a arty to this Subscrition Agreement. Any arty who is not a arty to this Subscrition Agreement has no
right un-er any 6aw to en"orce any term o" this Subscrition Agreement.

any license or ermission un-er this Subscrition Agreement to use any o" the Tenable marks (inclu-ing tra-emarks, ser!ice
marks, tra-e names, tra-e -ress, symbols, logos, -esigns, -omain names, slogans another source i-enti"iers).

This Subscrition Agreement constitutes the entire agreement between the arties, an- suerse-es all other rior or
contemoraneous communications between the arties (whether written or oral) relating to the sub9ect matter o" this Subscrition
Agreement, ro!i-e-, howe!er, that this Subscrition Agreement will not suerse-e (an- will be sub9ect to) any written
agreements signe- by both Tenable an- .ou that contain subscrition terms "or Tenable 1lugins an- that seci"ically ro!i-e that
such agreements are inten-e- to suerse-e subscrition agreements that may be inclu-e- in subseAuent or-ers o" 1lugins or
Subscritions. Tenable will ro!i-e a reasonable relacement "or -amage- or lost 1lugins "or .ou at no charge. No sulement,
Tenable Network Security 'on"i-ential an- 1rorietary %% Subscrition Agreement != $=.%$.&;
mo-i"ication or amen-ment o" this Subscrition Agreement shall be bin-ing, unless e/ecute- in writing by a -uly authori3e-
reresentati!e o" each arty to this Subscrition Agreement. The ro!isions o" this Subscrition Agreement will be -eeme-
se!erable, an- the unen"orceability o" any one or more ro!isions will not a""ect the en"orceability o" any other ro!isions. In
