collaboration' co)(etiti;e (roject or other &ealing +hatsoe;er +ith an" other
(erson or bo&" +hich +oul& or )ight affect' conflict +ith or (reju&ice the 452
6or! or the rights of -en!ata .agi re&&" / un&er this 3gree)ent' or +hich +oul& or
)ight (reju&ice the general objecti;es of the 452 6or!.

#lectronics $o %t& here+ith grants -en!ata .agi 4e&&" / an& its 3ffiliates an
irre;ocable o(tion for a co)(rehensi;e' (er(etual' +orl&+i&e' non>eAclusi;e license
for the use of the 0re>#Aisting 6or!s inclu&ing the right to sub> licence' in return for

in +riting a co(" of the (ro(ose& (ublication an" e)(lo"ee or stu&ent (inclu&ing'

this 3gree)ent.

3gree)ent' entere& into an" agree)ent' arrange)ent' joint ;enture' collaboration'
co)(etiti;e (roject or other &ealing +hatsoe;er +ith an" other (erson or bo&"
+hich +oul& or )ight affect' conflict +ith or (reju&ice this 3gree)ent or the
rights of -en!ata .agi 4e&&" / un&er it' or +hich +oul& or )ight (reju&ice the
general objecti;es of the 452 6or!' an& that to the
best of its !no+le&ge none of its e)(lo"ees' stu&ents' officers' agents or other
(ersons engage& in the 452 6or! has &one so.

?ource ?oft+are as s(ecifie& in ?ub>clause 3.5
2$- 6ithout (reju&ice to an" other right or re)e&" +hich -en!ata .agi 4e&&" / )a"
ha;e' if an" 452 6or! is not su((lie& in accor&ance +ith' or !!"u #lectronics $o
%t& fails to co)(l" +ith' an" of the ter)s of this 3gree)ent' -en!ata .agi 4e&&" /
shall be entitle& to a;ail itself of an" one or )ore of the follo+ing re)e&ies at its
&iscretion' +hether or not an" (art of the 452 6or! has been acce(te& b" -en!ata
.agi 4e&&" /:
(a) to ter)inate this 3gree)ent in accor&ance +ith sub>clause 9.2=
(b) at -en!ata .agi 4e&&" /Cs o(tion to gi;e !!"u #lectronics $o %t& the

2$2 7ni;ersit" shall not be liable to -en!ata .agi 4e&&" / for the co))ercial use of
the 452 6or!' or for the Dualit" or Duantit" of the (ro&ucts )anufacture& an&

if the other co))its a )aterial breach of the ter)s an& con&itions of this 3gree)ent
+hich (in the case of a breach ca(able of a re)e&") it &oes not re)e&" +ithin thirt"
