ACCOUNTING SERVICES AGREEMENT

This Accounting Services Agreement ("Agreement") is made as of the 6

th
day of March, 2014 by and between John
Louie O. Esguerra (CONTRACTOR) and Webworx Computer Technology Co. (CLIENT).



Both parties have discussed and agreed with the following:


SERVICES OFFERED:

1. Compliance and settlement with SSS demand letter.

To determine how SSS arrived with the amount of unsettled delinquency stated in the demand
letter and reconcile with Webworx records.

To determine the correct amount due to SSS based on actual employee movements and
other related events during the period.

2. Representation, in behalf of the client, negotiations and settlements with SSS.


PROFESSIONAL SERVICE FEE:

1. A professional service fee of Twenty Five Thousand Pesos (P25,000.00), net of VAT and EWT
shall be charged by the contractor to the client for the services indicated above. A down payment
of P15,000.00 of the total professional fee shall be paid by the client before the commencement of
the engagement and the remaining balance shall be paid upon settlement of the delinquency with
SSS.

2. Other expenses incurred such as Cost of Transportation, Printing and Reproduction, Meals and
Representation shall be reimbursed by the Client to the Contractor.


AGREEMENT PERIOD:

1. The agreement shall cover transactions from August 2012 until June 2013, the period stated in the
demand letter.


OTHERS

1. In the event that the Client shall fail to pay any periodic payment due hereunder, the Contractor
may cease to perform his obligations without any penalty for non-performance thereof.

2. The Contractor shall not be liable for any delay due to circumstances beyond its control.

3. The Contractor and the Client has no Employer-Employee relationship.

4. Any changes to this contract shall be reviewed first by both parties and signed before taking effect.

5. Neither the Contractor nor the Client may assign this Agreement without prior written consent from
the other party.

6. The heading of the sections herein are for convenience only, and shall not affect the meaning of
the provisions of this agreement.

7. This Agreement constitutes the entire agreement between the Client and the Contractor, and shall
supersede any prior understanding or representation of any kind preceding the date of this
agreement. There are no other promises, conditions, understandings, or other agreement, whether
oral or written, relating to the subject matter of this agreement.
