"Com+any"#.
Com+any hereby +ro+oses the onsultant to +erform the follo:ing ser9ies in
aordane :ith the terms and onditions set forth in this Memorandum of
Understanding.
Consultant :ould +ro9ide the re<uisite finanial resoures for the de9elo+ment of the
business affairs of the om+any.
TERMS OF MEMORANDUM OF UNDERSTANDING.
1. This Memorandum of Understanding :ill begin and :ill end on mutually
onsented terms. 8ither +arty may anel this Memorandum of Understanding on
thirty !10# days notie to the other +arty in :riting, by ertified mail or +ersonal
deli9ery.
2. Consultant :ould +ro9ide finanial resoures for the de9elo+ment of the
Com+any, on legally 9alid ollateral seurity gi9en by the om+any.
=. The +ro+erty to be seuriti;ed hereunder shall be on9eyed by the standard legal
doumentation duly e>euted by the Com+any.
4. Com+any +romises and agrees to on9ey good, lear, and mar/etable title to all
the +ro+erty to be seuriti;ed hereunder, the same to be free and lear of all
liens and enumbranes.
2. Consummation of the ontrat :ould be :ith +ayment by the 5inanier of the
mutually onsented loan +ayment, and the deli9ery of the +ro+osed +ro+erty by
the Com+any :ith legally 9alid re<uisite doumentation.
PLACE WHERE SERVICES WILL BE RENDERED.
Consultant :ill +erform ser9ies in aordane :ith this ontrat at a loation of
onsultant?s disretion. 'n addition the onsultant :ill +erform ser9ies being a
teleommuter and at suh other +laes as neessary to +erform these ser9ies in
aordane :ith this Memorandum of Understanding.
PAYMENT TO CONSULTANT.
Consultant :ill be +aid at the rate of@@@@@@@@ for :or/ +erformed in
aordane :ith this Memorandum of Understanding. The onsultant :ill submit an
itemi;ed statement setting forth the time s+ent and ser9ies rendered, and the om+any
:ill +ay the onsultant the amounts due as indiated by statements submitted by the
onsultant after the reei+t of statement.
INDEPENDENT PROFESSIONAL.
4oth the om+any and the onsultant agree that the onsultant :ill at as an
inde+endent +rofessional in the +erformane of duties under this ontrat. &ordingly,
the om+any shall be res+onsible for +ayment of all ta>es arising out of the onsultant?s
ati9ities in aordane :ith this ontrat, as re<uired.
CONFIDENTIAL INFORMATION.
Consultant agrees that any information reei9ed by the onsultant during any
furtherane of the onsultant?s obligations in aordane :ith this ontrat, :hih
onerns the +ersonal, finanial or other affairs of the om+any :ill be treated by the
onsultant in full onfidene and :ill not be re9ealed to any other +ersons, firms or
organi;ations.
EMPLOYMENT OF OTHERS.
Consultant may from time to time re<uest the om+any to arrange for the re<uisite
ser9ies of others. &ll osts to the onsultant for those ser9ies :ill be +aid by the
om+any but in no e9ent shall the onsultant em+loy others :ithout the +rior
authori;ation of the om+any.
TERMINATION
1. To terminate this ontrat, Com+any should send the onsultant a :ritten notie
stating that Com+any is aneling the ontrat. Mail the notie by state +ostage $
mail :ith the orret +ostage, and send it to us at our address !see ,art .

Com+any an also anel this ontrat by deli9ering a :ritten notie of
anellation to our address, in +erson.
2. 'f Com+any anels the ontrat for its o:n reasons, Consultant :ould not refund
any fees :hih Com+any has +aid. Consultant :ould harge the Com+any for
the ser9ies as if the Consultant has atually, neessarily and reasonably
+erformed on Com+anyAs behalf, as +er the ontrat. Consultant :ould retain all
the harges for ser9ies +erformed during the +eriod Com+any /ne: that
Consultant :ould +erform those ser9ies and as Com+any ha9e agreed in this
ontrat that Consultant :ould +erform them.
=. Com+any may anel this ontrat at any time if Consultant fails to +ro9ide the
ser9ies or to gi9e a o+y of this Memorandum of Understanding before
+ro9iding ser9ies to the Com+any. Com+any may anel this ontrat at any
time if Com+any has a rele9ant legal ause regarding the onsultant. 'f Com+any
anels this ontrat for any of these reasons, Consultant :ould refund in full any
fees :hih Com+any has +aid.
ADVOCATES'S FEES AND COSTS
'n the e9ent of suit or damages arising from this ontrat or to enfore any of its
+ro9isions, the ourt may a:ard the +re9ailing +arty their ad9oateAs fees and osts.
