STANDARD INSURANCE CO., INC. is a Philippine non-life insurance

company founded on August 1, 1958 with a license to market all types of
non-life insurance lines namely, fire, marine, casualty (motorcar, personal
accident, contractor's all risks, equipment floaters, and other miscellaneous
lines) and bonds. Providing over 47 years of service, it is the leader in
motorcar insurance. The Company is also strong in property insurance
especially after its acquisition of Zurich General Insurance Philippines, Inc.
("Zurich Gen") in November 30, 2003. Zurich Gen was a member of the
Zurich Financial Services Group, an insurance-based financial services
provider with an international network and headquartered in Zurich,
Switzerland. Zurich Gen has now been renamed eStandard Insurance
Corporation ("eStandard") and is the vehicle company for the group's non-
traditional cellular phone insurance product.

Its retail insurance business, primarily motorcar insurance, is generated

through its 43 nationwide branches located in key cities of the country and
through its car dealer tie-ups nationwide numbering close to 200, with
approximately 50 in Metro Manila. The dealers include distributors of
almost all popular brands: Toyota, Honda, Mitsubishi, Nissan, Ford, Jaguar,
BMW, Chevrolet, Mazda, Kia and Hyundai. Its corporate business, on the
other hand, primarily includes property and industrial insurance lines and
corporate motor fleet insurance of large corporations such as those of
Bayer Phils, Inc., Globe Telecom, the San Miguel Group and Smart
Telecommunications. Additionally, corporate business includes the
international clients of Zurich Financial Services such as Holcim,
McDonalds, Merck Phils,. and Nestle Phils., which are exclusively serviced
by the Company under Zurich's International Program Business (IPB).

The Company's operations have been systematized and manualized and

was ISO certified for quality management systems since 1998. This was
upgraded to an ISO 9001:2000 last October, 2003 which has been
maintained to date.

In 2004, eStandard acquired 100% of the shares of Zurich Life Philippines

from Zurich Insurance Company following the transfer of its insurance
portfolio to another foreign insurance company. Said acquisition was made
to consolidate the remaining shared assets of Zurich Life with then Zurich
General and thus complete the whole process of acquisition and
consolidation.

On a consolidated basis, Standard Insurance generated a premium volume

of Php 1.745 billion, premiums earned at Php 1.364 billion, net
underwriting income at Php 480.256 million and net income at Php 100.6
million in 2004. The consolidated balance sheet of the Company for said
year ended with total assets at Php2.098 billion, total liabilities at Php
1.265 billion and net worth at Php833.111 million. The Company continues
to have one of the highest paid-up capital in the industry at Php600.0
million.

The Company is majority owned at 60% by Lourdes T. Echauz Holdings,

Inc. (LTEHI) which is a holding firm with aggregate assets of Php880
million and total networth of Php782 million as of December 31, 2003. It is
a major shareholder in Centro Escolar University, a leading university in
allied medical courses with full autonomy from the Commission of Higher
Education.

The remaining 40% is owned by CEU Holdings Inc.
