Service for 12 Months

SuddenValues Service: Provides the Customer real-time access to create and deliver unlimited SuddenValues
offers, an enhanced business listing (a mini web page), 15 key words to match business listings with consumer’s
searches, a listing in up to five categories in the business directory, random circulation in the business spotlight,
inclusion of Customer offers in weekly email updates to local consumers, rotations through the featured merchant
and Deals of the Day sections and SuddenValues permission-based customer e-mailer.

Graphic & Page Setup & 2000 thank you cards included/Optional Reorder Cost- $180 for 5000 Database Cards

Monthly Billing: First month= $299 cards, setup, and service ---11 remaining months: $99 per month

One Payment Billing Option: $988 save $400 annually

SuddenValues.com, a division of US Online.com, Inc. provides a suite of Internet -based services known collectively as SuddenValues (the “Service”) SuddenValues
Services include, but are not limited to the ability to (1) create, deliver and maintain Internet-based special offers, (2) create and manage a website and (3) send bulk
“permission-based” emails. Hereafter are the terms and conditions for use of the Services by Customer. By signing this Agreement, the signing party (the “Customer”)
is willfully accepting its terms and conditions. Refunds are not given outside the 3 days of rescission for state of NC.

Grant of Right - SuddenValues.com grants Customer a non-exclusive, non-transferable right to use the SuddenValues Service in the market described in this
contract. Beyond the Service described in this Agreement, Customer shall have no other rights to the Service. SuddenValues.com shall be the sole owner of the
Services, including all intellectual property rights, marks, patents proprietary information, and know-how which are used or useful in providing the Service, and have
the sole right at its discretion to modify, change or update the Services. No other rights expressed or implied, except as expressly stated in this Agreement are
granted to the Customer herein.

Terms of Agreement - This agreement will become effective upon the Effective Date of this Agreement and remain in force for a period of 12 months and will be
automatically renewed by the Customer for successive 12 month periods, unless Terminated as set forth in this Agreement (the “Term”). During this Term,
SuddenValues.com agrees to provide the Services to Customer as set forth in this Agreement. Monthly payments are made on the 5th of each month and
businesses are liable for full payment within this 12 month agreement.

Purchasing - Customer shall pay SuddenValues.com for the Services in accordance with Invoicing and Pricing.

Limitations of Service -
• SuddenValues Offers - There are no restrictions on the number of SuddenValues offers that can be created and delivered by the Service. No more
than 10 business locations per Agreement. $________ each additional location.
• Emailer - Customer shall not send more than 2 emails to their database via the bulk e-mailer in a given month.
