MICROSOFT SOFTWARE LICENSE AGREEMENT

WINDOWS 8.1
Thank you for choosing Microsoft Windows 8.1. This is a license agreement
between you and Microsoft Corporation (or, based on where you lie, one of
its a!liates" that describes your rights to use the Windows 8.1 software. #or
your conenience, we$e organi%ed this agreement into two parts. The &rst
part includes introductory terms phrased in a 'uestion and answer format(
the )dditional Terms and *imited Warranty follow and contain greater detail.
+ou should reiew the entire agreement, including any linked terms, because
all of the terms are important and together create this contract that applies
to you. +ou can reiew linked terms by pasting the forward link into your
browser window once the software is running. The Additional Terms

retailer for a refund or credit, if any.
.o$ an I #se the so&t$are/ We do not sell our software or your copy of it
- we only license it. .nder our license, we grant you the right to install and
run that one copy on one computer (the licensed computer", for use by one
person at a time, but only if you comply with all the terms of this agreement.
Typically, this means you can install one copy of the software on a personal
computer and then you can use the software on that computer. The software
is not licensed to be used as serer software or for commercial hosting, so
you may not make the software aailable for simultaneous use by multiple

Ma' I ma0e a !a0#+ o+'/ +es, you may make a single copy of the
software for backup purposes, and use that backup copy as described below.
What a!o#t #+datin" the so&t$are/ ,f you install the software coered by
this agreement as an update to your e/isting operating system software, the
update replaces the original software that you are updating. +ou do not retain
any rights to the original software after you hae updated and you may not
continue to use it or transfer it in any way. This agreement goerns your
rights to use the update software and replaces the agreement for the
software from which you updated. )fter you complete your update, some
apps may not migrate or may be incompatible with Windows 8.1 and
additional software may be re'uired to play back or record certain types of
media, including 010s.
Can I trans&er the so&t$are to another om+#ter or #ser/ +ou may
transfer the software to another computer that belongs to you. +ou may also
transfer the software (together with the license" to a computer owned by
someone else if a" you are the &rst licensed user of the software and b" the
new user agrees to the terms of this agreement. To make that transfer, you
must transfer the original media, the certi&cate of authenticity, the product
key, and the proof of purchase directly to that other person, without retaining
any copies of the software. +ou may use the backup copy we allow you to
make or the media that the software came on to transfer the software. 2ery
time you transfer the software to a new computer, you must remoe the
software from the prior computer. +ou may not transfer the software to share
licenses between computers. +ou may transfer 3et 3enuine Windows
software, 4ro 4ack or Media Center 4ack software only together with the
licensed computer.
.o$ does Internet ati%ation $or0/ The &rst time you connect to the
,nternet while using the software, the software will automatically contact
Microsoft or its a!liate to con&rm the software is genuine and the license is
associated with the licensed computer. This process is called 5actiation.6
7ecause actiation is meant to identify unauthori%ed changes to the licensing
or actiation functions of the software, and to otherwise preent unlicensed
use of the software, 'o# ma' not !'+ass or ir#m%ent ati%ation.

computer to the ,nternet, some features of the software may connect to
Microsoft or serice proider computer systems to send or receie
information, including personal information. +ou may not always receie a
separate notice when they connect. ,f you choose to use any of these
features, you agree to send or receie this information when using that
feature. Many of these features can be switched o8 or you can choose not to
use them.
.o$ do $e #se 'o#r in&ormation/ Microsoft uses the information it
collects through the software features to upgrade or &/ the software and
otherwise improe our products and serices. ,n certain circumstances, we
also share it with others. #or e/ample, we share error reports with releant
hardware and software endors so that they can use the information to
improe how their products run with Microsoft products. +ou agree that we
may collect, use, and disclose the information as described in our 4riacy

What does this a"reement a++l' to/ This agreement applies to the
software, the media on which you receied the software, and also any
Microsoft updates, supplements, and serices for the software, unless other
terms come with them. ,t also applies to Windows apps that are included with
Windows, which are separate from the software features.
Are there thin"s I1m not allo$ed to do $ith the so&t$are/ +es.
7ecause the software is licensed, not sold, Microsoft reseres all rights (such
as rights under intellectual property laws" not e/pressly granted in this
agreement. ,n particular, this license does not gie you any right to, and you
may not@ use or irtuali%e features of the software separately( publish, copy
(other than the permitted backup copy", rent, lease, or lend the software(
transfer the software (e/cept as permitted by this agreement"( attempt to
circument technical protection measures in the software, reerse engineer,
decompile, or disassemble the software, e/cept if the laws where you lie
permit this een when our agreement does not. ,n that case, you may do only
what your law allows. When using ,nternetAbased features or Microsoft #amily
9afety, you may not use those features in any way that could interfere with
anyone else$s use of them, or to try to gain access to any serice, data,
account, or network, in an unauthori%ed manner.
ADDITIONAL TERMS
1. Liense Ri"hts and M#lti-(ser Senarios
a. Computer. ,n this agreement, 5computer6 means a hardware system
(whether physical or irtual" with an internal storage deice capable
of running the software. ) hardware partition or blade is considered
to be a computer. The software is licensed to run on only one
processor on the licensed computer.
b. Multiple ersions. The software includes multiple ersions (such as
B=Abit and ?CAbit ersions", and you may install only one of those
ersions.
c. Multiple or pooled connections. Dardware or software you use to
multiple/ or pool connections, or reduce the number of deices or
users that access or use the software, does not reduce the number of
licenses you need. +ou may only use such hardware or software if you
hae a license for each copy of the software you are using.
d. 0eice connections. +ou may allow up to => other deices to access
the software installed on the licensed computer for the purpose of
using &le serices, print serices, ,nternet information serices, and
,nternet connection sharing and telephony serices on the licensed
computer. +ou may allow any number of deices to access the
software on the licensed computer to synchroni%e data between
deices. This section does not mean, howeer, that you hae the
right to install the software, or use the primary function of the
software (other than the features listed in this section", on any of
these other deices.
e. .se in a irtuali%ed enironment. ,f you use irtuali%ation software to
create one or more irtual computers on a single computer hardware
system, each irtual computer, and the physical computer, is
considered a separate computer for purposes of this agreement. This
license allows you to install only one copy of the software for use on
one computer, whether that computer is physical or irtual. ,f you
want to use the software on more than one irtual computer, you
must obtain separate copies of the software and a separate license
for each copy. Content protected by digital rights management
technology or other fullAolume disk drie encryption technology may
be less secure in a irtuali%ed enironment.
f. Eemote access. The software contains Eemote 0esktop and Eemote
)ssistance technologies.
F Eemote 0esktop. Eemote 0esktop or similar technologies is
licensed for outbound use from this computer. +ou may access
certain editions of Windows software running on a separately
licensed host computer from this computer by using Eemote
0esktop.
F Eemote )ssistance. +ou may use Eemote )ssistance or similar
technologies to share an actie session without obtaining any
additional licenses for the software. Eemote )ssistance allows one
user to directly connect to another user$s computer, usually to
correct problems.
2. ,indin" Ar!itration and Class Ation Wai%er
a. )pplication. ,f you lie in the .nited 9tates, this 9ection = applies to

4RO4ERT6 RIG.TS. 0ispute means any dispute, action, or other
controersy between you and Microsoft concerning the software
(including its price" or this agreement, whether in contract, warranty,
tort, statute, regulation, ordinance, or any other legal or e'uitable
basis. 50ispute6 will be gien the broadest possible meaning
allowable under law.
b. Gotice of 0ispute. ,n the eent of a dispute, you or Microsoft must
gie the other a Gotice of 0ispute, which is a written statement of the
name, address, and contact information of the party giing it, the
facts giing rise to the dispute, and the relief re'uested. +ou must

through informal negotiation within ?> days from the date the Gotice

arbitration.
c. 9mall claims court. +ou may also litigate any dispute in small claims
court in your county of residence or Hing County, Washington, if the
dispute meets all re'uirements to be heard in the small claims court.
+ou may litigate in small claims court whether or not you negotiated
informally &rst.
d. 7inding arbitration. I& 'o# and Miroso&t do not resol%e an'
dis+#te !' in&ormal ne"otiation or in small laims o#rt) an'
other e*ort to resol%e the dis+#te $ill !e ond#ted

heard as a lass ation) +ri%ate attorne' "eneral ation) or in

to at in a re+resentati%e a+ait'. No ar!itration or
+roeedin" $ill !e om!ined $ith another $itho#t the +rior
$ritten onsent o& all +arties to all a*eted ar!itrations or

f. )rbitration procedure, costs, fees, and incenties. )ny arbitration will
be conducted by the )merican )rbitration )ssociation (the 5)))6"
under its Commercial )rbitration Eules. ,f you are an indiidual and
use the software for personal or household use, or if the alue of the
dispute is JKL,>>> .90 or less whether or not you are an indiidual
or how you use the software, its 9upplementary 4rocedures for
ConsumerAEelated 0isputes will also apply. #or more information, see

less, Microsoft will promptly reimburse your &ling fees and pay the
)))$s and arbitrator$s fees. +ou and Microsoft agree to the terms
goerning procedures, fees, and incenties at

submit the form aailable at go.microsoft.com:fwlink:;linkid<=CLCMK
to the ))). +ou agree to commence arbitration only in your county of
residence or in Hing County, Washington. Microsoft agrees to
commence arbitration only in your county of residence.
g. Claims or disputes must be &led within one year. To the e/tent
permitted by law, any claim or dispute to which 9ection = applies
must be &led within one year in small claims court (9ection =.c" or in
arbitration (9ection =.d". The oneAyear period begins when the claim
or dispute &rst could be &led. ,f such a claim or dispute is not &led
within one year, it is permanently barred.
h. 9eerability. ,f the class action waier in 9ection =.e is found to be
illegal or unenforceable as to all or some parts of a dispute, then
9ection = (arbitration" will not apply to those parts. ,nstead, those
parts will be seered and proceed in a court of law, with the
remaining parts proceeding in arbitration. ,f any other proision of
9ection = is found to be illegal or unenforceable, that proision will be
seered with the remainder of 9ection = remaining in full force and
e8ect.
<. Choie o& La$
The laws of the state or country where you lie goern all claims and disputes
concerning the software (including its price" or this agreement, including
breach of contract claims and claims under state consumer protection laws,
unfair competition laws, implied warranty laws, for unIust enrichment, and in
tort, e/cept that the #)) goerns all proisions relating to arbitration. ,f you
ac'uired the software in any other country, the laws of that country apply.
This agreement describes certain legal rights. +ou may hae other rights,
including consumer rights, under the laws of your state or country. +ou may
also hae rights with respect to the party from whom you ac'uired the
software. This agreement does not change those other rights if the laws of
your state or country do not permit it to do so.
?. Ati%ation
a. More on how actiation works. The software will notify you whether
the installed copy of the software is properly licensed. 0uring
actiation, the software will send information about the software and
your computer to Microsoft. This information includes the ersion,
language, and product key of the software, the ,nternet protocol
address of the computer, and information deried from the hardware
con&guration of the computer. #or more information about actiation,
see go.microsoft.com:fwlink:;linkid<=8>=?=. ,f the licensed computer
is connected to the ,nternet, the software will automatically connect
to Microsoft for actiation. +ou can also actiate the software
manually by ,nternet or telephone. ,n either case, ,nternet and
telephone serice charges may apply.
b. EeAactiation. 9ome changes to your computer components or the
software may re'uire reAactiation of the software.
c. )ctiation failure. 0uring online actiation, if the licensing or
actiation functions of the software are found to be counterfeit,
improperly licensed, or include unauthori%ed changes, actiation will
fail and the software will attempt to repair itself by replacing any
tampered Microsoft software with genuine Microsoft software. The
software will notify you if the installed copy of the software is
improperly licensed or includes unauthori%ed changes. ,n addition,
you may receie reminders to obtain a properly licensed copy of the
software. +ou may not be able to obtain certain updates or upgrades
from Microsoft if your copy of the software is found to be improperly
licensed.
:. Internet-,ased Feat#resF 4ri%a'
9ome software features use ,nternet protocols, which send to Microsoft (or its
suppliers or serice proiders" computer information, such as your ,nternet
protocol address, the type of operating system, browser, and name and
ersion of the software you are using, and the language code of the computer
where you installed the software. Microsoft uses this information to make the
,nternetAbased features aailable to you, in accordance with the Windows 8.1
4riacy 9tatement at go.microsoft.com:fwlink:;linkid<=8>=?= and information
that may be presented to you in the Windows user interface. 9ome ,nternetA
based features may be deliered and updated at a later dateNif, for e/ample,
you ac'uire an application that relies on one of those serices, or to help
make the software safer or more reliable.
a. Windows .pdate. ,f you use the Windows .pdate serice in the
software, updates or downloads to the Windows .pdate serice will
be re'uired for proper functioning of the serice, from time to time,
and will be downloaded and installed without further notice to you.
b. Windows digital rights management technology. 9ome content
owners use Windows digital rights management technology (0EM" to
protect their copyrights and other intellectual property, including by
disabling the software$s ability to play protected content if Windows
0EM fails. +ou agree that Microsoft may include a reocation list with
the licenses.
c. Windows Media 4layer. When you use Windows Media 4layer, it
checks with Microsoft for compatible online music serices in your
region and new ersions of the player. +ou may only use Windows
Media 4layer as described at go.microsoft.com:fwlink:;
linkid<1>C?>L.
d. Windows 0efender. ,f turned on, Windows 0efender will search your
computer for many types of malicious software (5malware6",
including iruses, worms, bots, rootkits, 5spyware6, 5adware,6 and
other potentially unwanted software. ,f you choose the recommended
security settings when you &rst start using the software, such
malware and other potentially unwanted software rated 5high6 or
5seere6 will automatically be remoed. This remoal may result in
other software on your computer ceasing to work or your breaching a
license to use that software. ,t is possible that software that is not
unwanted may be remoed or disabled. ,f you use Windows 0efender
and Windows .pdate, Windows 0efender is regularly updated
through Windows .pdate.
e. Malicious software remoal. The software may periodically scan for
and remoe malware from your computer, using the malicious
software remoal tool most recently downloaded to your computer.
)fter the scan completes and at regular interals, a report will be
sent to Microsoft with speci&c information about malware detected,
errors, and other information about your computer. This information
is used to help protect your computer from malicious software, as
well as to improe the software and other Microsoft products. +ou
may disable the software$s reporting functionality by following the
instructions found at go.microsoft.com:fwlink:;linkid<=C1K=L.
f. 9mart9creen #ilter. ,f enabled, the 9mart9creen #ilter will check the
addresses of webpages and downloads you attempt to iew against a
fre'uently updated list of webpages and downloads that hae been
reported to Microsoft as unsafe or suspicious. 9mart9creen will also
check downloaded programs that you attempt to run against a list of
commonly downloaded or run programs to help you make more
informed trust decisions. More information can be found by isiting

linkid<=8>1==. 7y enabling 9mart9creen in either Windows or
,nternet 2/plorer, you consent to this feature, and you agree to use
the 9mart9creen #ilter only in conIunction with Windows or ,nternet
2/plorer. +ou may not, either manually or by enabling or authori%ing
any software or serice, copy, display, distribute, collect, or store any
data proided by the 9mart9creen #ilter.
g. ,4? Getwork )ddress Translation (G)T" Traersal serice (Teredo".
2ach time you start your licensed computer, Teredo will attempt to
locate a public ,nternet 4rotocol ersion ? (,4?" serice on the
,nternet. This occurs automatically when your licensed computer is
connected to a public or priate network, but does not occur on
managed networks such as enterprise domains. ,f you use a program
that re'uires Teredo to use ,4? connectiity, or if you con&gure your
&rewall to always enable ,4? connectiity, then Teredo will
periodically contact the Microsoft Teredo serice oer the ,nternet.
The only information sent to Microsoft is standard computer
information and the name of the serice re'uested (for e/ample
teredo.ip?.microsoft.com". The information sent from your computer
by Teredo is used to determine if your computer is connected to the
,nternet and if it can locate a public ,4? serice. Once the serice is
located, information is sent to maintain a connection with the ,4?
serice.
h. 4lug and 4lay and 4lug and 4lay 2/tensions. +our computer may not
hae the driers needed to communicate with hardware that you
connect to your computer. ,f so, the update feature of the software
can obtain and install the correct drier on your computer. )n
administrator can disable this update feature.
i. 0igital certi&cates. The software uses digital certi&cates to con&rm
the identity of ,nternet users sending P.L>M standard encrypted
information, to digitally sign &les and macros, and to erify the
integrity and origin of &le contents. The software may retriee and
update certi&cates, certi&cate reocation lists, and the list of trusted
certi&cation authorities, oer the ,nternet.
I. Getwork awareness. This feature determines whether a system is
connected to a network by either passie monitoring of network
tra!c or actie 0G9 or DTT4 'ueries. The 'uery transfers only
standard TC4:,4 or 0G9 information for routing purposes. +ou can
switch o8 the actie 'uery feature through a registry setting.
k. )ccelerators. When you click on or moe your mouse oer an
)ccelerator in ,nternet 2/plorer, any of the following may be sent to
the applicable serice proider (which may not be Microsoft"@ the title
and full web address or .E* of the current webpage, standard
computer information, and any content you hae selected. #or more

l. 9earch proider update. The software will download an update to the
data on your computer about search proiders. This update upgrades
your proiders with the latest features, such as new icons or search
suggestions. This is a oneAtime update, but the software will try to
perform the update seeral times if it does not successfully download

m. Cookies. ,f you choose to use online features in the software, such as
online Delp and 9upport, cookies may be set. To learn how to block,
control, and delete cookies, please read the cookies section of the

n. Windows 9tore. ,n addition to the terms of this agreement for
,nternetAbased features, you may only use the Windows 9tore under
the terms aailable at go.microsoft.com:fwlink:;linkid<=C??MC. Those
terms also contain information about Windows Goti&cation 9erice.
Windows apps or any preinstalled apps in your 9tart may use
Windows Goti&cation 9erice. +ou agree that we may send you
noti&cations as described in the Windows 8.1 4riacy 9tatement and
Windows 9tore terms of serice.
;. Windo$s A++s
Windows apps (such as Mail, Calendar, and 4eople" are apps that are
deeloped by Microsoft, included with Windows, and licensed to you under
this agreement. +ou can access each Windows app from its corresponding tile
in 9tart. 9ome of the Windows apps proide an access point to online
serices, and the use of those serices is sometimes goerned by separate
terms and priacy policies. +ou can iew these terms and policies by looking
at the app$s settings. .nless other terms are displayed to you or presented in
the app$s settings, you agree the serices that you access from the Windows
apps are goerned by the Microsoft 9erices )greement at
go.microsoft.com:fwlink:;linkid<=C?BB8, or for Windows apps that access
Pbo/ serices, the /bo/.com:legal:lietou. We continuously work to improe
the serices and we may change the serices at any time. The serices may
not be aailable in certain countries. +ou may choose to uninstall any
Windows app at any time, and you may also choose to reinstall any Windows
app by downloading it from the Windows 9tore. 9ome Windows apps include
adertising. +ou may choose to opt out of personali%ed adertising by isiting
choice.lie.com.
G. 4roo& o& Liense
,f you ac'uired the software on a disc or other physical media, your proof of
license is the genuine Microsoft certi&cate of authenticity label with the
accompanying genuine product key, and your proof of purchase. ,f you
ac'uired and downloaded the software online, your proof of license is the
genuine Microsoft product key for the software that you receied with your
purchase, and your proof of purchase from an authori%ed electronic supplier
of genuine Microsoft software. ,f you ac'uired and downloaded the software
ia the Windows 9tore, your proof of purchase is the proof of purchase for the
Windows 8 software that you updated from. 4roof of purchase may be subIect
to eri&cation by your merchant$s records.
8. (+dates and (+"rades
+ou may only obtain updates or upgrades for the software from Microsoft or
authori%ed sources. Certain upgrades, support, and other serices may be
o8ered only to users of genuine Microsoft software. #or more information

8. Limited Ri"hts 5ersions
9ome ersions of the software, like Got for Eesale and )cademic 2dition
software, are distributed for limited purposes. +ou may not sell software
marked as 5G#E6 or 5Got for Eesale6, and you must be a Quali&ed
2ducational .ser to use software marked as 5)cademic 2dition6 or 5)2.6 ,f you

Microsoft a!liate sering your country for more information.
19. Fonts) Ions) Ima"es) and So#nds
a. #ont components. While the software is running, you may use its
fonts to display and print content. +ou may temporarily download the
fonts to a printer or other output deice to print content, and you
may embed fonts in content only as permitted by the embedding
restrictions in the fonts.
b. ,cons, images, and sounds. While the software is running, you may
access and use its icons, images, sounds, and media only from the
licensed computer. +ou may not share the sample images, sounds,
and media proided with the software or use them for any other
purpose.
11. .NET Frame$or0
The software includes one or more components of the .G2T #ramework, which
you may use only as described at go.microsoft.com:fwlink:;linkid<??C>? if
you use the .G2T #ramework components to conduct internal benchmark
testing.
