2!That the party no 1has the sole right to add' subtract' and ad(ust the area
allotted at the time of appointment in the interest of the business with
information in writing to party no2!

A! 5AT :.pense of "ega ,istributor of their $ommission will reimburse
after submit the receipt of 5AT which was gi*en by party no!2! If any amount
ta2en from retailers against 5AT that amount will be deducted in their e.penses!
)! That party no 2 shall appoint one Accountant < one "anager and bear their
+alary < other e.penses!
/! That the party no 2 shall be responsible for the stoc2 in 6odown and company
*ehicles in his possession' besides loading and unloading of the *ehicles in time!
1! That the realisation and super*ision of mar2et credit shall be the responsibility
of the party no2' although a!s!m! And sales team shall endea*our to realise the
credit to the best of their ability! 4ut Party no01 is not responsible of any credit
lose if happen in mar2et this is 100B responsibility of Party No02!
3! That for the operation in the mar2et' the party no 2 shall adhere to the
instructions of 6! "! sales or party no1 in the interest of business!
?! That party no 2 shall gi*e his constructi*e support in growing business in the
area and achie*ement of target!
@! That the party no2 is responsible for smooth running of *ehicles in the mar2et
and settle administrati*e issues if any! Re-uired route must be operated in time!

pac2wise on daily basis!
1/! That the party no2 shall not sell any other product in the *ehicles or shall
2eep in the 6odown e.cept that of superior drin2s P*t ltd! Any *iolation on this
point shall in*ite termination of agreement with immediate e9ect at the
discretion of party no1!
$' $ommission7 The party no2 is entitled to a #.ed commission of Rs )!0 per case
on total purchase of stoc2 from party no1! Rs 0!1 per case shall be gi*en e.tra
for brea2age' lea2age' and burst! Total commission is Rs)!10 per case! The Party
no!2 will calculate actual lea2age < 4urst :.penses

,! In*estment and commission7 In*estment and commission shall be re*iewed
e*ery year by party no1 in consultation with party no2
:!,isputes7 Any disputes arising out of the agreement or wor2ing of the
agreement shall be referred to the managing director of superior drin2s P*t ltd
for settlements and his decision shall be binding on both parties!
