OBSERVATIONS

1884: By comparing the original handwritten 1884 Zions Watch Tower and Tract Societys
corporate charter with Maria Russells handwriting, it is clear that she penned the document.
1896: Name change from Zions Watch Tower and Tract Society to Watch Tower Bible and
Tract Society. Charter change was attested to by Charles T. Russell, President; Maria F.
Russell, Secretary.

1945: The original articles of incorporation of the Watch Tower Bible and Tract Society of
Pennsylvania saw major change in this year. For example, originally, the corporation
operated on a stock-share basis, each donation of ten dollars entitled the contributor to one
share, and one share equaled one vote. Thereafter, according to Article V on page 7-8, the
corporation operated on a non-stock basis. Shares of stock (votes) could no longer be
purchased.

After listing the names of the original subscribers, which included Maria F. Russell as an
officer of the corporation, amended Article V states, Its members shall be only men who are
mature, active and faithful witnesses of Jehovah devoting full time to performance of one or
more of its chartered purposes under its direction and by its authority, or such men who are
devoting part time as active presiding ministers or servants of congregations of Jehovahs
witnesses.

A man who is found to be in harmony with the purposes of the Society and who possesses
the above qualifications may be elected as a member upon being nominated by a member,
director or officer

A little known fact: Up until 1945, women could legally be members, directors or even
officers of the Watch Tower Bible and Tract Society of Pennsylvania, and several were.

1987: New Article VIII revised the number of Vice Presidents in the Watch Tower PA
Corporation from one to one or more Vice Presidents and the Society may have such
other officers and assistant officers as it shall authorize from time to time. At this time, the
office of Vice President was occupied by both W. L. Barry and M. G. Henschel. The new
office of Assistant Secretary-Treasurer was occupied by J. E. Barr, J. C. Booth and T. Jaracz.

1994: New Article XI appears in the Amended Charter of the Watch Tower Bible and Tract
Society of Pennsylvania. Article XI states what would happen in the event of dissolution of

the Pennsylvania Corporationthe assets would be transferred to Watchtower Bible and
Tract Society of New York, Inc. If Watchtower of New York is not then in existence, then
said assets shall be distributed by the Governing Body of Jehovahs Witnesses to another
organization which is organized and operated exclusively for religious purposes and which
has established its tax-exempt status under Section 501c3 of the Internal Revenue Code.
Inasmuch as another organization is unnamed, the Governing Body can transfer assets to
any non-profit of their choosing, even another religion.

1999: Found under the words, EXHIBIT A, this sentence: RESOLVED, that Article
Second of the Amended and Restated Charter be amended such that, as amended, Article
Second shall read as follows: This is the first time the words, Restated Charter appeared
in any Watch Tower Corporation Amendment records up until then. That Second Article
discusses the purposes of the corporation. Added to the conclusion of the Second Article in
the 1945 Amended Charter, is a new conclusion: and do any and all other lawful things that
its Board of Directors shall deem appropriate in harmony with these purposes.
Interestingly, the following year, part of that statement would be deleted and restated.

In the Ninth Article, a few words about the Watch Tower Bible and Tract Societys assets
were changed and other words added to clarify what would happen to corporation assets if,
after dissolution, Watch Tower Inc. of Pennsylvania, and Watchtower Inc., of New York
were no longer in existence. The amended Ninth Article states all remaining assets would be
distributed to any organization designated by the Governing Body of Jehovahs Witnesses
that is organized and operated exclusively for religious, educational, and/or charitable
purposes. This cleared the way, if necessary, for assets to go to a tax exempt corporation
which is not religious, but educational, or created for another charitable purpose.

2000: Article Second is amended once again. Note the new ending: and do any and all
other lawful things that its Board of Directors, in accordance with the spiritual direction of
the ecclesiastical Governing Body of Jehovahs Witnesses, shall deem appropriate in
harmony with these purposes. At the October 2000 Annual Watch Tower Bible and Tract
Societys Corporation Meeting there was an announcement about the creation of five new
corporate entities organized by Jehovahs Witnesses leaders. In addition, the speaker made
clear that no longer would any corporate directors be required to be of the anointed and also
members of the Governing Body. From then on, it was explained, the Governing Body would
divorce themselves from corporation business operations but give their full attention to
directing the spiritual aspects of the Witness organization. However, from the wording in
Article Second above, as expected, the Governing Body still firmly held the reins and would
direct all Witness corporation directors to do their bidding.

The Ninth Article also establishes this point. Regarding distribution of assets, if both Watch
Tower of PA and Watchtower of NY were dissolved, it would not be the directors of either
corporation who would decide what other 501c3 non-profit organization the assets would go
to, but that choice would be made only by the Governing Body of Jehovahs Witnesses.

2003 AMENDED AND RESTATED CHARTER WATCH TOWER BIBLE AND TRACT
SOCIETY OF PENNSYLVANIA. This Watch Tower Bible and Tract Societys Amended
Charter remains basically the same as in the year 2000. However, it makes allowance for the
corporations legal staff attorneys to represent individual Jehovahs Witnesses in legal
matters affecting the religion. It also includes the names and addresses of eighteen attorneys
who that year made commitments to Watch Tower to provide legal services.

assets shall be tfmsferred to the Watchtower Bible and Tract Society of New
York, Ine. If the Watchtower Bible and Tract Saoiety of N w York lnc., is not
then in existence and a corporaticm exampt from federal income tax under sewn
501 (cX3) of the Intermi Revenue Code of 1986 ar the corresponding section of
any future federal tax code, then the remaining assets shall be distributed to any
