I. LICENSE
L%,+-#+. #ub9ect to this )reement and its terms and conditions, Licensor
hereby rants you the none:clusive, non7transferable, limited riht and
license to use one copy of the #oftware for your personal non7commercial
use for ameplay on a sinle computer or amin unit, unless otherwise
speci;ed in the #oftware documentation. "our ac<uired rihts are sub9ect to
your compliance with this )reement. The term of your license under this
)reement shall commence on the date that you install or otherwise use the
#oftware and ends on the earlier date of either your disposal of the #oftware
or Licensor=s termination of this )reement. "our license terminates
immediately if you attempt to circumvent any technical protection measures
used in connection with the #oftware. The #oftware is bein licensed to you
and you hereby acknowlede that no title or ownership in the #oftware is
bein transferred or assined and this )reement should not be construed as
a sale of any rihts in the #oftware. )ll rihts not speci;cally ranted under
this )reement are reserved by Licensor and, as applicable, its licensors.
&(-+*#$%1. Licensor retains all riht, title and interest to the #oftware,
includin, but not limited to, all copyrihts, trademarks, trade secrets, trade
names, proprietary rihts, patents, titles, computer codes, audiovisual
e>ects, themes, characters, character names, stories, dialo, settins,
artwork, sounds e>ects, musical works, and moral rihts. The #oftware is
protected by 2nited #tates copyriht and trademark law and applicable laws
and treaties throuhout the world. The #oftware may not be copied,
reproduced or distributed in any manner or medium, in whole or in part,
without prior written consent from Licensor. )ny persons copyin,
reproducin or distributin all or any portion of the #oftware in any manner
or medium, will be willfully violatin the copyriht laws and may be sub9ect
to civil and criminal penalties in the 2# or their local country. /e advised that
2# ,opyriht violations are sub9ect to statutory penalties of up to ?1@0,000
per violation. The #oftware contains certain licensed materials and Licensor=s
licensors may also protect their rihts in the event of any violation of this
)reement. )ll rihts not e:pressly ranted to you herein are reserved by the
Licensor.

on a network, for on7line use, or on more than one computer or amin

f. ,opy the #oftware onto a hard drive or other storae device in order to
bypass the re<uirement to run the #oftware from the included ,.7*&M
or .8.7*&M 3this prohibition does not apply to copies in whole or in
part that may be made by the #oftware itself durin installation in
order to run more eCciently4B
g. use or copy the #oftware at a computer amin center or any other
location7based siteB provided, that Licensor may o>er you a separate
site license areement to make the #oftware available for commercial
useB.
h. *everse enineer, decompile, disassemble, prepare derivative works
based on or otherwise modify the #oftware, in whole or in partB
i. *emove or modify any proprietary notices, marks or labels contained
on or within the #oftwareB and
j. transport, e:port or re7e:port 3directly or indirectly4 into any country
forbidden to receive such #oftware by any 2.#. e:port laws or
accompanyin reulations or otherwise violate such laws or
reulations, that may be amended from time to time.

of the #oftware, membership in a third7party services and!or membership in

be re<uired to access diital copies of the #oftware or certain un7lockable ,
downloadable, online or other special content, services, and!or functions
3collectively, the D#pecial 'eaturesE4. )ccess to #pecial 'eatures is limited to
a sinle user account per serial code and access to #pecial 'eatures cannot
be transferred, sold, or re7reistered by another user unless otherwise
speci;ed. The provisions of this pararaph supersede any other term in this
)reement.

copy of pre7recorded #oftware and accompanyin documentation on a
permanent basis to another person as lon as you retain no copies 3includin
archival or backup copies4 of the #oftware, accompanyin documentation, or
any portion or component of the #oftware or accompanyin documentation,
and the recipient arees to the terms of this )reement. #pecial 'eatures,
includin content otherwise unavailable without a sinle7use serial code, are
not transferrable to another person under any circumstances and #pecial
'eatures may cease functionin if the oriinal installation copy of the
software is deleted or the pre7recorded copy is unavailable to the user. The

access to the #oftware, control access to certain features or content, prevent
unauthoriFed copies, or otherwise attempt to prevent anyone from e:ceedin
the limited rihts and licenses ranted under this )reement. %f the #oftware
permits access to #pecial 'eatures, only one copy of the #oftware may
access those features at one time. )dditional terms and reistration may be
re<uired to access online services and to download #oftware updates and
patches. &nly #oftware sub9ect to a valid license can be used to access
online services, includin downloadin updates and patches. "ou may not
interfere with such access control measures or attempt to disable or
circumvent such security features. %f you disable or otherwise tamper with
the technical protection measures, the #oftware will not function properly.

includin but not limited to a ameplay map, a scenario, screenshot of a car
desin or a video of your ame play. %n e:chane for use of the #oftware, and
to the e:tent that your contributions throuh use of the #oftware ive rise to
any copyriht interest, you hereby rant Licensor an e:clusive, perpetual,
irrevocable, fully transferable and sub7licensable worldwide riht and license
to use your contributions in any way and for any purpose in connection with
the #oftware and related oods and services, includin the rihts to
reproduce, copy, adapt, modify, perform, display, publish, broadcast,
transmit, or otherwise communicate to the public by any means whether
now known or unknown and distribute your contributions without any further
notice or compensation to you of any kind for the whole duration of
protection ranted to intellectual property rihts by applicable laws and
international conventions. "ou hereby waive any moral rihts of paternity,
publication, reputation, or attribution with respect to Licensor=s and other
players= use and en9oyment of such assets in connection with the #oftware
and related oods and services under applicable law. This license rant to
Licensor, and the above waiver of any applicable moral rihts, survives any
termination of this License.
%-T+*-+T ,&--+,T%&-. The #oftware may re<uire an internet connection to
access internet7based features, authenticate the #oftware, or perform other
functions. %n order for certain features of the #oftware to operate properly,
you may be re<uired to have and maintain 3a4 an ade<uate internet
connection and!or 3b4 a valid and active account with an online service as set
forth in the #oftware documentation, includin but not limited to third7party
amin platform, Licensor or a Licensor aCliate. %f you do not maintain such
accounts, then certain features of the #oftware may not operate or may
cease to function properly, either in whole or in part.
II. IN"#$A!IN CLLEC!IN % USA&E.
/y installin and usin this software, you consent to these information
collection and usae terms, includin 3where applicable4 transfer of data to
Licensor and aCliated companies into a country outside of the +uropean
2nion and the +uropean +conomic )rea. %f you connect to the %nternet when
usin the #oftware, either throuh a amin platform network, or any other
method, Licensor may receive information from hardware manufacturers or
amin platform hosts and may automatically collect certain information
from your computer or amin unit. This information may include, but is not
limited to, user %.s 3such as amer tas and screen names4, ame scores,
ame achievements, ame performance, locations visited, buddylists,
hardware M), address, internet protocol address, and your usae of various
ame features. )ll information collected by Licensor is intended to be
anonymous information that does not disclose your identity or constitute
personal information, however, if you include personal information 3such as
your real name4 in your user %., then such personal information will
automatically be transmitted to Licensor and used as described herein.
The information collected by Licensor may be posted by Licensor on publicly7
accessible web sites, shared with hardware manufacturers, shared with
platform hosts, shared with Licensor=s marketin partners or used by
Licensor for any other lawful purpose. /y usin this #oftware you consent to
the Licensor=s use of related data, includin public display of your data such
as identi;cation of your user created content or displayin your scores,
rankin, achievements and other ameplay data. %f you do not want your
information shared in this manner, then you should not use the #oftware.
III. WA##AN!'
L%M%T+. ()**)-T"A Licensor warrants to you 3if you are the initial and
oriinal purchaser of the #oftware4 that the oriinal storae medium holdin
the #oftware is free from defects in material and workmanship under normal
use and service for G0 days from the date of purchase. Licensor warrants to
you that this #oftware is compatible with a personal computer meetin the
minimum system re<uirements listed in the #oftware documentation or that
it has been certi;ed by the amin unit producer as compatible with the
amin unit for which it has been published, however, due to variations in
hardware, software, internet connections and individual usae, Licensor does
not warrant the performance of this #oftware on your speci;c computer or
amin unit. Licensor does not warrant aainst interference with your
en9oyment of the #oftwareB that the #oftware will meet your re<uirementsB
that operation of the #oftware will be uninterrupted or error7free, or that the
#oftware will be compatible with third party software or hardware or that any
errors in the #oftware will be corrected. -o oral or written advice provided by
Licensor or any authoriFed representative shall create a warranty. /ecause
some 9urisdictions do not allow the e:clusion of or limitations on implied
warranties or the limitations on the applicable statutory rihts of a consumer,
some or all of the above e:clusions and limitations may not apply to you.
%f for any reason you ;nd a defect in the storae medium or #oftware durin
the warranty period, Licensor arees to replace, free of chare, any #oftware
discovered to be defective within the warranty period as lon as the #oftware
is currently bein manufactured by Licensor. %f the #oftware is no loner
available, Licensor retains the riht to substitute a similar piece of #oftware
of e<ual or reater value. This warranty is limited to the storae medium and
the #oftware as oriinally provided by Licensor and is not applicable to
normal wear and tear. This warranty shall not be applicable and shall be void
if the defect has arisen throuh abuse, mistreatment, or nelect. )ny implied
warranties prescribed by statute are e:pressly limited to the G07day period
described above.
+:cept as set forth above, this warranty is in lieu of all other warranties,
whether oral or written, e:press or implied, includin any other warranty of
merchantability, ;tness for a particular purpose or non7infrinement, and no
other representations or warranties of any kind shall be bindin on Licensor.
(hen returnin the #oftware sub9ect to the limited warranty above, please
send the oriinal #oftware only to the Licensor address speci;ed below and
includeA your name and return addressB a photocopy of your dated sales
receiptB and a brief note describin the defect and the system on which you
are runnin the #oftware.

Licensor, or automatically upon your failure to comply with its terms and
conditions. 2pon any termination, you must destroy or return the physical
copy of #oftware to the Licensor, as well as permanently destroy all copies of
the #oftware, accompanyin documentation, associated materials, and all of
its component parts in your possession or control includin from any client
server or computer on which it has been installed.

have been developed entirely at private e:pense and are provided as
D,ommercial ,omputer #oftware5 or Drestricted computer software.5 2se,
duplication or disclosure by the 2.#. 0overnment or a 2.#. 0overnment
subcontractor is sub9ect to the restrictions set forth in subpararaph 3c43143ii4
of the *ihts in Technical .ate and ,omputer #oftware clauses in .')*#
2@2.22K7K013 or as set forth in subpararaph 3c4314 and 324 of the
,ommercial ,omputer #oftware *estricted *ihts clauses at ')* @2.22K71G,
as applicable. The ,ontractor! Manufacturer is the Licensor at the location
listed below.
+H2%T)/L+ *+M+.%+#A "ou hereby aree that if the terms of this )reement
are not speci;cally enforced, Licensor will be irreparably damaed, and
therefore you aree that Licensor shall be entitled, without bond, other
security, proof of damaes, to appropriate e<uitable remedies with respect
any of this )reement, in addition to any other available remedies.
%-.+M-%T"A "ou aree to indemnify, defend and hold Licensor, its partners,
licensors, aCliates, contractors, oCcers, directors, employees and aents
harmless from all damaes, losses and e:penses arisin directly or indirectly
from your acts and omissions to act in usin the #oftware pursuant to the
terms of the )reement.
M%#,+LL)-+&2#A This )reement represents the complete areement
concernin this license between the parties and supersedes all prior
areements and representations between them. %t may be amended only by
a writin e:ecuted by both parties. %f any provision of this )reement is held
to be unenforceable for any reason, such provision shall be reformed only to
the e:tent necessary to make it enforceable and the remainin provisions of
this )reement shall not be a>ected.
0&8+*-%-0 L)(. This )reement shall be construed 3without reard to
conLicts or choice of law principles4 under the laws of the #tate of -ew "ork,
as such law is applied to areements between -ew "ork residents entered
into and to be performed within -ew "ork, e:cept as overned by federal law.
2nless e:pressly waived by Licensor in writin for the particular instance or
contrary to local law, the sole and e:clusive 9urisdiction and venue for
actions related to the sub9ect matter hereof shall be the state and federal
courts located in Licensor=s principal corporate place of business 3-ew "ork
,ounty, -ew "ork, 2.#.).4. /oth parties consent to the 9urisdiction of such
courts and aree that process may be served in the manner provided herein
for ivin of notices or otherwise as allowed by -ew "ork state or federal law.
The parties aree that the 2- ,onvention on ,ontracts for the %nternational
#ale of 0oods 38ienna, 1GM04 shall not apply to this )reement or to any
dispute or transaction arisin out of this )reement.

These license terms are in addition to all other terms of the Limited #oftware
(arrantyB License )reement, and %nformation 2se .isclosures. %f any
#oftware is provided to you throuh the )pple %nc. 35)pple54 )pp #tore, then
the followin additional terms and conditions in this pararaph apply. This
)reement is solely between you and Licensor, and not with )pple. "ou
acknowlede that )pple has no obliation to furnish any maintenance or
support services to you in connection with the #oftware. %n the event of any
failure of the #oftware to conform to the Limited (arranty in this )reement,
you may notify )pple, and )pple will refund the purchase price for the
#oftware. +:cept for the foreoin, to the ma:imum e:tent permitted by
applicable law, )pple will have no other warranty obliation whatsoever with
respect to the #oftware. )ny claim in connection with the #oftware related to
product liability, a failure to conform to applicable leal or reulatory
re<uirements, claims under consumer protection or similar leislation or
intellectual property infrinement are overned by this )reement, and
)pple is not responsible for such claims. "ou must comply with the )pp #tore
Terms of #ervice, includin the 2sae *ules. The license to the #oftware is a
non7transferable license to use the #oftware only on an i1hone or i1od touch
that you own or control. "ou represent that you are not located in any 2.#.
embaroed countries or on the 2.#. Treasury .epartmentOs list of #pecially
.esinated -ationals or the 2.#. .epartment of ,ommerce .enied 1ersonOs
list or +ntity List. )pple is a third party bene;ciary to this )reement and
may enforce this )reement aainst you.
)ll other terms and conditions of the +2L) apply to your use of the #oftware.
