Agreement Between
1.
Photographer grants to NURPHOTO the marketing (cession of publishing rights) of
his photographs
and/or services photojournalistic. Photographer agrees to deliver Images to Agen
cy on a regular
basis. Images are to be fully captioned, with Photographer's name.
2.
Photographer declares to be the holder of the right of use for economic purposes
of the photos sent.
Photographer agrees that any Images given to Agency for distribution shall remai
n available for
distribution by Agency.
3.
Photographer gives permission to NURPHOTO to crop, arrange or alter any image as
they see fit.
Photographer reserves all rights in and to the Material, including the copyright

Photographer represents and warrants to NURPHOTO that the Material shall be trut
hful and accurate
and Photographer has all rights necessary to grant the rights conferred herein a
nd that NurPhoto use
of the Material in accordance with the terms of this Agreement will not violate
the rights of any third
party. Photographer agrees to indemnify, defend, and hold NURPHOTO and its succe
ssor, officers,
directors and employees harmless from any and all action, claims, demands, costs
, liabilities,
expenses and damages (including reasonable attorneys' fees) arising out of, or i
n connection with,
any claim by a third party which, if true, would constitute a breach by Photogra
pher of the foregoing
representation and warranties.

NURPHOTO will distribute the photos on other channel for increase the possibilit
y to sell image
6.
NURPHOTO is free to transfer the right of publication of the photographs for edi
torial publications,
newspapers and magazines, including via the Internet, encyclopedias and works gr
eat
7.
50% of all net revenue received by NURPHOTO from the licensing of the Material w
ill be payable
to Photographer and PHOTOAGENCY will retain the other 50% of same. Photographer
will receive
the sales report every three months and Agency will pay Photograpehr on a quarte
rly bases. In the
event that no money has been collected in any given month, no statement will be
issued.
8.
This agreement is not an employment agreement between Photographer and Agency. P
hotographer
is acting as an independent contract or corporation.
9.
This agreement shall be binding upon Agency and Photographer, its heirs, executi
ves,
administrators, successors and assigns. This agreement constitute our entire und
erstanding and
supersedes any prior understanding or agreements, oral or written.
