CONTRACT

This CONTRACT is made as of the CONTRACT DATE between INMOTION HOSTING, Inc. a
California business, at 2801 Ocean Park Blvd, Suite #250, Santa Monica, CA 90405 and YOU
("Customer").
1. Term and Charges to Customer - Customer agrees to pay a one-time setup fee of SETUP FEE
detailed in the Account and Customer Information Form below. Customer agrees to pay a
subscription fee of SUBSCRIPTION FEE for services detailed in the Account and Customer
Information Form below. The term for this subscription is of the SUBSCRIPTION LENGTH found
below and commenced or commences on the date entered below. This agreement will automatically
renew in full for the same period at the end of this period, unless either party notifies the other party
in writing 30 days in advance of the termination and automatic renewal of this contract.
2. Payment - Customer grants INMOTION HOSTING, Inc permission to charge payments to
Customer's Credit Card on the payment due date for the charges listed above. INMOTION
HOSTING will assign the Customer's payment due date on the first invoice. Payment is due by that
date. A 10 USD late fee will be assessed 5 days after the invoice is due.
3. Termination - INMOTION HOSTING reserves the right to terminate this agreement without prior
notice if Customer defaults on payments, violates State or Federal Law, or violates INMOTION
HOSTING's Terms of Service. Termination for violation(s) gives INMOTION HOSTING full right
to retain above service fees.
4. Service - Customer understands and agrees that occasional temporary interruption of any Internet
Services may occur as normal events in the provision of the Internet Services. INMOTION
HOSTING will make every attempt to prevent such interruptions, but under no circumstances will
INMOTION HOSTING be held liable for any damages (financial or other) due to any interruptions.
In no event will INMOTION HOSTING be held liable to Customer or any other person for any
incidental, consequential, or punitive damages of any kind, including, without limitations, refund of
fees, loss of profits, loss of income, or cost of replacement services.
5. Support Services - Customer will receive free technical support for the product detailed in the
Account information below. At no point is INMOTION HOSTING required to support items
outside of the Hosting Product - this includes but is not limited to: site design, html, programming,
or graphics.
6. Terms of Service - Customer agrees to the Terms of Service. INMOTION HOSTING can modify
the Terms of Service at any time.
7. Limitation of Liability - INMOTION HOSTING shall not be liable for ANY loss, damage, liability,
claim or expense arising out of or in relation to this Contract. INMOTION HOSTING's entire
liability and the Customer's exclusive remedy shall be at INMOTION HOSTING's option to either
return the service fees paid or replacement of the connection services or products.
8. Software and Hardware - All software and hardware is the exclusive property of INMOTION
HOSTING or its vendors. The copy, use, or distribution is prohibited without the written consent of
INMOTION HOSTING or its vendors.
9. Legal - Waiver: The waiver or failure of either party to exercise any right provided in this Contract
shall not be deemed as a waiver of any further right under this Contract. No Assignment: Customer
shall not sell, transfer or assign this Contract without the prior written consent of INMOTION
HOSTING. Binding Contract: This contract shall benefit and be binding upon the parties to this
contract and their respective successors and assignees. Entire Contract: Contract represents the
complete Contract and understanding of the parties with respect to the subject matter herein. It
supersedes any other Contracts or understanding, written or oral. Notices: All notices must be sent
to InMotion Hosting Inc., 2801 Ocean Park Blvd, Suite 250, Santa Monica, CA 90405. Venue:
Venue for mediation, arbitration, or litigation between the parties arising under this contract shall be
in Los Angeles County, CA. Governing Law: Contract shall be interpreted and governed in all
respects at to interpretation, construction, performance, enforcement, or otherwise by the State of
California. Litigation Costs: If any legal proceeding is brought to enforce this Contract or any
provision of it or because of any default in any representation, covenant, indemnity, or provision of
it, the successful or prevailing party shall be paid all costs and expenses, including reasonable
attorney fees through all proceedings, trials, or appeals.

Both parties acknowledge that they understand this contract and agree to be bound to its terms. Both
parties additionally warrant that they have the company power and authority to execute and deliver this
Contract on behalf of the Customer.
