TERMS AND CONDITIONS

I. Monthly Retainer Services:

1. Scope This Contract shall include the following legal services:

Legal consultation;
Contract and legal opinion drafting;
Attendance to meetings and conferences (subject to availability);
Regular corporate housekeeping if a lawyer of the firm is appointed as
Corporate Secretary;
e. Representations before appropriate government offices;
f. Review of legal documents; and
g. Preparation and service of demand letters and correspondence.
Any other matter, case, corporate matter, and/or action shall be covered
by a separate contract taking into consideration this one.
2. Monthly Retainer Fee You shall be billed with a monthly Retainer
Fee of Five Thousand Six Hundred Pesos (Php5,600.00) inclusive of
12% Value-Added Taxes commencing upon the conformity of the company
and payable within five (5) days of the succeeding months.
II. Criminal Cases for Qualified Theft:
1. Scope This Contract shall cover cases before the two (2) criminal cases to
be filed before the Office of the City Prosecutor of Las Pias City only
involving your former employees. The firm shall prepare the necessary
pleadings, motions, and other similar documents, represent you, and perform
other similar acts necessary in this case. This shall cover only the preliminary
investigation stage before the Public Prosecutors Office, and any appeal or
other work shall be covered by a separate agreement taking into
consideration herein agreement.
2. Fees You shall be billed as follows which are inclusive of 12% ValueAdded Taxes:
a. Acceptance Fee is Eleven Thousand Two Hundred
Pesos (Php11,200.00).
b. Appearance Fee for every court attendance, and for any
similar occasion that will require us to step out of my office to
represent you herein:

i. Within Metro Manila Five Thousand Six Hundred

Pesos (Php5,600.00); and
ii. Outside Metro Manila Three Thousand Three
Hundred Sixty Pesos (Php3,360.00).
c. Documentation Fee is Three Thousand Three Hundred
Sixty Pesos (Php3,360.00).
d. Success Fee is waived.
III. Common Provisions
1. Expenses Transportation allowances (Php500.00 within Metro Manila, and
actual expense for out-of-town travels), filing fees, photocopying charges,
messengerial expenses, postage fees, and other incidental expenses shall be
for your account.
2. For out-of-town hearings and matters, a weeks notice is necessary in order to
confirm availability. Accommodations and transportation costs shall be for
your account.
3. Termination Either party may terminate this Contract with or without
cause upon service of written notice at least 30 days prior to the intended
date of termination without prejudice to acquired rights herein.
4. Any other work not included herein shall be covered by a separated
agreement.
