new terms and conditions. All newer versions and maintenance releases delivered to Licensee shall become part of the Licensed Program.
Licensor shall have no obligation to provide the technical support described in this Paragraph for any version of the Licensed Program that
is more than twelve (12) months old unless Licensee has executed a maintenance agreement and paid applicable fees (if any) in connection
with ongoing maintenance of such Licensed Program.
Audit Rights: Upon Licensors request, Licensee shall provide Licensor with a certificate of compliance verifying that Licensees use of the
Licensed Program and Documentation is in compliance with the terms and conditions of this License. Licensor may, at its expense, during
regular business hours and in a manner that will not unreasonably interfere with Licensees business activities, conduct an audit to verify
that Licensees use of the Licensed Program and Documentation complies with the terms and conditions of this License.
Warranty: Licensor warrants that the storage media on which the Licensed Program is delivered is free from physical defect. As the sole
and exclusive remedy for breach of the warranty provided in this Paragraph, Licensor will replace the defective media with a conforming
media without charge to Licensee. In order to be valid, all warranty claims must be made by Licensee, in writing not later than ninety (90)
days after delivery of the Licensed Program by Licensor to Licensee. LICENSOR PROVIDES THE LICENSED PROGRAM AS IS AND
PROVIDES NO OTHER WARRANTY EXPRESS, IMPLIED OR STATUTORY, RELATING TO THE SOFTWWARE AND MEDIA
EXCEPT AS DESCRIBED IN THIS PARAGRAPH. LICENSOR ALSO MAKES NO WARRANTIES WHATSOEVER REGARDING
ANY LICENSED PROGRAM AND/OR COMPONENTS OF THE LICENSED PROGRAM CREATED OR OWNED BY ANY THIRD
PARTY. THE FOREGOING WARRANTY IS IN LIEU OF ALL OTHER WARRANTIES EXPRESSED, IMPLIED OR STATUTORY
RELATING TO THE LICENSED PROGRAM AND THE STORAGE MEDIA, INCLUDING, BUT NOT LIMITED TO, IMPLIED
WARRANTIES OF FITNESS FOR A PARTICULAR PURPOSE, WARRANTIES OF MERCHANTABILITY AND WARRANTIES
AGAINST INFRINGEMENT. Any unauthorized use or modification of the Licensed Program by Licensee shall void any and all
warranties.
Infringement Actions: Licensee may not bring any infringement action against third parties based on its license rights to the Licensed
Program without Licensor's prior written consent. Licensee shall not challenge or assist any third party to challenge Licensors or
Licensors vendors intellectual property rights (other than patent rights) in the Licensed Program.

proprietary rights, shall not exceed the license fees paid by Licensor to such vendor in connection with Licensors licensing of the Licensed
Program to Licensee. Licensors third party vendors shall not be liable for any general or direct damages. IN NO EVENT SHALL
LICENSOR, ITS AFFILIATES OR ANY THIRD PARTY VENDOR OF LICENSOR BE LIABLE TO LICENSEE OR ANY
OTHER PERSON OR ENTITY FOR SPECIAL, INCIDENTAL, INDIRECT OR CONSEQUENTIAL DAMAGES
(INCLUDING, BUT NOT LIMITED TO, LOSS OF PROFITS, LOSS OF DATA OR LOSS OF USE DAMAGES) RELATED
TO OR ARISING OUT OF THE USE, DELIVERY, PERFORMANCE, MANUFACTURE, LICENSING, SUPPORT OR
MAINTENANCE OF THE LICENSED PROGRAM, EVEN IF LICENSOR OR SUCH VENDOR HAS BEEN ADVISED OF
THE POSSIBILITY OF SUCH DAMAGES OR LOSSES.
Indemnification by Licensee: Licensee shall indemnify and hold Licensor, its affiliated companies, and Licensors third party vendors,
and all of their officers, directors, shareholders, employees, agents, legal representatives, successors and assigns, harmless from any loss,
judgment, damage, cost, expense, claim or liability, as well as reasonable attorneys fees and litigation costs, related to or arising from (1)
Licensee's or any Users breach of this License, including without limitation Licensees confidentiality obligations, (2) Licensees use or
distribution of the Licensed Program other than as permitted by this License, or (3) Licensees violation of any U.S. or foreign law, rule or
regulation in connection with Licensees use of the Licensed Program.
Term and Termination: This License is intended to commence at the time of shipment of the Licensed Programs. Notwithstanding the
foregoing, this License will terminate, effective immediately (a) if Licensee breaches any provision of this License related to the limitations
of use of the Licensed Program or Documentation, and Licensee has not remedied this failure to the reasonable satisfaction of Licensor
within five (5) days after Licensor provides written notice to Licensee of same, (b) if Licensee breaches any other provision of this License
and fails to remedy such default to the reasonable satisfaction of Licensor within thirty (30) days after Licensor provides written notice to
Licensee of same, (c) if Licensee breaches its obligations of confidentiality under this License or any other agreement with Licensor and
Licensee has not immediately remedied the breach to the reasonable satisfaction of Licensor, (d) upon the filing of a voluntary petition in

provisions of this License, Licensor may have no adequate remedy in money or damages and, accordingly, will be entitled to seek injunctive
and other equitable relief for such breach in addition to and not in limitation of any other legal or equitable remedies to which it would
otherwise be entitled.

Governing Law/Jurisdiction: The validity, construction and performance of this Agreement and the transactions to which it relates
shall be governed by the laws of the Commonwealth of Pennsylvania, without regard to conflict of laws principles and excluding the
provisions of the United Nations Convention on Contracts for the International Sale of Goods, concluded at Vienna, on April 11th 1980, as
amended and as may be amended further from time to time. All actions and claims arising under this Agreement shall be subject to the
exclusive jurisdiction of the United States District Court for the Eastern District of Pennsylvania or the Court of Common Pleas in and for
Montgomery County, Pennsylvania, as Licensor may select. Licensee agrees that in any action brought by Licensor in either such court,
Licensee shall not challenge such action on jurisdictional grounds. Nothing herein shall be construed as limiting Licensor's right to
maintain an action, claim or legal proceeding, or to enforce any judgment, in a court of any jurisdiction in which Licensee or any assets of
Licensee may be located and Licensee hereby agrees to submit to the jurisdiction of such courts.
Complete Agreement: This License constitutes the entire understanding between the parties relating to the subject matter hereof. No
modification or amendment of same shall be effective unless in writing and signed by duly authorized representatives of both of the parties
hereto, or Licensor notifies Licensee of a modification or amendment and Licensee manifests its assent by continued use of the Licensed

representatives of the parties. If any provision of this License is adjudicated to be invalid or unenforceable by a court of competent
jurisdiction, such invalidity or unenforceability shall not affect any other provision of this License that can be given effect without the
invalid or unenforceable provision or application, and to this end, the provisions of this License shall be severable. No waiver or forbearance
by a party of any violations or non-performance by the other party of any of its obligations, contracts, or covenants hereunder shall be
deemed to be a waiver or forbearance of any subsequent violation or non-performance of the same or any other covenant, contract or
obligation. Licensee shall pay all sales, use, value added or other taxes, federal, state, foreign, local or otherwise, however designated, which
are levied or imposed by reason of the transaction contemplated by this License (with the exception of any income tax on Licensor). All
provisions relating to confidentiality, limitations of liability and warranties, indemnification, injunctive relief, governing law, and survival
shall survive termination of the license.
