HE SOFTWARE. BY USING THE SOFTWARE, YOU ARE AGREEING TO BE BOUND BY THE TERMS OF
THIS LICENSE. IF YOU ARE ACCESSING THE SOFTWARE ELECTRONICALLY, SIGNIFY YOUR AG
REEMENT TO BE BOUND BY THE TERMS OF THIS LICENSE BY CLICKING THE "AGREE/ACCEPT"
BUTTON. IF YOU DO NOT AGREE TO THE TERMS OF THIS LICENSE, DO NOT USE THE SOFTWAR
E AND (IF APPLICABLE) RETURN THE APOWERSOFT SOFTWARE TO THE PLACE WHERE YOU OBTA
INED IT FOR A REFUND OR, IF THE SOFTWARE WAS ACCESSED ELECTRONICALLY, CLICK "DIS
AGREE/DECLINE".
NOTE: IF YOU DO NOT HAVE A VALID LICENSE FOR THE SOFTWARE, YOU ARE NOT AUTHORIZE
D TO INSTALL, COPY OR OTHERWISE USE THE SOFTWARE EXCEPT AS NECESSARY FOR YOUR TR
IAL PERIOD.
1. Intellectual Property Rights
This Apowersoft software program (a.k.a. the "Software") and the accompanying wr
itten materials are copyrighted and are proprietary products of Apowersoft Ltd.
(a.k.a. "Apowersoft"). The Software is also protected by United States Copyrigh
t Law and international Treaty provisions. Trademarks shall be used in accordan
ce with accepted trademark practice, including identification of trademark owner
's name. Trademarks can only be used to identify printed output produced by the
Software. Such use of any trademark does not give you any rights of ownership
in that trademark. Except as stated above, this Agreement does not grant you an
y intellectual property rights in the Software.
2. General License Uses and Restrictions
This License allows you to install and use one copy of the the Software on a sin
gle computer at a time. This License does not allow the the Software to exist on
more than one computer at a time,and you may not make the the Software availabl
e over a network where it could be used by multiple computers at the same time.
You may make one copy of the the Software in machine-readable form for backup pu
rposes only; provided that the backup copy must include all copyright or other p
roprietary notices contained on the original.
Sharing the Software with other individuals, or allowing other individuals to vi
ew the contents of this Software, is in violation of this license. You may not p
rovide the Software for commericial uses, or to multiple users, unless you have
first purchased commercial license or multi-user license from Apowersoft.
3. Transfer.
You may not rent, lease, lend, redistribute or sublicense the Software. You may,
however, make a one-time permanent transfer of all of your license rights to th
e Software (in its original form as provided by Apowersoft) to another party, pr
ovided that: (a) the transfer must include all of the Software, including all it
s component parts, original media, printed materials and this License; (b) you d
o not retain any copies of the Software, full or partial, including copies store
d on a computer or other storage device; and (c) the party receiving the Softwar
e reads and agrees to accept the terms and conditions of this License. You may n
ot rent, lease, lend, redistribute, sublicense or transfer any Software that has
been modified or replaced under Section 2 above. NFR (Not for Resale) Copies: N
otwithstanding other sections of this License, the Software labeled or otherwise
provided to you on a promotional basis may only be used for demonstration, test
ing and evaluation purposes and may not be resold or transferred.
4. Termination.
This License is effective until terminated. Your rights under this License will
terminate automatically without notice from Apowersoft if you fail to comply wit
h any term(s) of this License. Upon the termination of this License, you shall c

ease all use of the Software and destroy all copies, full or partial, of the Sof
tware.
5. Disclaimer of Warranties
YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT USE OF THE SOFTWARE IS AT YOUR SOLE RIS
K AND THAT THE ENTIRE RISK AS TO SATISFACTORY QUALITY, PERFORMANCE, ACCURACY AND
EFFORT IS WITH YOU. EXCEPT FOR THE LIMITED WARRANTY ON MEDIA SET FORTH ABOVE AN
D TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SOFTWARE IS PROVIDED "A
S IS", WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND, AND APOWERSOFT AND APOW
ERSOFT'S LICENSORS (COLLECTIVELY REFERRED TO AS "APOWERSOFT" FOR THE PURPOSES OF
SECTIONS 6 AND 7) HEREBY DISCLAIM ALL WARRANTIES AND CONDITIONS WITH RESPECT TO
THE SOFTWARE, EITHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING, BUT NOT LIMITED
TO, THE IMPLIED WARRANTIES AND/OR CONDITIONS OF MERCHANTABILITY, OF SATISFACTORY
QUALITY, OF FITNESS FOR A PARTICULAR PURPOSE, OF ACCURACY, OF QUIET ENJOYMENT,
AND NON-INFRINGEMENT OF THIRD PARTY RIGHTS. APOWERSOFT DOES NOT WARRANT AGAINST
INTERFERENCE WITH YOUR ENJOYMENT OF THE SOFTWARE, THAT THE FUNCTIONS CONTAINED I
N THE SOFTWARE WILL MEET YOUR REQUIREMENTS, THAT THE OPERATION OF THE SOFTWARE W
ILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT DEFECTS IN THE SOFTWARE WILL BE CORR
ECTED. NO ORAL OR WRITTEN INFORMATION OR ADVICE GIVEN BY APOWERSOFT OR AN APOWER
SOFT AUTHORIZED REPRESENTATIVE SHALL CREATE A WARRANTY. SHOULD THE SOFTWARE PROV
E DEFECTIVE, YOU ASSUME THE ENTIRE COST OF ALL NECESSARY SERVICING, REPAIR OR CO
RRECTION. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES OR
LIMITATIONS ON APPLICABLE STATUTORY RIGHTS OF A CONSUMER, SO THE ABOVE EXCLUSIO
N AND LIMITATIONS MAY NOT APPLY TO YOU.
6. Limitation of Liability
TO THE EXTENT NOT PROHIBITED BY LAW, IN NO EVENT SHALL APOWERSOFT BE LIABLE FOR
PERSONAL INJURY, OR ANY INCIDENTAL, SPECIAL, INDIRECT OR CONSEQUENTIAL DAMAGES W
HATSOEVER, INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, LOSS OF D
ATA, BUSINESS INTERRUPTION OR ANY OTHER COMMERCIAL DAMAGES OR LOSSES, ARISING OU
T OF OR RELATED TO YOUR USE OR INABILITY TO USE THE SOFTWARE, HOWEVER CAUSED, RE
GARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT OR OTHERWISE) AND EVEN IF AP
OWERSOFT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. SOME JURISDICTIONS
DO NOT ALLOW THE LIMITATION OF LIABILITY FOR PERSONAL INJURY, OR OF INCIDENTAL
OR CONSEQUENTIAL DAMAGES, SO THIS LIMITATION MAY NOT APPLY TO YOU. The foregoing
limitations will apply even if the above stated remedy fails of its essential p
urpose.
7. Miscellaneous:
A. If you acquired the software in United States, this EULA is governed by the l
aws of the United States. If this product was acquired outside United States, th
en local laws may apply.
B. Apowersoft does not allow you to utilize the Software to do anything that vio
lates the local law. If you utilize the Software to do the illegal activity, the
consequent result shall be on your own responsibility. If you disagree with thi
s item, please don't install and/or use the Software.
C. If any provision of this Agreement shall be unlawful, void, or for any reason
unenforceable, then that provision shall be deemed severed from this Agreement
and shall not affect the validity or enforceability of the remaining provisions
of this Agreement. This Agreement is the complete statement of the agreement an
d supersedes any proposal or prior communications between us relating to the sub
ject matter of this Agreement.
D. LANGUAGE - The original English version of the terms may have been translated
into other languages. In the event of inconsistency or discrepancy between the
English.
