POWER OF ATTORNEY

TO ALL TO WHOM THESE PRESENTS SHALL COME, I,

AKHTAR HASAN RIZVI, Adult, Indian Inhabitant, Proprietor of M/s. Rizvi
Builders, Director of M/s. Rizvi Estates and Hotels Pvt. Ltd. & M/s. Rizvi Land
Developments Pvt. Ltd., President of Rizvi Education Society, having office at
Rizvi House, 1st Floor, Hill Road, Bandra, Mumbai 400 050, SEND
GREETINGS:

WHEREAS various Suits and Cases have been filed in the High Court
(both Original and Appellate side) at Bombay, City Civil Court at Bombay, City
Civil Court at Dindoshi, Borivali Division, Session Court, Small Causes Court at
Bombay and Small Causes Court at Bandra, Consumer Courts, Debt Recovery
Tribunals and Debt Recovery Appellate Tribunal and other Govt. Authorities for
the sake of brevity hereinafter referred to as the said Courts by and against M/s.
Rizvi Land Developments Pvt. Ltd. & Rizvi Estates & Hotels Pvt. Ltd. by me and
against me as Proprietor of M/s. Rizvi Builders and President of Rizvi Education
Society in respect of various properties in the city of Mumbai.

AND WHEREAS due to my preoccupation in day to day business affairs I

am not in a position to attend the matters and legal proceedings in respect of the
suits and cases on a regular basis and hence I am desirous of appointing Shri
Khalid Badshah as my true and lawful Attorney to do the following acts, deeds and
things.
NOW KNOW YE THESE PRESENTS WITNESSETH I, AKHTAR
HASAN RIZVI, Proprietor of M/s. Rizvi Builders, Director of M/s. Rizvi Estates
and Hotels Pvt. Ltd. & M/s. Rizvi Land Developments Pvt. Ltd., President of
Rizvi Education Society, do hereby appoint, nominate and constitute Mr. Khalid
Badshah, Indian Inhabitant, age 45 years, residing at C-5, AL-ABA, 83-Cyrus
Avenue Road, Agripada, Mumbai 400 008, hereinafter referred to as the said
Attorney to be my true and lawful Attorney to act for me and on my behalf to do
the following acts and deeds.
1.

To sign, declare, affirm, verify and file all Applications, Plaints, Counter-

claim, Written Statement, Statement of Claims, Appeals, Reviews, Affidavits,

Authorities, Vakalatnamas and writings of every description as may be necessary to

be signed, verified, executed, affirmed, presented or filed for the purpose of the
said Courts.

To attend, appear and represent me in the said Courts to defend and

pursue the suits and cases filed and/or that may be filed and give evidence in the
same, to accept service of any Notice, Application or other legal process taken out
or issued in the suits and cases and pursuant thereto to enter an appearance in the
said Courts and to defend or oppose the said Notices, Applications or other legal
proceedings and/or to do all other necessary acts, deeds and things which may be
necessary to attend, defend and pursue the suits and cases and for that purpose to
sign, declare, verify or affirm, Notices, Applications, Affidavits and other papers
and file the same in the said Courts.

To accompany the Bailiff or constable or any other authority of the said

Courts at Mumbai in the Suits to serve summons or other legal process or

proceedings and/or for execution of the decree and/or order and warrant of
possession or otherwise issued pursuant to such decree or order passed and/or that
may be passed in the Suits, Cases, Counter claims or in any other legal proceedings
therein.

To appoint and engage Advocate/s, Solicitor/s and Counsel to defend

the suits and cases from time to time and/or any of them to remove and to appoint
others in their place and to settle and pay them such fees and remuneration as the
said Attorney shall think fit or be advised and for that purpose to sign, execute and
deliver and file all necessary Vakalatnamas and Warrants to act.

5.

To prefer Appeals or make Revisions or Review Application or Writ

Petitions or other proceedings against or from the order or decree passed and/or
that may be passed in the Suits as the said Attorney may be required or may be

advised and to do all acts, deeds, matters and things necessary for instituting and
filing such appeals, revision, review and petitions and to sign and declare all
petitions, application, memo of appeal, memo of revision, review, affidavits, and all
other proceedings as may be required for the said purpose.

And for removing any doubt as to the true meaning of these presents or

as to the construction or application of the powers, authorities and discretion

hereby conferred, I do hereby declare that the powers, authorities and discretions
hereby conferred shall not in any case be deemed to be limited to the transactions
and matters as are herein expressly mentioned but the same shall in all cases extend
to any other matters or transactions not herein precisely mentioned or defined and
which may be exercised in the course of all acts done to secure my interest in the
suits and cases.

7.

GENERALLY, to do all other acts, deed, matters and things

whatsoever concerning the suits and cases in all respects as amply and effectually
to all intents and purposes as I could do in my own proper person.

8.

AND I DO HEREBY for myself agree to ratify and confirm all and

whatsoever my said Attorney shall or purport to do lawfully or cause to be done by

virtue of these presents.
