see it in budgets. Put the two together and you
have a real opportunity for errors.
With the growing use of complex costbased contracts, the potential for employee
fraud, and the increased risk of owner disputes
or claims arising from the recently enhanced
False Claims Act, the construction contract compliance audit (CCCA) has become an essential
tool for both contractors and project owners.
Think of it as a way to properly balance
your construction check book and eliminate
financial surprises.

Construction
Compliance

The preeminent idea to keep in mind about


CCCA is the contract controls all. It is the stone
in which virtually every aspect, feature and
obligation related to the project is cast.
While a contract may seem elementary,
weve often seen projects begin before the
scope of work is defined and agreed upon. The
contract reduces risk by assigning responsibilities and establishing expected rules and procedures during the project for critical tasks such
as scheduling, billing, change order processing,
subcontractor selection and project turnover.
Typically a construction contract compliance
audit is not conducted until near the end of a construction project, but I recommend performing an
audit at the beginning of the project, immediately
after the majority of subcontractors are boughtout, as well as at the end of the project.
Additionally, consider including a knowledgeable professional during contract development so terms can be set toward maximizing
benefits during the close-out phase. These
professionals can make sure a contract supports suitable billing practices, contains proper
accountability standards, provides for auditing
along the way and ensures the audit clause in a
construction contract is fair and balanced.

Finally, it is important to have a contract


compliance auditor involved from the inception of any project to begin with the proper
procedures in place for simple replication
throughout the course of the work.
The days of a one-size-fits-all construction contract no longer exist. AIA, AGC and
DBIA have developed contracts for a variety
of circumstances, and owners and contractors
have individually developed custom contract
forms. Further, there has been a boom in the
use of cost-based contracts with a guaranteed
maximum price, as well as straight cost-plus,
fast track and design-build contracts of a
seemingly infinite variety.
With this many types of contracts, the
chance of misunderstandings rises exponentially.

How Construction Close-Out Accounting Works


Construction contract compliance auditing
can encompass many different practices and
procedures. Typically, a solid benefits-oriented
CCCA should involve the following bare
minimum activities:
Craft a proper contract for all concerned,
especially one where the parties and
their respective obligations are clearly
delineated, establishes what is billable,
and defines set billing and subcontractor
bidding procedures.
Review subcontractor billing procedures and
billing documents utilized by subcontractors.
This establishes what is required in terms of
billing back-up documentation to limit potential
errors and ensure that all billing matters fall
squarely within the boundaries of the
governing contract.
Maintain a pay application roll forward
schedule to avoid carry-forward and
mathematical errors.
Investigate billing back-up documentation
to confirm its reliability and to make sure

and/or rebates due to the contractor to assure
they are properly represented and included
by subcontractors. Refunds and/or rebates
not properly accounted for can be considered
a false claim under the False Claim Act and
can have a devastating effect on the contrac-
tors entire business.
Proper construction contract compliance
practices and procedures can vary depending
on the type of project, the nature of the contract
and when in the process an audit is conducted,
but all should include these basic steps.

The Proof is in the Reporting


At the end of the compliance audit, the contractor or project owner should receive a final CCCA
written report detailing the process and what it
revealed. It may include:
A precise delineation of those areas of the
construction process that were addressed,
analyzed and tested.
A review of any issues related to the type of
contract that governs the project.
An executive summary for quick and easy
reference by decision makers.
A detailed discussion of procedures
and findings.
An analysis of whether or not there is any
money remaining and which party to the contract
is entitled to it. This is especially important with a
contract based on guaranteed maximum pricing.
For a contractor, these reports need to
be inclusive enough to protect their business.
A proper compliance audit report could be a
pre-emptive tool to minimize governmental and
other intrusions into contractor accounting practices, avoid potential criminal and civil liabilities,
and serve as an invaluable aid to the contractor
in anticipation of, or during, any litigation resulting from a given construction project.
For any organization, expansion is not just a
major step in cost, but a big bet on opportunity.
Taking that step with confidence, and a process
that can limit anxiety and financial surprises,
makes construction contract compliance auditing a tool that no one can afford to overlook.
