SECTION I
CHAPTER 1
SCOPE OF SUPPLY
I. MECHANICAL
Steam Turbine
Multistage, Nozzle governed, Horizontal spindle, two bearings, Impulse/Reaction type
Injection cum Condensing steam turbine (Non API) with:
- Hydraulically operated Stop & Emergency Valve with integral steam strainer for inlet
- Hydraulically operated Throttle/Governing valves for inlet steam flow control.
- In built exhaust hood spray system.
Gearbox

Double helical, single reduction Gearbox with hardened & ground gears. The design will be
with a service factor of 1.3 AGMA.

Couplings

Non-lubricated, steel laminated flexible type, high-speed coupling and low speed couplings

- Condensate piping from hot well through CEPs & ejector condensers upto re-circulation
valve with pipe supports, strainers, steam traps, drains, vents and isolation provisions.
- Dry air/vapor line within specified battery limit.
- GVC with complete piping for gland seal and leakage returns to GVC and GVC drains to
nearest drain point along with required steam traps and valves etc.

Lubrication System
Forced feed lubrication system, common for Turbine, Gearbox & Alternator comprising of:
-

Lube oil tank provided with cleaning doors and air breather
Main Oil Pump (MOP) driven by gearbox low speed shaft
A.C. Motor driven auxiliary oil pump (AOP) for flooding the bearings during start-up and
wired through a pressure switch for automatic cut-in and cut-out in the event of main oil
pump not supplying required quantity of oil.
A.C. Motor driven auxiliary Control oil pump (ACOP) (1 working + 1 standby) to supply oil
to Control system.
D. C. Motor driven Emergency lube Oil Pump (EOP) with auto cut-in & cut-out facility
Suction strainers for MOP, AOP & EOP.
Pressure relief valves for discharge of MOP, AOP, and lube oil line
Oil coolers (1 working + 1 standby) with on-line changeover arrangement
Oil filters (1 working + 1 standby) with on-line change-over arrangement
AC motor driven oil mist separator mounted on oil tank
Pressure regulating valve to achieve desired lube oil pressure
Set of complete lube oil piping within the limits of the turbine base frame and sufficient to
meet the requirement of the ordered equipment. (The MOC of lube oil pipe will be SS-304
ERW downstream the filter).
Note: JOP is not required for this rating turbine and hence not considered.

CHAPTER 10
RECOMMENDED STEAM PURITY
Technically pure steam is of such quality, that it does not cause deposits in the steam preheaters, in the fittings, heaters as well as in the turbine, which might require the intentional
shut-down of the boiler or some part of the equipment, for their cleaning, outside of the normal
equipment maintenance program.
The recommended or limit values of the purity of steam are stated in the following table. The
values are given in the maximal allowable day average concentrations. The concentration of the
chlorine ions may be max. 3 g.l-1.

The measurement of the electrical conductivity at 250 C ( S/cm-1) must be done


without the presence of operational chemical agents, e.g. ammonia or hydrazine,
which tends to increase the conductivity. This is why the measurement of
specific electrical conductivity has to be done after the flow of the sample
through the strong acidic H-katex, which is the filter that keeps all cations of the
chemical compounds. By the filtration chemically pure water can be obtained.

1. Tender Price
a) For Supply
Ex-works price for the supply of one number of 17.1 MW TG set is
INR 15, 500,000/- (Rupees Fifteen Crore and Fifty Lakhs Only).
This ex-works price is for delivery of packed material at our/our subsuppliers works and subjected to our scope of supply, Battery limits and
list of deviations furnished else-where in the bid.
b) For Supervision of erection and Commissioning
Lump sum price for the Supervision of Erection and Commissioning of
the offered one number TG is INR 15, 00, 000/- (Rupees Fifteen lakhs
only).
The above prices are for scope of supply of equipment and services as
described in Section-I and will be confined to the limits defined therein
read in conjunction with the exclusions attached hereto.
The above quoted prices shall be firm for completion of supplies and of
erection and commissioning within the schedules agreed in the Contract,
reckoned from the effective Date of the Contract. If either the supplies
or/and the erection and commissioning works are delayed beyond the
schedules agreed in the Contract, then the above quoted prices are subject
to escalation, the quantum of escalation to be mutually discussed and
agreed upon.
The above prices are on the basis that the Supplier gets all the inputs from
the Purchaser in time for carrying out E & C activity uninterruptedly, after
the first mobilization. In case if the Supplier has to de-mobilise the
erection resources for reasons attributable to the Purchaser, then remobilisation will be at extra cost, which will be discussed and mutually
agreed.

2. Terms of Delivery
The equipment shall be delivered on ex-works basis within 12 months
reckoned from the effective date of the Contract.
The equipment shall be delivered, erected and commissioned within 18
months reckoned from the effective date of the Contract provided all
inputs of the Purchaser are made available for carrying out uninterrupted
erection and commissioning work.
The effective date of the Contract is the date on which the first advance
payment is received by the Supplier, subsequent to the receipt of a
technically and commercially clear contract.
Above delivery, supervision of erection and commissioning schedules are
subject to the following:
(a) The Purchaser meets his obligations as provided in the contract.
(b) The Purchaser makes timely payments as per the Contract.
(c) Force Majeure conditions as detailed in the Contract.
3. Terms of Payments
a) For Supply
10% of the purchase order value shall be paid as advance along with LOI
or the purchase order.
10% of the purchase order value shall be paid within 7 days of submission
of GA drawing of Turbine, Gear Box, Alternator and standard PID.
10% of the Purchase order value within 7 days of submission of unpriced
purchase order copy for generator, gearbox and condenser.
10% of the Purchase order value 7 days before the start of assembly of
turbine
Balance 60% of the total purchase order value along with 100% taxes and
duties within 7 days of submission of proforma invoice on pro-rata basis
before dispatch.
The delivery schedules agreed upon are subject to the payments being received
as per the above schedule and as per the mutually agreed billing schedule.

b) For erection and Commissioning


20% of the purchase order value shall be paid as advance along with LOI
or the purchase order.
20% of the purchase order value shall be paid within 7 days from the date
of site mobilization.
60% of the purchase order value shall be paid along with 100% of
applicable taxes, etc within 7 days against completion of mutually agreed
milestone on prorata basis.

4. Validty
The above quoted prices are valid up to 30 days from the date of this quotation,
for your acceptance and placement of technically and commercially clear order
for the entire scope of supply and services covered in this tender, together with
the initial advance payment. Beyond this date these are subject to our
confirmation.
The prices quoted above are firm for completion of supply and erection and
commissioning,

In case the completion of supply or the commencement of the erection


work or the completion of the commissioning are delayed for reasons not
attributable to the Supplier, these prices have to be enhanced at a rate to be
agreed upon during the course of execution of the contract

1. Taxes and Duties
The above quoted prices are exclusive of excise duty, sales tax, service tax,
educational cess, octroi, entry tax, VAT, turn over Tax, works contract tax and
any other taxes, duties and levies which may be imposed by Govt.
Authorities from time to time. All such taxes, duties and levies and any kind
of cess etc shall be paid by the Purchaser at actual, as applicable at the time of
dispatch.
Any statutory variations, shall be payable by the Purchaser at actual, subject
to the condition that the Supplier has submitted documentary proof of such
statutory variations.
All Taxes, duties, levies, octroi, entry taxes, etc on free supplies, if any, shall
be reimbursed by the Purchaser at actual.

Concessional rate of sales tax wherever applicable will be considered and


charged. Purchaser shall provide valid declaration forms. In the absence of
declaration forms, the Purchaser will have to pay full sales tax.

2. Transportation, Unloading and Storage at site


The delivery of the equipment shall be taken at the Suppliers or their sub-suppliers
works.
All material will be despatched on freight to pay basis through the transport
arranged by the Purchaser for conveying the consignments to the Purchasers site.
Receiving of the consignment, unloading and proper storing, at site shall be
arranged by the Purchaser unless specified otherwise. Proper storage facilities, tools
and tackles, crane, lifting ropes, in-plant transportation etc. required for unloading
and storage shall be arranged by the Purchaser at his cost. If unloading is delayed,
demurrage charges etc. shall be borne and settled directly with the transporter by the
Purchaser.

However if inland freight is exceptionally arranged by the Supplier at the


request and on behalf of the Purchaser through the Suppliers regular
transporters, the Purchaser shall pay the costs prior to the dispatch of each
consignment.

3. Insurance
The Purchaser at his expense shall arrange, secure and maintain
comprehensive insurances covering inland transit, unloading, handling at
site, storage, erection & commissioning at site, including third party risks.
Copy of the Insurance policy taken shall be provided to supplier
The Purchaser shall place a separate Purchase Orders on the Supplier for
repair and / or replacement of the parts damaged or lost. If such a repair or
replacement is prolonged, consequential extension to the time for completion
together with extra costs shall be agreed to by the Purchaser.
4. Storage prior to despatch
The Purchaser shall issue final despatch instructions as per the contract.
However, if the Supplier does not receive the despatch instructions as
provided in the contract or if the Purchaser does not take delivery of the
goods within 7 days of notification of readiness of the goods for despatch, the
Supplier is entitled to move the goods into a storage at the risk and cost of the
Purchaser. In such an event the Purchaser shall pay Storage charges @ 2 % per
month or part thereof of the contract Price, until the goods are released for

despatch from the storage. Risk shall pass on to the Purchaser on storage, but
title shall only pass on in accordance with the provision of Title of Goods
clause.
5. Variation Orders

The Purchaser may instruct the Supplier in writing to perform variations or


carry out additional works. If so agreed by the Supplier in writing, such
additional works or performance of variations shall be carried out as though
these variations or additional works were incorporated in the Contract.
If such variations or additional works entail additional costs and/or time, the
same shall be intimated by the Supplier to the Purchaser. Accordingly the
Contract price and/or time schedule shall be amended by the Purchaser
before such variation orders and additional works are carried out by the
Supplier.
6. Purchasers Obligation:
a. The Purchaser shall provide to the Supplier, on time, all inputs such as but
not limited to any approval, instruction, technical and commercial data,
material, civil works, access to site or other thing which are not expressly
stated to be the Suppliers responsibility but are essential for the
performance of the Suppliers obligations
b. The Purchaser shall obtain and provide to the Supplier if required, any
authorization, license or approvals from any regulatory authority for
which the Supplier is not expressly made responsible in the contract.
c. The Purchaser shall handover to the Supplier completed STG building
including overhead crane by completing all civil works atleast 90 days
prior to the contractual commissioning date to the Supplier.
d. The Purchaser shall provide to the Supplier for his exclusive use under his
custody a secured and lockable storage space at site to store the Suppliers
own equipments, tools and tackles etc. and office rooms with all facilities
like electricity, water, telephone, fax, internet etc. for the Suppliers site
operations free of cost. The purchaser shall also provide a leveled
compacted open space to carry out pre-erection work.
e. The Purchaser shall provide free boarding and lodging facilities to the
Suppliers Engineers / Supervisors and space for labor colony.
f. The Purchaser shall obtain any necessary essentiality certificate / EPCG
license / invalidation letter, wherever relevant and shall give all
reasonable assistance to the Supplier in obtaining any work permit, visa or

similar document which the Supplier may require, at no cost to the


Supplier.
g. The Purchaser shall issue Form 5 in the name of Supplier / Suppliers
contractor for obtaining Labor license before start of Erection.
h. The Purchaser shall pay to the Supplier the sums due to the Supplier as
provided in the contract without any demur. If payment of any sum
payable under the contract is delayed, the Supplier shall be entitled to
receive, during the period of delay, interest on unpaid amount. The
interest shall be at the rate of 4% per annum above the average of base
lending rates of the Bangalore clearing banks from time to time. The
Supplier shall be entitled to interest without formal notice and without
prejudice to any other right or remedy. If the Purchaser fails to make any
payment as provided in this clause or elsewhere in the contract the
Supplier shall be entitled to stop work until the failure is remedied, by
giving 7 days notice to the Purchaser, in which event additional cost to the
Supplier occasioned by the stoppage and the subsequent resumption of
work shall be added to the contract price, and/or, to terminate the
contract by giving 30 days notice to the Purchaser. In addition, the
Purchaser shall grant an extension of time to the Supplier if the
Purchasers default delays performance of this contract.
The Purchaser shall make available all work fronts, facilities, required
manpower and other inputs like steam, water etc, to the Supplier for carrying
out uninterrupted erection and commissioning work. The Purchaser shall
make available steam at rated parameters at the Turbine inlet valve 21 days
prior to the scheduled commissioning date duly completing the steam
blowing.
7. Suppliers obligations
The Supplier shall design, manufacture (including associated purchases
and/or subcontracting) install and commission and conduct guarantee tests
with due care and diligence in accordance with the Contract.
The Supplier shall acquire in its name all permits, approvals and/or licenses
that are necessary for the performance of the Suppliers responsibility under
the Contract
The Supplier shall comply with all laws in force in the country where the
equipment are installed and shall indemnify the Purchaser against any and
all liabilities, damages, claims, fines and expenses arising or resulting from
the violation of such laws by the Supplier.
8. Inspection and Testing

The products manufactured at the Suppliers works are subject to careful


inspection and testing at the works, according to the Suppliers standard
inspection and testing practices. Only when the products pass through
successfully such inspection and tests, the products are kept ready for
dispatch. Suppliers standard testing practise includes MRT
(Mechanical Steam Run Test) of turbine at factory before dispatch.
In case the Purchaser indicates at the time of signing of the contract his desire
to attend any of these tests or any other additional tests if provided in the
contract, the Supplier shall notify the Purchaser 7 days in advance of
conducting these tests.
If the purchaser expresses his willngness to witness MRT, the
purchaser shall pay an additional cost of Rs. 6,00,000.00/- (INR Six
Lakhs Only).
In the event of any delay on the Purchasers part in attending such tests after
seven days notice from the Suppliers side, the Purchasers absence shall
constitute a Waiver and the tests will proceed in the Purchasers absence.
The certificates given by the Supplier shall be conclusive evidence of such
tests. All such tests will be deemed to have been approved by the purchaser.
Thereafter the products will be released for packing and forwarding.
Repetition of any of these tests is subject to the Suppliers confirmation and
will entail additional costs and time extension.
9. Warranty
The equipment supplied is warrantied for a period of twelve calendar months
from the date of commissioning of the equipment or eighteen calendar
months from the date of dispatch whichever occurs earlier. During this
warranty period should any defect be found in design, material or
workmanship in goods of our own manufacture, the Suppliers shall
promptly remove the defects and at its cost repair, replace or otherwise make
good at the Suppliers sole discretion. The Supplier shall not be responsible
for repair, replacement or making good of any defects or any damage to the
equipments arising out of or resulting from any of the following causes;
a. Improper movement of material, handling at site, installation,
commissioning, operation and maintenance not according to the Suppliers
advice by the Purchaser
b. Operation of the equipment outside the specifications provided in the
Contract
c. Normal wear and tear.

The Suppliers obligation shall not extend to failures caused by fair wear and
tear, designs and specifications and items which are outside the Suppliers
scope of supply (whether commented on by the Supplier or not), accidents,
misuse, neglect, or repairs or modifications to the goods which have been
made without the Suppliers approval and / or omissions / commissions
attributable to purchaser. The Suppliers obligation is subject to the Supplier
being given prompt notice by the Purchaser of the appearance of the defect
and a reasonable opportunity to investigate it.
Unless otherwise agreed in writing the Supplier shall have no liability for the
costs of dismantling, transportation, re-assembly and re-installation of any
goods affected under this warranty or undertaking or for the costs of
transportation. These costs shall be borne by the Purchaser or reimbursed to
the Supplier on presentation of its invoice.
The Suppliers liabilities and the Purchasers remedies in respect of defects in
the goods or services and any damage to the goods resulting there from
whether arising from breach of contract or warranty, negligence or otherwise
are solely and exclusively as stated in this Suppliers warranty clause, and the
Supplier shall have no liability of any kind for any such defects or damage
which appear after expiry of the warranty period described above.
Items, which are replaced during the warranty period shall become the
property of the Supplier and the Purchaser shall promptly return to the
Suppliers works, at his cost. The warranty for the replaced item shall expire
along with the contractual warranty period.
The Purchaser shall afford the Supplier access necessary access to the
equipment and the site to enable the Supplier to perform its obligations under
this clause without any cost to the Supplier.
10. Commissioning and Taking over
No sooner the charging of the Generator breaker with the available plant load
is demonstrated, commissioning is deemed to have been completed.
Thereafter, the Purchaser shall take over the plant for commercial operation
relieving the Supplier from the contractual obligation with respect to
commissioning
In the event the STG set is not commissioned due to reasons not attributable
to the Supplier, within 3 months from the date of last major dispatch (Turbine
or Generator), the STG set will be deemed to have been commissioned.
11. Performance Guarantee Tests

On completion of commissioning, Supplier shall mobilize its team and


intimate the readiness to carry out the performance test. Purchase shall make
available the steam parameters, load and other utilities, manpower as
required to carry out the test. The test shall be carried out for 4 hrs.
If the purchaser is not able to provide the necessary inputs required for
conducting guarantee test, the Supplier shall de-mobilise. Re-mobilisation of
the team to carry out performance test shall be at purchasers expenses.
In the event the performance test is not carried out due to reasons not
attributable to the Supplier, within 3 months from the date of commissioning,
the performance test shall deemed to be carried out and the Supplier shall be
relieved of its contractual liabilities.
12. Liquidated Damages (LD)
a) LD for Delay
LD for delay becomes applicable only after providing 2 months grace period
to the contractual delivery schedule or mutually agreed extensions thereof. If
the delivery is delayed beyond the above grace period from the contractual
delivery schedule or mutually agreed extensions thereof, for reasons solely
attributable to the Supplier and only if the Purchaser has suffered a proven
loss exclusively attributable to the delay, then the Supplier shall be liable to
pay as Liquidated Damages, and not as penalty, a sum calculated at the rate
of 0.5 % of ex-works price of the delayed portion of supply, for each week of
delay, or part thereof, up to a maximum limit of 5% of the ex-works price for
supply.
LD for delay in delivery can only be enforceable if the Purchaser has
provided in time all technical and commercial inputs as elaborated in the
contract.
LD for delay shall be applicable separately, unit-wise. LD is not applicable for
the spare parts if covered in the scope of delivery.
b) LD for Shortfall in Performance
If the guaranteed Gross Power Output at the generator terminals has not been
demonstrated by the Supplier as specified in the Contract, for reasons
attributable solely to the Supplier, then the Supplier shall be liable to pay as
Liquidated Damages, at the rate of 0.5 % of ex-works contract price, for every
1 % shortfall or part thereof in gross Power Output, up to maximum limit of 5
% of ex-works contract price.

If the guaranteed Specific steam consumption has not been demonstrated by


the Supplier as specified in the Contract, for reasons attributable solely to the
Supplier, then the Supplier shall be liable to pay as Liquidated Damages, at
the rate of 0.5 % of ex-works contract price, for every 1 % increase or part
thereof in specific steam consumption, up to maximum limit of 5 % of exworks contract price.
The guaranteed parameters are valid only for steady state conditions, at fully
open control valves, deposit free turbine blades, and a clean surface on the
cooling equipment, in accordance with the rules given in Purchaser
performance Test Procedure which is based on the ASME - PTC 6 code / DIN
1943.
The Supplier is not liable to pay any LD for shortfall in performance if any of
the required inputs from boiler and other auxiliaries to the TG set as specified
in Technical Specification have not been provided by the Purchaser or there is
no conclusive evidence that the shortfall is exclusively due to the deficiency
in the TG performance.
The combined maximum ceiling of LD on account of delay in delivery and
shortfall in performance will be 7.5 % of the contract ex-works supply price.
13. Limitation of Liability
The Supplier shall not be liable to the Purchaser, whether in contract, tort
(including but not limited to negligence), or otherwise, for any indirect or
consequential loss or damage, loss of use, loss of production, or loss of profits or
interest costs, loss of contracts, provided that this shall not apply to any
obligation of the Supplier to pay liquidated damages to the Purchaser.
14. Force Majeure
Definition of force majeure and effect on Delivery
If, despite all efforts and measures considered reasonable, either Party is prevented
from fulfilling his contractual obligations within the period agreed on, owing to a
reason beyond his control and which could not be foreseen when the Contract was
signed, the date by which the contractual obligations have been scheduled to be
fulfilled shall be postponed by a period equal in length to that during which the
reason concerned and its direct consequences demonstrably continue to affect.
Examples of force majeure
Strike with considerable effects, not brought about by either Party, fire, not resulting
from neglect as regards fire protection, war, unforeseen measures by authorities
independent of the Parties, mobilization or other unexpected call-ups of armed
forces of the corresponding magnitude, requisition, confiscation, currency
restrictions, export and import embargoes, riots and insurrection, breakdown of
public traffic, restrictions in the use of power or other corresponding event meeting
the above requirements, shall be considered force majeure.

Sub-suppliers
Delayed or defective delivery by a sub-supplier shall not be considered force
majeure unless the sub-supplier meets the requirements referred to above in respect
of force majeure.
Additional costs
Each Party shall meet the additional expenses incurred by him as a result of force
majeure. The Parties shall act in a manner aimed at causing as little loss as possible
to the other Party.
Obligation of notification
When force majeure occurs, the Party shall promptly notify the other Party in
writing. Such notification shall include information on the prevailing circumstances
and an estimate of the effects of the circumstances as regards the Partys possibilities
of meeting his contractual obligations, and information on the estimated period
within which he will be able to meet these obligations. The necessary evidence shall
be enclosed with the notification or be supplied within a reasonable period of time.
When the force majeure event referred to above ceases to exist, the Party shall notify
without delay the other Party in writing. The notification shall indicate the time by
which the contracting party concerned estimates to be able to meet his contractual
obligations.
If a Party neglects the notification to the other Party in accordance with the above or
fails to notify promptly, he shall compensate the losses suffered by the other Party
owing to such neglect or delay.

15. Suspension
If purchaser fail to make any payment when due or perform on time any of
purchasers other obligations under the contract, supplier shall be entitled to
suspend performance of the contract until the failure is remedied. The time
for performance of the contract by supplier shall be extended accordingly and
any cost (including financial costs, storage and demurrage or any other
charges) thereby incurred by supplier shall be paid by purchaser.
If performance of the contract is for any reason suspended by purchaser and
such suspension continues for more than 3 months, supplier shall be entitled
at any time during that continued suspension by not less than 30 days'
written notice to terminate the contract forthwith, in which event the
provisions of the Termination Clause shall apply.
In all cases where delay of failure in performance of the contract is due to
force majeure, then in such case supplier shall be entitled to an extension of
time for performance of this contract for a period corresponding to the period
of delay by or in consequence of the operation (in whole or in part).
16. Termination of Contract
Purchaser may at any time terminate the contract, in whole or in part by
giving written notice to supplier. The notice of termination shall specify that
termination is for Purchaser's convenience, the extent to which performance

of work under the contract is terminated, and the date upon which such
termination becomes effective.
Equipment, which is complete and ready for dispatch within 30 days after
supplier acknowledge receipt of the notice of termination shall be purchased
by Purchaser at the stated contract prices and subject to contract terms.
For the remaining goods purchaser may cancel the contract and pay to
supplier an agreed amount for partially completed goods and for materials
and parts previously procured by supplier for the purpose of the contract,
together with a reasonable allowance for overhead and profit and a
reasonable compensation, based on mutual discussions, for the financial
commitments made by supplier for fulfilling their obligations under this
contract including for example commitments already made with subsuppliers.
In the event of cancellation Purchaser shall not have any claim on designs and
drawings lying ready with supplier and will remain supplier's property.
17. Title of Goods
Title of the goods will automatically get transferred to purchaser as soon as
the goods leave suppliers works / suppliers sub-vendors works and the
documents evidencing the title and the dispatch are transferred in purchaser
favor. However suppliers obligations will cease only on the commissioning
of the equipment.
The components will get dispatched ex-works in convenient transportable
units as manufactured; depending upon the sequence, size, transportation
facilities etc., and each such component shall be treated as contracted goods
and payment for the goods made pro-rata.

The Title (legal and beneficial ownership) in the goods shall not pass to the
Purchaser until the Supplier has been paid the contract price in full. All risks
of loss or damage to the goods shall nevertheless continue to be with the
Purchaser on delivery.
18. Confidentiality
All designs, drawings and other technical information relating to the goods or
services, including the software provided by the Supplier under the contract,
and the intellectual property rights therein made or acquired by the Supplier
prior to or during the preparation of the proposal or tender or in the course of
work on the contract shall be and remain the property of the Supplier or the
original software providers.

Such technical information shall be kept confidential by the Purchaser, its


employees, agents or subcontractors, shall not be copied, modified or
disclosed by any of them and shall not be used by them for purposes other
than operation and maintenance of the goods. In the event that the Purchaser
does not accept the Suppliers tender it shall return to the Supplier all
technical information supplied by the Supplier together with any copies
made.
From the effective date of the contract, the Supplier grants to the Purchaser
the non-exclusive and non-transferable right to use the technical information,
including software, provided by the Supplier for the life of the goods
supplied under the contract for the purposes of their operation and
maintenance and for no other purpose.
19. Patent Indemnity
In the event of any claim being made or action being brought against the
Purchaser in respect of infringement of patents by the Supplier for goods
supplied to the Purchaser hereunder, the Purchaser shall notify the Supplier
immediately. The Supplier shall be at liberty, with the Purchasers assistance,
if required, but at the Suppliers own expense, to conduct all negotiations for
the settlement of the same or any litigation that may arise there from. The
Supplier shall indemnify the Purchaser in respect of any such claim. Such
indemnity shall not cover any use of the equipment or any part for the
purpose other than what is indicated in the Contract or to be reasonably
inferred from the Contract, any infringement resulting from the use of the
equipment or any part thereof, or any products produced thereby in
association or combination with any other equipment or material not
supplied by the supplier, pursuant to the Contract.
In a similar way, the Purchaser shall indemnify the Supplier and hold
harmless the Supplier from and against any claim being made or action being
brought against the Supplier in respect of infringement of patents by the
Purchaser arising out of or in connection with any design, data, drawing,
specification or other documents or materials provided or designed by or on
behalf of the Purchaser.
20. Arbitration
All disputes, or difference whatsoever arising between us and yourselves, in
connection with the contract, which cannot be settled through mutual
negotiations in good faith, either of us may give the other notice in writing of
the existence of such question, dispute or difference.

The same shall be settled in accordance with the provisions of Indian


Arbitration Act. The arbitrator shall be a person qualified to be appointed as
an arbitrator, under the provision. The award of the arbitrator shall be final
and binding on the parties and the persons claiming under them. Work under
the contract shall continue, so far, as may be reasonably practical, during the
arbitration proceedings, and no payments which may or shall become due
shall be withheld on account of such proceedings. The venue for arbitration
shall be Bangalore.
21. Jurisdiction
The contract shall in all respects be construed and be deemed to be governed
by the provisions of the Indian Contract Act and Sale of Goods Act as may be
in force at the time of execution of the contract. The contract shall be taken to
have been made in our office and all proceedings, which either party to the
contract might be entitled to make against the other under the contract shall
be instituted in a court at Bangalore

22. Bankruptcy
If the Purchaser becomes bankrupt or insolvent or makes any agreement with
its creditors compounding debts or if, being a limited company, any
proceedings are begun in respect of it applying for the appointment of a
liquidator, administrator, receiver or similar official for it or all or any
substantial part of its assets or seeking an order of relief against it as debtor or
under any law relating to insolvency, readjustment of debt, reorganization,
administration or liquidation, the Supplier may if legally possible at any time
by written notice terminate the contract forthwith, in which event the
provisions of termination clause shall apply.
