You may apply directly with the DTI office where your business will be located or
through the online facility, Web-Enabled Business Name Registration System
(WEBNRS) http://www.bnrs.dti.gov.ph.
1. Choose a Business Name
We suggest you think of at least three business names in case your first preference
cannot be registered.
If the name you have chosen is already similar or confusingly similar to a registered
business name, your next preferred business name will be considered.
2. What is an acceptable business name?
In determining whether a proposed business name for registration is acceptable, the
following factors shall be considered:
The root word or words of the name shall be considered. (e.g. "Island" instead
of "Islander")
The business name should describe the nature of the business.
It should be comprised solely of any or all of the following:

Letters, numerals, and punctuation marks that are part of the English
and Filipino language.

Bulk Sales Certificate, if the business name was obtained pursuant to Act
No.3952 as amended, (The Bulk Sales Law) and Affidavit executed by the
transferee-applicant
Deed of Sale, Assignment or Transfer, as the case may be, and a notarized
written waiver from further use of the same business name, in cases
contemplated
Declare that all information supplied in the application filed are true and correct
to the best of her/his belief and knowledge;
Declare that any false or misleading information supplied, or production of
materially false or misleading document to support the application shall be a
ground for the appropriate criminal, civil and/or administrative action against the
registrant; and
Change and/or cancel the registered business name in the event that there is
already another person, firm or entity lawfully using a similar or confusingly
similar business name
Signatories
The signatories of application for registration are as follows:
For individual applicants, the applicant himself; or by the person holding power
of attorney for the him if the application is under a special power of attorney

Deadline
All Individuals engaged in trade or business shall accomplish and file the application on or before the
commencement of business operation or from the day the first (1 st) transaction occurred or within thirty
(30) days from the application with LGU for issuance of Mayors Permit/Professional Tax Receipt
(PTR), which ever comes earlier.

In the case of registration of branch/facility type:

- Corporations, partnerships, joint ventures shall accomplish and file the application before the
commencement of business operation.
- In the case of corporations where documentary stamp tax (DST) is required to be paid within five (5)
days after the close of the month, BIR Registration shall be done on or before payment of DST due.

Sole Proprietorship
It is the most basic form of business that one can establish. It is defined as a business unit where the
manager is also the owner. Often, the owner and the business are synonymous with one other.
Barangay Clearance- You register with the specific barangay in the municipality or city where
you will operate your business. This office will issue the barangay clearance.
Registration with the Local Government - You register with the municipality or city where you
will set up your business. This office will issue the business permit. (Business Permit and
License, Locational Clearance, Barangay Micro Business Enterprise)
B.I.R. Registration- You register your business with this office and apply for your businesss
taxpayer identification number (TIN), registration of books of accounts, authority to print.
DOLE Registration- If you employ five workers or more, register your business with this
agency. The DOLE is asked to promote gainful employment opportunities, protect workers and
promote their welfare, develop human resources, and maintain industrial peace.
PHILHEALTH- The New National Health Insurance Act (RA 7875) as amended by RA 9241
requires all employers of the government and private sectors and their employees to register with
this agency. PhilHealth manages and administers the government health care system.
Manila Electric Co. (MERALCO)- Securing electric services connection for business in
MERALCO franchise area; local electric utility firms for companies locating in non-MERALCO
franchise area.
Maynilad Water Company and/or Manila Water Company for firms locating in Metro Manila
andLocal Water Utilities Administration (LWUA)for firms locating outside Metro Manila - Securing
Water services.
Philippine Long Distance Telephone Co. (PLDT), Bayantel, Digitel, Smart and Globelines Securing Telephone services connection.
Registration with other offices- You may be required to register with other agencies of
government, depending on your type of business. Some examples are the Bureau of Food and
Drug, Garment and Textile Board, Department of Tourism, Philippine National Police.
