MEMORANDUM OF AGREEMENT

KNOW ALL MEN BY THESE PRESENTS :

This Memorandum Of Agreement was executed and entered into by parties
on this 29th day of January 2015 by and between :
RICH GLOBAL INC., a 100% Filipino owned corporation duly registered
by Securities and Exchange Commission by the existing laws of the Republic
Of The Philippines with Registration Number CS200712993 dated August 17,
2007, hereinafter represented by its Managing Director, MR. FIDEL C.
DUMANHOG, hereinafter referred to as THE BUYER REPRESENTATIVE,
collectively called the THE FIRST PARTY
AND;
_______________________________, with postal notice address
at
________________________________________________ Philippines, represented by
__________________________, of legal age, married, Filipino Citizen, residing at
_________________________________, Philippines, herein referred to as the
FINDER/TRUSTEE, collectively called as the THE SECOND PARTY.
Both The First Party and Second Party are called THE PARTIES to this
Agreement.
WITNESSETH: THAT
WHEREAS, the BUYERs REPRESENTATIVE AND OR THE FIRST PARTY, was
mandated by the Buyer Entity to act on their behalf in locating HISTORICAL
ASSET BOXES which could be found in the Philippine Islands and one of those
are the BLACK COFFINS which the Second Party offered to Sell to the First
Party buying entity.
WHEREAS, the SELLERs REPRESENTATIVE AND OR THE SECOND PARTY was
mandated by the sellers /spotters/keepers group to act on their behalf for
the consolidation of Historical BLACK COFFINS that could be found in
Philippine Islands, particularly in Luzon, Visayas, and Mindanao Provinces.
That they are ready, willing and able to sell the Black Coffins to the First
Party buying entity.
WHEREAS, the SECOND PARTY covenants and affirms that he is the finder of
the commodity and that he is ready, willing and able to pinpoint with
accuracy the location same with the FIRST PARTY BUYING ENTITY.

WHEREAS, the FIRST PARTY is ready , willing and able to retrieve with the
presence of Buying Entity specialized training teams for the retrieval of the
hazardous historical boxes with safety and pre-cautioned.
NOW THEREFORE, for in consideration of the foregoing premises and mutual
understanding and covenants hereinafter contained, both parties hereto
agree to implement the recovery of BLACK COFFINS, subject to the
specification, terms and condition to wit;
