THE MANUALS INTENT

SCOPUL MANUALULUI

This Tenants Manual has been drafted and


incorporates the most accurate information
available to the LESSOR at the time of drafting. The
LESSOR reserves the unilateral right to issue
changes, amendments or updates to this manual
in the event that any details, specifications,
designs or other information in the manual
changes or becomes invalid or non-relevant. Any
such changes will be notified to all tenants in
writing.

Acest Manual al Chiriasului a fost ntocmit i include cele


mai exacte informaii de care dispune Locatorul la
momentul ntocmirii. Locatorul i rezerv dreptul
unilateral de a aduce modificri, amendamente i
actualizri la acest manual n cazul n care orice detalii,
specificaii, concepte sau alte informaii din manual se
modific sau devin nevalabile sau nerelevante. Orice
astfel de modificri vor fi notificate Chiriasilor n scris.

This Tenants Manual is intended as a guide for the


interior design works, presents the criteria
established by the LESSOR for the design and
execution of the leased areas as well as the
branding and advertising within the Shopping Mall.
The Manual also contains specifications,
regulations and procedures to be followed by the
Tenant, to ensure that the standard and aspect of
the Shopping Mall is maintained through
appropriate tenant shop designs, as well as
obtaining the LESSORs approval for the interior
design works, M&E and other specific equipment,
before the start of the construction works within
the leased premises.

Acest Manual al Chiriasului se dorete a fi un ghid pentru


lucrrile de design interior, prezint criteriile stabilite de
Locator pentru proiectarea i execuia suprafeelor
nchiriate, precum i pentru branding-ul i reclamele din
Centrul Comercial. Manualul conine, de asemenea,
specificaii, reglementri i proceduri care trebuie urmate
de ctre Chirias, pentru a asigura meninerea
standardului i a aspectului Centrului Comercial printr-o
proiectare adecvat a magazinelor Chiriasilor, precum i
pentru a obine aprobarea Locatorului pentru lucrrile de

Tenants must cooperate with the LESSOR


throughout the entire duration of the design
process, of the plan and design approval. M&E and

Tenants works; however these need to be

systems, both within the leased premises and the
general building systems and equipment. It is

Tenants works correspond to all contractual, legal

undertaken by the Tenant.

The obligation to obtain the LESSORs prior


approval for fit-out works and the conditions
stipulated within rests with the Tenant. Any works
to be performed by the Tenant require the
LESSORs prior written approval. The LESSOR has
the right to inspect the Tenants works during
execution in order to ensure that quality standards
and compliance with this manual and the
approved Tenants designs are being adhered to.

shoppers perspective.

In order to ensure these optimum conditions


within the Shopping Mall, Tenants receive this
Instruction Manual, in order to ensure superior
quality for the design of the leased areas. This
Manual encourages creativity and individual
approaches for the interior design.

The Project rests at 4426'32.75" N, 269'5.93"E in


the north-eastern part of Bucharest, Romania at
an average altitude of 78.30 m above sea level.
The land plot has an area of 50,885 m and is
located at 3-5 Pierre de Coubertin Street, District
2, Bucharest, (the land plot was previously the
Electroaparataj industrial platform).

The concept of the Shopping Centre includes a


Hypermarket and services shops gallery, a fashion
and associated retail units area, cinema and
entertainment area, food-courts, and parking

The above consultants will review and approve the


Tenant's Designs to assure compliance with the
Tenant's Manual. This review and approval doesnt
release the Tenant from its responsibility for the
Tenants design.
The LESSOR requires that the tenants co-operate
with the above mentioned Consultants through
the LESSORs Construction Project Manager to
assure compliance with building permits obtained
for the Shopping Mall, design codes and standards
and quality and interior design aspects of the
Shopping Mall.

The Tenant receives a copy of this manual which


contains a questionnaire aimed at establishing
preliminary requirements, in particular regarding
the floor area, the height of premises and M&E
requirements and participants in unit hand-over.

The Tenant Coordinator provides the completed


questionnaire to the LESSOR, Construction Project
Manager and LESSOR Consultants for review of
the Tenant Requirements detailed in the returned
questionnaire to ensure that the requirements are
acceptable and in accordance with the Concept
Design. The Tenant Coordinator will revert to the
Tenant with any comments or clarifications arising
out of the review of the Tenant requirements. The
Construction Project Manager and Cost Manager
shall evaluate any potential impact of
modifications resulting from the Tenants
requirements which have an impact on the
construction timetable or costs and report these
back to the LESSOR who shall address these issues
with the Tenant.

Testing of Services

The Tenant must secure written approval from the


Tenant Coordinator before testing all electrical,
plumbing, or fire protection systems. Such Testing
should be coordinated with the Base build
contractors through the Construction Project
Manager. Should any of these tests result in
damage to the LESSOR's property or to
neighboring premises, the Tenant is obliged to
carry out the necessary remedial work or to cover
all costs.

Work Areas

All construction materials, tools and equipment


used by the Tenant during the construction phase
must be stored within the confines of the leased
premises throughout the construction period. The
storage of materials must also comply with fire
and safety regulations and be sited in a location
agreed with the Construction Project Manager.

Hoarding

The Tenant may execute temporary hoarding or


boarding on the shop front line, without any offset
into the public area. The hoardings will remain in
place until the permanent storefront is installed.

If the Tenant fit out works are being executed at a


time when the Shopping Centre is trading then the
hoarding shall be designed to the LESSORs
approval. The Tenant shall erect this hoarding at
his own expense, design and construction of which
will be subject to the LESSORs approval as
aforesaid. Hoarding shall be of taped, sanded and
painted gypsum board construction to protect the
Mall and other premises from construction dust.
All Mall finishes have to be protected from
possible damage by the Tenants contractor.
Hoardings are to remain in place only until the
permanent storefront is installed. The LESSOR
reserves the right to place Shopping Centre logo
next to the tenants store name and opening
information.

Fire Protection

temporary fire-protection measures, i.e. fire
extinguishers, throughout the construction period,
as may be required by relevant legislation.

The LESSORs Tenant Coordinator convenes and


chairs tenant coordination meetings as and when
necessary. The Construction Project Manager shall
reserve the right to suspend Tenants contractors
works and remove operatives from site should
they fail to comply with any of the requirements or
instructions as detailed or referred to above and
the LESSOR shall not accept any liability for any
consequential costs / matters arising from such
removal. All such suspensions and removals will be
administered in writing by the Tenant Coordinator
to the Tenants contractors.

PHASE 6 - COMPLETION OF THE TENANTS WORKS

The Tenant shall inform the LESSORs Tenant


Coordinator of the completion date for all works of
all trades including diminishing works, a minimum
of four weeks prior to completion. The premises
must be accepted by the Fire Safety Inspector
before the Tenants security systems are activated.
Within 3 (three) days of completion of the
Tenants works, the Tenant will hand over 3
(three) sets in hard copy and one set in
reproducible form (in AutoCAD, MS Word, MS
Excel) of the following documents to the LESSORs
Tenant Coordinator, together with any other
document which may be required for Handover
under the Law

The LESSOR will obtain the required global permits


for the building. All individual operational or other
permits and registration of the Tenants business
premises / fiscal registration required for each of
the Tenant premises will be obtained by the
tenants.

The Tenant's Contractor is responsible for


scheduling Inspections by the Building, Fire, Health
and other inspectors as necessary and to comply
with their requirements, all codes and regulations.
In the event that Tenant's Contractor is notified of
any violations of codes by the jurisdiction
authorities or by the LESSOR, the Tenant's
Contractor shall correct such violations within 5
(five) calendar days of the notification.

required inspections for the issuance of an
Occupancy Permit. If any such governing agency
rejects the Tenant's work and thus prevents the
issuance of an Occupancy Permit, the Tenant shall
immediately take all necessary measures required
to correct the situation. Upon completion of these
measures, the Tenant shall arrange for any
necessary re-inspection by such government
agency.

respectiva agenie guvernamental.

Notwithstanding this, the Fire Permit for the


building (Romanian: Autorizatie de Siguranta la

performed prior to the opening date of the
Shopping Centre will be obtained by the LESSOR,
providing that the Tenant has designed and
executed his works in accordance with the fire

Any subsequent revision of the Fire Permit due to
Tenant modifications or late document
submissions by tenants will be the responsibility of
the Tenant.

CEILING - No works to be provided by the LESSOR.


The Tenant shall obtain the LESSORs approval for
the systems he proposes to suspend his ceiling
from the building within the leased area as well as
the loads imposed on the building by the ceiling
and any other equipment suspended from above.

HVAC - The LESSOR will supply connection points


for the hot/cold water loops and air
introduction/extraction at the limit of the leased
area. WSHP units and all other works within the
leased premises such as internal distribution
pipework and ductwork, dampers, connections,
etc. shall be supplied, installed and connected by
the Tenant and in accordance with the approved
design for the leased area.

HVAC (nclzire, Ventilaie, Climatizare) Locatorul

WATER, PLUMBING - Cold water connection and


sewage connection, WTHP drainage if and as
provided for in the lease agreement shall be
installed by the LESSOR as Capped Services at
the limit of the leased premises or at such other
point as may be agreed in the Tenants design
approval process. All other works such as internal
distribution pipework, connections, hot water
boilers, etc. will be performed by the Tenant in his
scope. The Tenant will install a water meter as per
the LESSORs specification which will be verified
and tested by the LESSOR for metering of
consumption.

ELECTRICAL AND COMMUNICATION - A single


electrical feeder cable to the leased premises with
capacity as agreed in the Lease Agreement and the
approved design shall be provided by the LESSOR.
All other works are within the Tenants scope. The
Tenant will install an electrical meter as per the
LESSORs specification which will be verified and
tested by the LESSOR and connected to the
LESSORs Building Management Systems for
metering of consumption.

other detail to be approved by the LESSOR in the
Tenants design submission in order to avoid
unsightly junctions at shop entrances and to
ensure a smooth junction between the flooring
