ThisistheProjectAraModuleDevelopersKitLicenseAgreement.

1.Introduction

1.1TheProjectAraModuleDevelopersKitislicensedtoYousubjecttothetermsandconditionsof
thisLicenseAgreement.ThisLicenseAgreementformsalegallybindingcontractbetweenYouand
Google.

1.2EndoskeletonmeansadevicethatprovidesaframeforphysicalattachmentofModulesand
facilitateselectricalandlogicalconnectionstoModules.

1.3"Google"meansGoogleInc.,aDelawarecorporationwithprincipalplaceofbusinessat1600
AmphitheatreParkway,MountainView,CA94043,UnitedStates,itssubsidiariesandaffiliated
companies.

1.4IntellectualPropertymeanspatents,patentapplications,inventions,designrights,utility
models,copyrights,semiconductortopographyrights,databaserights,tradesecrets,andallother
registeredorunregisteredintellectualorindustrialpropertyrightsinanypartoftheworld,including
knowhow,butexcludinganytrademarkrights.

1.5MDKmeanstheProjectAraModuleDevelopersKitmadeavailablebyGoogletoYouat
http://projectara.com/mdk/andincludesalldrawings,technicalspecifications,systemfiles,and
packagedAPIsdisclosedtherein,exceptthattheMDKdoesnotincludeanyexogenous
technologiesreferencedintheProjectAraModuleDevelopersKitbutdistributedunderseparate
termsandconditions.

1.6.ModuleInterfaceTechnologymeansthoseportionsofModulesthatimplementtheMDKor
arenecessaryforinteroperabilitywithanEndoskeletonbutonlytotheextentofsuchimplementing
ornecessaryportions.

1.7Modulemeansadeviceandanyrelatedsoftwareapplicationsthatcanbecoupledwithan
Endoskeleton.

1.8"ProjectAra"meansGooglesopenhardwareplatforminitiativeforcreatingmodular
smartphones.

1.9YouorYourmeansanindividualorlegalentity,itssubsidiariesoraffiliatedcompanies,
exercisingpermissionsgrantedbythisLicenseAgreement.

2.AcceptingthisLicenseAgreement

2.1InordertousetheMDK,YoumustfirstagreetothisLicenseAgreement.Youmaynotusethe
MDKifYoudonotacceptthisLicenseAgreement.

2.2ByclickingtoacceptorusingtheMDK,Youherebyagreetothetermsandconditionsofthis
LicenseAgreement.

2.3YoumaynotusetheMDKandmaynotaccepttheLicenseAgreementifYouareaperson
barredfromreceivingtheMDKunderthelawsoftheUnitedStatesorothercountriesincludingthe
countryinwhichYouareresidentorfromwhichYouusetheMDK.

2.4IfYouareagreeingtobeboundbythisLicenseAgreementonbehalfofYouremployerorother
entity,YourepresentandwarrantthatYouhavefulllegalauthoritytobindYouremployerorsuch

entitytothisLicenseAgreement.IfYoudonothavetherequisiteauthority,Youmaynotacceptthe
LicenseAgreementorusetheMDKonbehalfofYouremployerorotherentity.

3.License

3.1DevelopmentLicense

3.1.1SubjecttothetermsandconditionsofthisLicenseAgreement,GooglegrantstoYoualimited,
worldwide,royaltyfree,fullypaidup,revocable,nonassignable,nonsublicensableand
nonexclusivelicenseunderGooglesIntellectualPropertythatreadson(i)theMDK,(ii)Module
InterfaceTechnologyand(iii)combinationsthereof,forthesolepurposeofdevelopingandtesting
Modules.

3.1.2Fortheavoidanceofdoubt,thelicensegrantinSection3.1.1directlyabovedoesnotgrant
Youanyrightstosell,offertosellordistributetheMDKoranyModulesorModuleInterface
Technology.

3.2CommercialLicense

3.2.1ByusingtheMDKoranyportionthereofforanypurposeotherthanthatexpresslyauthorized
inSection3.1.1,Youagreetothetermsandconditionssetforthinthissection3.2inadditiontothe
othertermsandconditionsinthisLicenseAgreement.

3.2.2SubjecttothetermsandconditionsofthisLicenseAgreement,GooglegrantstoYoualimited,
worldwide,royaltyfree,fullypaidup,nonassignable,nonsublicensableandnonexclusivelicense
underGooglesIntellectualPropertythatreadson(i)theMDK,(ii)ModuleInterfaceTechnologyand
(iii)combinationsthereof,tomake,use,sell,offertosell,copy,display,import,distribute,modify
andcreatederivativeworksofModuleInterfaceTechnologyincompliancewiththeMDK.

3.2.3SubjecttothetermsandconditionsofthisLicenseAgreement,YougranttoGooglealimited,
worldwide,royaltyfree,fullypaidup,andnonexclusivelicenseunderYourIntellectualPropertythat
readson(i)theMDK,(ii)anEndoskeleton,(iii)ModuleInterfaceTechnology,and(iv)combinations
thereof,tomake,use,sell,offertosell,copy,display,import,distribute,modifyandcreatederivative
worksfromtheMDK,EndoskeletonsandModuleInterfaceTechnology.Theserightswillbe
sublicensablebyGoogletopartiessolelytomake,use,sell,offertosell,importordistributean
Endoskeleton.Fortheavoidanceofdoubt,thelicensegrantinthisSectiondoesnotincludeany
licensetoYourIntellectualPropertyinYourModulesthatisnotnecessaryforinteroperabilityof
YourModulewithanEndoskeletonorconformancewiththeMDK.

3.2.4Google,atitsdiscretion,maysuspenditslicensegranttoYouinthisSectionifYouinstituteor
threatentoinstituteaproceedingagainstGoogleallegingpatentinfringementrelatedtoProjectAra,
theMDK,anEndoskeleton,ModuleInterfaceTechnologyorModules.

3.2.5Youagreenottoenjoininanyway(including,withoutlimitation,seekingorobtainingany
ceaseanddesistorderoranyimportationexclusionorder,orthroughenforcementofa
courtorderedinjunction)anotherpartysmanufacture,use,sale,offerforsale,importationor
distributionofmodulesthatcomplywiththerequirementsoftheMDK.

3.3YouagreethatGoogleorthirdpartiesownalllegalright,titleandinterestinandtotheMDK,
includinganyIntellectualPropertyRightsthatsubsistintheMDK.

3.4YoumaynotusetheMDKforanypurposenotexpresslypermittedbythisLicenseAgreement.

3.5YouagreethatYouwillnottakeanyactionsthatmaycauseorresultinthefragmentationof

ProjectAra,includingbutnotlimitedtodistributing,participatinginthecreationof,orpromotingin
anywayanalternativeorcompetingdeveloperskitorplatformspecificationderivedfromtheMDK
orProjectAra.

3.6Use,reproductionanddistributionofcomponentsoftheMDKlicensedunderanopensource
softwarelicense(includingbutnotlimitedtoAndroid)aregovernedsolelybythetermsand
conditionsofthatopensourcesoftwarelicenseandnotthisLicenseAgreement.

3.7YouagreethattheformandnatureoftheMDKthatGoogleprovidesmaychangewithoutprior
noticetoYouandthatfutureversionsoftheMDKmaybeincompatiblewithModulesdevelopedon
previousversionsoftheMDK.YouagreethatGooglemaystop(permanentlyortemporarily)
providingtheMDK(oranyfeatureswithintheMDK)toYouortousersgenerallyatGoogle'ssole
discretion,withoutpriornoticetoYou.

3.8NothinginthisLicenseAgreementgivesYouarighttouseanyofGoogle'stradenames,
trademarks,servicemarks,logos,domainnames,orotherdistinctivebrandfeatures.

3.9YouagreethatYouwillnotremove,obscure,oralteranyproprietaryrightsnotices(including
copyrightandtrademarknotices)thatmaybeaffixedtoorcontainedwithintheMDK.

4.UseoftheMDKbyYou

4.1YouagreetousetheMDKonlyforpurposesthatarepermittedby(a)thisLicenseAgreement
and(b)anyapplicablelaw,regulationorgenerallyacceptedpracticesorguidelinesintherelevant
jurisdictions(includinganylawsregardingtheexportofdataorsoftwaretoandfromtheUnited
Statesorotherrelevantcountries).YouagreethatYouaresolelyresponsiblefor(andthatGoogle
hasnoresponsibilitytoYouortoanythirdpartyfor)ensuringthatyourModulescomplywithall
applicablelawsandregulations,includingregulatoryrequirementsoftheFederalCommunications
Commission,theFoodandDrugAdministration,theConsumerProductSafetyCommission,and
otherregulatoryagencies,asapplicabletoyourModules.UponwrittenrequestfromGoogle,You
agreetoprovideGooglewithdocumentationverifyingyourcompliancewithallapplicablelegaland
regulatoryrequirements,includinganyrelevantcertificationsandtestresults.

4.2YouagreethatifYouusetheMDKtodevelopModulesforendusers,Youwillprotectthe
privacyandlegalrightsofthoseusers.IftheusersprovideYouwithusernames,passwords,or
otherlogininformationorpersonalinformation,Youmustmaketheusersawarethattheinformation
willbeavailabletoYourModule,andYoumustprovidelegallyadequateprivacynoticeand
protectionforthoseusers.IfYourModulestorespersonalorsensitiveinformationprovidedby
users,itmustdososecurely.IftheuserprovidesYourModulewithGoogleAccountinformation,
Yourapplicationmayonlyusethatinformationtoaccesstheuser'sGoogleAccountwhen,andfor
thelimitedpurposesforwhich,theuserhasgivenYoupermissiontodoso.

4.3YouagreethatYouwillnotengageinanyactivitywiththeMDK,includingthedevelopmentor
distributionofaModule,thatinterfereswith,disrupts,damages,oraccessesinanunauthorized
mannertheservers,networks,orotherpropertiesorservicesofanythirdpartyincluding,butnot
limitedto,Googleoranymobilecommunicationscarrier.

4.4YouagreethatYouaresolelyresponsiblefor(andthatGooglehasnoresponsibilitytoYouorto
anythirdpartyfor)anydata,content,orresourcesthatYoucreate,transmitordisplaythrough
implementationoftheMDKoraModule,andfortheconsequencesofYouractions(includingany
lossordamagewhichGooglemaysuffer)bydoingso.

4.5YouagreethatYouaresolelyresponsiblefor(andthatGooglehasnoresponsibilitytoYouorto
anythirdpartyfor)anybreachofYourobligationsunderthisLicenseAgreement,anyapplicable

thirdpartycontractortermsandconditions,oranyapplicablelaworregulation,andforthe
consequences(includinganylossordamagewhichGoogleoranythirdpartymaysuffer)ofany
suchbreach.

5.PrivacyandInformation

5.1InordertocontinuallyinnovateandimprovetheMDK,Googlemaycollectcertainusage
statisticsincludingbutnotlimitedtoauniqueidentifier,associatedIPaddress,typeandversion
numberofthesoftware,typeandversionnumberofthehardware,andinformationonwhichtools
and/orservicesintheMDKarebeingusedandhowtheyarebeingused.Beforeanyofthis
informationiscollected,theMDKwillnotifyYouandseekYourconsent.IfYouwithholdconsent,
theinformationwillnotbecollected.

5.2ThedatacollectedisexaminedintheaggregatetoimprovetheMDKandismaintainedin
accordancewithGoogle'sPrivacyPolicy.

6.ThirdPartyResources

6.1IfYouusetheresourcesorapplicationsdevelopedbyathirdpartyorthataccessdata,content
orresourcesprovidedbyathirdparty,YouagreethatGoogleisnotresponsibleforthose
resources,applications,dataorcontent.YouunderstandthatalldataorcontentwhichYoumay
accessthroughsuchthirdpartyresourcesorapplicationsarethesoleresponsibilityoftheperson
fromwhichtheyoriginatedandthatGoogleisnotliableforanylossordamagethatYoumay
experienceasaresultoftheuseoraccessofanyofthosethirdpartyresources,applications,data,
content,orresources.

6.2Youshouldbeawaretheresources,applications,dataorcontentpresentedtoYouthrough
suchathirdpartyresourcemaybeprotectedbyintellectualpropertyrightswhichareownedbythe
providers(orbyotherpersonsorcompaniesontheirbehalf).Youmaynotmodify,rent,lease,loan,
sell,distributeorcreatederivativeworksbasedontheseresources,applications,dataorcontent
(eitherinwholeorinpart)unlessYouhavebeenspecificallygivenpermissiontodosobythe
relevantowners.

6.3YouacknowledgethatYouruseofsuchthirdpartyresource,application,dataorcontentmaybe
subjecttoseparatetermsandconditionsbetweenYouandtherelevantthirdparty.Inthatcase,this
LicenseAgreementdoesnotaffectYourlegalrelationshipwiththesethirdparties.

7.UsingAPIstoRetrieveDatafromGoogle

7.1IfYouuseanyAPItoretrievedatafromGoogle,Youacknowledgethatthedatamaybe
protectedbyintellectualpropertyrightswhichareownedbyGoogleorthosepartiesthatprovidethe
data(orbyotherpersonsorcompaniesontheirbehalf).YouruseofanysuchAPImaybesubject
toadditionaltermsandconditions.Youmaynotmodify,rent,lease,loan,sell,distributeorcreate
derivativeworksbasedonthisdata(eitherinwholeorinpart)unlessallowedbytherelevantterms
andconditions.

7.2IfYouuseanyAPItoretrieveauser'sdatafromGoogle,YouacknowledgeandagreethatYou
shallretrievedataonlywiththeuser'sexplicitconsentandonlywhen,andforthelimitedpurposes
forwhich,theuserhasgivenYoupermissiontodoso.

8.TerminatingthisLicenseAgreement

8.1ThisLicenseAgreementwillcontinuetoapplyuntilterminatedbyeitherYouorGoogleasset
outbelow.


8.2IfYouwanttoterminatethisLicenseAgreement,YoumaydosobyceasingYouruseofthe
MDKandcommercializationofYourModules.

8.3Googlemay,atanytime,terminatethisLicenseAgreementwithYouif:(A)Youhavebreached
anyprovisionofthisLicenseAgreement(B)Googleisrequiredtodosobylaw(C)thepartnerwith
whomGoogleofferedcertainpartsoftheMDKtoYouhasterminateditsrelationshipwithGoogleor
ceasedtooffercertainpartsoftheMDKtoYou(D)GoogledecidestonolongerprovidetheMDK
orcertainpartsoftheMDKtousersinthecountryinwhichYouareresidentorfromwhichYouuse
theMDK,ortheprovisionoftheMDKorcertainMDKservicestoYoubyGoogleis,inGoogle'ssole
discretion,nolongercommerciallyviableor(E)ifYouinstituteorthreatentoinstituteaproceeding
allegingpatentinfringementrelatedtoProjectAra,theMDK,ModuleInterfaceTechnologyor
Modules.

8.4UponterminationofthisLicenseAgreement,theprovisionsofSection3.2.3shallcontinuefora
periodof6monthsfromthedateofterminationandtheprovisionsofSections9,10,11,and13.7
shallcontinueindefinitely.

8.5Fortheavoidanceofdoubt,Youexpresslyunderstandandagreethatthelicensegrantin
Section3.1mayberevokedbyGoogleatanytimewithorwithoutnotice.

9.DISCLAIMEROFWARRANTIES

9.1YOUEXPRESSLYUNDERSTANDANDAGREETHATYOURUSEOFTHEMDKISATYOUR
SOLERISKANDTHATTHEMDKISPROVIDED"ASIS"AND"ASAVAILABLE"WITHOUT
WARRANTYOFANYKINDFROMGOOGLE.

9.2YOURUSEOFTHEMDKANDANYMATERIALDOWNLOADEDOROTHERWISE
OBTAINEDTHROUGHTHEUSEOFTHEMDKISATYOUROWNDISCRETIONANDRISKAND
YOUARESOLELYRESPONSIBLEFORANYDAMAGETOYOURCOMPUTERSYSTEMOR
OTHERDEVICEORLOSSOFDATATHATRESULTSFROMSUCHUSE.

9.3GOOGLEFURTHEREXPRESSLYDISCLAIMSALLWARRANTIESANDCONDITIONSOF
ANYKIND,WHETHEREXPRESSORIMPLIED,INCLUDING,BUTNOTLIMITEDTOTHE
IMPLIEDWARRANTIESANDCONDITIONSOFMERCHANTABILITY,FITNESSFORA
PARTICULARPURPOSEANDNONINFRINGEMENT.

10.LIMITATIONOFLIABILITY

YOUEXPRESSLYUNDERSTANDANDAGREETHATGOOGLE,ITSSUBSIDIARIESAND
AFFILIATES,ANDITSLICENSORSSHALLNOTBELIABLETOYOUUNDERANYTHEORYOF
LIABILITYFORANYDIRECT,INDIRECT,INCIDENTAL,SPECIAL,CONSEQUENTIALOR
EXEMPLARYDAMAGESTHATMAYBEINCURREDBYYOU,INCLUDINGANYLOSSOFDATA,
WHETHERORNOTGOOGLEORITSREPRESENTATIVESHAVEBEENADVISEDOFOR
SHOULDHAVEBEENAWAREOFTHEPOSSIBILITYOFANYSUCHLOSSESARISING.

YOUASSUMEALLRISKTHATYOURUSEOFTHEMDK(INCLUDINGBUTNOTLIMITEDTO
YOURORANYOTHERPARTYSMANUFACTURE,USE,SALE,OFFERFORSALEOR
DISTRIBUTIONOFYOURMODULES)CAUSESANYDAMAGE,HARM,INJURY,ORLOSS,
INCLUDINGWITHOUTLIMITATIONTOTHEENDUSERSOFYOURMODULEOROTHEREND
USERS.YOUAGREETHATYOUARESOLELYRESPONSIBLEFORANYDAMAGE,HARM,
INJURY,ORLOSSARISINGFROMORRELATINGTOYOURMODULEORYOURUSEOFTHE
MDK.INADDITIONTOTHEINDEMNIFICATIONOBLIGATIONINPARAGRAPH11,YOUAGREE
TODEFEND,INDEMNIFY,ANDHOLDGOOGLE(ANDITSAFFILIATESANDTHEIR

RESPECTIVEDIRECTORS,OFFICERS,EMPLOYEES,ANDAGENTS)HARMLESSFROMALL
CLAIMS,LIABILITIES,LOSSES,FEES,ANDCOSTSARISINGFROMORRELATINGTOANY
ACTUALORALLEGEDDEFECTINTHEDESIGN,MANUFACTURE,WARNINGS,OR
INSTRUCTIONSOFYOURMODULES,REGARDLESSOFWHETHERGOOGLEISALLEGED
TOHAVEBEENATFAULT.

THE PARTIES AGREE THAT THE COMMITMENT TO LICENSE, INDEMNIFICATION, AND

LIMITATION OF LIABILITY PROVISIONS ALLOCATE THE RISKS OF THE AGREEMENT
BETWEEN THE PARTIES, AND ARE AN ESSENTIAL ELEMENT OF THE BASIS OF THE
BARGAINBETWEENTHEPARTIES.

11.Indemnification

Inadditiontotheindemnificationprovisioninsection10,andtothemaximumextentpermittedby
law,Youagreetodefend,indemnifyandholdharmlessGoogle,itsaffiliatesandtheirrespective
directors,officers,employeesandagentsfromandagainstallclaims,actions,suitsorproceedings,
aswellasalllosses,harms,injuries,liabilities,damages,costsandexpenses(includingreasonable
attorneysfees)arisingoutoforrelatingto(a)YouruseoftheMDKincludingbutnotlimitedtoYour
oranyotherpartysmanufacture,use,sale,offerforsaleordistributionofYourModules,(b)any
ModuleYoudevelopontheMDKthatinfringesanycopyright,trademark,tradesecret,tradedress,
patentorotherintellectualpropertyrightofanypersonordefamesanypersonorviolatestheirrights
ofpublicityorprivacy,(c)anynoncompliancebyYouwiththisLicenseAgreement(d)anyfailureof
yourModulestocomplywithapplicablelawsorregulationsand(e)anyfailurebyyoutoobtainany
requiredregulatoryapprovalsorcertifications.

12.ChangestotheLicenseAgreement

GooglemaymakechangestotheLicenseAgreementasitdistributesnewversionsoftheMDK.
Whenthesechangesaremade,GooglewillmakeanewversionoftheLicenseAgreement
availableonthewebsitewheretheMDKismadeavailable.Ifyoudonotagreetothechangesto
theLicenseAgreement,youshoulddiscontinueyouruseoftheMDK.Yourcontinueduseofthe
MDKwillbedeemedacceptanceofthechangestotheLicenseAgreement.

13.GeneralLegalTermsandConditions

13.1ThisLicenseAgreementconstitutesthewholelegalagreementbetweenYouandGoogleand
governsYouruseoftheMDK(excludinganyserviceswhichGooglemayprovidetoYouundera
separatewrittenagreement),andcompletelyreplacesanyprioragreementsbetweenYouand
GoogleinrelationtotheMDK.

13.2YouagreethatifGoogledoesnotexerciseorenforceanylegalrightorremedywhichis
containedinthisLicenseAgreement(orwhichGooglehasthebenefitofunderanyapplicablelaw),
thiswillnotbetakentobeaformalwaiverofGoogle'srightsandthatthoserightsorremedieswill
stillbeavailabletoGoogle.

13.3Ifanycourtoflaw,havingthejurisdictiontodecideonthismatter,rulesthatanyprovisionof
thisLicenseAgreementisinvalid,thenthatprovisionwillberemovedfromthisLicenseAgreement
withoutaffectingtherestofthisLicenseAgreement.TheremainingprovisionsofthisLicense
Agreementwillcontinuetobevalidandenforceable.

13.4YouacknowledgeandagreethateachmemberofthegroupofcompaniesofwhichGoogleis
theparentshallbethirdpartybeneficiariestothisLicenseAgreementandthatsuchother
companiesshallbeentitledtodirectlyenforce,andrelyupon,anyprovisionofthisLicense
Agreementthatconfersabenefiton(orrightsinfavorof)them.Otherthanthis,nootherpersonor

companyshallbethirdpartybeneficiariestothisLicenseAgreement.

13.5EXPORTRESTRICTIONS.THEMDKISSUBJECTTOUNITEDSTATESEXPORTLAWS
ANDREGULATIONS.YOUMUSTCOMPLYWITHALLDOMESTICANDINTERNATIONAL
EXPORTLAWSANDREGULATIONSTHATAPPLYTOTHEMDK.THESELAWSINCLUDE
RESTRICTIONSONDESTINATIONS,ENDUSERSANDENDUSE.

13.6YoushallnotassignanypartofYourrightsordelegateanypartofYourobligationsunderthis
LicenseAgreementtoanyotherperson,unlessGoogleprovidesitspriorwrittenconsent.Inthe
eventGoogledivestsalloranypartofitsbusinessestoathirdparty(whetherdirectorindirectorby
sale,merger,consolidation,orotherwise)orreorganizesitsbusinesses,Googlemayassignor
duplicateitsrightsandobligationsunderthisLicenseAgreementsoastoretainthebenefitsofthis
LicenseAgreementforbothGoogleandsuchthirdparty.

13.7ThisLicenseAgreement,andYourrelationshipwithGoogleunderthisLicenseAgreement,
shallbegovernedbythelawsoftheStateofCaliforniawithoutregardtoitsconflictoflaws
provisions.YouandGoogleagreetosubmittotheexclusivejurisdictionofthecourtslocatedwithin
thecountyofSantaClara,CaliforniatoresolveanylegalmatterarisingfromthisLicense
Agreement.Notwithstandingthis,YouagreethatGoogleshallstillbeallowedtoapplyforinjunctive
remedies(oranequivalenttypeofurgentlegalrelief)inanyjurisdiction.
