APPROVES DRAWDOWN OF FUNDS REGARDING RAIL ACCESS GRANT
Councilman Dunleavy

offered the following resolution,

which was seconded by Councilman Wooten


WHEREAS, the Board of the Town of Riverhead Community Development
Agency (CDA) determined that in order to foster the continued economic development
at the site consistent with the comprehensive plans that the continued development of
infrastructure at the Calverton Enterprise Park was appropriate; and
WHEREAS, in furtherance of the development of infrastructure at the Calverton
Enterprise Park, the CDA sought to solicit funds to support the Town of Riverhead
Calverton Rail Access Rehabilitation Project to and from the Calverton Enterprise Park;
and
WHEREAS, the Empire State Development Corporation (ESD) announced the
availability of $35 million through the Downstate Regional Blueprint Fund to support
projects that help attract businesses, improve commerce and revitalize local economies;
and
WHEREAS, the Town of Riverhead CDA submitted an application for funding to
ESD for the Town of Riverhead Calverton Rail Access Rehabilitation project for
consideration; and
WHEREAS, the CDA and the Town of Riverhead did undertake and completed
all the improvements to the Calverton Rail Access Project and a balance of $244,868.64
of the grant funds from the ESD remain on hand and are eligible to others for additional
freight rail improvements within the EPCAL complex; and
WHEREAS, Eastern Wholesale Fence and Caps Realty Holdings, LLC, as the
owner of premises known as 301 Scott Drive, Calverton, New York 11933; which
premises is also known as SCTM #0600-135.20-1-6, expended funds to upgrade and
make additions to the rail on the premises; and
WHEREAS, the improvements made by Eastern Wholesale Fence and Caps
Realty Holdings, LLC further the goals and purposes of a workable freight rail access
system at EPCAL; and
WHEREAS, the Eastern Wholesale Fence and Caps Realty Holdings, LLC has
made a request that it be permitted to drawdown the remaining grant funds; and
WHEREAS, the CDA finds that allowing Eastern Wholesale Fence and Caps
Realty Holdings, LLC to drawdown the remaining grant funds will provide Eastern

Wholesale Fence and Caps Realty Holdings, LLC the proper support and incentive to
remain and/or make further investment to remain at EPCAL.
NOW THEREFORE BE IT RESOLVED, that Board of the Town of Riverhead
Community Development Agency, be and hereby, authorizes the drawdown of funds by
Eastern Wholesale Fence and C.A.P.S Realty, in the sum not to exceed $244,868.64;
and be it further
RESOLVED, that the Chairman of the CDA, and/or the CDA Director are
authorized to execute all documents which are determined to be required in order to
accomplish the intent and goals of this resolution; and
RESOLVED, that the Town Clerk is hereby authorized to forward a copy of this
resolution to John Zollo, Esq., 38 Southern Blvd. Suite 3, Nesconset, New York
11767as agent for Eastern Wholesale Fence and C.A.P.S Realty, the Office of the
Town Attorney; and the Community Development Department.

AWARDS BID FOR NYS LICENSED REAL ESTATE BROKER FOR MARKETING,
SALE OR LEASE OF PROPERTY AT EPCAL
Councilman Wooten offered the following resolution,
which was seconded by Councilman Gabrielsen
WHEREAS, the Town Clerk was authorized to publish and post a Notice to
Bidders for NYS Licensed Real Estate Broker for EPCAL Property; and
WHEREAS, pursuant to the Notice to Bidders, each proposal must comply with
the instructions contained therein and required that all proposals be submitted on or
before 11:00 am on April 28, 2015; and
WHEREAS, two (2) responses to the Notice to Bidders were received, opened
and read aloud on April 28, 2015 at 11:00 am in the Office of the Town Clerk, 200
Howell Avenue, Riverhead, NY 11901;
WHEREAS, a committee consisting of a representative of the Office of the
Supervisor, Financial Administrator, Community Development Agency and Office of the
Town Attorney did review the proposals, and, after serious consideration and
evaluation, the committee recommended that the Town Board award the bid to
Cushman & Wakefield of Long Island, Inc.
NOW THEREFORE BE IT RESOLVED, that the bid for NYS Real Estate Broker
for EPCAL Property be and is hereby awarded to Cushman & Wakefield of Long Island,
Inc.; and be it further
RESOLVED, that the Town Board be and does hereby authorize the Supervisor
to execute an agreement with Cushman & Wakefield of Long Island, Inc., subject to
review and recommendation by the Office of the Town Attorney; and be it further
RESOLVED, that the Town Clerk is hereby directed to forward a copy of this
resolution to Cushman & Wakefield of Long Island, Inc., Attn: David Pennetta, Managing
Broker, 401 Broad Hollow Road, Suite 301, Melville, NY 11747-4711; and be it
RESOLVED, that all Town Hall Departments may review and obtain a copy of
this resolution from the electronic storage device and, if needed, a certified copy of
same may be obtained from the Office of the Town Clerk.

TA 5-20-15 Awards Bid-Real Estate Broker for EPCAL-Cushman Wakefield

CONSULTANT/PROFESSIONAL SERVICES AGREEMENT


This Agreement made the ______ day of March, 2015 between the TOWN OF RIVERHEAD, a
municipal corporation organized and existing under the laws of New York, with its office located
at 200 Howell Avenue, Riverhead, New York 11901 (hereinafter referred to as the TOWN)
and Cushman & Wakefield of Long Island, Inc., a domestic business corporation licensed to do
business in the State of New York with a principal place of business at 401 Broad Hollow Road,
Suite 301, Melville, NY 11747 (hereinafter referred to as CONSULTANT).
WHEREAS, The Town Board of the Town of Riverhead seeks to market for lease or sale certain
Town owned real estate commonly known and described as EPCAL. While the Town could
undertake the leasing or the sale of such property directly the Town Board has determined that it
is in the best interests of the Town to obtain the services of a firm with expertise in developing
marketing and planning strategies, providing tactical advice for entering into new markets and
acquiring strategic business partners, and the ability to provide full brokerage services; and
WHEREAS, the Cushman & Wakefield is a specialized business development firm providing
high-level strategic and tactical advice to government agencies and companies in the marketing
real estate for lease and sale and has worked with global Fortune 500 companies seeking insight
and access to new markets and opportunities. In addition, the Cushman & Wakefield has staff
licensed and qualified to perform brokerage services. Based upon the above, the Cushman &
Wakefield has the required expertise to perform the tasks identified above.
In consideration of the mutual promises herein contained, the TOWN and CONSULTANT agree
as follows:
1. SCOPE OF SERVICES
During the term of this Agreement, CONSULTANT shall furnish the services set forth and
described in detail below for property commonly known and described as EPCAL-See Map of
EPCAL annexed hereto as Exhibit A.
Strategic planning for property leasing and/or sale
CONSULTANT shall undertake such research necessary to develop a strategy for marketing the
property and a plan to implement the marketing strategy. The CONSULTANT shall meet with
the Town Board and present the market strategy and plan prior to implementation. As part of the
strategic planning, CONSULTANT shall develop and create marketing brochures and print
advertisements.
Valuation
CONSULTANT shall provide advice regarding building and property rental and sale valuation,
including suitability for leasing and/or sale. CONSULTANT shall meet with staff members of
the Community Development Agency, Office of the Town Attorney, Assessors Office, Planning
Department, Engineering Department, and Building Department on real property deed

restrictions and/or conditions (e.g., easements, covenants, etc.), valuation, and zoning and land
use compliance matters.
Progress Reports & Presentation
CONSULTANT shall make every effort to ensure the TOWN is aware of active interests and
potential/contemplated transaction and the economic substance of any transactions contemplated
herein. CONSULTANT shall provide progress updates and maintain timely telephone and e-mail
contact with such staff as designated by the Town Board. Throughout the term of this agreement
and upon the request of the Town Board, the CONSULTANT shall make presentations at public
meetings.
Brokerage Services
The CONSULTANT shall handle all customary activities and services associated with real estate
transactions, including but not limited to, marketing of the property; solicitation of new
prospective commercial clients; receive, review and report all offers to lease or purchase
submitted by buyers or buyers agents to the TOWN; evaluate offer(s) and prepare a net sheet
on each for the TOWN for comparison purposes; counsel TOWN on offers with explanation of
the merits and weakness of each component of each offer; contact buyers agents to review
buyers qualifications and discuss offer; subject to direction and approval of the Town Board
negotiate all offers on TOWNs behalf; prepare and convey any and all counter offers,
acceptance or amendments to buyers agent; coordinate efforts with the Office of the Town
Attorney regarding preparation and delivery of lease or purchase contracts; advise TOWN in
handling additional offers to purchase submitted between contract and closing.
TOWN Reservation of Right to Negotiate for Sale/Lease to Identified Potential Buyers
The TOWN has actively marketed the EPCAL property, including issuance of request for
proposals, community development outreach, and various forms of solicitation. As a result of
such marketing the Town has met with several firms interested in the sale or lease of a site(s)
located within EPCAL. It is understood and agreed by and between TOWN and CONSULTANT
that the TOWN has actively marketed the EPCAL property to the individuals and entities listed
in Exhibit B and as such CONSULTANT shall not be entitled to any commission related to the
sale or lease of property to any individual or entity identified or affiliated with the individual or
entity identified on Exhibit B effective for a period of sixty days from the date this agreement
is fully executed by TOWN and CONSULTANT. Notwithstanding the sentence above, it is
understood and agreed by the between Town and Consultant, that CONSULTANT shall not be
entitled to any commission from any individual or entity, including and not limited to the
individual and/or entities identified on Exhibit B, for the following: (a) the Town shall retain
the exclusive right to market that portion of the EPCAL property deemed the Energy Park and
(b) the Town shall retain the right to market, sell or lease any portion of the EPCAL property
through the issuance of competitive bid and/or requests for proposals related to: LIPA/PSEG
incentives and/or competitive bids/requests for proposals related to renewable and alternative
energy resources, including generation and distribution of such energy resources, storage and

demand response resources and net metering (i.e. Town seeking proposals for net metering
project meeting PSEG criteria).
The details and means of performing the services referenced above shall be exclusively and
solely determined by CONSULTANT such that CONSULTANT may at its expense, employ
such assistants and outside contractors as CONSULTANT deems necessary to perform the
services.
CONSULTANT warrants that CONSULTANT shall conduct its business, as it relates to the
services set forth herein, in a commercially reasonable, professional, legal and ethical manner.
CONSULTANT shall represent the interests of the TOWN solely, and as such, CONSULTANT
may not act as, engage in representation of, negotiate on behalf of or collect any fee or
commission from potential buyers or lessees.
2. TERM OF AGREEMENT
It is agreed and understood by and between TOWN and CONSULTANT that this Agreement
shall be for an eighteen (18) month period and shall commence on the date the Agreement is
fully executed by the TOWN and CONSULTANT. It is further agreed and understood by and
between TOWN and CONSULTANT that for the first sixty days (60) of the eighteen (18) month
agreement, TOWN shall retain the right to negotiate and sell/lease to individuals/entities
identified in Exhibit B and effective for the term of this Agreement (18 months and any
extensions of the original term) the Town shall retain the right to market, sell and/or lease as set
forth in (a) and (b) of the section above.
3. PAYMENT
For the services described herein, CONSULTANT shall be compensated strictly on a
commission basis to be paid at the time of closing of title or signing of the lease, as the case may
be. The commission schedule is annexed hereto as Exhibit C. The commission identified in
Exhibit C (i.e. sale transaction at $5,000,000.00 shall be calculated at 5% commission) is
intended to reflect total commission and/or fees related to the sale of property and shall include
all commissions and fees related to sale, purchase, lease of property due CONSULTANT, and
any listing or purchaser/buyer agent. TOWN and CONSULTANT agree that CONSULTANT
shall state its proposed commission and such other commission(s) or fees as a percentage of the
lease/sale price fee as set forth above. CONSULTANT shall cooperate with all brokers, listing,
and buyer agents. CONSULTANT shall disclose all agreements related to commission to the
TOWN. TOWN and CONSULTANT agree that the TOWN shall not have any liability for any
expenses or costs incurred by CONSULTANT, or any employee or agent acting on behalf of
CONSULTANT or any such other listing or buyer agent as the case may be related to the tasks
identified in the Scope of Services.
4. PAYMENT POST-TERMINATION
For a period of eighteen months beyond the termination of this Agreement or upon termination
of CONSULTANTs services to TOWN, whichever shall last occur, CONSULTANT shall be
entitled to payment as per the terms and conditions of this Agreement if TOWN enters into a fee3

simple sale, leasehold agreement, or other any other real estate transaction with any entity
presented to the TOWN by CONSULTANT during the term of this Agreement and provided that
CONSULTANT has provided and diligently performed the services identified in the Scope of
Services set forth in this Agreement.
5. INDEPENDENT CONTRACTOR
The relationship between TOWN and CONSULTANT to this professional services agreement is
and shall be that of independent contractors. It is expressly agreed that nothing in this agreement
shall be construed to create or imply a partnership, joint venture, agency relationship or contract
of employment. Neither party shall have the authority to make any statement, representation,
commitment of any kind, or to take any action that shall be binding on the other party except as
authorized in writing by CONSULTANT or, if the TOWN is the party to be bound by such
statement or commitment, an act of the legislative body shall be required.
6. RIGHTS TO DOCUMENTS OR DATA
All information and data, regardless of form, generated in the performance of, or delivered under
this Agreement, as well as any information provided to CONSULTANT by TOWN, shall be and
remain the sole property of TOWN. CONSULTANT shall keep all such information and data in
confidence and not disclose or use it for any purpose other than in performing this Agreement,
except with TOWNs prior written approval. In the event that the legal right in any data and
information generated in the performance of this Agreement does not vest in TOWN by law,
CONSULTANT hereby agrees and assigns to TOWN such legal rights in all such data and
information. These obligations shall survive the termination of this Agreement.
7. PUBLICITY
CONSULTANT shall not, without the prior written consent of TOWN, in any manner advertise
or publish the fact that TOWN has entered into this Agreement with CONSULTANT.
CONSULTANT shall not, without the prior written consent of the TOWN, provide, release or
make available for inspection any documents, data, written material of any kind without the prior
written consent of at least three members of the TOWN board or by resolution of the TOWN
Board.
8. ASSIGNMENT AND SUBCONTRACTING
Performance of any part of this Agreement may not be subcontracted nor assigned without
resolution of the Town Board with the exception of co-brokerage services described above which
shall require approval of the Town Board by adoption of a resolution. CONSULTANT is
responsible for all work performed by any co-brokerage firm and ensures compliance with all
terms of this agreement and all state and federal laws.

9. TERMINATION
Except as otherwise set forth above, this Agreement may be terminated at any time by either
party upon ninety (90) days written notice to the other party. In the event of such termination,
and subject to the terms set forth in Section 5 of this Agreement, TOWN shall have no further
obligation to CONSULTANT except to make any payments which may have become due under
this Agreement.
10. RECORDS
CONSULTANT shall keep accurate records of the time spent in the performance of services
hereunder. The TOWN shall, until the expiration of seven years after final payment under this
Agreement, have access to and the right to examine any directly pertinent books, documents,
papers and records of CONSULTANT involving transactions related to this Agreement.
11. CHANGES
The TOWN, by resolution of the Town Board, within the general scope of this Agreement, may,
at any time by written notice to CONSULTANT, issue additional instructions, require additional
services or direct the omission of services covered by this Agreement. In such event, there will
be made an equitable adjustment in price and time of performance, but any claim for such an
adjustment must be made within 15 days of the receipt of such written notice. CONSULTANT
must obtain resolution of the Town Board for the additional compensation prior to
commencement of work regarding the change order. It is agreed and understood that no oral
agreement, conversation, or understanding between the CONSULTANT and the TOWN, its
departments, officers, agents and employees shall effect or modify any of the terms or
obligations of this Agreement or schedules annexed hereto and made a part hereof.
12. NOTICES
Any notice shall be considered as having been given: (i) to TOWN if mailed by certified mail,
postage prepaid to Town of Riverhead, Attention: Sean M. Walter, Town Supervisor with copy
of the Town Attorney, 200 Howell Avenue, Riverhead, New York 11901; or (ii) to
CONSULTANT if mailed by certified mail, postage prepaid to Cushman & Wakefield, 111
Eighth Avenue, New York, NY 10011, Attn: David Pennetta, Project Manager & Managing
Broker.
13. COMPLIANCE WITH LAWS
CONSULTANT and CONSULTANTs subcontractor shall comply with all applicable federal,
state and local laws and ordinances and regulations in the performance of its services under this
Agreement. CONSULTANT will notify TOWN immediately if CONSULTANTs work for
TOWN becomes the subject of a government audit or investigation. CONSULTANT will
promptly notify TOWN if CONSULTANT is indicted, suspended or debarred. CONSULTANT
represents that CONSULTANT has not been convicted of fraud of any other felony arising out
of a contract with any local, state or federal agency. In carrying out the work required hereunder,

CONSULTANT agrees not to make any communication to or appearance before any person in
the executive or legislative branches of the local, state or federal government for the purpose of
influencing or attempting to influence any such persons in connection with the award, extension,
continuation, renewal, amendment or modification of any contract or agreement.
CONSULTANT may perform professional or technical services that are rendered directly in the
preparation, submission or negotiation activities preceding award of a TOWN
agreement/contract or to meet requirements imposed by law as a condition for receiving the
award but only to the extent specifically detailed in the statement of work. Professional and
technical services are limited to advice and analysis directly applying CONSULTANTs
professional and technical discipline.
14. INSURANCE, INDEMNITY AND LIABILITY
CONSULTANT shall furnish the TOWN with Certificates of Insurance prior to commencement
of work. The required coverage shall not be less than the following:
Workers Compensation-Statutory Requirements
New York State Disability Coverage-Statutory Requirements
Comprehensive General Liability Insurance in a minimum amount of $2,000,000 and
$4,000,000.00 umbrella/excess coverage
Automobile Liability-$1,000,000
Errors and Omissions-$ 1,000,000
INSURANCE CERTIFICATES SHALL NAME THE TOWN OF RIVERHEAD AND TOWN
OF RIVERHEAD COMMUNITY DEVELOPMENT AGENGY, ITS OFFICERS,
EMPLOYEES, AND AGENTS AS CERTIFICATE HOLDERS AND SHALL STATE THAT
ALL COVERAGE SHALL BE PRIMARY TO ANY COVERAGE HELD BY THE TOWN
AND/OR COMMUNITY DEVELOPMENT AGENCY.
In addition, CONSULTANT hereby indemnifies and holds the TOWN, its departments, officers,
agents and employees, harmless against any and all claims, actions or demands against TOWN,
its departments, officers, agents and employees and against any and all damages, liabilities or
expenses, including counsel fees, arising out of the acts or omissions of CONSULTANT,
CONSULTANTs subcontractor or agents under this Agreement.
15. CONFLICT OF INTEREST
CONSULTANT hereby represents and covenants that neither it nor any of its employees or
representatives has or shall have, directly or indirectly, any agreement or arrangement with any
official, employee or representative of the TOWN of Riverhead which any such official,
employee, representative shall receive either directly or indirectly anything of value whether
monetary or otherwise as the result of or in connection with any actual or contemplated
application before any department of the TOWN, contract with the TOWN for sale of any

product or service. CONSULTANT further represents and covenants that neither it nor any of its
employees or representatives has offered or shall offer any gratuity to the TOWN, its officers,
employees, agents or representatives with a view toward obtaining this Agreement or securing
favorable treatment with respect thereto. CONSULTANT further represents that it will not
engage in any activity that presents a conflict of interest in light of its relationship with TOWN.
16. DISCLOSURE
The TOWN shall have the right, in its discretion, to disclose the terms and conditions of this
Agreement (as it may be amended from time to time), including but not limited to amounts paid
pursuant hereto, to agencies of the local, state and federal government.
17. DISPUTES
Except as to specific provisions regarding termination of this agreement stated above, if
CONSULTANT fails to perform any of its obligations hereunder in accordance with the terms
hereof, then after reasonable notice to CONSULTANT not to exceed thirty (30) days, and an
opportunity for CONSULTANT to cure such failure (except in case of emergency), the TOWN
may (but shall not be obligated to) cure such failure at the expense of the CONSULTANT, and
the amount incurred by the TOWN on demand. Notwithstanding the above, any dispute arising
under this Agreement which is not settled by Agreement of the parties may be settled by
appropriate legal proceedings. Pending any decision, appeal or judgment in such proceedings or
the settlement of any dispute arising under this Agreement, CONSULTANT shall proceed
diligently with the performance of this Agreement in accordance with the decision of TOWN.

COST & PAYMENT SCHEDULE
THE CONSULTANT WILL BE COMPENSATED STRICTLY ON A COMMISSION BASIS TO BE PAID AT
THE TIME OF CLOSING OF TITLE. THE CONSULTANT SHALL STATE ITS PROPOSED COMMISSION
AS A PERCENTAGE OF THE SALE PRICE OR LEASE PRICE.

SCHEDULE OF COMMISSIONS FOR MEDICAL & OFFICE LEASES


Rates: Seven percent (7%) of the average annual rental for the first year up to and including the
third year of the lease term, plus three percent (3%) of the average annual rental rates for the
fourth year through the remaining term; provided, however, if an outside broker procures the
tenant, Landlord shall pay C&W one and one-half (I lA) times the commission computed and
payable in accordance with this Schedule, out of which C&W will pay to such other broker one
full commission and retain the balance as C&Ws compensation. In no event shall C&W be liable
for the failure to obtain any such outside broker's agreement to accept, as its compensation, one
full commission computed and payable in accordance with the terms hereof.

SCHEDULE OF COMMISSION FOR SALES
Rate: For each sale transaction the first $5,000,000 shall be calculated at five percent (5%) of the
sale price, the next $5,000,000 shall be calculated at four percent (4%) of the sale price, the
following $ 10,000,000 shall be calculated at three-and-one-half percent (3%) of the sale price
and, for any amount above twenty million ($20 mil), the commission shall be calculated at three
percent (2.5%) of the sale price. If an outside broker procures the purchaser, C&W will pay to
such other broker a portion of the above commission and retain the balance as its compensation.
EXISTING IDENTIFIED POTENTIAL BUYERS
C&W will recognize prior marketing efforts with respect to prospects listed in Exhibit "B", marketing
efforts related to the Towns Energy Park and Towns marketing efforts related to LIPA/PSEG
incentives/requests for proposals from the Town of Riverhead. C&W agrees that CONSULTANT shall
not be entitled to any commissions (a) related to the sale or lease of property to any individual or
entity the Town within that portion of the EPCAL property deemed the Energy Park and (b) the
Town shall retain the right to market, sell or lease any portion of the EPCAL property through the
issuance of competitive bid and/or requests for proposals related to: LIPA/PSEG incentives and/or
competitive bids/requests for proposals related to renewable and alternative energy resources,
including generation and distribution of such energy resources, storage and demand response
resources and net metering (i.e. Town seeking proposals for net metering project meeting PSEG
criteria). C&W agrees that CONSULTANT shall not be entitled to any commissions related to the sale
or lease of property to any individual or entity identified on Exhibit "B" for a period of 60 days and if a
transaction is consummated with any prospect listed on Exhibit "B" after 60 days, CONSULTANT
shall be compensated in accordance with the following Fee Schedule:
61 -120 days: CONSULTANT shall be entitled to one-third of total compensation as set forth
in Cost & Payment Schedule.
121-160 days: CONSULTANT shall be entitled to two-thirds of total compensation as set
forth in Cost & Payment Schedule.
After 160 days: CONSULTANT shall be entitled to the full compensation for any transaction
in Cost & Payment Schedule.

AWARDS BID FOR ANNUAL CONSTRUCTION CONTRACT
Councilman Gabrielsen offered the following resolution,
which was seconded by Councilwoman Giglio
WHEREAS, the Town Clerk was authorized to publish and post a Notice to
Bidders for the Annual Construction Contract, Riverhead, New York; and
WHEREAS, eight (8) bids were received, opened and read aloud on April 24,
2015 at 11:00 in the Office of the Town Clerk, 200 Howell Avenue, Riverhead, New
York.
NOW, THEREFORE, BE IT RESOLVED, that the bid for the Annual Construction

Sealed bids for the purchase of a Used 1998 Oshkosh Chassis Mounted
Snow Blower or Equal for the use of the Riverhead Highway Department will be
received by the Town Clerk of the Town of Riverhead at the Town Hall, 200 Howell
Avenue, Riverhead, New York 11901 until 11:00 A.M. on June 9, 2015.
Instructions for bidders, specifications and forms may be obtained at the
office of the Town Clerk at the Town Hall Monday through Friday between the
hours of 8:30 A.M. and 4:30 P.M. or by visiting the Town of Riverhead website at
www.townofriverheadny.gov, click on Bid Requests.
All bids will be submitted on the bid form provided. Any and all exceptions
to the specifications will be listed on a separate sheet of paper bearing the
designation Exceptions to the Specifications, and attached to the bid form.
The Town Board reserves the right and responsibility to reject any or all

WHEREAS, a Call-In Crossing Guard is needed in the Riverhead Town Police
Department to cover shifts for part-time Crossing Guards who are unable to report for
duty; and
WHEREAS, pending the result of a successful background check, a
recommendation of a suitable candidate has been made by the supervising Police
Lieutenant and the Personnel Officer.
NOW, THEREFORE, BE IT RESOLVED, that effective May 26, 2015, this Town
Board hereby appoints John Kleppe to the position of part-time Crossing Guard at the

(Expanded In-home Services for the Elderly Program) which is funded by the New York
State Office for the Aging and operated locally by the Riverhead Town Seniors
Programs; and
WHEREAS, the positions was duly posted, Job Postings #9 and 10, duly
advertised, interviews were conducted; and
WHEREAS, pursuant to successfully completed background investigations,
recommendations of suitable candidates has been made by the Personnel Committee.
NOW, THEREFORE, BE IT RESOLVED, that effective May 26, 2015 this Town
Board hereby appoints Elizabeth Jean Sutton and Yolanda Thompson to the positions

RECREATION PROGRAM COORDINATOR
Councilman Gabrielsen offered the following resolution,
which was seconded by Councilwoman Giglio
WHEREAS, due to the resignation of a Recreation Program Planner, a vacancy
exists in the Recreation Department for an employee to assist in planning and
budgeting for recreational events and programs; and
WHEREAS, the title, Assistant Recreation Program Coordinator, has been
identified by Recreation Superintendent Ray Coyne as suitable to fill the needs of his
department; and
WHEREAS, in accordance with the CSEA contract, this position was duly posted
(Job Posting #12), and as no current list of Certified Eligibles for the title of Assistant
Recreation Program Coordinator exists, the Suffolk County Department of Civil Service
has issued approval to fill the position on a provisional basis until such a time when a
Certified List of Eligibles for the title of Assistant Recreation Program Coordinator is
issued; and
WHEREAS, Assistant Recreation Leader Ashley King meets the qualifications
necessary to hold the title of Assistant Recreation Program Coordinator and a
recommendation has been made by Superintendent Ray Coyne to appoint her to same.
NOW, THEREFORE, BE IT RESOLVED, that effective May 18, 2015 the Town
Board hereby ratifies the provisional appointment of Ashley King to the title of Assistant
Recreation Program Coordinator as found in Group 3, Step 5A of the Administrative
Salary Schedule; and
BE IT FURTHER RESOLVED that all Town Hall Departments may review and

CHANGES THE STATUS OF PART-TIME POLICE OFFICERS
Councilwoman Giglio offered the following resolution,
which was seconded by Councilman Dunleavy
WHEREAS, Civil Service Rules and Regulations allow for the employment of
Seasonal Police Officers to meet extraordinary or peak demands for Police services
during the summer season; and
WHEREAS, salary earned by such Seasonal Police Officers is not included in
computing the maximum allowable earnings as a part-time employee as per Civil Service
Rules and Regulations, thus allowing said Seasonal Police Officers to be employed for
more hours during peak demand.
NOW, THEREFORE, BE IT RESOLVED, that effective for the period of May 20,
2015 through September 15, 2015 this Town Board hereby changes the status of the
following Part-Time Police Officers to Seasonal Police Officers at no change to their
hourly rate of pay:
Kaley Castantine, Ryan Figueroa, Christian Hickey, Eduardo Nava, Christopher
Pendzick, and Patrick Sheridan.
RESOLVED, that the Town Clerk is hereby directed to forward a copy of this
resolution to the Chief of Police, the Personnel Officer and the Financial Administrator.

(based on experience)

*Summer Rec Aide/Summer Rec Aide II with current CPR certification (approved by Dept. of
Health for Camp) will be paid an additional $.25 per hour.

**Summer Rec Aide II must possess valid teaching certificate.


+Salary increase will be determined by reaching a minimum level of hours worked (by category)
combined with a positive evaluation. Can jump (2) levels (maximum) with an outstanding
evaluation.
Each level beyond level VII will increase by 3%.

WHEREAS, the 2012-2015 contract between the Town of Riverhead and the
PBA sets forth applicable terms and conditions about, among other things, recall pay
benefits for its members, at Article VI (Recall and Standby); and
WHEREAS, a dispute has arisen with regard to whether an employee who
volunteers to work overtime should be paid recall pay; and
WHEREAS, the parties have reached an agreement resolving this dispute and
wish to memorialize it in an Agreement.
NOW THEREFORE BE IT RESOLVED, that the Town Board of the Town of
Riverhead hereby approves a stipulation of agreement with the Riverhead PBA and
authorizes the Town Supervisor to execute same with his signature; and be it further
RESOLVED, that the Town Clerk is hereby authorized to forward a copy of this
resolution to the PBA President, Dixon Palmer, the Personnel Director and the Financial
Administrator; and be it further

NOTICE OF ADOPTION
PLEASE TAKE NOTICE, that the Town Board of the Town of Riverhead
adopted a local law for the addition of a new Chapter 2 entitled Agricultural Advisory
Committee to the Riverhead Town Code at its regular meeting held on May 20, 2015.
Be it enacted by the Town Board of the Town of Riverhead as follows:

Chapter 2
AGRICULTURAL ADVISORY COMMITTEE
2-1. Purpose.
The purpose of this Agricultural Advisory Committee is to:
A. Recognize the importance of agriculture as both a vital local economic base and as a
land use that provides the Town of Riverhead with much of its rural, rustic character
and charm.
B. Assure the continued viability of farming as an industry which is important to the local
economy and to the preservation of open space and vistas.
C. Provide for the most beneficial relationship between the use of land and buildings and
the agricultural practices of the community and to further encourage the wise use and
management of the town's natural resources.
D. Provide the Town Board, Planning Board and other relevant boards/committees with a
conduit for recommendations from the agricultural community on the long- and shortterm impact of a variety of matters and questions considered by these groups.
2-2. Formation of Committee; membership; terms of office.
A. The Committee shall be composed of seven members appointed by the Town Board
that are residents of the Town of Riverhead from the agricultural community.

B. The members appointed to the Committee shall serve for a four-year term. Upon initial
formation, two members shall serve for a one-year term, two members for a two-year
term and all others for a three-year term. Each year thereafter, reappointments or new
appointments will be for four-year terms.
C. Appointments shall be from January 1 through December 31.
D. Members shall serve without salary.
E. Any member who fails to attend at least half of the meetings of the Committee in a
given calendar year shall be subject to removal from the Committee by a majority vote
of the Committee.

2.3. Powers and duties.


The Committee shall:
A. Review of agriculture related site plan applications and subdivisions.
1. Any site plan that is related to agricultural activities, or that contemplates the use
of Transfer Development Rights shall be referred to the Agricultural Advisory
Committee for review.
2. Any proposed subdivision of land located in an agricultural zoning district, or
land currently used for agriculture shall be referred to the Agricultural
Advisory Committee for review.
3. The Committee shall present advice relating to the desirability of such proposed
use or subdivision, including advice as to the nature of farming and farm
resources within any proposed or established area. The Agricultural Advisory
Committee shall have 45 days to respond with a recommendation(s) for the
proposed action. The recommendation(s) shall be advisory only.
B. Review of proposed zoning change in agricultural zoning districts.
1. Whenever a proposed zoning, policy change or development (residential, business
or industrial) affecting town agricultural zoning districts is presented to the Town
Board within or contiguous to a county agricultural district or town agricultural
zones, it shall be referred to the Agricultural Advisory Committee for review. The
Agricultural Advisory Committee shall have 45 days to respond with a
recommendation(s) for the action(s).
2. The Committee shall present advice relating to the desirability of such action,
including advice as to the nature of farming and farm resources within any
proposed or established area. This recommendation(s) shall include a
determination as to whether the proposed action(s) will have an unreasonable
adverse effect on the continuing viability of a farm enterprise or enterprises within
the county or town agricultural districts. This recommendation(s) shall be advisory
only.
C. Review local, county, state and federal legislation affecting agricultural issues and
communicate the effect to the appropriate board and/or the Town Board.
D. Serve as a vehicle for communication between the agricultural community and the
Town Board.
E. Meet as determined necessary by Committee members, but no less than eight times a
year for review and recommendation purposes. These annual review and
recommendations shall focus on zoning, planning activities and other actions affecting
the Town of Riverhead agricultural community.

F. Submit to the Town Board an annual summary of the activities of the Agricultural
Advisory Committee.

DOGS
ARTICLE II
Outdoor Restraint of Pets

58-15. Definitions.
As used in this article, the following terms shall have the meanings indicated:
PERSON -- Any individual, firm, partnership, corporation, company, society,
association, or any organized group of persons, whether incorporated or not.
58-16. Prohibitions.
A. It shall be unlawful for any person to tether, leash, fasten, secure, restrain, chain or
tie a dog to any stationary object outdoors or cause such dog to be restrained in a
manner that:
(1) Endangers such dog's health, safety or well-being;
(2) Restricts such dog's access to suitable and sufficient food and water;
(3) Does not provide such dog with shelter appropriate to its breed, physical
condition, and the climate as defined by 353-b of the New York State
Agriculture and Markets Law; or
(4) Unreasonably limits the movement of such dog because it is too short for the
dog to move around or for the dog to urinate or defecate in a separate area
from the area where it must eat, drink or lie down.
B. Notwithstanding the provisions of Subsection A of this section, no person shall
tether, leash, fasten, secure, restrain, chain or tie a dog to any stationary object for any
amount of time with a device that:
(1) Is a choke collar or pinch collar, or a similar collar that restrains the dog in
such a manner that it impairs the flow of oxygen or blood to the dog which
may cause choking, or causes substantial discomfort to the dog;
(2) Is embedded, partially embedded or may become embedded in such dogs

skin;
(3) Has weights attached or contains links that are more than 1/4 inch thick;
(4) Weighs more than 25% of the dogs total body weight, not to exceed 25
pounds for any dog;
(5) Is less than 10 feet in length;
(6) Because of its design or placement is likely to become entangled;
(7) Is long enough to allow such dog to move outside of its owner's property; or
(8) Would allow the restrained dog to move over an object or edge that could
result in the strangulation of or injury to such dog.
C. No person shall tether, leash, fasten, secure, restrain, chain, or tie a dog to any
stationary object outdoors for more than 2 hours in any 12 hour period.
58-17. Penalties for offenses.
A. Violation of this article shall constitute a violation, subject to a fine of up to $500.

o'clock p.m. at the Riverhead Town Hall, 200 Howell Avenue, Riverhead, New York, the
date, time and place specified in said public notice, and all persons wishing to be heard
were heard; and
WHEREAS, the Riverhead Planning Department has reviewed the submission
and recommended it be considered a Type II action pursuant to 6NYCRR Part 617.5(c)
(20) & (27) as routine or continuing administration and management and the adoption of

FAMILY

One or more persons occupying a single dwelling unit; provided, however, that not more
than five persons unrelated by blood, marriage or legal adoption, nor more than two such
persons for each conventional bedroom, shall be considered a "family"; and further
provided that persons occupying group quarters, such as a dormitory, fraternity or
sorority house or a seminary, shall not be considered a "family."
A. One or more persons, whether or not related to each other by blood, marriage or
adoption, all occupying a single, whole, legal single or one-family dwelling unit as a
traditional family or the functional equivalent of a traditional family, shall be
considered a "family," and further provided that persons occupying group quarters,
such as a dormitory, fraternity or sorority house or a seminary, shall not be considered
a "family," having access to and utilizing the whole of such dwelling unit, including
but not limited to all rooms and housekeeping facilities, in common.
B. In determining whether individuals are living together as the functional equivalent of a
traditional family, the following criteria must be present:
(1) The group is one which in structure and function resembles a traditional family
unit; and
(2) The occupants must share the entire single or one-family dwelling unit and live
and cook together as a single housekeeping unit. A unit in which the various
occupants act as separate roomers may not be deemed to be occupied by the
functional equivalent of a traditional family; and
(3) The adult occupants share expenses for food, rent, ownership costs, utilities and
other household expenses; and
(4) The occupancy is permanent and stable. Evidence of such permanence and
stability includes, but is not limited to:
(a) The presence of minor children regularly residing in the household who are
enrolled in local schools;
(b) Members of the household have the same address for purposes of voter
registration, driver's licenses, motor vehicle registration, filing of taxes and
delivery of mail;
(c) Members of the household are employed in the area;

(d) The household has been living together as a unit for a year or more whether in
the current dwelling unit or in other dwelling units;
(e) Common ownership of furniture and appliances among the members of the
household; and
(f) Any other factor reasonably related to whether or not the occupants are the
functional equivalent of a family.

pursuant to Section 272-a of the Town Law; and
WHEREAS, by resolution number 1175, adopted on November 3, 2003, the
Town Board also adopted the Town of Riverhead 2003 Comprehensive Plan; and
WHEREAS, by resolution number 494a, adopted on June 22, 2004, the Town
Board adopted a Local Law amending Chapter 108 of the Code of the Town of
Riverhead to add a new zoning district known as Residence A-40 (RA-40); and
WHEREAS, by resolution number 522, adopted on June 22, 2004, the Town
Board amended the Zoning Map for the Town of Riverhead, which among other things,
classified parcels along East Main Street as being within a Residence A-40 (RA-40)
Zoning Use District; and
WHEREAS, the Town Clerk was authorized to publish and post a public notice to
hear all interested persons to consider a an update to the Town of Riverhead 2003
Comprehensive Plan as it pertains to part of East Main Street, Riverhead for real
property shown on the Land Use map; and
WHEREAS, a public hearing was held on the 21st day of April, 2015 at 7:15
o'clock p.m. at the Riverhead Town Hall, 200 Howell Avenue, Riverhead, New York, the
date, time and place specified in said public notice, and all persons wishing to be heard
were heard; and
WHEREAS, by resolution 189, adopted on March 18, 2015, the Town Board
declared itself to be the lead agency and further determined the action to be an Unlisted
action for the purposes of SEQR compliance.
NOW THEREFORE BE IT RESOLVED, that the Town Board that coordinated
review is not required as the Town Board is the sole involved agency for purposes of
implementing the amendment to Chapter 108 and be it further

RESOLVED that the Town Board of the Town of Riverhead hereby finds that The
Update to the 2003 Comprehensive Plan and Amendment of the Zoning Map of the
Town of Riverhead changing the Zoning Classification and the will not result in
significant impacts on the environment and issues a Negative Declaration for the action
and authorizes Supervisor Sean M. Walter to sign the Short Environmental Assessment
Form; and be it further
RESOLVED, that the Town Board be and hereby, adopts the update to the 2003

entitled Veterans Appreciation Run, having all proceeds being donated to veterans
causes, said run to commence at the Riverhead Elks Lodge located on 1239 East Main
Street, Riverhead, New York and to end in Montauk, New York, on Sunday, June 14,
2015; and
WHEREAS, all participants shall congregate at the Riverhead Elks Lodge
between the hours of 9:00 a.m. and 12:00 noon; and
WHEREAS, Long Island Abate, Inc. has submitted and completed a Short
Environmental Assessment Form pursuant to 6 NYCRR Part 617, identifying the
potential adverse environmental impacts of the event; and
WHEREAS, Long Island Abate, Inc. has requested the Chapter 90 Application
fee for this event be waived due to their not-for-profit status; and
WHEREAS, a certificate of insurance has been received naming the Town of
Riverhead as an additional insured; and
WHEREAS, the Town Attorney of the Town of Riverhead has reviewed all
documents regarding said application; and
WHEREAS, ABATE events typically involve the gathering of a large number of
motorcycles. The gathering of these vehicles may create a noise disturbance to the
health, safety, and welfare of the adjacent residential community. This requires that
such events be limited in number and conditioned to minimize the impact on adjoining
property owners; and
WHEREAS, there have been no Town Code violations occasioned by Elks Club
events during year 2015.
NOW THEREFORE BE IT RESOLVED, that Town Board hereby determines

Article I. General Provisions

108-3. Definitions; word usage.


B. For the purpose of this chapter, certain terms and words are herewith defined as
follows:
BEER
A fermented beverage of any name or description manufactured from malt,
wholly or in part, or from any substitute therefor.
CIDER
The partially or fully fermented juice of fresh, whole apples or other pome fruits,
containing more than three and two-tenths per centum but not more than eight
and one-half per centum alcohol by volume: (i) to which nothing has been
added to increase the alcoholic content produced by natural fermentation; and
(ii) with the usual cellar treatments and necessary additions to correct defects
due to climate, saccharine levels and seasonal conditions.
WINE
The product of the normal alcoholic fermentation of the juice of fresh, sound, ripe
grapes, or other fruits or plants with the usual cellar treatment and necessary
additions to correct defects due to climatic, saccharine and seasonal
conditions, including champagne, sparkling and fortified wine of an alcoholic
content not to exceed twenty-four per centum by volume.
MIRCO-BREWERY
An establishment where beer and malt beverages are made on the premises and
offered for consumption on-site, offer for sale directly to customers (including
filling growlers), sold to licensed retailers or sold to licensed wholesalers to
distribute the beer to retailers. A microbrewery includes any place or premises
where beer is manufactured for sale; and all offices, granaries, mashrooms,
cooling rooms, vaults, yards and storerooms connected therewith or where any
part of the process of manufacture of beer is carried on, or where any apparatus
connected with such manufacture is kept or used, or where any of the products
of brewing or fermentation are stored or kept, shall be deemed to be included in
and to form part of the brewery to which they are attached or are appurtenant.
BREW-PUB
An establishment where food and beverage are sold (restaurant) with the ability
to make or brew beer and malt beverages from crops grown in New York in an

amount not to exceed 5000 barrels annually. A brew pub may offer beer for
consumption on site and offer for sale for off-site consumption limited to 250
barrels of beer annually or offer to licensed retailers or wholesalers limited to
1000 barrels of beer annually.
MICRO-CIDERY

B. Special permit uses:
(8) Micro-brewery, Brew-pub, Micro-cidery and Micro-winery subject to the following
additional criteria:
(a) The use shall not be located within 200 feet of a school or house of worship.
(b) The use shall be limited to serving pre-packaged food products unless applicant
obtains approval and certificate of occupancy for use as a brewpub or restaurant
use within that portion of the premises used for preparation and service of food.
(c) The use shall permit tastings and sale for on-site consumption subject to all
required permits and approvals required by state and local laws, rules and
regulations.
(d) The use shall permit sale for off-site consumption (i.e. filling of growlers) limited
to 1000 barrels annually and offer to licensed retailers and wholesalers limited to
2500 barrels of beer, cider or wine annually.
(e) The processing and manufacturing shall not exceed 10,000 barrels (310,000
gallons) annually.
(f) All manufacturing and processing activities, including storage of grains, shall take
place within an enclosed building.
(g) A maximum of seventy percent of the total square footage shall be used for
manufacture and processing.
(h) A minimum of thirty percent shall be used for sale and marketing of the
manufactured product.
(i) All sales and marketing shall be located in the portion of the building located
along road frontage.

(j) A micro-brewery, brew pub, micro-cidery, micro-winery use shall be required to


hook up to the sewer system and enter into a monitoring agreement with the Sewer
District to determine flow and calculate use fee (note, a separate hook up and fee
shall be assessed for a pub/restaurant use related to brewpub)
(k) All loading areas shall be located in the rear portion of the building.

E. F. Penalties for offenses. For any and every violation of the provisions of this article,
the owner, general agent, tenant or lessee of a floating home, floating cabana or house
barge where such violation has been committed or shall exist shall be guilty of an
offense and, upon conviction thereof, be punishable by a fine not exceeding $500 or
imprisonment for a period not to exceed six months, or both. Each week's continued
violation shall constitute a separate additional violation.

Councilman Wooten offered the following resolution,
which was seconded by Councilman Gabrielsen
WHEREAS, in accordance with Resolution #294 adopted on April 21, 2015, the
Riverhead Town Board approved the Chapter 90 Application of the Long Island Moose
Classic Car Club for the purpose of conducting a fundraiser car show to benefit the
Wounded Warriors of Long Island, said event to include craft sales, to be held on
Saturday, May 16, 2015, having a rain date of Saturday, May 23, 2015, to be held at
the Tanger Outlets in the Office Max parking lot, located at 1947 Old Country Road,
Riverhead, New York, between the hours of 9:00 a.m. and 4:00 p.m.; and
WHEREAS, the Chapter 90 event did not take place on May 16, 2015, due to a
weather event (rain); and
WHEREAS, Tanger Outlets has recently notified the Long Island Moose Classic
Car Club requesting they choose an alternate date to hold their event, other than the
previously approved rain date of May 23, 2015, as this date is Saturday of the Memorial
Day weekend, which is one of the busiest weekends of the year for the Tanger Outlets;
and
WHEREAS, the Long Island Moose Classic Car Show is requesting an alternate
date of Saturday, May 30, 2015, to hold their event.
NOW THEREFORE BE IT RESOLVED, that the Riverhead Town Board hereby
amends Resolution #294 to reflect the new event date of May 30, 2015; and be it
further
RESOLVED, that all other terms and conditions of Resolution #294 shall remain in
full force and effect; and be it further

RESOLVED, that the Town Clerk is hereby authorized to forward a copy of this
resolution to the Long Island Moose Classic Car Club, c/o Charles Cali, 45 Laurin Road,
Calverton, New York, 11933; and be it further
