WHEREAS the Seller above named is the sole and absolute owner of the
property bearing Site NO. 19, formed out of Sy.NO.55/1, situated at
Chandapura village, Attibele Hobli, Anekal Taluk, having acquired the same
through Balaji Constructions vide Sale Deed registered as doc. No. -------- dtd
------- registered in the office of the Sub Registrar Anekal, Bangalore District
and eversince from the date of purchase I am in peaceful possession and
enjoyment of the schedule property by paying the taxes up to date.
AND WHEREAS M/s. Balaji Constructions has got the Layout Plan along
with other Sy. Nos. totally measuring to an extent of 7 Acres 25 Guntas from
Anekal Planning Authority, falling under BMRDA Limits and obtained the
Release Order for the aforesaid site from BMRDA and sold to us under the
aforesaid

2) The Purchaser has this day paid a sum of Rs. 4,00,000/- (Rs. Four Lakhs)
only as advance to the Seller towards purchase of the schedule property out
of Rs.14,00,000/- and the seller received the same and acknowledged the
receipt for the same.
3) The purchaser agreed to pay the balance sale consideration of Rs.
10,00,000/- (Rs. Ten Lakhs only) to the Seller within 60 days from the date
of this Sale Agreement for which the Seller has also agreed for the same and
assured the purchaser that after receiving the balance sale consideration
from the purchaser he shall come and execute the sale deed in favour of the
purchaser or any of his nominees name/s as the purchaser deems fit.
4) The Seller has this day handed over the photo copies of the mother
documents to the purchaser and agreed to give the balance papers as per
the requirement of the purchasers legal counsel.
5) The Purchaser has to borne the costs and expenses of the registration
charges towards the Sale deed to be registered in his name and the seller
shall come and execute the sale deed within the stipulated period without
any extra amount.
6) The Seller hereby assures the purchaser that the schedule property is free
from all kinds of encumbrances, court attachments, minor claims and
litigations and if any litigation arises in future over the schedule property it
will be sorted out by the costs and expenses of the seller.

7) Incase if the purchaser fails to pay the balance sale consideration within the
stipulated period and get the sale deed registered in his name the seller has
the right to forfeit the amount paid by the purchaser. In case if the Seller
fails to execute the Sale Deed or demand any excess amount after receiving
the balance sale consideration from the purchaser then the seller is at
liberty to pay double the advance amount to the purchaser for which both
the parties agreed for the same and affixed their signatures to this
agreement.
8) The seller undertakes to handover the original papers to the Purchaser at
the time of execution of the sale deed in favour of the purchaser before the
Sub Registrar.
9) The either parties have to give one month prior notice whether to cancel or
re sell the site to any third party in writing.
