Operaiunile de leasing sunt cele prin care o parte, denumitlocator/finanator,


transmite pentru o perioad determinat dreptulde folosin asupra unui bun al crui
proprietar este, celeilalte pri,denumit, utilizator, la solicitarea acesteia, contra unei pli
periodice, denumit rata de leasing, iar la sfritul perioadei de leasing
locatorul/finanator se oblig s respecte dreptul de opiuneal utilizatorului de a cumpra
bunul, de a prelungi contractul deleasing, ori de a nceta raporturile contractuale.
Sub aspect juridic, leasingul reprezinta un contract complex care permite unui agent
economic sa obtina si sa utilizeze un lucru fara a plati imediat contravaloarea acestuia.
Una dintre primele ncercari de a defini operatiunile de leasing este consemnata de
literatura franceza, definitie care se refera doar la leasingul imobiliar (denumit creditbail). Aceasta include acele operatiuni prin care o ntreprindere da n locatie bunuri
imobiliare (cumparate de ea sau construite prin efortul ei financiar) n scopul unei
utilizari profesionale, cu conditia ca, indiferent de calificarea lor, sa permita locatarului sa
devina proprietarul bunurilor (fie printr-o promisiune unilaterala de vnzare, fie prin
achizitionarea directa ori indirecta a dreptului de proprietate a terenului pe care au fost
edificate imobilele nchiriate, fie prin transferul de plin drept a dreptului de proprietate
asupra constructiilor edificate pentru acel locator).

Aspecte conceptuale
Practica finantarii comertului international a cunoscut o permanenta nnoire,
astfel nct, alaturi de tehnici financiar - bancare devenite "clasice", cum ar fi creditul furnizor, cumparator, au aparut noi modalitati ajungndu-se ca activitatea financiara sa se
mpletesca cu cea comerciala. n acest context, al diversificarii tehnicilor de finantare, a
aparut si s-a dezvoltat leasingul - o solutie de o simplitate dezarmanta, fiind imaginata
pentru a da un nou impuls lumii afacerilor.
Cresterea rapida a volumului operatiunilor de leasing pe piata internationala, a
fost determinata de usoara scadere a posibilitatilor de creditare, de necesarul tot mai mare
de fonduri de investitii, dar si de politicile protectioniste practicate de anumite state sau
grupuri de state.
Sub aspect juridic, leasingul reprezinta un contract complex care permite unui agent
economic sa obtina si sa utilizeze un lucru fara a plati imediat contravaloarea acestuia.
Sub aspect economic, leasingul reprezinta o sursa de finantare, pe baza unui contract
specific, n care finantatorul asigura fondurile necesare pentru ntreaga investitie. Pe
ntreaga durata a contractului, nchiriatorul - proprietar permite utilizatorului - chirias sa
utilizeze un anumit bun n schimbul promisiunii ultimului de a efectua o serie de plati

(rate de leasing). Veniturile obtinute prin leasing att de catre finantator ct si de utilizator
sunt derivate din utilizarea bunului, nu din dreptul de proprietate asupra acestuia.
Scurt istoric
Exista dovezi ca samaritenii cu 2000 ani .e.n. au folosit o forma apropiata unei
operatiuni de leasing, prin care proprietarii nchiriau fermierilor uneltele agricole care le
apartineau. Aceste tranzactii au fost consemnate pe placi de argila, descoperite n anul
1984.
Primele reglementari mai detaliate, care fac deosebirea dintre formele apropiate ale
leasingului financiar si cel operational, dateaza din timpurile lui Justinian, fiind
consemnate n cartea a III -a din "INSTITUTE".Grecii si romanii arendau si ei bunurile
aflate n proprietate privata. Un exemplu l constituie nchirierea vapoarelor nca de pe
vremea fenicienilor.
Tehnicile de nchiriere practicate n Europa au fost rapid preluate de SUA: n
nsemnarile lui George Washington exista cteva referiri asupra nchirierilor vagoanelor
de tren, precum si a morilor de pe malurile rului Potomac.
nchirierea vagoanelor de tren n Marea Britanie n anii 1840 reprezinta primul
exemplu al facilitatilor oferite de plata n rate mici a echipamentului comercial sau
industrial.
Prima companie de nchiriere din lume nregistrata, BIRMINGHAM WAGON
COMPANY, a fost constituita pe 20 martie 1855. Au nceput sa apara si alte companii
nregistrate cu raspundere limitata, companii care si-au adus un aport considerabil la
dezvoltarea rapida a cailor ferate.
Leasingul, ca tehnica de comert exterior, a aparut n forma sa moderna n jurul
anilor 1950, cnd D.P.BOOTH, managerul unei fabrici de produse alimentare din San
Francisco, a primit o comanda foarte profitabila de produse alimentare. Neavnd utilajele
necesare, BOOTH le-a procurat prin nchiriere (deoarece nu dispunea de fondurile
necesare). Observnd avantajele leasingului, el a pus bazele unei companii - UNITED
STATES LEASING CORP. - avnd capitalul social n jur de 20.000 USD. Dupa doi ani a
reusit sa finanteze operatiuni de leasing pentru echipamente n valoare de 3 milioane
USD. n prezent, aceasta firma este cunoscuta sub denumirea de U.S. LEASING
INTERNATIONAL INC.
Primele companii de leasing au aparut n Franta si Italia n 1961, n Germania 1962, iar prin 1966 - n ntreaga Europa. ORIENT LEASING COMP., prima companie
japoneza de leasing a fost fondata n 1963.

Spre deosebire de leasing-ul financiar, leasing-ul operational presupune, in adevaratul sens al cuvantului,
folosirea bunului finantat pe o perioada limitata de timp, fara asumarea unor riscuri si beneficii aferente
proprietarului, in general, pentru rezolvarea punctuala a unor activitati specifice.

Astfel, Utilizatorul este practic decis, inca de la semnarea contractului, asupra returnarii bunului finantat la
finele perioadei de leasing, urmand ca Locatorul sa preia riscul de realizare a valorii ramase neamortizate la
finele contractului.

"sale and lease back"

"Sale and lease back" este o operatiune de leasing in care Utilizatorul este si furnizorul bunului finantat,
Locatorul achizitionind de la acesta bunul la o valoare agreata.
Printr-o astfel de operatie se realizeaza finantarea Utilizatorului, prin scoaterea in afara bilantului contabil a
unui bun aflat in proprietate, urmand ca acesta sa fie reachizitionat la finele contractului de leasing.
Evident, evaluarea bunului ce face obiectul contractului este hotaratoare si apartine in exclusivitate
Locatorului. Iat un exemplu foarte bun de a utiliza cu elevii , dac avei nevoie pentru

a explica conceptul de vnzare i leaseback ( o " surs de finanare " comun


menionat la manuale ) .

leasing "cross-border"

Leasing cross-border (extern) este o operatie de leasing, fie financiar fie operational, efectuata intre un
Finantator non-rezident si un Utilizator rezident.
Operatiile de leasing care sunt efectuate intre doi rezidenti se numesc leasing intern.

de timp (o zi sau cteva zile). n tarile vestice, varianta de lucru temporar este uzitata si
de persoane care au deja un loc de munca permanent si doresc sa-si suplimenteze
veniturile. Partenerii implicati n operatiunea de leasing de personal sunt:

persoana angajata, care este de fapt furnizorul de munca, avnd calitatea de


cosemnatar al contractului de munca cu compania de leasing, n baza caruia, att
angajatul ct si compania de leasing si asuma responsabilitati si obligatii specifice;

compania de leasing, n calitate de finantator (daca facem o comparatie cu leasingul


operational), fiind o societate specializata n domeniul resurselor umane sau al leasingului
de personal;

"compania client" este n acest caz utilizatorul (beneficiarul). Acesta este interesat sa
foloseasca forta de munca n conditii legale, asigurndu-si necesarul de personal conform
cu dezvoltarea activitatii si eliberndu-se de povara administrativa legata de operatiunile
de personal, putndu-se concentra astfel asupra afacerii n care activeaza de fapt.
Compania de leasing are initiativa afacerii, persoana angajata permite derularea afacerii,
iar compania de leasing este cea care faciliteaza afacerea.

ntr-o acceptiune mai larga, leasingul de personal este aplicabil unei colaborari pe termen
lung. Compania de leasing este raspunzatoare de angajarea persoanei, plata salariilor si a
taxelor aferente acestora conform legislatiei n vigoare.

n cazul nchirierii containerelor se practica o forma speciala numita masterleasing (cu variantele trip-leasing, adica nchiriere pe perioada voiajului (transportului)
si term-leasing care consta n nchiriere la termen).

FORM OF TIME SHARING AGREEMENT
This TIME SHARING AGREEMENT (this "Agreement") is made and entered into as of
the
day of
, 2011 between Motorola Mobility, Inc., hereinafter referred to as the
"Operator", and Sanjay K. Jha, hereinafter referred to as "User".
RECITALS
The parties recite and declare that:
The Operator is the lessee of each of the aircraft described on Exhibit A attached hereto
(each such aircraft is referred to herein as an "Aircraft"), under those certain Non-Exclusive Dry
Leases (the "Head Leases") entered into on December 9, 2010 by and between Operator and
(i) Motorola Mobility Aviation Holdings N550M, LLC, and (ii) Motorola Mobility Aviation
Holdings N158M, LLC ("each an "Owner" and together the "Owners").
User desires to use the Aircraft under such terms and conditions as are mutually satisfactory
to the parties for the carriage of User's officials, employees, and guests pursuant to a time sharing
agreement as defined in Section 91.501 (c) (1) of the Federal Aviation Regulations ("FARs").
The parties hereby agree as follows:
SECTION ONE
Time Share of Aircraft
In consideration of the amounts to be charged as set forth below, provided Aircraft is not
otherwise employed on behalf of Operator, Operator agrees to lease the Aircraft Pilots to User
from and after the date hereof for the term described in Section Two below. The express intent of
the parties hereto is that this Agreement shall constitute a "time sharing agreement" as such term
is defined in Section 91.501 (c) (1) of the FARs. The Aircraft shall be operated hereunder
pursuant to the terms of Section 91.501 (b) (6) of the FARs for the carriage of company officials,
employees, and guests of the User.
Nothing contained herein shall obligate User to any minimum usage of any Aircraft, it being
understood that User's usage shall be on an "as-needed" and "as-available" basis. User
acknowledges that each of the Aircraft may be subject to the rights of third parties pursuant to

other time sharing agreements, leases, charter agreements, interchange agreements and/or other
similar agreements.
User shall make all requests for use of any Aircraft pursuant to this Agreement to Operator.
Operator shall advise User of the identity of the person or department representative responsible
for receiving such requests. Operator shall be responsible for scheduling the use by User of any
Aircraft
Requests for use of the Aircraft by User shall be made to Operator no less than twenty-four
(24) hours prior to the requested departure time. Such requests shall indicate the name of User,
dates of requested use, the proposed itinerary, the number and identity of the persons who will be
passengers on such flight, the identity of any passengers who are guests of the User, any requests
related to special services, catering, provisions, ground transportation and/or insurance, and
emergency contact information for each passenger which shall not be another passenger on
the same flight. All requests for use shall be subject to, among other things, prior conflicting
requests for use, Operator's use of the Aircraft, the availability of the Aircraft and scheduled and
unscheduled maintenance, repair and inspections. Operator, in its sole and absolute discretion,
shall have the final authority to accept or reject any such request and the right to cancel or rescind
any confirmed or unconfirmed request for any reason whatsoever. Operator shall use reasonable
efforts to confirm any accepted requests for use and cancellations of any previously confirmed
request. Operator shall not be responsible or liable for any delays or cancellations nor shall
Operator be responsible for any consequential or punitive damages resulting therefrom.
SECTION TWO
Term
This Agreement shall remain in full force and effect until terminated. Operator shall have
the right to terminate this Agreement with immediate effect upon written notice to User. This
Agreement shall automatically terminate upon cessation of User's employment by Motorola
Mobility, Inc.
SECTION THREE
Payments
Operator shall be responsible for all costs and expenses of owning, operating and
maintaining the Aircraft. User shall compensate Operator for the use of the Aircraft in amounts
agreed upon from time to time between the parties, provided, however, in no event shall any
amounts be charged by Operator or paid by User hereunder that are not specifically authorized by
Section 91.501 (d) of the FARs nor shall the aggregate charges for any flight exceed the amounts
specifically authorized by Section 91.501 (d) of the FARs.
Following the completion of each flight of the Aircraft on behalf of User, Operator shall
promptly invoice User for the charges determined by the parties and on the record of the
Motorola Aviation Department and User shall pay the amount promptly upon presentation of the
invoice.
SECTION FOUR
Operator

Operator shall furnish fully qualified and properly certified pilots for the Aircraft, each of
whom shall be included in the insurance coverage required to be maintained pursuant hereto. At
any time during which a flight is made by or on behalf of User under this Agreement, Operator
shall have possession, command, dominion and control of the Aircraft. Operator shall have
complete and exclusive responsibility for (i) scheduling, dispatching and flight of the Aircraft on
all flights conducted pursuant to this Agreement, (ii) the physical and technical operation of the
Aircraft and (iii) the safe performance of all flights. Operator shall have operational control of the
Aircraft for all purposes of the FARs. Notwithstanding the foregoing, the pilot-in-command of
each flight shall have the final authority with respect to (i) the initiation or termination of any
flight, (ii) selection of the routing of any flight, (iii) determination of the load to be carried and
(iv) all decisions relating to the safety of any flight.
SECTION FIVE
Insurance
Under the terms of the Head Leases, Owners shall, respectively, maintain or cause to be
maintained in full force and effect and at Owners' own expense, passenger liability, public
liability, property damage, baggage and cargo insurance in such form, for such amounts, and for
such other coverages, and with such insurers as shall be acceptable to Owners, insuring Owners,
Operator, and User as their interests may appear against claims for death of or injury to persons,
or loss of or damage to property in connection with the possession, use, or operation of the
Aircraft by User. Notwithstanding the foregoing and subject to the limitations of Section 91.501
(d), upon Owners' or Operator's request, User shall, reimburse Owners for the cost and expense of
any insurance obtained for any specific flight.
SECTION SIX
Risk of Loss
Operator shall be liable for any loss or damage to the Aircraft during the term of this
Agreement in connection with the possession, use or operation of the Aircraft by User and, at
Operator's own expense, shall keep the Aircraft insured (at its then current fair market value)
together with all its equipment and accessories, at such times against loss or damage from crash,
fire, windstorm, collision, or other casualty.
SECTION SEVEN
Restrictions on Use
Use of the Aircraft by User shall be for User's own account and shall be subject to the use
limitations set forth in Section 91.501 (b) (6) of the FARs. User is hereby expressly prohibited
from using the Aircraft for the transportation of passengers or cargo for compensation or hire.
User shall only use the Aircraft in accordance with the terms and provisions of each
insurance policy providing coverage. User may operate the Aircraft only for the purposes, and
within the geographical limits, set forth in the insurance policy or policies obtained in compliance
with this Agreement. Furthermore, User shall not use the Aircraft in violation of the FARs or any
foreign, Federal, state, territorial or municipal law or regulation.
SECTION EIGHT
Inspection by Operator

User agrees to permit Operator or an authorized agent to inspect the Aircraft at any
reasonable time and to furnish any information in respect to the Aircraft and its use that Operator
may reasonably request.
Operator shall, at its own expense, at all times during the Term of this Agreement, inspect
the Aircraft or cause the Aircraft to be inspected so as to keep the Aircraft currently certified as
airworthy and in good and safe order, repair and condition in accordance with the Federal
Aviation Administration ("FAA"), Department of Transportation and any other governmental
authority, domestic or foreign, having jurisdiction therefor.
SECTION NINE
Maintenance and Repair
User shall have no right to alter, modify, or make additions or improvements to the Aircraft
without permission from Operator. Operator shall, at its own expense, at all times during the Term
of this Agreement, maintain and inspect the Aircraft or cause the Aircraft to be maintained and
keep the Aircraft currently certified as airworthy and in good and safe operating order, repair and
condition in accordance with the FAA, Department of Transportation and any other governmental
authority, domestic or foreign, having jurisdiction therefor. Operator will maintain the Aircraft or
cause the Aircraft to be maintained in accordance with the manufacturer's operating, inspection
and maintenance manuals and all Federal Aviation Regulations, as they are applicable to the
Aircraft.
User hereby acknowledges that maintenance, repair and inspection schedules may make the
Aircraft unavailable for use hereunder from time to time. Such maintenance, repair and inspection
schedules shall have priority over User's scheduling requests.
SECTION TEN
Title
The registration of, and title to, the Aircraft shall be in the name of the Owners, respectively,
as set forth on Exhibit A. Notwithstanding the foregoing, with respect to any Aircraft designated
as a "Leased Aircraft" on Exhibit A, registration of, and title to, such Aircraft shall be in the name
of Operator's lessor and Operator shall have a valid leasehold interest therein. The Aircraft, at all
times during the terms of this Agreement, or any extension, shall bear United States registration
markings.
SECTION ELEVEN
Payment of Taxes
User is responsible for and shall pay for all taxes, licenses, fees and assessments made
against or associated with the Aircraft with respect to the possession, use or operation of the
Aircraft by or for User, including any sales tax on payments and any Federal excise taxes.
Operator is responsible for and shall pay all taxes, assessments and charges imposed by any
Federal, state, municipal or other public authority upon or relating to the ownership of the
Aircraft during the term of this Agreement.
To the extent that any Federal Excise Taxes are levied or assessed against any use
hereunder, User shall be responsible for the payment of such Federal Excise Taxes. Operator shall
be responsible for the collection from User, and remission to the proper authority, of such Federal
Excise Taxes.

SECTION TWELVE
Assignment
User shall not assign this Agreement or any interest in the Aircraft, or sublet the Aircraft,
without the prior written consent of Operator. Notwithstanding the foregoing, User may, without
further consent of Operator make the Aircraft available to its officials, employees and guests
pursuant and subject to Section 91.501 (b) (6) of the FARs. Subject to the foregoing, this
Agreement inures to the benefit of, and is binding on, the heirs, legal representatives, successors
and assigns of the parties.
SECTION THIRTEEN
Accident and Claim
User shall immediately notify Operator of each accident involving the Aircraft, which
notification shall specify the time, place and nature of the accident or damage, the names and
addresses of parties involved, persons injured, witnesses and owners of properties damaged, and
such other information as may be known. User shall advise Operator of all correspondence,
papers, notices and documents whatsoever received by User in connection with any claim or
demand involving or relating to the Aircraft or its operation, and shall aid in any investigation
instituted by Operator and in the recovery of damages from third persons liable thereof.
Owner hereby indemnifies and agrees to hold User harmless from and against any and all
liabilities, claims, demands, suits, judgments, damages, losses, costs and expenses (including
reasonable legal expenses and attorneys' fees) for or on account of or in any way connected with
injury to or death of any persons whomsoever or loss of or damage to property arising out of
(i) the use or operation of the Aircraft under this Agreement or in any way connected with this
Agreement including but not limited to the Aircraft and related equipment or (ii) the performance
or nonperformance by Owner of its responsibilities under this Agreement, unless such loss or
damage results from the gross negligence or willful misconduct User.
SECTION FOURTEEN
Return of Aircraft to Operator
Upon the termination of this Agreement and after the termination of any use of the Aircraft
by User hereunder, User shall return the Aircraft to Operator in as good operating condition and
appearance as when received, ordinary wear and tear excepted. Delivery and redelivery of the
Aircraft shall ordinarily be made at the operating base set forth on Exhibit A; provided, however,
that the parties may agree on another airport from time to time.
SECTION FIFTEEN
Liens
User shall not assign, sell, transfer, or encumber the Aircraft, any engine, or any part
thereof. User will not directly or indirectly create, incur, assume or suffer to exist any lien on or
with respect to the Aircraft. User will promptly, at its own expense, take such action as may be
necessary to discharge any lien created by, through or under User if the same shall arise at any
time.
SECTION SIXTEEN
Default

If User fails to comply with any provision of this Agreement, Operator shall have the right
to take possession of the Aircraft wherever it may be located, without demand or notice and
without any court order or other process of law and to pursue any other remedy available to
Operator at law or in equity. In the event of such default by User, Operator, at Operator's option,
may immediately terminate this Agreement. Notwithstanding any repossessions or other action
that Operator may take, User shall be and remain liable for the full performance of all obligations
on the part of User to be performed under this Agreement. Operator's waiver of any default on the
part of User shall not constitute a waiver of subsequent defaults.
SECTION SEVENTEEN
Miscellaneous
A. Each party participated equally in the drafting of this Agreement and accordingly no
court shall construe this Agreement any more stringently against one party hereto.
B. This Agreement shall be governed by and construed in accordance with the laws of the
State of Illinois excluding its conflict of law provisions.
C. This Agreement constitutes the entire agreement of the parties hereto regarding the
subject matter hereof. This Agreement shall not be modified or amended except by a further
written document signed by both parties. No provision hereof may be waived except by an
agreement in writing signed by the waiving party. A waiver of any term or provision shall not be
construed as a waiver of any other term or provision.
D. In the event any litigation is commenced by a party to this Agreement that is in any way
related to or associated with the subject matter of this Agreement, the prevailing party in such
litigation shall be awarded their reasonable attorney's fees and costs through and including any
appeals.
E. This Agreement may be executed in one or more counterparts, each of which shall be
deemed an original, but all of which together shall constitute one and the same instrument.

SUBLESSEE ACKNOWLEDGES THAT WHEN IT OPERATES THE AIRCRAFT UNDER
THIS AGREEMENT, IT SHALL BE KNOWN AS, CONSIDERED, AND IN FACT WILL BE
IN OPERATIONAL CONTROL OF THE AIRCRAFT. BY EXECUTION OF THIS
AGREEMENT, EACH PARTY HERETO CERTIFIES THAT IT UNDERSTANDS THE
EXTENT OF ITS RESPONSIBILITIES, SET FORTH HEREIN, FOR COMPLIANCE WITH
APPLICABLE FEDERAL AVIATION REGULATIONS.
THE SUBLESSEE, WHOSE NAME AND ADDRESS ARE SET FORTH BELOW, SHALL BE
SOLELY RESPONSIBLE FOR OPERATIONAL CONTROL OF THE AIRCRAFT DURING

CONSIDERENTE
Prile recita i declar c:

SECIUNEA ONE

SECIUNEA TREI
Pli

Seciunea a patra
Operator
Operatorul va furniza piloilor deplin calificai i certificate n mod corespunztor a

finala cu privire la (i) iniierea sau ncetarea oricrui zbor, (ii) selectarea traseului de orice zbor,
(iii) determinarea sarcinii care trebuie efectuate i (iv) toate deciziile referitoare la sigurana orice
zbor.

Seciunea a cincea
Asigurare
n condiiile n leasing cap, Proprietarii sunt, respectiv, menine sau va determina s fie
meninute n vigoare i pe cheltuiala proprietarilor, rspunderea pentru pasageri, rspunderea
public, pagube materiale, bagaje i mrfuri de asigurare ntr-o form, pentru o astfel de sume,
precum i pentru orice alte reportaje, i cu asigurtorii, cum ar fi trebuie s fie acceptabil pentru
Proprietarii, asigurarea Proprietarii, Operator i Utilizator ca interesele lor pot s apar mpotriva
cererilor de deces sau rnire a persoanelor, sau pierderea sau deteriorarea bunurilor n legtur cu

SECIUNEA SIX
Riscul de pierdere
Operatorul va fi responsabil pentru orice pierdere sau daune aeronavei pe durata prezentului
acord n legtur cu posesia, utilizarea sau funcionarea aeronavei de ctre utilizator i, pe
cheltuiala proprie Operatorului, ine Avioane asigurat (la ei, apoi actual echitabil valoarea de

SECIUNEA SEVEN
Restricii de utilizare

limitrilor de utilizare stabilite n seciunea 91.501 (b) (6) din Fars.Utilizatorul este interzis n
mod expres prin prezenta la folosirea aeronavei pentru transportul de pasageri sau de mrfuri de

Utilizatorul va folosi doar aeronavei n conformitate cu termenii i dispoziiile fiecare

SECIUNEA OPT
Inspecie de Operator
Utilizatorul este de acord pentru a permite operatorului sau un agent autorizat s inspecteze

Operatorul se, pe propria cheltuial, n orice moment pe durata prezentului acord, pentru a

SECIUNEA NOU
ntreinere i reparaii
Utilizatorul va avea dreptul de a modifica, modifica, sau de a face adugiri sau mbuntiri

SECIUNEA TEN
Titlu

SECIUNEA ELEVEN
Plata taxelor
Utilizatorul este responsabil pentru i va plti pentru toate impozitele, licenele, taxele i

funcionarea avionului de ctre sau pentru utilizare, inclusiv impozit pe vnzri n pli i orice
accize Federal impozite. Operator este responsabil pentru i va plti toate taxele, evaluri i
taxele impuse de orice, stat, autoritate public municipal sau alte federale la sau n legtur cu
proprietatea aeronavei pe durata prezentului acord.
n msura n care orice taxe federale accizabile sunt percepute sau evaluate n utilizarea mai
jos, de utilizare va fi responsabil pentru plata unor astfel de taxe Accize federale. Operatorul este
responsabil de colectarea de la utilizare, i remiterea ctre autoritatea corespunztoare, a unor
astfel de taxe federale accize.
SECIUNEA TWELVE
Cesiune
Utilizatorul nu poate atribui acest Acord sau orice interes n aeronav, sau subnchirieze
aeronavei, fr acordul prealabil scris al operatorului. Fr a aduce atingere celor de mai sus, de
utilizare poate, fr consimmntul n continuare operator face aeronave disponibile pentru
funcionarii si, angajaii i oaspeii conformitate i care fac obiectul seciunii 91.501 (b) (6) din
Fars. Sub rezerva celor de mai sus, prezentul acord inures n beneficiul, i este obligatorie pentru,

SECIUNEA TREISPREZECE
Accident i revendicarea
Utilizatorul va notifica de ndat operatorului de fiecare accident care implic aeronava pe
care o notificare specific de timp, locul i natura accidentului sau pagubei, numele i adresele
prilor implicate, persoanelor rnite, martori i proprietarii de proprieti deteriorate, precum i
orice alte informaii care pot fi cunoscute. Utilizatorul va recomanda Operator de toate
coresponden, documente, avize i documente primite fel de utilizare, n legtur cu orice
revendicare sau cerere care implic sau referitoare la aeronave sau operarea acestuia, i a ajuta la
orice investigaie instituit de Operator i n recuperarea daunelor de la tere persoane
rspunztoare acestora.

pierderea sau deteriorarea bunurilor rezultate din (i) utilizarea sau operarea aeronavei n temeiul

SECIUNEA SEVENTEEN
Diverse
A. Fiecare parte participat n mod egal n elaborarea acestui acord i, n consecin nici o
instan va interpreta prezentul acord mai strict mpotriva o parte la prezentul regulament.
B. Prezentul Acord va fi guvernat de i interpretat n conformitate cu legile statului Illinois

AIRCRAFT TIME SHARING AGREEMENT
This Aircraft Time Sharing Agreement ("Agreement") by and between Qwest Business
Resources, Inc. ("Lessor"), a Delaware corporation whose address is 1801 California Street,
Denver, Colorado 80202 and Richard C. Notebaert ("Lessee"), whose address is 106 South
University Boulevard, Number 12, Denver, Colorado 80209 (collectively the "Parties"), is
effective January 1, 2005 and shall terminate on December 31, 2006, unless terminated sooner by
either party pursuant to Article 1 below.

WHEREAS, Lessor is legal owner of an aircraft ("Aircraft"), equipped with engines and
components as described in the Aircraft Subject to the Time Sharing Agreement attached hereto
and made a part hereof, as Exhibit A;
WHEREAS, Lessor employs a fully qualified flight crew to operate the Aircraft; and
WHEREAS, Lessor and Lessee desire to lease said Aircraft with flight crew on a nonexclusive time sharing basis as defined in Section 91.501 (c) (1) of the Federal Aviation
Regulations ("FAR");
WHEREAS, this Agreement sets forth the understanding of the Parties as to the terms under
which Lessor will provide Lessee with the use, on a periodic basis, of the Aircraft as described in
Exhibit A hereto, currently owned by Lessor.
WHEREAS, the use of the Aircraft will at all times be pursuant to and in full compliance
with the requirements of Federal Aviation Regulations ("FAR") 91.501(b)(6), 91.501(c)(1), and
91.501(d);
NOW, THEREFORE, in consideration of the mutual covenants and agreements herein
contained, the Parties agree as follows:
1.

Termination.

Either party may terminate this Agreement for any reason upon written notice to the other,
such termination to become effective ten (10) days from the date of the notice; provided that this
Agreement may be terminated on such shorter notice as may be required to comply with
applicable laws, regulations, the requirements of any financial institution with a security or other
interest in the Aircraft, insurance requirements or in the event the insurance required hereunder is
not in full force and effect.
2.

Use of Aircraft.

(a) Lessee may use the Aircraft from time to time, with the permission and approval of
Lessor's Flight Operations Department, for any and all purposes allowed by FAR 91.501(b)(6).
Lessee's use shall include the use of the Aircraft by his Spouse or related family member
(including children or grandchildren) ("Related Family") if they accompany him on the flight.
(b) Lessee represents, warrants and covenants to Lessor that:
1.
Lessee will use each Aircraft for and on his own account only and will not use any
Aircraft for the purposes of providing transportation of passengers or cargo in air
commerce for compensation or hire;
2.
Lessee shall refrain from incurring any mechanics or other lien in connection with
inspection, preventative maintenance, maintenance or storage of the Aircraft, whether
permissible or impermissible under this Agreement, and Lessee shall not attempt to
convey, mortgage, assign, lease or any way alienate the Aircraft or create any kind of lien

or security interest involving the Aircraft or do anything or take any action that might
mature into such a lien;
3.
during the term of this Agreement, Lessee will abide by and conform to all such laws,
governmental, and airport orders, rules, and regulations as shall from time to time be in
effect relating in any way to the operation and use of the Aircraft by a time-sharing
Lessee;
(c) Lessee shall provide Lessor's Flight Operations Department with notice of his desire to
use the Aircraft and proposed flight schedules as far in advance of any given flight as possible,
and in any case, at least forty-eight (48) hours in advance of Lessee's planned departure. Requests
for flight time shall be in a form, whether written or oral, mutually convenient to, and agreed
upon by the Parties. In addition to the proposed schedules and flight times Lessee shall provide at
least the following information for each proposed flight at some time prior to scheduled departure
as required by the Lessor or Lessor's flight crew:
1.
proposed departure point;
2.
destination;
3.
date and time of flight;
4.
the number and identity of anticipated passengers and relationship to the Lessee;
5.
the nature and extent of luggage and/or cargo to be carried;
6.
the date and time of return flight, if any; and
7.
any other information concerning the proposed flight that may be pertinent or required by
Lessor or Lessor's flight crew.
(c) Lessor shall notify Lessee as to whether or not the requested use of the Aircraft can be
accommodated and, if not, the Parties shall discuss alternatives.
(d) Lessor's prior planned utilization of the Aircraft will take precedence over Lessee's use.
Additionally, any maintenance and inspection of the Aircraft takes precedence over scheduling of
the Aircraft unless such maintenance or inspection can be safely deferred in accordance with
applicable laws and regulations and within the sound discretion of the Pilot-In-Command.
(e) Lessor shall have sole and exclusive authority over the scheduling of the Aircraft,
including which Aircraft is used for any particular flight.

(f) Lessor shall not be liable to Lessee or any other person for loss, injury, or damage
occasioned by the delay or failure to furnish the Aircraft and crew pursuant to this Agreement for
any reason.
3.

Time-Sharing Arrangement.

It is intended that this Agreement will meet the requirements of a "Time Sharing Agreement"
as that term is defined in FAR Part 91.501(c)(1) whereby Lessor will lease its Aircraft and flight
crew to Lessee.
4.

Cost of Use of Aircraft.

(a) In exchange for use of the Aircraft, Lessee shall pay the direct operating costs of the
Aircraft permitted pursuant to FAR 91.501 for any flight conducted under this Agreement or a
lesser amount as mutually agreed to by the Parties. Pursuant to FAR 91.501(d), those direct
operating costs shall be limited to the following expenses for each use of the Aircraft:
(1)
Cost of Fuel, Oil, Lubricants and Other Additives;
(2)
Travel expenses of the crew, including food, lodging, and ground transportation.
(3)
Hangar and tie-down costs away from the Aircraft's base of operation.
(4)
Insurance obtained for the specific flight.
(5)
Landing fees, airport taxes, and similar assessments.
(6)
Customs, foreign permit, and similar fees directly related to the flight.
(7)
In flight food and beverages.
(8)
Passenger ground transportation.
(9)
Flight planning and weather contract services.
(10)
An additional charge equal to 100 percent of the expenses listed in sub-paragraph (a)(1)
of this section.
(b) Lessor will invoice, and Lessee will pay, for all appropriate charges.

(c) In addition to the rental rate referenced in Section 4(a) above, Lessee shall also be
assessed the Federal Excise Taxes as imposed under Section 4261 of the Internal Revenue Code,
and any segment and landing fees associated with such flight(s).
5.

Invoicing and Payment.

All payments to be made to Lessor by Lessee hereunder shall be paid in the manner set forth
in this Paragraph 5. Lessor will pay to suppliers, employees, contractors and government entities
all expenses related to the operations of the Aircraft hereunder in the ordinary course. As to each
flight operated hereunder, Lessor shall provide to Lessee an invoice for the charges specified in
Paragraph 4 of this Agreement (plus domestic or international air transportation Excise Taxes, as
applicable, imposed by the Internal Revenue Code and collected by Lessor), such invoice to be
issued within thirty (30) days after the completion of each such flight. Lessee shall pay Lessor the
full amount of such invoice upon receipt of the invoice. In the event Lessor has not received a
supplier invoice for reimbursable charges relating to such flight prior to such invoicing, Lessor
shall issue a supplemental invoice for such charges to Lessee within thirty (30) days of the date of
receipt of the supplier invoice and Lessee shall pay such supplemental invoice amount upon
receipt thereof. All such invoices shall separately itemize the expenses in items (1) through
(10) of paragraph 4(a) for each flight included in that invoice. Delinquent payments, defined as
payments received more than thirty (30) days after invoice, to Lessor by Lessee hereunder shall
bear interest at the rate of ten percent (10%) per annum from the due date until the date of
payment. Lessee shall further pay all costs incurred by Lessor in collecting any amounts due from
Lessee pursuant to the provisions of this Paragraph 5 after delinquency, including court costs and
reasonably attorneys' fees.
6.

Insurance and Limitation of Liability.

Lessor represents that the flight operations for the Aircraft as contemplated in this
Agreement will be covered by the Lessor's aircraft all-risk physical damage insurance (hull
Coverage), aircraft bodily injury and property damage liability insurance, passenger, pilot and
crew voluntary settlement insurance and statutory workers compensation and employer's liability
insurance.
(a) Insurance.
1.
Lessor will maintain or cause to be maintained in full force and effect throughout the
term of this Agreement aircraft liability insurance in respect of the Aircraft in an amount
at least equal to $100 million combined single limit for bodily injury to or death of
persons (including passengers) and property damage liability. Lessor will retain all rights
and benefits with respect to the proceeds payable under policies of hull insurance
maintained by Lessor that may be payable as a result of any incident or occurrence while
an Aircraft is being operated on behalf of Lessee under this Agreement.
2.
Lessor shall use best efforts to procure such additional insurance coverage as Lessee may
request naming Lessee as an additional insured; provided, that the cost of such additional
insurance shall be borne by Lessee pursuant to Paragraph 4(a)(4) hereof.

(b) Limitation of Liability. Lessee agrees that the insurance specified in paragraph 6(a)
shall provide its sole recourse for all claims, losses, liabilities, obligations, demands, suits,
judgments or causes of action, penalties, fines, costs and expenses of any nature whatsoever,
including attorneys' fees and expenses for or on account of or arising out of, or in any way
connected with the use of the Aircraft by Lessee or its guests, including injury to or death of any
persons, including Lessee and its guests which may result from or arise out of the use or
operation of the Aircraft during the term of this Agreement ("Claims"). This Section 6 shall
survive termination of this Agreement.
(c) Lessee agrees that when, in the reasonable view of Lessor's Flight Operations
Department or the pilots of the Aircraft, safety may be compromised, Lessor or the pilots may
terminate a flight, refuse to commence a flight, or take other action necessitated by such safety
considerations without liability for loss, injury, damage, or delay. Lessee agrees that Lessor's
operation of aircraft is within the operation guidelines of the Lessor's Flight Operations
Department Manual the crews are responsible to operate within the guidelines of FAR 91 and the
Lessor's Flight Operations Department Manual.
(d) In no event shall Lessor be liable to Lessee or his employees, agents, representatives,
guests, or invitees for any claims or liabilities, including property damage or injury and death,
and expenses, including attorney's fees, in excess of the amount paid by Lessor's insurance carrier
in the event of such loss.
(e) LESSOR SHALL IN NO EVENT BE LIABLE TO LESSEE OR HIS EMPLOYEES,
AGENTS, REPRESENTATIVES, GUESTS, OR INVITEES FOR ANY INDIRECT, SPECIAL,
OR CONSEQUENTIAL DAMAGES AND/OR PUNITIVE DAMAGES OF ANY KIND OR
NATURE UNDER ANY CIRCUMSTANCES OR FOR ANY REASON INCLUDING ANY
DELAY OR FAILURE TO FURNISH THE AIRCRAFT OR CAUSED OR OCCASIONED BY
THE PERFORMANCE OR NON-PERFORMANCE OF ANY SERVICES COVERED BY THIS
AGREEMENT.
7.

Covenants Regarding Aircraft Maintenance.

The Aircraft has been inspected and maintained in the twelve-month period preceding the
date hereof in accordance with the provisions of FAR Part 91. Lessor shall, at its own expense,
inspect, maintain, service, repair, overhaul, and test the Aircraft in accordance with FAR Part 91.
The Aircraft will remain in good operating condition and in a condition consistent with its
airworthiness certification, including all FAA-issued airworthiness directives and mandatory
service bulletins. In the event that any non-standard maintenance is required during any
applicable lease term, Lessor, or Lessor's Pilot-In-Command, shall immediately notify Lessee of
the maintenance required, the effect on the ability to comply with Lessee's dispatch requirements
and the manner in which the Parties will proceed with the performance of such maintenance and
conduct of the balance of the planned flight(s).
8.

No Warranty.

NEITHER LESSOR (NOR ITS AFFILIATES) MAKES, HAS MADE OR SHALL BE


DEEMED TO MAKE OR HAVE MADE ANY WARRANTY OR REPRESENTATION,
EITHER EXPRESS OR IMPLIED, WRITTEN OR ORAL, WITH RESPECT TO ANY
AIRCRAFT TO BE USED HEREUNDER OR ANY ENGINE OR COMPONENT THEREOF
INCLUDING, WITHOUT LIMITATION, ANY WARRANTY AS TO DESIGN, COMPLIANCE

WITH SPECIFICATIONS, QUALITY OF MATERIALS OR WORKMANSHIP,


MERCHANTABILITY, FITNESS FOR ANY PURPOSE, USE OR OPERATION,
AIRWORTHINESS, SAFETY, PATENT, TRADEMARK OR COPYRIGHT INFRINGEMENT
OR TITLE.
9.

Operational Control.

Lessor shall be responsible for the physical and technical operation of the Aircraft and the
safe performance of all flights and shall retain full authority and control, including exclusive
operational control, and possession of the Aircraft at all times during the term of this Agreement.
In accordance with applicable FARs, the qualified flight crew provided by Lessor will exercise all
required and/or appropriate duties and responsibilities in regard to the safety of each flight
conducted hereunder. The Pilot-In-Command shall have absolute discretion in all matters
concerning the preparation of the Aircraft for flight and the flight itself, the load carried and its
distribution, the decision whether or not a flight shall be undertaken, the route to be flown, the
place where landings shall be made and all other matters relating to operation of the Aircraft.
Lessee specifically agrees that the flight crew shall have final and complete authority to delay or
cancel any flight for any reason or condition which, in sole judgment of the Pilot-In-Command,
could compromise the safety of the flight and to take any other action which, in the sole judgment
of the Pilot-In-Command, is necessitated by considerations of safety. No such action of the PilotIn-Command shall create or support any liability to Lessee or any other person for loss, injury,
damages or delay. The Parties further agree that Lessor shall not be liable for delay or failure to
furnish the Aircraft and crew pursuant to this Agreement which such failure is caused by
government regulation or authority, mechanical difficulty or breakdown, war, civil commotion,
strikes or labor disputes, weather conditions, acts of God or other circumstances beyond Lessor's
reasonable control. Lessee agrees that Lessor's operation of aircraft is within the operation
guidelines of the Lessor's Flight Operations Department manual the crews are responsible to
operate within the guidelines of FAR 91 and the Lessor's Flight Operations Department manual.
10. Governing Law.
The Parties hereto acknowledge that this Agreement shall be governed by and construed in
all respects in accordance with the laws of the State of Colorado.
11. Counterparts.
This Agreement may be executed in one or more counterparts each of which will be deemed
an original, all of which together shall constitute one and the same agreement.
12. Entire Agreement.
This Time Sharing Agreement constitutes the entire understanding among the Parties with
respect to its subject matter, and there are no representations, warranties, rights, obligations,
liabilities, conditions, covenants, or agreements other than as expressly set forth herein.
13. Notices and Communications.
All notices, requests, demands and other communications required or desired to be given
hereunder shall be in writing (except as permitted pursuant to Paragraph 2(c)) and shall be
deemed to be given: (i) if personally delivered, upon such delivery; (ii) if mailed by certified

mail, return receipt requested, postage pre-paid, addressed as follows (to the extent applicable for
mailing), upon the earlier to occur of actual receipt, refusal to accept receipt or three (3) days
after such mailing; (iii) if sent by regularly scheduled overnight delivery carrier with delivery fees
either prepaid or an arrangement, satisfactory with such carrier, made for the payment of such
fees, addressed (to the extent applicable for overnight delivery) as follows, upon the earlier to
occur of actual receipt or the next "Business Day" (as hereafter defined) after being sent by such
delivery; or (iv) upon actual receipt when sent by fax, mailgram, telegram or telex:

Notices given by other means shall be deemed to be given only upon actual receipt.
Addresses may be changed by written notice given as provided herein and signed by the party
giving the notice.
14. Further Acts.
LESSOR and LESSEE shall from time to time perform such other and further acts and
execute such other and further instruments as may be required by law or may be reasonably
necessary to: (i) carry out the intent and purpose of this Agreement; and (ii) establish, maintain
and protect the respective rights and remedies of the other party.
15. Successors and Assigns.
Neither this Agreement nor any party's interest herein shall be assignable to any other party
whatsoever. This Agreement shall inure to the benefit of and be binding upon the Parties hereto,
their heirs, representatives and successors.
16. Severability.
In the event that any one or more of the provisions of the Agreement shall for any reason be
held to be invalid, illegal, or unenforceable, those provisions shall be replaced by provisions
acceptable to both Parties to this Agreement.
17. Flight Crew.

Lessor shall employ, pay for and provide a qualified flight crew for all flight operations
under this Agreement.
18. Base of Operations.
For purposes of this Agreement, the base of operation of the Aircraft is Centennial Airport,
Denver, Colorado; provided, that such base may be changed permanently upon notice from
Lessor to Lessee.
19. Taxes.
The Parties acknowledge that reimbursement of all items specified in Paragraph 4, except for
subsections (7) and (8) thereof, are subject to the Federal Excise Tax imposed under Internal
Revenue Code 4261 (the "Commercial Transportation Tax"). Lessee shall pay to Lessor (for
payment to the appropriate governmental agency) any Commercial Transportation Tax applicable
to flights of the Aircraft conducted hereunder. Lessee shall indemnify Lessor for any claims
related to the Commercial Transportation Tax to the extent that Lessee has paid Lessor the
amounts necessary to pay such taxes.
20. Title.
Legal title to the Aircraft shall remain in the Lessor at all times.
21. Truth-in-Leasing.
The Lessor shall mail a copy of this Agreement for and on behalf of both Parties to: Flight
Standards Technical Division, P.O. Box 25724, Oklahoma City, Oklahoma 73125, within twentyfour (24) hours of its execution, as provided by FAR 91.23(c)(1). Additionally, Lessor agrees to
comply with the notification requirements of FAR Section 91.23 by notifying by telephone or in
person the Rocky Mountain FAA Flight Standards District Office at least forty-eight (48) hours
prior to the first flight under this Agreement.
(a) LESSOR CERTIFIES THAT THE AIRCRAFT HAS BEEN INSPECTED AND
MAINTAINED WITHIN THE 12-MONTH PERIOD PRECEDING THE DATE OF THIS
AGREEMENT IN ACCORDANCE WITH THE PROVISIONS OF PART 91 OF THE
FEDERAL AVIATION REGULATIONS AND THAT ALL APPLICABLE REQUIREMENTS
FOR THE AIRCRAFT'S MAINTENANCE AND INSPECTION THEREUNDER HAVE BEEN
MET AND ARE VALID FOR THE OPERATIONS TO BE CONDUCTED UNDER THIS
AGREEMENT.
(b) LESSOR, WHOSE ADDRESS APPEARS IN PARAGRAPH 13 ABOVE AND
WHOSE AUTHORIZED SIGNATURE APPEARS BELOW, AGREES, CERTIFIES AND
ACKNOWLEDGES THAT WHENEVER THE AIRCRAFT IS OPERATED UNDER THIS
AGREEMENT, LESSOR SHALL BE KNOWN AS, CONSIDERED AND SHALL IN FACT BE
THE OPERATOR OF THE AIRCRAFT AND THAT LESSOR UNDERSTANDS ITS
RESPONSIBILITIES FOR COMPLIANCE WITH APPLICABLE FEDERAL AVIATION
REGULATIONS.
(c) THE PARTIES UNDERSTAND THAT AN EXPLANATION OF FACTORS AND
PERTINENT FEDERAL AVIATION REGULATIONS BEARING ON OPERATIONAL

CONTROL CAN BE OBTAINED FROM THE NEAREST FAA FLIGHT STANDARDS

Each of the undersigned is a party to the Time Sharing Agreement dated November 2, 2004,
by and between Qwest Business Resources, Inc. ("Lessor"), and Richard C. Notebaert ("Lessee")
(collectively the "Parties"), and agrees that from and after January 1, 2005, until this Exhibit A
shall be superseded and replaced through agreement of the Parties or the Time Sharing Agreement

cesiona, leasing sau orice fel nstrina aeronave sau crea orice fel de gaj sau garanie
implic aeronave sau face ceva sau de a lua orice aciune care ar putea mature ntr-o
astfel de msur;

i n orice caz, cel puin patruzeci i opt (48) de ore n avans plecrii planificat

comun acord la, i convenite de ctre pri. n plus fa de programele propuse i ore de zbor

4.
numrul i identitatea pasagerilor anticipate i relaia cu locatarului;
5.
natura i amploarea bagajelor i / sau de marf care urmeaz s fie transportate;
6.
data i ora de zbor de retur, dac este cazul; i
7.
orice alte informaii privind zborul a propus ca pot fi relevante sau necesare de Locator
sau Proprietarului echipajul de zbor.
(C) Locatorul va notifica Locatarul dac sau nu utilizarea solicitat ale aeronavei pot fi cazai
i, dac nu, prile vor discuta alternativele.
Utilizarea planificat anterior (d) locatorului asupra aeronava va avea prioritate asupra
utilizrii locatarului. n plus, orice ntreinere i inspecie a aeronavei are prioritate fa
programarea aeronavei, cu excepia cazului de ntreinere sau de inspecie pot fi amnat n
condiii de siguran, n conformitate cu legile i reglementrile aplicabile i n discreia sunet
de pilot-comandant.
(E) Locatorul are autoritate unic i exclusiv asupra programarea aeronavei, inclusiv care

(F) Locatorul nu va fi rspunztoare pentru locatar sau orice alt persoan pentru pierderea,

3. Time-Sharing acord.
Se intenioneaz ca acest Acord va ndeplini cerinele unui "Acord de timp Sharing" ca acest
termen este definit n FAR partea 91.501 (c) (1), prin care Locatorul va nchiria echipajul de
aeronave i zbor de la Locatar.
4. Costul de utilizare a aeronavelor.
(A) n schimbul de utilizare a avionului, Locatarul va plti costurile directe de operare ale
aeronavelor permis n conformitate cu FAR 91.501 pentru orice zbor efectuate n temeiul
prezentului acord sau o cantitate mai mic de comun acord s de ctre pri. n conformitate cu
FAR 91.501 (d), aceste costuri operaionale directe se limiteaz la urmtoarele cheltuieli pentru
fiecare utilizare a aeronavei:
(1)
Costul de combustibil, ulei, lubrifiani i alte aditivi;

(2)
Cheltuielile de deplasare ale echipajului, inclusiv alimente, cazare i transport terestru.
(3)
Hangar i cravat n jos costurile de la baza aeronavei de funcionare.
(4)
Asigurare a obinut pentru zbor specific.
(5)
Taxe de aterizare, taxele de aeroport, i evaluri similare.
(6)
Vamale, permit strine i taxe similare legate direct de zbor.
(7)
n alimente i buturi de zbor.
(8)
Transport la sol de pasageri.
(9)
Servicii de planificare de zbor i de contract de vreme.
(10)
O tax suplimentar egal cu 100 la suta a cheltuielilor menionate la lit. (a) (1) din
prezenta seciune.
(B) Locatorul va factura si Locatarul va plti, pentru toate taxele necesare.
(C) n plus fa de rata de nchiriere menionat n seciunea 4 (a) de mai sus, Locatarul va
fi, de asemenea, evaluate taxe federale Accize impuse n conformitate cu seciunea 4261 din
Codul Internal Revenue, i orice taxe de segment i aterizare asociate cu astfel de zbor (s ).
5. Facturare i Plat.
Toate plile s fie fcute pentru a locatorului de ctre Locatar jos se pltete n modul

toate costurile suportate de Locator n colectarea sumelor datorate de Locatarul conformitate cu

6. Asigurare i limitarea rspunderii.
Locatorul declar c operaiunile de zbor pentru aeronava ca preconizate n prezentul acord
vor fi acoperite de avioanele de risc de asigurare daune fizice Proprietarului (acoperire coca), un
prejudiciu de aeronave corporale i asigurare de rspundere civil pagube materiale, de pasageri,
de asigurare pilot i soluionarea voluntar a echipajului i compensare lucrtorilor statutare i
asigurarea de rspundere civil a angajatorului.
(A) Asigurare.
1.
Locatorul va menine sau va determina s fie meninute n vigoare pe ntreaga durat a
prezentului acord de asigurare de rspundere aeronave n ceea aeronavei ntr-o cantitate
cel puin egal cu 100 milioane dolari combinate limit unic pentru vtmri corporale
sau deces al persoanelor (inclusiv pasagerii ) i rspunderea pagube materiale. Locatorul
va pstra toate drepturile i beneficiile n ceea ce privete veniturile datorate n temeiul

2.
Locatorul va depune toate eforturile pentru a procura o astfel de acoperire suplimentar
de asigurare n calitate de locatar poate solicita numirea Locatarului ca o suplimentare de
asigurat; cu condiia, c costul de astfel de asigurri suplimentare sunt suportate de ctre

(B) Limitarea rspunderii. Locatarul este de acord c asigurarea specificat la punctul 6

cereri, costume, hotrrile sau cauze de aciune, penaliti, amenzi, costuri i cheltuieli de orice

orice fel legate de utilizarea aeronavei prin Chiria sau oaspeii, inclusiv un prejudiciu sau
decesul oricrei persoane, inclusiv Locatarul i oaspeilor si care pot rezulta din sau apar din
utilizarea sau exploatarea aeronavei pe durata prezentului acord ("Creane"). Aceast seciune 6
vor supravieui ncetrii prezentului acord.
(C) Locatarul este de acord c, atunci cnd, n opinia rezonabil a Departamentului
Operatiuni Zbor Locatorului sau pilotii aeronavei, de securitate poate fi compromis, Locatorul
sau piloii poate rezilia un zbor, refuz s nceap un zbor, sau de a lua alte msuri impuse de
astfel de considerente de siguran, fr rspundere pentru pierderea, prejudiciu, deteriorarea, sau

(E) Locatorul IN NICIUN CAZ FI RESPONSABIL PENTRU locatar sau SI angajaii,
agenii, reprezentani, oaspei, SAU PENTRU ORICE DAUNE invitai INDIRECTE,
SPECIALE, SAU REZULTATE SI / SAU PUNITIVE DE ORICE FEL sau natura sub nici o
form SAU pentru orice motiv INCLUSIV orice ntrziere sau Nefurnizarea aeronavei sau
cauzate sau ocazionate de executarea SAU NON-PERFORMANTA ORICE SERVICII
reglementate de prezentul acord.
7. n ceea ce privete Clauze de ntreinere a aeronavelor.
Aeronava a fost inspectat i meninut n perioada de dousprezece luni care precede data
prezentei, n conformitate cu prevederile FAR Partea 91. Locatorul va, pe propria cheltuial,
pentru a inspecta, menine, serviciul, repararea, revizia i testarea aeronavei n conformitate cu

8. Nu Garantie.

9. Controlul operaional.
Locatorul este responsabil pentru funcionarea fizic i tehnic a aeronavei i performanele
n condiii de siguran a tuturor zborurilor i pstreaz autoritatea deplin i control, inclusiv
controlul operaional exclusiv, i posesia aeronavei n orice moment pe durata acestui acord. n
conformitate cu Fars aplicabile, echipajul de zbor calificat prevzut de Locatorul va exercita
toate atribuiile i responsabilitile necesare i / sau adecvate cu privire la sigurana fiecrui
zbor efectuat mai jos. Pilot comandant trebuie s aib libertate absolut n toate problemele

prejudiciu, daune sau ntrziere.Prile convin n continuare c Locatorul nu va fi responsabil
pentru intarziere sau lipsa de furniza aeronavei i echipajului n temeiul prezentului acord, care
astfel eec este cauzat de regulament guvern sau autoritate, dificulti mecanice sau defeciuni,
de rzboi, rebeliunea civil, greve sau conflicte de munc, condiiile meteorologice, acte de
Dumnezeu sau de alte circumstane n afara controlului rezonabil locatorului. Locatarul este de
acord c funcionarea Locatorului de aeronave este n instruciunile de exploatare ale manualului
Departamentului operaiuni de zbor Proprietarului echipajele sunt responsabile pentru a opera n
liniile directoare ale FAR 91 i manualul de Departamentul de Operaiuni de zbor ale locatorului.
10. Legea aplicabil.
Prile la prezentul regulament recunosc ca acest Acord va fi guvernat de i interpretate n
toate privinele, n conformitate cu legislaia statului de Colorado.
11. omologii.
Prezentul acord poate fi executat n unul sau mai multe exemplare, fiecare dintre acestea va

12. ntregul acord.
Prezentul acord Timp Sharing constituie ntreaga nelegere ntre pri cu privire la obiectul

13. Notificri i Comunicaiilor.
Toate anunurile, cereri, cereri i alte comunicaii necesare sau dorite s se acorde mai jos

16. Separabilitatea.

acceptabile pentru ambele pri la prezentul acord.
17. echipajului de comand.
Locatorul va angaja, s plteasc pentru i ofer un echipaj de zbor calificat pentru toate
operaiunile de zbor n temeiul prezentului acord.
18. baz de operaiuni.
Pentru scopurile prezentului acord, baza de operarea aeronavei este Aeroportul Centennial,
Denver, Colorado; cu condiia, ca astfel de baz poate fi schimbat definitiv dup notificarea la
locator la locatar.
19. Impozite.
Prile recunosc c rambursarea toate elementele menionate la articolul 4, cu excepia

TIME-SHARING AGREEMENT

THIS TIME-SHARING AGREEMENT (this Agreement) is made effective as


of
(the Effective Date), by and between KENNEDY AVIATION LLC,
a
limited liability company (Owner) and OPENWAVE SYSTEMS INC., a
Delaware corporation (Lessee) and is made and entered into with reference to the following
facts and objectives:
RECITALS
A.

WHEREAS, Owner is the owner of that certain aircraft identified as


a
engines and auxiliary power unit, avionics, equipment, components, accessories,
instruments and other items installed in or attached to the airframe, the engines or the auxiliary
power unit, together with all spare parts, manuals and log books carried on board and including
any replacement part(s) or engine(s) which may be installed on the Aircraft from time to time,
and all logs, manuals and other records relating to such Aircraft (collectively, the Aircraft); and
B. WHEREAS, Owner has heretofore contracted for a fully qualified flight crew to
operate the Aircraft; and
C. WHEREAS, Lessee desires to lease the Aircraft and flight crew from Owner on a
time-sharing basis, as defined in Section 91.501(c)(1) of the Federal Aviation Regulations
(FAR).
NOW, THEREFORE, for and in consideration of the mutual promises, covenants and
conditions herein set forth, Owner and Lessee agree as follows:
1. LEASE OF AIRCRAFT. Owner agrees to lease the Aircraft to Lessee pursuant to
the provisions of FAR 91.501(c)(1) and to provide a fully qualified flight crew for all operations
for the period commencing on the Effective Date of this Agreement and terminating on the
date Kevin Kennedy ceases to serve in the capacity of at least Chief Operating Officer of
Lessee, or sooner pursuant to Section 18.
2. LESSEES PAYMENT OBLIGATIONS. Lessee shall pay Owner for each flight
conducted under this Agreement an amount equal to the sum of each category of expense set forth
below, provided, however, that such cost shall in no event exceed the sum of the following
expenses authorized by FAR Part 91.501(d);
(a)

Fuel, oil, lubricants, and other additives;

(b)

Travel expenses of the crew, including food, lodging and ground transportation;

(c)

Hangar and tie down costs away from the Aircrafts base of operation;

(d)

Insurance obtained for the specific flight;

(e) Landing fees, airport taxes and similar assessments including, but not limited to IRC
Section 4261 and related excise taxes;
(f)

Customs, foreign permit, and similar fees directly related to the flight;

(g)

In-flight food and beverages;

(h)

Passenger ground transportation;

(i)

Flight planning and weather contract services; and

(j) An additional charge equal to one hundred percent (100%) of the expenses listed in
subsection (a) of this Section.
3. INVOICING FOR FLIGHTS. Owner shall pay all expenses related to the operation
of the Aircraft when incurred, and will provide, or contract with third parties to provide, a
monthly invoice to Lessee setting forth the cost of each specific flight through the last day of the
month in which any flight or flights for the account of Lessee occur, which costs shall not exceed
(a) the sum of actual flight expenses set forth in Section 2 or (b) the amount permitted under FAR
91.501(d); provided, however, that Lessees maximum payments under this Agreement and any
similar agreement prior to or subsequent to this Agreement (for this Aircraft or another aircraft),
collectively, shall not exceed $360,000 per calendar year (pro-rated for any partial year)
excluding taxes that Lessee has agreed to pay under Section 4. Lessee shall pay Owner for the
total expenses set forth on each such invoice within thirty (30) days of receipt of such invoice.
Should Owner receive from Lessee any amounts under this Agreement not otherwise allowed
under the applicable FAR provisions, Owner shall refund such amounts to Lessee promptly after
discovering such unauthorized payments.
4. TAXES. The parties acknowledge that reimbursement of all items specified
in Section 2, except for subsections (g) and (h) thereof, are subject to the federal excise tax
imposed under Internal Revenue Code 4261 (the Commercial Transportation Tax). Lessee
shall pay to Owner (for payment to the appropriate governmental agency) any Commercial
Transportation Tax applicable to flights of the Aircraft conducted hereunder. Lessee shall
indemnify Owner for any claims related to the Commercial Transportation Tax to the extent that
Owner has paid Lessee the amounts necessary to pay such taxes.
5. REQUEST FOR FLIGHTS BY LESSEE. Lessee will provide Owner with requests
for flight time and proposed flight schedules as far in advance of any given flight as is reasonably
possible. Requests for flight time shall be in a form, whether written or oral, mutually convenient
to, and agreed upon by the parties. In addition to the proposed schedules and flight

times, Lessee shall provide at least the following information for each proposed flight at some
time prior to scheduled departure as required by the Owner or Owners flight crew:
(a)

proposed departure point;

(b)

destination;

(c)

date and time of flight;

(d)

the number of anticipated passengers;

(e)

the nature and extent of luggage and/or cargo to be carried;

(f)

the date and time of return flight, if any; and

(g) any other information concerning the proposed flight that may be pertinent or required
by Owner or Owners flight crew.
6. SCHEDULING FLIGHTS. Owner shall have final authority over the scheduling of
the Aircraft, provided, however, that Owner will use its best efforts to accommodate Lessees
needs and to avoid conflicts in scheduling.
7. MAINTENANCE OF AIRCRAFT. Owner shall be solely responsible for securing
maintenance, preventive maintenance and all required or otherwise necessary inspections on the
Aircraft, and shall take such requirements into account in scheduling the Aircraft. No period of
maintenance, preventative maintenance or inspection shall be delayed or postponed for the
purpose of scheduling the Aircraft, unless said maintenance or inspection can be safely conducted
at a later time in compliance with all applicable laws and regulations, and within the sound
discretion of the pilot in command. The pilot in command shall have final and complete authority
to cancel any flight for any reason or condition that in his or her judgment would compromise the
safety of the flight.
8. OPERATIONAL CONTROL. Operational Control as defined in 14 C.F.R.
Paragraph 1.1 and for the purposes of this Agreement, with respect to a flight, means the exercise
of authority over initiating, conducting, or terminating a flight. Owner shall have operational
control of the Aircraft, which shall include, without limitation, providing the flight crew, selecting
the Pilot-in-Command and all other physical and technical operations of the Aircraft.
9. FLIGHT CREW. Owner shall employ or contract with others to employ, pay for and
provide to Lessee a qualified flight crew for each flight undertaken under this Agreement.
10. SAFETY OF FLIGHTS. In accordance with applicable FAR, the qualified flight
crew provided by Owner will exercise all of its duties and responsibilities in regard to the safety
of each flight conducted hereunder. Lessee specifically agrees that the flight crew, in its sole
discretion, may terminate any flight, refuse to commence any flight, or take other action that in
the considered judgment of the pilot in command is necessitated by considerations of safety. No
such action of the pilot in command shall create or support any liability for loss, injury, damage

or delay to Lessee or any other person. The parties further agree that Owner shall not be liable for
delay or failure to furnish the Aircraft and crew pursuant to this Agreement when such failure is
caused by government regulation or authority, mechanical difficulty, war, civil commotion,
strikes or labor disputes, weather conditions, or acts of God.
11.

TITLE. Legal title to the Aircraft shall remain in the Owner at all times.

12. HULL AND LIABILITY INSURANCE. Owner hereby agrees to arrange for and
maintain at all time during the term of this Agreement at its expense (a) aircraft liability insurance
for the Aircraft in the form and substance and with such insurers as is customary for large
corporate aircraft of the type similar to the Aircraft, but in any event with limits of not less
than Three Hundred Million Dollars ($300,000,000) single limit and shall cause Lessee to be
named as an additional insured thereunder and (b) aircraft hull insurance for the Aircraft with
limits of not less than the then current fair market value of the Aircraft. A certificate of
insurance (and, upon request, a copy of the insurance policy(ies)) shall be furnished to Lessees
Treasurer after the execution of this Agreement and prior to flights being undertaken under this
Agreement. In addition, Owner shall provide Lessees Treasurer with advance written notice prior

to amending or terminating any insurance on the Aircraft and shall provide Lessee with a
certificate of insurance promptly after entering into any amended or newly issued insurance
policy.
13. ADDITIONAL INSURANCE. Owner will provide such additional insurance
coverage as Lessee shall request or require, provided, however, that the cost of such additional
insurance, if any, shall be borne by Lessee as set forth in Section 2(d) hereof.
14.

REPRESENTATIONS OF OWNER.

Owner represents and warrants that:

(a) It has the absolute and unrestricted right, power and authority to enter into and perform
its obligations under this Agreement, and the execution and delivery of this Agreement by Owner
have been duly authorized by all necessary action on the part of Owner. This Agreement
constitutes a legal, valid and binding obligation of Owner, enforceable in accordance with its
terms;
(b) It is a limited liability company duly organized, existing and in good standing under
the laws of the State of
and has all necessary power and authority under
applicable law and its organizational documents to own or lease its properties and to carry on its
business as presently conducted;
(c) It is a citizen of the United States as defined in Section 40102(a)(15) of Title 49,
United States Code.
15.

REPRESENTATIONS OF LESSEE.

Lessee represents and warrants that:

(a) It will use the Aircraft for and on account of its own business only, and will not use the
Aircraft for the purpose of providing transportation of passengers or cargo in air commerce for
compensation or hire;

(b) It shall refrain from incurring any mechanics or other lien in connection with
inspection, preventative maintenance, maintenance or storage of the Aircraft, whether permissible
or impermissible under this Agreement, nor shall there be any attempt by any party hereto to
convey, mortgage, assign, lease or any way alienate the Aircraft or create any kind of lien or
security interest involving the Aircraft, or do anything or take any action that might mature into
such a lien; and
(c) During the term of this Agreement, it will abide by and conform to all such laws,
governmental and airport orders, rules and regulations, as shall from time to time be in effect
relating in any way to the operation and use of the Aircraft by a time-sharing Lessee.
16. AIRCRAFT BASE. For purposes of this Agreement, the permanent base of
operation of the Aircraft shall be in the

Notwithstanding the basing provisions contained herein, Lessee acknowledges that Owner will
require that the Aircraft be operated in accordance with 18 CCR 1620(b)(4)(A) in order to qualify
for exclusion from the California use tax. Lessee hereby acknowledges and agrees that this
compliance may cause occasional scheduling disruption or delays.

17. LIMITATION OF LIABILITY; INDEMNIFICATION. Each party to this


Agreement agrees to indemnify and hold harmless the other party and its respective officers,
directors, partners, employees, shareholders, and affiliates from any claim, damage, loss, or
reasonable expense, including reasonable attorneys fees resulting from the bodily injury or
property damage caused by an occurrence and arising out of the ownership, maintenance, or use
of the Aircraft which results from the gross negligence or willful misconduct of such
party, provided that neither party shall be liable for any such loss to the extent such loss: (a) is
covered by the insurance policies described in Sections 12 and 13; (b) is covered by such policies
but the amount of such loss exceeds the policy limits; or (c) consists of expense incurred in
connection with any loss covered, in whole or in part, by such policies but such expenses are not
payable under such policies.
EACH PARTY AGREES THAT (A) THE PROCEEDS OF INSURANCE TO WHICH IT
IS ENTITLED, (B) ITS RIGHTS TO INDEMNIFICATION FROM THE OTHER PARTY
UNDER THIS SECTION, AND (C) ITS RIGHT TO DIRECT DAMAGES ARISING IN
CONTRACT FROM A MATERIAL BREACH OF THE OTHER PARTYS OBLIGATIONS
UNDER THIS AGREEMENT ARE THE SOLE REMEDIES FOR ANY DAMAGE, LOSS, OR
EXPENSE ARISING OUT OF THIS AGREEMENT OR THE SERVICES PROVIDED
HEREUNDER OR CONTEMPLATED HEREBY. EXCEPT AS SET FORTH IN THIS
SECTION, EACH PARTY WAIVES ANY RIGHT TO RECOVER ANY DAMAGE, LOSS, OR
EXPENSE ARISING OUT OF THIS AGREEMENT OR THE SERVICES PROVIDED
HEREUNDER OR CONTEMPLATED HEREBY. IN NO EVENT SHALL EITHER PARTY BE
LIABLE FOR OR HAVE ANY DUTY FOR INDEMNIFICATION OR CONTRIBUTION TO
THE OTHER PARTY FOR ANY CLAIMED INDIRECT, SPECIAL, CONSEQUENTIAL, OR
PUNITIVE DAMAGES, OR FOR ANY DAMAGES CONSISTING OF DAMAGES FOR LOSS
OF USE OR DEPRECIATION OF VALUE OF THE AIRCRAFT, LOSS OF PROFIT OR
INSURANCE DEDUCTIBLE.

Each party is aware of the provisions of Civil Code Section 1542, which reads as follows:
A general release does not extend to claims which the creditor does not know or suspect to
exist in his favor at the time of executing the release, which if known by him must have
materially affected his settlement with the debtor.
Notwithstanding the provisions of Civil Code Section 1542, each party fully and completely
waives its protections.
The provisions of this section shall survive the termination or expiration of this Agreement.
18. TERMINATION. Either party may terminate this Agreement upon five (5) business
days prior written notice to the other party; provided, however, the Agreement shall
automatically terminate on the sale of the Aircraft by Owner.

OPERATION LOGS AND HAS FOUND THAT DURING THE PERIOD BETWEEN

THE MANUFACTURE OF THE AIRCRAFT AND THE DATE OF THIS AGREEMENT THE
AIRCRAFT HAS BEEN MAINTAINED AND INSPECTED IN ACCORDANCE WITH FAR
PART 91. OWNER CERTIFIES THAT:
THE AIRCRAFT WILL BE MAINTAINED AND INSPECTED UNDER FAR PART 91
FOR OPERATIONS TO BE CONDUCTED UNDER THIS AGREEMENT.
OWNER AND LESSEE CERTIFY THAT OWNER AND NOT LESSEE IS
RESPONSIBLE FOR OPERATIONAL CONTROL OF THE AIRCRAFT UNDER THIS
AGREEMENT THROUGHOUT THE TERM HEREOF. OWNER FURTHER CERTIFIES
THAT OWNER UNDERSTANDS ITS RESPONSIBILITY FOR COMPLIANCE WITH
APPLICABLE FEDERAL AVIATION REGULATIONS AND COVENANTS THAT IT SHALL
COMPLY WITH SUCH REGULATIONS.
LESSEE AND OWNER UNDERSTAND THAT AN EXPLANATION OF FACTORS
BEARING ON OPERATIONAL CONTROL AND PERTINENT FEDERAL AVIATION
REGULATIONS CAN BE OBTAINED FROM THE NEAREST FAA FLIGHT STANDARDS
DISTRICT OFFICE.

3. FACTURARE pentru zborurile . Proprietar pltete toate cheltuielile legate de

oferi o factur lunar pentru locatar se stabilete costul fiecrui zbor specific prin ultima zi a lunii

4. TAXE . Prile recunosc c rambursarea toate elementele menionate n seciunea 2 , cu
excepia subseciunile (g) i (h), sunt supuse accizelor federal impuse sub Internal Revenue Code
4261 ("Commercial Transport Taxa"). Locatarul va plti Proprietar (pentru plata ctre agenia
guvernamental corespunztoare) orice tax comercial Transport aplicabile zborurilor aeronavei
efectuat mai jos. Locatarul va despgubi Proprietar de orice pretentii legate de transport taxa
comercial, n msura n care proprietarul a pltit Locatarul sumele necesare pentru plata unor
astfel de taxe.
5. CERERE DE BILETE DE locatar . Locatarul va oferi Proprietar cererilor de timp de
zbor i orarele de zbor propuse n ceea ce nainte de orice zbor dat ca este posibil. Cererile de
timp de zbor trebuie s fie ntr-o form, n scris sau oral, convenit de comun acord la, i
convenite de ctre pri. n plus fa de programele propuse i zborul

ori, Locatarul trebuie s furnizeze cel puin urmtoarele informaii pentru fiecare zbor propus la
un moment dat, nainte de plecare programat n conformitate cu cerinele de proprietar sau
echipajul de zbor Proprietarul:
(A) punctul de plecare propus;
(B) destinaia;

(C) data i ora de zbor;


(D) numrul de pasageri anticipate;
(E) natura i amploarea bagajelor i / sau de marf care urmeaz s fie transportate;
(F) data i ora de zbor de ntoarcere, dac este cazul; i
(G) orice alte informaii privind zborul a propus ca pot fi relevante sau solicitate de
proprietar sau Proprietarul echipajul de zbor.
6. BILETE programarea . Proprietar are autoritate final asupra programarea a

11. TITLUL . Titlu legal aeronavei rmn n proprietarul, n orice moment.


12. Hull si ASIGURARE RESPONSABILITATE . Proprietar este de acord de a asigura
i menine n orice moment pe durata prezentului acord pe cheltuiala sa (a) asigurare de
rspundere aeronave, pentru aeronave, n forma i substana i cu astfel de asigurtori aa cum
se obinuiete pentru aeronavele de mare corporative de tip similar aeronav, dar n orice caz, cu
limite de nu mai puin de trei sute de milioane de dolari (300 milioane dolari), limit unic i
va face Locatarul a fi numit ca o suplimentare de asigurat n temeiul acestora i (b) de asigurare a
aeronavelor coca pentru aeronave cu limite de nu mai puin de valoarea de atunci curent de
pia echitabil a aeronavei . Un certificat de asigurare (i, la cerere, o copie a poliei de
asigurare (societilor)) va fi furnizat Trezorier Locatar dup executarea prezentului acord i

locatarului cu avans notificare scris, nainte de modificarea sau rezilierea orice asigurare pe
aeronav i trebuie s furnizeze Locatarul cu un certificat de asigurare imediat dup intrarea n
orice poli de asigurare modificate sau nou-emise.

din titlul 49, Codul Statelor Unite.
15. DECLARAII DE locatarului . Locatarul declar i garanteaz c:

guvernamentale i aeroporturi, regulile i reglementrile, astfel cum se din cnd n cnd s fie n
vigoare referitoare n orice mod la operarea i utilizarea aeronavele de un locatar time-sharing.
16. BASE AERONAVE . Pentru scopurile prezentului acord, baza permanent de
funcionare a aeronavei se n aeroportul din. Fr a aduce atingere dispoziiilor bazndu
coninute n acest document, Locatarul recunoate c proprietarul va solicita ca aeronava s fie
operat n conformitate cu 18 CCR 1620 (b) (4) (A), n scopul de a se califica pentru excluderea
din California folosesc fiscale. Locatarul admite i este de acord c acest lucru poate provoca
perturbri conformitate programarea ocazional sau ntrzieri.
17. LIMITAREA RSPUNDERII; DESPGUBIRI . Fiecare parte la prezentul acord

angajati, actionari, i afiliaii din orice cerere, prejudiciu, pierdere sau cheltuiala rezonabile,

avionului care rezult din neglijen grav sau cu intenie de astfel de partid, cu condiia ca
niciuna dintre pri nu va fi rspunztoare pentru astfel de pierderi n msura n astfel de
pierdere : (a) este acoperit de poliele de asigurare descrise n seciunile 12 i 13 ; (B) este
acoperit de aceste politici, dar cantitatea de astfel de pierderi depete limitele politicii; sau (c)
este format din cheltuieli suportate n legtur cu orice pierderi acoperite, n totalitate sau n parte,
prin aceste politici, dar astfel de cheltuieli nu sunt datorate n cadrul acestor politici.
Fiecare parte accept c (a) sumele de asigurare pentru care are dreptul, (B) drepturile sale

Fiecare parte este contient de dispoziiile Codului civil seciunea 1542, care prevede
urmtoarele:
"Un comunicat de general, nu se extinde la creanele care creditorul nu tiu sau
suspecteaz c exist n favoarea sa n momentul executrii eliberare, care dac se cunoate
de el trebuie s fi afectat semnificativ de decontare sa cu debitorul."

Fr a aduce atingere dispoziiilor Codului civil seciunea 1542, fiecare parte renun
integral i complet de protectie sale.
Dispoziiile prezentei seciuni se supravieui rezilierea sau expirarea prezentului acord.
18. NCETAREA . Oricare dintre pri poate denuna prezentul acord pe cinci (5) nainte
de o notificare scrisa zile lucrtoare de a celeilalte pri, cu condiia, cu toate acestea, acordul
nceteaz n mod automat cu privire la vnzarea a aeronavei de ctre proprietar.

India: A clean market for


cross-border leases
In a globalizing environment, cross-border leasing has not
picked up the way it might have been expected. Cross-border
lease transactions are generally restricted to aircraft leasing,
where this is the most popular means of financing, marine
equipment and railroad rolling stock to some extent. Leasing of
general purpose machinery, electronic equipment or vehicles
remains an infinitesimal fraction of global trade in such goods.
This is contrary to the reasons, valid in theory, for which the
volumes of leasing of such equipment to offshore lessees
should have been substantial, such as:
1. Foreign investors are anyway taking keen interest in
international financing, mostly in debt instruments.
Financial leasing is understandably only a safer way of
debt financing.
2. While making investment in a less-developed-country
(LDC), an international investor is concerned about the
state of the economy and the extraneous factors that
affect his risks in taking a borrower-based risk. Leasing
shifts the risk to the value of an asset which is far easier
to measure and monitor.
3. Cross-border leases have been traditionally used to
maximize tax benefits taking advantage of international

disparity of laws. Tax legislation in most developed


countries becoming mature enough to ignore the form of
a financial lease, cross-border leasing only helps to shift
the jurisdiction of a lease to a country which honours the
legal form of a transaction.
4. Cross-border operating leases should have been the best
way of technology transfers. The importer taking risk in a
new technology would like to keep open the option to
walk-out, for which a cancellable lease agreement would
be ideal.
Inspite of these reasons, cross-border lease transactions
remain an issue which is more talked about than practised.
This Paper focuses on India as a host country where most of
the legal and tax problems associated with cross-border
leasing have a firm and favourable answer. Therefore, this
Paper attracts the attention of the Western world to Indian
markets for cross-border leases. [Go to the Indian leasing

With a fledgling industry, and massive requirements of
investments in infrastructure, India is an excellent case for
cross-border leases. Indias unique advantages lie in its mature
and independent judiciary, a tax-system which is generally in
line with the Western World, and a generally stable economy.
Environment for cross-border lease transactions is fairly clear
in India. Following chief points highlight Indian environment on
cross-border leases:
1. RBI has expressly allowed cross-border leases:
Few would be aware that the Reserve Bank of India (RBI) has
expressly permitted cross-border lease transactions. In Circular
no. 16 dated Sept. 14, 1996, the RBI has clarified that import of
capital goods under financial leases would be taken at par with
external commercial borrowings (ECBs).
That is to say, in all those cases where ECB is permitted, an
Indian lessee may seek a lease of capital goods from a cross-

border lessor. The eligibility and pre-conditions for ECBs are


laid down in June 1996 Guidelines of the Govt.
In general, an Indian entity will be able to avail of a crossborder financial lease of equipment worth upto US $ 3 million
on application to the RBI.
2. Lessors ownership rights are supreme, even in case of crossborder lessors:
Indian Courts have generally accepted the lessors ownership
rights and supremacy over third party interests. India has
judicial history of some 50 years relating to hire-purchase
transactions. Not only have the Courts upheld the lessors
property interests, they have also shielded the lessor from
claims arising on account of use or operation of the equipment.

An example of a cross-border lessor seeking to enforce rights
against an Indian lessee was the East West Airlines case where
the Supreme Court ordered repossession of the aircraft by the
cross-border lessor owing to rental defaults by the lessee.
Sick Industries legislation in India prevents any action against a
sick company in a common law suit. But recognising the fact
that the lessor under a lease agreement is enforcing claim
against his own property, Courts have admitted such claims
- Credit Capital Finance before the Delhi High Court
and Cholamandalam Investment case before the Madras High
Court.
3. Courts respect owners repossession rights:
Indian Courts have favoured direct access to the asset by the
owner, be it a case of hire-purchase or lease. In a hire-purchase
case before the Supreme Court, the Court held that the right to
resume possession of the asset was an inherent right of the
owner, even if there was no clause to the effect in the
agreement - KK Mathai alias Babu v. Kora Bibbikutty and
another(1996) SCC 281.
4. No ownership-based risks in case of financial leases:

While upholding the lessors supremacy in title, Courts have


also honoured the financial nature of a lease/hire-purchase
transaction and attached liabilities relating to the use of the
asset on the lessee being the effective user of the asset. There
are several cases on the point, detailed in Vinod
Kothari: Lease Financing and Hire-purchase 1996, P. 687-9.
5. Comprehensive double-tax avoidance treaties with many
countries:
India has double tax avoidance treaties with most of the
significant countries in the World. There are comprehensive
treaties with some countries where rates of withholding taxes
are also considerably reduced.
Unfortunately, in many of these treaties, specific provisions
regarding leasing of capital goods are missing. But that should
not be a limiting factor in cases of comprehensive treaties.
6. Withholding taxes on aircraft leases waived:
Sec. 10 (15A) of the Income-tax Act provided for a specific
exemption to income in India of a cross-border lessor on lease
of aircraft. Later, however, this provision was deleted: hence
cross-border lessors will have to fall under general double-tax
avoidance treaty provisions.
7. Tax laws generally respect the form of the transaction:
Indian tax laws have generally accepted the form of the lease

transactions in India] There have been some rulings (notably,
Supreme Court ruling in the case of Narang Dairy
Industries, regarding a lease as a mode of transfer, and the
ruling of the Bombay Tribunal in Centre for Monitoring of Indian
Economy holding a lease to be a purchase by the lessee)
against the form, but general attitude is that the form should
be accepted unless the substance is revealing enough.
Hire-purchase transactions qualify for depreciation with the
user. Lease transactions enable to lessor to depreciate the
asset. A debate on lessee-based depreciation on financial

leases has already been initiated and answered: therefore, the


present system may continue for quite some time.
8. Pre-determination of disputed questions possible in case of
foreign investors
Especially to serve the interests of non-residents, which would
include a cross-border lessor, Income-tax Act [sec. 245N]
contains special provisions for obtaining an advance ruling on
disputable questions. The ruling is binding on the assessee as
well the Department.
9. Immunity against local tax under the Constitution
A lease transaction has been treated by Indian Constitution
[art. 366 (29A)] at par with a sale. Tax on sale transactions can
be imposed mostly by State govts, while inter-State sales are
taxable by the Central Govt.
Sec. 4/5 of the CST Act provide complete immunity to import
sales, which term would clearly include an off-shore lease
transaction. This seals the transaction against all possible
taxes now or in future, as far as the basic transaction is
concerned.
India is, thus, an excellent market for in-bound cross-border
leases. Cross-border lessors, who have generally kept
themselves limited to aircrafts, containers or marine
equipment should find avenues of leasing plant and machinery,
for mutual prosperity and gain.
As host countries, Asian economies should learn a lesson from
the EEC, and try to harmonise their laws. Adoption of the
UNIDROITs latest piece on commercial contracts may be great
national interest to every Asian economy.

transfrontaliere sunt n general limitate la leasing de aeronave,

ferat ntr-o anumit msur. Leasing de uz general maini,
echipamente electronice sau vehicule rmne o fraciune
infinitezimal din comerul mondial n astfel de mrfuri. Acest

valoare de pana 3 milioane dolari SUA la cererea pentru RBI.

Un exemplu de locator transfrontalier urmrete aplicarea
drepturilor mpotriva unui locatar indian a fost East West
Airlines cazul n care Curtea Suprem a dispus restituire a
aeronavei de ctre locator transfrontalier cauza implicite de
nchiriere de ctre locatar.
Legislaia Industries bolnavi n India previne orice aciune
mpotriva unei societi bolnav ntr-un costum de drept
comun. Dar recunoscnd faptul c locatorul n cadrul unui
contract de leasing este aplicarea plngere mpotriva propriului
su de proprietate, tenis au admis astfel de creane - Credit
Capital Finance faa Delhi nalta Curte i de investiii
Cholamandalam cazul n faa naltei Curi Madras.
3. Instanele respecte proprietar ?? E drepturi reintrarea n
posesie:
Instanele indiene au favorizat accesul direct la activul de ctre
proprietar, fie un caz de nchiriere-cumprare sau de
nchiriere. ntr-un caz de nchiriere-cumprare n faa Curii
Supreme, Curtea a statuat c dreptul de a relua posesia
bunului a fost un drept inerent al proprietarului, chiar dac nu
a existat nici o clauz care s ateste n acordul - KK Mathai
alias Babu v. Kora Bibbikutty i un alt (1996) SCC 281.

4. Nici un pericol pe baza de proprietate, n cazul contractelor de


leasing financiar:
n timp ce susinerea supremaiei locatorului ?? s n titlu,
Instanele au onorat de asemenea natura financiar a unei
tranzacii de leasing / nchiriere-cumprare i ataat datorii
legate de utilizarea activului pe locatar fiind utilizatorul efectiv
al activului. Exist mai multe cazuri pe punctul, descrise

687-9.
5. complete tratate de evitare dublu de impozitare cu multe ri:
India are duble tratate de evaziune fiscal cu cele mai
importante ri din lume. Exist tratate globale cu unele ri n
care ratele de impozite cu reinere la surs sunt de asemenea
reduse considerabil.
Din pcate, n multe din aceste tratate, dispoziii specifice
privind leasing de bunuri de capital lipsesc. Dar asta nu ar
trebui s fie un factor de limitare n cazul tratatelor complete.

taxele posibile acum sau n viitor, n msura n care tranzacia
de baz este n cauz.
India este, astfel, o pia excelent pentru in-legat leasing
transfrontaliere. Locatori transfrontaliere, care s-au pstrat, n
general, limitat la aeronave, containere sau echipamentele
marine trebuie s gseasc ci de plante i maini de leasing,
pentru prosperitate reciproc i ctig.
Ca ri gazd, economiile asiatice ar trebui s nvee o lecie
din CEE, i s ncerce s armonizeze legislaia lor. Adoptarea
UNIDROIT ?? s cele mai recente bucat de contracte

comerciale poate fi mare interes national pentru fiecare


economie din Asia.
