DISTRIBUTORSHIP AGREEMENT

KNOW ALL MEN BY THIS PRESENTS:

This Distributorship Agreement is made and entered into by and between:
A-PLUS SUPPLY CO., LTD., a firm engaged in the sale of various R & D Care line
of products, with principal business address at 55/95 MOO 12, Suvintawong Rd., Sansaeb,
Minburi, Bangkok 10510 Thailand, represented herein by its President,
______________________________, hereinafter referred to as the SUPPLIER;
- and F.R.U. MARKETING COMPANY, a domestic firm duly registered and existing in
accordance with the laws of the Republic of the Philippines, with office address at 81-E
Brixton Hill Extension, G. Araneta Avenue, Barangay Santol, Quezon City, Philippines,
represented in this act by its General Manager, ___________________________________,
hereinafter referred to as the DISTRIBUTOR.
WITNESSETH:
WHEREAS, the SUPPLIER is the supplier of various R & D Care line of products,
which includes the following:

Spa White Papaya Salt Scrub
Spa White Grape Salt Scrub
Spa White Coconut Salt Scrub

WHEREAS, the DISTRIBUTOR has offered to render its distributorship service for
the above-specified products of the SUPPLIER and the latter has granted the offer
accompanied with benefits and privileges accorded to its authorized distributors;
NOW THEREFORE, for and in consideration of the foregoing premises, the parties
herein have agreed as they hereby agree on the following terms and conditions:
1.

F.R.U Marketing will be the exclusive distributor for the R & D Care line
of products of SUPPLIER for the next TWELVE (12) MONTHS provided
that it would achieve a Purchase Order Quota of ONE MILLION THAI
BAHT for a period of one (1) month within the next fourteen (14) months;

2.

The time for the 14-month period shall commence on April 1, 2006 to June
1, 2007;

3.

Should the aforesaid quota been achieved, the DISTRIBUTOR shall

automatically be granted the EXCLUSIVE DISTRIBUTORSHIP for a
period of FIVE (5) YEARS;

4.

In the event that the DISTRIBUTOR has exceeded the Purchase Order
Quota, an additional discount of 3% from the annual purchase order.

This Agreement is subject for automatic renewal every five (5) years with provision
that the DISTRIBUTOR should satisfy the required purchase order within the monthly
quota.

If for any reason the SUPPLIER violated any of the stipulations herein prescribed,
it will be required to pay a sum of ______________________________________ for the
consequential damages.
IN WITNESS WHEREOF, the parties herein have hereunto set their hands this
