The Contractor shall comply with all laws in force in the country where the Facilities are installed
and the Installation Services are carried out. The laws will include all national, provincial,
municipal or other laws that affect the performance of the Contract and bind upon the
Contractor. The Contractor shall indemnify and hold harmless the Employer from and against
any and all liabilities, damages, claims, fines, penalties and expenses of whatever nature arising
or resulting from the violation of such laws by the Contractor or its personnel, including the
Subcontractors and their personnel, but without prejudice to GC 10.1 hereof.

The Contractor shall permit the Bank to inspect the Contractor's accounts and records relating to
the performance of the contract and to have them audited by auditors appointed by the Bank, if
so required by the Bank.

Requirement
The Contractor shall execute the basic and detailed design and the engineering work in
compliance with the provisions of the Contract, or where not so specified, in accordance with
good engineering practice. The Contractor shall be responsible for any discrepancies, errors or
omissions in the specifications, drawings and other technical documents that it has prepared,
whether such specifications, drawings and other documents have been approved by the Project
Manager or not, provided that such discrepancies, errors or omissions are not because of
inaccurate information furnished in writing to the Contractor by or on behalf of the Employer.
The Contractor shall be entitled to disclaim responsibility for any design, data, drawing,
specification or other document, or any modification thereof provided or designated by or on
behalf of the Employer, by giving a notice of such disclaimer to the Project Manager.
After Completion of all parts of the Facilities, the Contractor shall clear away and remove all
wreckage, rubbish and debris of any kind from the Site, and shall leave the site and Facilities in
a clean and safe condition

29.1. The Contractor shall, subject to the Employer's compliance with GC 29.2 below, indemnify
and hold harmless the Employer and its employees and officers from and against any and all
suits, actions or administrative proceedings, claims, demands, losses, damages, costs, and
expenses of whatsoever nature, including attorney's fees and expenses, which the Employer
may suffer as a result of any infringement or alleged infringement of any patent, utility model,
registered design, trademark, copyright or other intellectual property right registered or
otherwise existing at the date of the Contract by reason of: (a) the installation of the Facilities by
the Contractor or the use of the Facilities in the country where the site is located; and (b) the
sale of the products produced by the Facilities in any country.
Such indemnity shall not cover any use of the Facilities or any part thereof other than for the
purpose indicated by, or reasonably to be inferred from, the Contract, any infringement resulting
from the use of the Facilities or any part thereof, or any products produced thereby in
association or combination with any other Equipment, Plant or materials not supplied by the
Contractor, pursuant to the Contract Agreement.
29.2. If any proceedings are brought or any claim is made against the Employer arising out
of the matters referred to in GC 29.1 above, the Employer shall promptly give the
Contractor a notice thereof, and the Contractor may at its own expense and in the
Employer's name conduct such proceedings or claim and any negotiations for the

until the date of Completion of the Facilities pursuant to GC 24 (Completion) hereof or, where

Facilities or the relevant part thereof from any cause whatsoever during such period. The

In addition to the supply of Mandatory Spare Parts included in the Contract, the Contractor
agrees to supply spare parts required for the operation and maintenance of the Facilities at least
10 years from termination of the Contract.
However, the identity, specifications and quantities of such spare parts and the terms and
conditions relating to the supply thereof are to be agreed between the Employer and the

Contractor and the price of such spare parts shall be that given in Price Schedule No. 6 which
shall be added to the Contract Price. The price of such spare parts shall include the purchase
price therefore and other costs and expenses (including the Contractor's fees) relating to the
supply of the same.

Requirement
The Contractor shall prepare sufficient inventories to ensure an ex-stock supply of consumable
spares for the Plant and Equipment. Other spare parts and components shall be supplied as
promptly as possible, but at the most within six (6) months of placing the order and opening the
letter of credit. In addition, in the event of termination of the production of spare parts, advance

notification will be made to the Employer of the pending termination, with sufficient time to
permit the Employer to procure the needed requirement. Following such termination, the
Contractor will permit to the extent possible and at no cost to the Employer the blueprints,
drawings and specifications of the spare parts, if requested
The Contractor will obtain any approval, authorization or conformation on the Employers name
(i.e. BRML Romanian Office for Legal Metrology). The Contractor in this regard will include in the
scope of supply only instrumentation devices which are according to CEE (Communaute
Economique Europeene) normed by the Comite Europeen de Normalisation Electrotechnique

and marked CE, manufactured in the European Union. The Contractor will provide all the
necessary product documentation related to the CEE approvals (model approval CEE and/or
initial checking CEE) issued in the manufacturers country of origin, in case such documentation
would be required to the Employer by the Romanian authorities.

The GC 20.3.1 is completed with: The technical documentation listed in Appendix 7 to the
Contract Agreement shall be made available for the Project Manager in 3 hard copies and 3
electronic copies in Romanian and English languages. The technical and design documents
provided within the General Technical Conditions subject to the Project Managers approval, shall

of Ordinance no. 95/1999 concerning the quality of installation works related to industrial

Within thirty (30) days after receipt by the Project Manager of any document requiring the

If during the defect liability period or extended guarantee period, to a certain facility or part
25 thereof, two defects, of similar nature, should be found, these facilities or parts thereof shall be
replaced on the Contractors expense.

guarantee per unit (1/6 of 10% performance guarantee to each unit) before the respective unit will be taken over by the Contractor for

the advance payment guarantee on a yearly revolving basis (the guarantee wording needs then to be adjusted accordingly). Furthermore

The Stejaru HPP Development Scheme in future will exist of already existing structures (gravity dam, reservoir, power plant intake,
pressure headrace tunnel system, hydroelectrical power plant and tailrace canal). The Contractors work is limited to specific work located
in the pressure headrace system (specified equipment in the butterfly valve chamber and specific work in the penstocks) and in the power
plant.
As specified in 4.1 we assume that the structure of all buildings is stable and does not need any survey nor reinforcement. Therefore it
shall be defined as part of the Site but not part of Plant and Equipment.
Existing structure (as per 2.1) which is not part of the specified work (no specified rehabilitation work foreseen) shall be considered as well
as part of the Site but alike not as part of Plant and Equipment.
In cases where existing structure or parts thereof will be reused after expert appraisal, specified rehabilitation work or modernization as
described in 5.B. then it is assumed that the existing structure and/or the parts are structurally sound and fit for future use (which has
been checked and confirmed by specialized third party) and shall be considered as part of the Site but not as part of Plant and Equipment.
The existing structure or parts thereof will remain in the ownership of the Employer.
The rehabilitation of the existing structure and parts is limited to rework / remachine worn surfaces and shall be considered as Installation
Services. The Employer shall assist to obtain the approval by the initial designer (S.C. ISPH S.A), as per 4.1.5.

For stress calculation and analysis of deformation proven methods for this kind of equipment will be applied. Permissible stress level
depend on the type of analysis, analysed component, load condition, etc. The methods and acceptance criteria shall be as defined in the
document Safety philosophy of hydraulic machinery, KoRiLi 001 A 006.
Materials are referenced on drawings. The specification or names thereof are listed in referenced part lists which physically are different
documents.

Local Control: We provide 19" Touch Panels for local control of hydrounit (Unit Control Board), common auxiliaries (automation of general plant systems),
& switchyard control (System of the 220/110/10,5 kV Substation). Mimics or other conventional operation facilities are not provided (except emergency
push buttons and important push buttons & switches). At the respective local control boxes/cubicles we have offered 6" Touch panels instead of classic
indication instruments.
For 220KV and 110KV switchyard BC1703 Bay controllers are offered, installed in the local control cubicles at switchyard control room.
Terminals and Terminations: Our Automation System has intelligent terminals which already have terminal sockets (plugs) integrated. From these
sockets, sensors and actuators are wired directly. We do not have additional terminal blocks in the cubicles except for mains, auxiliary power supply, and
power distribution and for CT/PT circuits. Terminal blocks are not equipped with jumper bars or connection poles.
Spare of field cables cores (marked with identification numbers) are laid in the cable duct of the respective cubicle. Spare cores are not connected to
spare terminals or earth bars.
Cubicle Design: During basic design a guideline for general design of cubicle will be defined together with the Employer. This guideline comprises
among others definition of size, color, terminal types and internal cubicle structure. This guideline will be the base for cubicle construction and
assembling independent of who will manufacture and where they will be manufactured
IP selected for Cubicles (4.8.3.6.)
All offered cubicles and local boxes have a protection degree according to the environment -between IP 54 and IP 65 (touch panels have IP65 protection

quality of manufacturing. Specific Documents exceeding those to be submitted and required for the surveillance of the quality shall be
shown to the Inspector of the Employer upon request.

The time between repair can be indicated for information, but cannot be guaranteed beside the contractually defined guarantee.
The unavailability time shall be as defined in the Contract Conditions.
The equipment will be designed (not guaranteed) to minimize risk of any kind so to be eligible to be certified according European
regulations with an EC Certificate.
It is guaranteed that the total amount of rusted area is exceeding the agreed rusting degree is less than 5% of the total protected surface.

Our offer is based on the specifications that stipulate only repairs of the gantries and pillars by
hidroforbization procedures. In case an expertise would relieve that resistance structure is
damaged and complete pillars (gantries) would be replaced, such works are not considered in
actual offer but could be subject of a change order.
However we inserted in our offer two products: (Schneider and Siemens) as A category
products that fulfills specific standard related to power quality.
Our offer is based on the specifications that stipulate only repairs of the gantries and pillars by
hidroforbization procedures. In case an expertise would relieve that resistance structure is
damaged and complete pillars (gantries) would be replaced, such works are not considered in
actual offer but could be subject of a change order.
All incomming and outgoing feeder circuit breaker are 3 pole switches. The design of the N will
be only 50% of the nominal bas bar current - symmetrical arrangement of single phase
consumers.The grounding from doors with hinges is not required. The hinges are approved as
suitbale connection from the grounded frame to the door.
Communication units for circuit breakers is not foreseen - all relevant digital signals are
collected to each dedicated Automation equipment of the distribution board.
Control voltage is 220VDC, supplied 2 times from the DC system, decoupled with diods. LED
control voltage is 24VDC, supplied via DC/DC converter from the 220VDC system.
Soft starting of motors are foreseen for motor feeders 22kW and more
Frequency inverter will be used only for cooling water pumps - the frequency inverter will be
installed local closed to the pump in an independent cubicle to reach the proper protection
class.
The transmitted consumer list (attachement of CR13) have to be clarified during techncial
negotiation
Please eliminate the wording modern equipment of high performance, capable to provide a
perfect tight closing as this cannot be achieved with the old valves. We propose:
By making the refurbishment of spherical valves there are considered the replacement of
worn-out components of them and the rehabilitation of the re-usable ones.
According to information provided by the customer (tender clarification), the nominal pressure
the valves were designed for is 20 bar (33 bar test pressure). This pressure cannot be
guaranteed nor improved. We propose a leakage test with 110% of the nominal pressure (=22
bar) after rehabilitation works.
We can offer a strength computation of the complete valve. However, we cannot take
any responsibility with regard to the outcome. In case the structural analysis showed
deficiencies in the existing components, VH shall develop a proposal (technically and
commercially) for rehabilitation or replacement of the component. Such proposal shall
be treated as adder to the contract.
The existing valve cannot be re-dimensioned. In case the structural analysis showed

Our offer does not include any improvements to the hydraulic behaviour of the valves. (E.g.
hydraulic loss factor, hydraulic torques, cavitation behaviour, opening and closing speed, noise
development, vibration etc.)
Due to the fact that the main seal between rotor and housing is by metal to metal contact, it is
not possible to predict the achievable quality of the rehabilitation works. Zero leakage cannot
be guaranteed.
For the valve DN1800 a new seal system (seal ring instead of seal plate) is designed. For the
new seal (not rehabilitated) we can guarantee a leakage according to EN 12266-1 class F.
For corrosion protection guarantee time, please refer to our commercial offer.
In case unforeseen defects were found, VH shall prepare a proposal (technically and
commercially) for rehabilitation works or replacement of the respective component.
The rehabilitation works have no influence on these subjects. Therefore we cannot give any
guarantees.
This is not acceptable. Motors will be supplied with standard protection class. Instrumentation
depending on the installation requirements up to IP65.
For corrosion protection guarantee time, please refer to our commercial offer.
The water leakage depends on the actual condition of the metallic seal. It can be improved
locally. But a leakage rate cannot be guaranteed.

According to information provided by the customer (tender clarification), the nominal pressure
the valves were designed for is 8 bar (13 bar test pressure). This pressure cannot be
guaranteed nor improved. We propose a leakage test with 110% of the nominal pressure (8.8
bars) after rehabilitation works
The maximum flow for which the valve originally was designed cannot be increased. In
general, the working parameters of the valve cannot be changed by the rehabilitation works.
Therefore, they are not guaranteed.
We do not understand the reason for this fast closing time. Also, our transient analysis shows
that such fast closing would result in about 11 bar considering full normal flow. This is higher
than the informed 8 bar design pressure. VH proposes to increase the closing time. This shall
be discussed during negotiations.
We can offer a strength computation of the complete valve. However, we cannot take any
responsibility with regard to the outcome.
The maximum possible discharge needs to be defined. It is very unlikely that the existing
valve can close against the max possible flow during penstock rupture. In any case, we cannot
take any responsibility for the outcome of such investigation.
Our offer does not include any improvements to the hydraulic behaviour of the valves. (E.g.

development, vibration etc.)

Manual control will be provided via 4/2-Way-Solenoid valves only hydraulically. With such
system no mechanical feedback will be installed in order to reduce required maintenance.
Manual control is possible within the complete mechanical range of wicket gate servomotor
without opening limitation.
The power measurement transducer will not be installed in the ASG cubicle. The ASG will
receive active power signal (4-20 mA Signal) from other equipment which is already
measuring active power (protection or excitation system). If an independent power transducer
for ASG is requested, this can be provided as an option.
As the accuracy of generator frequency signal is higher, during operation of the unit the
generator frequency signal will be taken as main source for primary control.
If the generator is not excited (during startup and shutdown), the signal from proximity sensor
will be main source.
The specified reading resolution and measuring accuracy can be achieved only in the speed
range of 45 - 55 Hz. Only in this range such high accuracy may be useful to comply with
primary control demands.
To achieve this accuracy, separate speed and frequency measuring channels only for this
range will be implemented.
For speed measuring to create thresholds (0 - 200% of nominal speed) the accuracy will be <
0.05%.

Wicket gate main control valve will not be equipped with manual operation possibility.
Manual control will be possible by using parallel 4/2-way solenoid valve (automatic or manual
switch over between the 2 valves).
As level regulation mode is not mentioned in item 4.2.1 and in case of several units parallel
the level regulation should be a task of Joint Control, level regulation mode is not foreseen in
each single governor.
As the pressure regulator will be deleted, the operation system of pressure regulator is not
considered in the scope of the governor.
The equipment used will be selected to fulfil the given requirements in regard to temperature
and humidity according to manufacturers data sheets, but the assembled equipment will not
be tested under the given conditions.
To meet the requirement of electromagnetic compatibility, the electronic part of the digital
governor and the speed measuring block will be designed and certified by manufacturer
accordingly.
Workshop tests to verify the electromagnetic compatibility will not be performed for the
assembled system.
FAT-Tests of the governor cubicle will be carried out in accordance to the Voith Hydro standard
tests routines, which complies with the relevant standards. Manufacturing and tests according
EN 60204. A detailed test program will be submitted during contract execution and defined by
mutual agreement.
Tests of performance values and parameters will be tested during SAT only if these tests are
not carried out during FAT-tests.

The list of mandatory spare parts has been specified based on the spare parts given in tender
but under consideration of the proposed technical solution.

VH assumes that the penstock is in proper conditions as stated in the Romanian test

CONDUCTELE FORTATE 2004 forward in CR 18 from 2011-11-09. & CR37 from 2011-11-29
Therefore rehabilitation of existing devices as well as analyses of sandblasted surfaces from
standpoint of bearing capacity as well as pressure capacity of pipes itself are excluded in our
offer.
According the above mentioned valid test certificates we dont expect damages of the
existing penstock structure. Therefore no thickness measurements, bearing analyses
nor any rehabilitation of the bearing capacity or rehabilitation of the existing steel
structure is included in our offer.
A temporary new anti corrosions protection only on damaged zones is not feasible. In
our offer is included the sandblasting of the penstocks as well as the complete new
anti corrosion protection of the entire outer penstock surfaces as specified in the
tender. Any tests in regard of the structure capability of the penstock are excluded in
our offer

costs necessary for check and rehabilitation of railway.

What happens if one of the devices in the measurement chain has a dysfunction? ->

What happens if we have a disturbance in the communication inclusive cable brake?

What happens if the controller responsible for calculating the difference between the
flow upstream and downstream is not properly working? -> Closing butterfly valves?
All these collateral considerations cause to downsizing the Plant availability.
We can not avoid a false signal that starts the emergency closing valves
and stop the power plant with all the technical inconveniences and energy losses in
such a case.
The listed item (5.2.2) and functions can only be used as assistance in conjunction
with a paddle integrated in the penstock and not as a stand alone system for
penstock protection.
The closing signal of the working butterfly valve has to be done directly by the
paddle.
For this protection functions a paddle is mandatory!
There is not 20d upstream of straight pipe available for any pipe according accuracy
IEC60041.
If we have to realize such a leakage system please keeps in mind the penstock and
the related devices are a large concluded system.
In such a system water will be always moving.
This means we will always measure a difference between the top and the bottom. For
this we have to make an agreement and define what an accidental leakage is in an
incipient phase.
Instead of using rear projection system we recommend to use LCD screens (60 inch)
SCADA Guide of Hidroelectrica from 2007, RET, RED code, PE 029/97 not considered.
Software will be choosen based on the current tender specification and our
experience. If due to additions not caused by us the software licenses have to be
enlarged additional costs will be charged separately.
