GCC 1 - Definitions

The Contractor shall comply with all laws in force in the country where the Facilities are installed
and the Installation Services are carried out. The laws will include all national, provincial,
municipal or other laws that affect the performance of the Contract and bind upon the
Contractor. The Contractor shall indemnify and hold harmless the Employer from and against
any and all liabilities, damages, claims, fines, penalties and expenses of whatever nature arising
or resulting from the violation of such laws by the Contractor or its personnel, including the
Subcontractors and their personnel, but without prejudice to GC 10.1 hereof.

GCC 9 - Contractors
Responsibilites

The Contractor shall permit the Bank to inspect the Contractor's accounts and records relating to
the performance of the contract and to have them audited by auditors appointed by the Bank, if
so required by the Bank.

GCC 9.6

For items or parts of the Facilities not specified in Appendix 5 (List of Subcontractors) to the
Contract agreement, the Contractor may employ such Subcontractors as it may select, at its
discretion.

The Contractor shall execute the basic and detailed design and the engineering work in
compliance with the provisions of the Contract, or where not so specified, in accordance with
good engineering practice. The Contractor shall be responsible for any discrepancies, errors or
omissions in the specifications, drawings and other technical documents that it has prepared,
whether such specifications, drawings and other documents have been approved by the Project
Manager or not, provided that such discrepancies, errors or omissions are not because of
inaccurate information furnished in writing to the Contractor by or on behalf of the Employer.
The Contractor shall be entitled to disclaim responsibility for any design, data, drawing,
specification or other document, or any modification thereof provided or designated by or on
behalf of the Employer, by giving a notice of such disclaimer to the Project Manager.

wreckage, rubbish and debris of any kind from the Site, and shall leave the site and Facilities in
a clean and safe condition

29.1. The Contractor shall, subject to the Employer's compliance with GC 29.2 below, indemnify
and hold harmless the Employer and its employees and officers from and against any and all
suits, actions or administrative proceedings, claims, demands, losses, damages, costs, and
expenses of whatsoever nature, including attorney's fees and expenses, which the Employer
may suffer as a result of any infringement or alleged infringement of any patent, utility model,
registered design, trademark, copyright or other intellectual property right registered or
otherwise existing at the date of the Contract by reason of: (a) the installation of the Facilities by
the Contractor or the use of the Facilities in the country where the site is located; and (b) the
sale of the products produced by the Facilities in any country.
Such indemnity shall not cover any use of the Facilities or any part thereof other than for the
purpose indicated by, or reasonably to be inferred from, the Contract, any infringement resulting
from the use of the Facilities or any part thereof, or any products produced thereby in
association or combination with any other Equipment, Plant or materials not supplied by the
Contractor, pursuant to the Contract Agreement.
29.2. If any proceedings are brought or any claim is made against the Employer arising out
of the matters referred to in GC 29.1 above, the Employer shall promptly give the
Contractor a notice thereof, and the Contractor may at its own expense and in the
Employer's name conduct such proceedings or claim and any negotiations for the

settlement of any such proceedings or claim.
If the Contractor fails to notify the Employer within twenty-eight (28) days of receipt of such
notice that it intends to conduct any such proceedings or claim, then the Employer shall be free

Except in cases of criminal negligence or willful misconduct:


(a) the Contractor shall not be liable to the Employer, whether in contract, tort, or otherwise, for
any indirect or consequential loss or damage, provided that this exclusion shall not apply to any
obligation of the Contractor to pay liquidated damages to the Employer; and
(b) the aggregate liability of the Contractor to the Employer under the Contract shall not exceed
the Contract Price, provided that this limitation shall not apply to any obligation of the

The Contractor shall be responsible for the care and custody of the Facilities or any part thereof
until the date of Completion of the Facilities pursuant to GC 24 (Completion) hereof or, where
the Contract provides for Completion of the Facilities in parts, until the date of Completion of the
relevant part, and shall make good at its own cost any loss or damage that may occur to the
Facilities or the relevant part thereof from any cause whatsoever during such period. The
Contractor shall also be responsible for any loss or damage to the Facilities caused by the
Contractor or its Subcontractors in the course of any work carried out, pursuant to GC 27 (Defect
Liability) hereof. Notwithstanding the foregoing, the Contractor shall not be liable for any loss ,or
damage to the Facilities or that part thereof caused by reason of any of the matters specified or
referred to in paragraphs (a), (b) and (c) of GC 32.2 below and GC 38.1 hereof.

(a) has abandoned or repudiated the Contract; or
(b) has without valid reason failed to commence work on the Facilities promptly or has
suspended (other than pursuant to GC 41.2 hereof) the progress of Contract performance for
more than twenty-eight (28) days of receiving a written instruction from the Employer to
proceed; or
(c) persistently fails to execute the Contract in accordance with the Contract or persistently
neglects to carry out its obligations under the Contract without just cause; or

Adjudicator's hourly fee is of 25 Euro

In addition to the supply of Mandatory Spare Parts included in the Contract, the Contractor
agrees to supply spare parts required for the operation and maintenance of the Facilities at least
10 years from termination of the Contract.
However, the identity, specifications and quantities of such spare parts and the terms and
conditions relating to the supply thereof are to be agreed between the Employer and the

Contractor and the price of such spare parts shall be that given in Price Schedule No. 6 which
shall be added to the Contract Price. The price of such spare parts shall include the purchase
price therefore and other costs and expenses (including the Contractor's fees) relating to the
supply of the same.

The Contractor shall prepare sufficient inventories to ensure an ex-stock supply of consumable
spares for the Plant and Equipment. Other spare parts and components shall be supplied as
promptly as possible, but at the most within six (6) months of placing the order and opening the
letter of credit. In addition, in the event of termination of the production of spare parts, advance

notification will be made to the Employer of the pending termination, with sufficient time to
permit the Employer to procure the needed requirement. Following such termination, the
Contractor will permit to the extent possible and at no cost to the Employer the blueprints,
drawings and specifications of the spare parts, if requested

SCC 7.4 - Spare Parts

The Contractor will obtain any approval, authorization or conformation on the Employers name
(i.e. BRML Romanian Office for Legal Metrology). The Contractor in this regard will include in the
scope of supply only instrumentation devices which are according to CEE (Communaute
Economique Europeene) normed by the Comite Europeen de Normalisation Electrotechnique

and marked CE, manufactured in the European Union. The Contractor will provide all the
necessary product documentation related to the CEE approvals (model approval CEE and/or
initial checking CEE) issued in the manufacturers country of origin, in case such documentation
would be required to the Employer by the Romanian authorities.

The GC 20.3.1 is completed with: The technical documentation listed in Appendix 7 to the
Contract Agreement shall be made available for the Project Manager in 3 hard copies and 3
electronic copies in Romanian and English languages. The technical and design documents
provided within the General Technical Conditions subject to the Project Managers approval, shall
be verified, stamped and signed by technical verifiers certified in accordance with the provisions
of Ordinance no. 95/1999 concerning the quality of installation works related to industrial
18 technological equipping and, if applicable, by technical verifiers certified in accordance with the
provisions of Law no. 10/1995 concerning the quality in constructions and GD no. 925/1995 Regulations for quality checking and expertising of projects, of works and performance and of
constructions on the Contractors expense. The final agreed form of technical and design

Within thirty (30) days after receipt by the Project Manager of any document requiring the
Project Manager's approval in accordance with GC 20.3.1 above, the Project Manager shall either
return one copy thereof to the Contractor with its approval endorsed thereon or shall notify the
Contractor in writing of its disapproval thereof and the reasons therefor and the modifications

which the Project Manager proposes.If the Project Manager fails to take such action within the
said thirty (30) days, then the said document shall be deemed to have been approved by the
Project Manager.

If during the defect liability period or extended guarantee period, to a certain facility or part
25 thereof, two defects, of similar nature, should be found, these facilities or parts thereof shall be
replaced on the Contractors expense.

In case of a defect occurred during Defect Liability Period or Extended Guarantee Period, starting
with the date of complete stopping of one hydro unit or other technical unit which may affect
any hydro unit utilization, the Contractor shall pay penalties of 0.04% per day out of the
Contract Price for the said hydro unit. Penalty is limited to maximum 10% of the Contract Price

We assume that the guarantees issuing bank can be a Western European bank. Due to banks increased internal risk management
requirements following the current difficult banking situation, banks are reluctant in issuing bank guarantees with long validities. In order
to avoid unneeded impact on the Contract Price and as units will be refurbished unit by unit we propose to issue also the performance
guarantee per unit (1/6 of 10% performance guarantee to each unit) before the respective unit will be taken over by the Contractor for
refurbishment. If the advance payment guarantee cannot be issued for 90 months as stated in the tender documents we propose to issue
the advance payment guarantee on a yearly revolving basis (the guarantee wording needs then to be adjusted accordingly). Furthermore
we assume that the guarantees shall have a firm due date and cannot be transferred or assigned to third parties without the issuing
banks prior written consent. Please find our proposition to the draft text of guarantees in attachment.

According to Incoterms 2010, delivery terms for this Contract will be DAT, that means the Contractor is not liable for payment of customs

We suggest to apply a bonus system for early completion

The period of the Defect Liability and Extended Guarantee which in total runs up to 10 years is not usual for hydro business and leads to
disproportional impact on the Contract Price and to other contractual obligations. We propose to define for the electromechanical
equipment an appropriate period for the Defect Liability for all kind of defects of 24 months after issuance of the Operational Acceptance
Certificate(or latest 27 months after the originally planned date for issuance of the Operational Acceptance Certificate in case Operational
AcceptanceCertificate could not be issued due to reasons not attributable to the Contractor). According to this concept, we propose to
eliminate from the Contract all references to Extended Guarantee Period and Definitive Acceptance Certificate.

During defect liability period two defects of similar nature will occure, then the Contractor shall proposa and implement an appropriate
countermeasure.

We consider the penalty for the availability of the unit as a kind of consequential damages which is excluded in the GCC 30. The
acceptance by us of such kind of penalty would lead to a disproportional impact on the Contract Price.

We consider the limitation cap for the penalty for non-obtainment of functional guarantees is quite high and propose to limit the maximum
cap for functional guarantees penalty with 10% of the Contract Price; otherwise this would lead to a disproportional impact on the

The Stejaru HPP Development Scheme in future will exist of already existing structures (gravity dam, reservoir, power plant intake,
pressure headrace tunnel system, hydroelectrical power plant and tailrace canal). The Contractors work is limited to specific work located
in the pressure headrace system (specified equipment in the butterfly valve chamber and specific work in the penstocks) and in the power
plant.
As specified in 4.1 we assume that the structure of all buildings is stable and does not need any survey nor reinforcement. Therefore it
shall be defined as part of the Site but not part of Plant and Equipment.
Existing structure (as per 2.1) which is not part of the specified work (no specified rehabilitation work foreseen) shall be considered as well
as part of the Site but alike not as part of Plant and Equipment.
In cases where existing structure or parts thereof will be reused after expert appraisal, specified rehabilitation work or modernization as
described in 5.B. then it is assumed that the existing structure and/or the parts are structurally sound and fit for future use (which has
been checked and confirmed by specialized third party) and shall be considered as part of the Site but not as part of Plant and Equipment.
The existing structure or parts thereof will remain in the ownership of the Employer.
The rehabilitation of the existing structure and parts is limited to rework / remachine worn surfaces and shall be considered as Installation
Services. The Employer shall assist to obtain the approval by the initial designer (S.C. ISPH S.A), as per 4.1.5.

The scope is limited to the specifically offered Plant and Equipment as well as the Installation Services. In case that during the
refurbishment project it is found that the scope shall be altered or amended in order achieve the objective of the refurbishment project,
then such work shall be mutually agreed and carried out under the title of a change order.

Comments made to the General Technical Conditions shall apply as well to the Special Technical Conditons, where applicable.

Completeness of the Work


All specified equipment (Technical unit) which will be installed new is complete. The connection between new equipment and existing
structure or parts thereof is considered in such way as described in our proposal. In case that during realization of the work it is found out
that other type of interconnection is appropriate (Design modification) or additional parts or work is required, this will be done upon
agreement with the Employer and possibly upon a change order.
Considering that all change orders are made per mutual agreement the refurbishment of each technical unit will be achieved on a turn
key basis.
Wherever mentioned, lifetime cycle of 30 years shall be replaced by new lifetime cycle.

Facilities provided by the Employer
The Employer shall provide all information for remaining structures and parts thereof or remaining Technical units consisting of original
design parameters, original design, behaviour in operation and emergency situation, as well as quality reports and expert opinion showing
that these parts are fit for future use.

Soundness of reused existing structures


The Employer shall check and confirm by itself or by an Expert employed by him that the existing structure which shall be used after
rehabilitation is sound and suitable for the future use. See as well 4.4.2.
The assessment of technical condition of technical units made by the Contractor is limited to examinations in defined zones(visual, non
destructive, destructive type). In case that the result of these examinations question the fitness of a technical unit, corrective measures
shall be agreed between the Employer and the Contractor.

Rehabilitation Program and Works Organisation


During the entire period of the rehabilitation phase it is assumed that the rehabilitation work has priority compared to the power
production of the plant.

Documentation
The set of documents to be provided as well as the time and form when and how to be provided shall be agreed mutually and shall be
sufficient to ensure a safe operation and maintenance of the facility.
The Contractor will provide the O&M manuals of the delivered equipment in Romanian language. Technical Books (standard product
description, leaflets, prospects, catalogue specifications) of individual equipment shall be handed over to the Employer in English.

Stress Calculation
For stress calculation and analysis of deformation proven methods for this kind of equipment will be applied. Permissible stress level
depend on the type of analysis, analysed component, load condition, etc. The methods and acceptance criteria shall be as defined in the
document Safety philosophy of hydraulic machinery, KoRiLi 001 A 006.

Materials are referenced on drawings. The specification or names thereof are listed in referenced part lists which physically are different
documents.

Local Control: We provide 19" Touch Panels for local control of hydrounit (Unit Control Board), common auxiliaries (automation of general plant systems),
& switchyard control (System of the 220/110/10,5 kV Substation). Mimics or other conventional operation facilities are not provided (except emergency
push buttons and important push buttons & switches). At the respective local control boxes/cubicles we have offered 6" Touch panels instead of classic
indication instruments.
For 220KV and 110KV switchyard BC1703 Bay controllers are offered, installed in the local control cubicles at switchyard control room.
Terminals and Terminations: Our Automation System has intelligent terminals which already have terminal sockets (plugs) integrated. From these
sockets, sensors and actuators are wired directly. We do not have additional terminal blocks in the cubicles except for mains, auxiliary power supply, and
power distribution and for CT/PT circuits. Terminal blocks are not equipped with jumper bars or connection poles.
Spare of field cables cores (marked with identification numbers) are laid in the cable duct of the respective cubicle. Spare cores are not connected to
spare terminals or earth bars.
Cubicle Design: During basic design a guideline for general design of cubicle will be defined together with the Employer. This guideline comprises
among others definition of size, color, terminal types and internal cubicle structure. This guideline will be the base for cubicle construction and
assembling independent of who will manufacture and where they will be manufactured
IP selected for Cubicles (4.8.3.6.)
All offered cubicles and local boxes have a protection degree according to the environment -between IP 54 and IP 65 (touch panels have IP65 protection
degree).
Please note: Cubicles and local boxes with protection degree IP 65 are bolted and have special seals.

under emergency conditions). This will decrease the upstream surge pressure in the concrete tunnel. Additionally this closing time is state
of practice.
Noise: The max. noise level under normal operation (balanced conditions)can reach 85dB. The noise level under emergency conditions will
be higher due to the operation of the aeration valve.

Pressure regulator :
For Base Offer: The existing pressure regulator can be rehabilitated and reused. However this solution complies not with the demands of
operating reliability for safety devices of the new EC machinery directive. Therefore we recommend to abstain from the pressure
regulator as it is described for the alternative.
For Alternative: The hydraulic layout and the common design of turbine, generator and speed governor does not foresee a pressure
regulator.
As a result of the preliminary transient calculation, the closing time of wicket gates can be extended up to tc = 10 s. In such case the
water hammer in the penstock will not exceed the limited pressure level, 20% of the maximum static pressure. As a consequence, the
pressure regulator is no longer necessary.

All automation components are connected to the fibre optic station LAN (which is based on TCP/IP IEC60870-5-104 protocol) in ring
structure.
ANDRITZ Hydro use industrial railswitches for this purpose, which are mounted in the respectively automation cubicle.
The I/O modules are connected to the automation component via USB cable (if installed in the the same cubicle or box). Distributed I/O
Modules are generally connected via fibre optic cable to the automation component. The communication bus to the I/O modules is a
proprietary bus (AX Bus) which is based on IEC60-870-5-101 protocol.
The above described configuration is also used at PDF II and Lower Olt HPPs.

Internal clock which to allow the synchronisation of the base of universal time by the GPS receiver
ANDRITZ Hydro offers CEWE prometer W meters which are approved by Hidroelectrica and accepted in the Lower Olt project.
The CEWE prometer W meters are connected to the automation component via serial interface
acc. IEC 62056-21 protocol. Time stamping within the meters is not possible, the measuring value will be time stamped in the automation
component.

Structure for the integrated control protection automation system


LOCAL Control of 110/220 KV bays is possible via the offered BC1703 ACP Bay controllers (via monochrome display, foil pushbuttons, local
remote switch) which are installed in the local control cubicles of the respective bay.
In case that a bay controller fails local control is still possible via the hardwired local bay control cubicles with conventional pushbuttons
and switches (without interlocking). Therefore the bay controllers are not offered in a redundant configuration.
REMOTE Control of 110/220 kV switchyard is fully integrated in the 250 SCALA SCADA System at Stejaru control room. Additional to that a

b. The establishment of damage condition shall be made by measurements of
thickness of penstocks along the hydraulic circuit on lower generator and on, at
least, two generators located at 45 on one side and on the other side of the
lower generator. To substantiate the decision regarding the rehabilitation of
bearing capacity of penstocks there shall be made more determinations of wall
thickness both in point-shaped manner and in zones where there are found
significant damages.
c. If there result zones of penstocks where the wall thickness is smaller than 4/5
from the initial
thickness, the said steel sheet shall be compulsorily repaired or replaced
(depending on the size of the damaged surface).
d. To establish the condition of surfaces there shall be used instruments specific
for determination of thickness of anti-corrosive protection and determination of
thickness of penstock steel sheet. The list of the instruments and methods used
shall be submitted, previously, to approval of the Beneficiary.

a) The System shall provide protection against penstock breaking by


being fulfilled the following function:

this supply, located in machine hall of power plant, the emergency
closing signal of working butterfly valve when exceeding a pre-set limit of
differences between flows measured in pipe, upstream of butterfly valves
and upstream of spherical valves;
- It shall signalled optically and acoustically the sending of emergency
signal in control chamber.
b) The protection function against dangerous speed should be made
according to measurements made with transducers located (on the two
existing Pitot pipes) upstream of butterfly valves; that there should be
located two protections against dangerous speed, with direct connection
to butterfly valve closing and signalling the driving in control chamber.
The system shall be for protections - it shall be of mechanical-hydraulic type, robust, sith safe drive in all environments . The Bidder is
also free to propose other types of intrinsic mechanical-hydraulic
protection for dangerous speed on penstock.

All incomming and outgoing feeder circuit breaker are 3 pole switches. The design of the N will
be only 50% of the nominal bas bar current - symmetrical arrangement of single phase
consumers.The grounding from doors with hinges is not required. The hinges are approved as
suitbale connection from the grounded frame to the door.
Communication units for circuit breakers is not foreseen - all relevant digital signals are
collected to each dedicated Automation equipment of the distribution board.
Control voltage is 220VDC, supplied 2 times from the DC system, decoupled with diods. LED
control voltage is 24VDC, supplied via DC/DC converter from the 220VDC system.

Direct starting of motors are foreseen for motor feeders up to 18,5kW

Soft starting of motors are foreseen for motor feeders 22kW and more

Frequency inverter will be used only for cooling water pumps - the frequency inverter will be
installed local closed to the pump in an independent cubicle to reach the proper protection
class.
The transmitted consumer list (attachement of CR13) have to be clarified during techncial
negotiation

To meet the requirement of electromagnetic compatibility, the electronic part of the digital
governor and the speed measuring block will be designed and certified by manufacturer
accordingly.
Workshop tests to verify the electromagnetic compatibility will not be performed for the

FAT-Tests of the governor cubicle will be carried out in accordance to the Voith Hydro standard
tests routines, which complies with the relevant standards. Manufacturing and tests according

mutual agreement.

not carried out during FAT-tests.

We consider the realization for penstock breaking only depending on the differences
between the two measured values in pipe upstream of butterfly valves and upstream
of spherical valves as not prospective.
What happens if one of the devices in the measurement chain has a dysfunction? ->
Closing butterfly valves?
What happens if we have a disturbance in the communication inclusive cable brake?
-> Closing butterfly valves?
What happens if the controller responsible for calculating the difference between the
flow upstream and downstream is not properly working? -> Closing butterfly valves?
All these collateral considerations cause to downsizing the Plant availability.
We can not avoid a false signal that starts the emergency closing valves
and stop the power plant with all the technical inconveniences and energy losses in
such a case.
The listed item (5.2.2) and functions can only be used as assistance in conjunction
with a paddle integrated in the penstock and not as a stand alone system for
penstock protection.
The closing signal of the working butterfly valve has to be done directly by the
paddle.
For this protection functions a paddle is mandatory!

The measuring sensors are mounted outside the pipe wall.


Any scaffolding should be supplied and erected by the customer.

There is not 20d upstream of straight pipe available for any pipe according accuracy
IEC60041.
If we have to realize such a leakage system please keeps in mind the penstock and
the related devices are a large concluded system.
In such a system water will be always moving.
This means we will always measure a difference between the top and the bottom. For
this we have to make an agreement and define what an accidental leakage is in an
incipient phase.

Instead of using rear projection system we recommend to use LCD screens (60 inch)

Due to the fast changing technologies it cannot be assured a availability of spare


parts for ten years. If necessary items have to be changed in case of failure.

SCADA Guide of Hidroelectrica from 2007, RET, RED code, PE 029/97 not considered.

Software will be choosen based on the current tender specification and our
experience. If due to additions not caused by us the software licenses have to be
enlarged additional costs will be charged separately.
