An Introduction

Gati started their pioneer service in India in 1989. Gati was

only the company in those days to print the docket and offer a money back
guarantee and provide the payment facility after providing Proof Of Delivery
(P.O.D).

Gati started their first service between Madras and

Madurai. After sometime. Gati started their service between 4 major cities
Hyderabad, Bangalore, Madras, Hosur (North Bangalore) in 1989 in genetic
cargo segment.

Gati business model was different. Gati never operated

their own Vehicles from beginning. Instead they operated the concept of
getting other vechicle services and incorporated the name of GATI
ASSOCITES.

An Introduction

Kintetsu Started their business in the year 1948 and

became IATA agency (International Air Transport Association).

Kintetsu expanded their business and established

the in Hong-Kong and U.S.A. in 1969. Later Kintetsu established their office in
Beijing in 1985 and Shanghai in 1989.

Kintetsu obtains the first ISO9002 certification in

Japan's air freight industry.

Kintetsu established their business in the city of

China Shenzhen in 1995.

Kintetsu World Express (India) Pvt. Ltd. is established

in India.

Kintetsu World Headquarters (WHQ) is formed at KWE

Head Office in Tokyo in 2002.

Kintetsu Stock listing upgraded to the First Section of

Tokyo Stock Exchange in 2003.

Kintetsu established Bangladesh Delegate Office.

Later in 2012 Gati needs to expand their business in Japan,
and Kintetsu needs to expand their business in India. So merger of Gati and
Kintetsu took place in Feb 2012.

Gati-Kintetsu Express Private Limited (GATI-KWE) is a joint

venture company between Gati Indias pioneer and leader in Express
Distribution and Supply Chain Solutions and Kintetsu World Express
Japans leading logistics provider.

The joint venture GATI KWE offers an unmatched service

offering thats brings in local experience with global expertise.

The partnership will enable the KWE to further expand and

strengthen its global operations, with Indian market.

To boost the cargo of India which is been carried on the global

scale, with the GATI, a major distribution services in India.

For domestic delivery services, the company provide the wide

range of service like fixed delivery time service, automated messaging
service to send POD (proof of delivery) information to the clients. Gati has
around 4000 trucks in operation and more than 500 offices all over India.

These services, which will combine the KWE Groups global

network and Gatis high-quality domestic distribution services, are
expected to increase the handling volume in the Indian business on global
scale.

The KWE Group, spearheaded by KWE India, will actively

promote sales together with the joint venture, work to enhance its presence
in the Indian distribution business, improve its global competitiveness, and
expand the business.

To explore the induction of a strategic investor in our coast-tocoast shipping business.

Gati will become debt-free after it finalises another joint venture

with a global shipping company, in which it will move its entire shipping
business.

Shipping venture will also take Gatis debt of Rs.120 crore

which has been carried by hipping division currently.

To increase the interest of the stakeholders in the stock market

and providing the highly developed transportation facilities with the new
technologies and fastest delivery services.

REDUCE DEBT

To reduce the debt of Rs. 330 crore that is carried by Gati's

EDSC business, the investment of Rs. 267 crore from KWE will be primarily
used to retire this debt in the new venture.

Gati's bottom-line will improve as dividends from the joint

venture will come to the parent company, while its profits will be seen in the
consolidated results of Gati. Furthermore, the deal will reduce the interest
burden by about Rs. 35 crore of Gati limited.
