FREE AND CLEAR OF LIENS, CLAIMS, ENCUMBRANCES, AND INTERESTS BY
INTERNET AUCTION MECHANISM
TO CREDITORS AND PARTIES IN INTEREST
NOTICE IS HEREBY GIVEN, pursuant to 11 U.S.C. 363, Fed. R. Bank. P. 2002(a)(2)
and 6004, and MLBR Rule 2002-5 and 6004-1, that Charles A. Dale III, the duly appointed
Chapter 11 trustee (the Chapter 11 Trustee) intends to sell the Debtors interests in the oil and
gas properties set forth on Schedule 1 attached hereto (collectively, the Assets) through an
internet auction mechanism. For more detailed information regarding the Assets, please contact
undersigned counsel.
PLEASE TAKE FURTHER NOTICE that the proposed internet auction process is more
particularly described in the Chapter 11 Trustees Motion for an Order (A) Authorizing Sale of
Interests in Oil and Gas Properties Free and Clear of Liens, Claims, Encumbrances, and Interests
by Internet Auction Mechanism; (B) Authorizing Assumption and Assignment of Certain
Executory Contracts in Connection Therewith; (C) Scheduling Sale Hearing on the Motion and a
Post-Auction Hearing; and (D) Granting Other Related Relief (the Sale Motion), a copy of
which is available at no charge upon request from the undersigned or on the Website of the
Court: www.mab.uscouts.gov. A login and password to the Courts Public Access to Electronic
Court Records (PACER) are required to access this information on the Courts Internet
Website and may be obtained through the PACER service center at (800) 676-6856 (from the
U.S.), or (210) 301-6440 (from outside the US) or at pacer.psc.uscourts.gov.
Sale Free and Clear of Liens
PLEASE TAKE FURTHER NOTICE that the Assets will be sold free and clear of all
liens, claims, encumbrances, and interests, including preferential rights of purchase such as rights
of first refusal, rights of first negotiations, consents or permissions to assign, approval rights, or
similar rights. Any perfected, enforceable valid liens shall attach to the proceeds of the sale
according to priorities established under applicable law.

Assumption and Assignment of Certain Executory Contracts

PLEASE TAKE FURTHER NOTICE that, in connection with the proposed sale of the
Assets, the Chapter 11 Trustee intends on assuming certain joint operating agreements and other
executory contracts relating to the Assets (the Contracts) and assigning such Contracts to the
winning bidder(s) for those Assets. The Contracts will specifically set forth on a Notice of
Assumption and Assignment (the Contract Notice) to be filed with the Court and served on the
contract counterparties by no later than October 6, 2015. The Contract Notice shall set forth the
proposed amount to be paid, if any, to cure any outstanding default under the respective Contract
to the extent required under the Bankruptcy Code.
Objections
PLEASE TAKE FURTHER NOTICE that any objections to the sale, including the
assumption and assignment of the Contracts, must be filed in writing with the Clerk, U.S.
Bankruptcy Court at John W. McCormack Post Office and Court House, 5 Post Office Square,
Suite 1150, Boston, MA 02109-3945 on or before October __, 2015 at 4:30 p.m. Eastern time
(the Objection Deadline). A copy of any objection also shall be served upon the undersigned.
Any objection to the sale or to the assumption and assignment of the Contracts must state with
particularity the grounds for the objection and why the intended transactions should not be
authorized. Any objections shall be governed by Fed. R. Bankr. P. 9014. Any party asserting an
lien, claim, encumbrance, or interest in the Assets that does not object to the sale shall be deemed
to consent to the sale of Assets free and clear of such lien, claim, encumbrance, or interest
pursuant to 11 U.S.C. 363(f). Any party to the Contracts that does not object to the assumption
and assignment of the respective Contract shall be deemed to have given their consent to the
assumption and assignment of such Contract.
Hearing
PLEASE TAKE FURTHER NOTICE that a hearing on objections and the Motion is
scheduled to take place on October __, 2015 at ________ _.m. Eastern time before the
Honorable Judge Joan N. Feeney, United States Bankruptcy Judge, Courtroom 1, John W.
McCormack Post Office and Court House, 5 Post Office Square, Suite 1150, Boston, MA
02109-3945. At the hearing, the Court may determine further terms and conditions of the sale
and the assumption and assignment of Contracts. Any party that filed an objection is expected to
be present at the hearing, failing which the objection may be overruled. The Court may take
evidence at the hearing to resolve issues of fact. If no objection to the Motion is timely filed, the
Court, in its discretion, may cancel the scheduled hearing and approve the sale and the
assumption and assignment of the Contracts without a hearing.
Internet Auction
PLEASE TAKE FURTHER NOTICE that, assuming the Court approves the sale, then
following the hearing, the internet auction will be conducted by EnergyNet.com (EnergyNet).
Within one business day after entry of an order approving the sale, EnergyNet shall commence a
7-day bidding period (to end on a business day other than Monday) for the Assets, which will be
accessible at https://www.energynet.com/buckingham. The respective rules and procedures for
the bidding processes will be available on the website.
