LETTER OF AGREEMENT

Agreement made in duplicate, this (Date) of (Month), (Year) between:


Buddies in Bad Times Theatre/The Alexander Street Theatre Project of Toronto (the Theatre)

The Theatre shall provide the Renter with the use of THE CABARET located at 12 Alexander
Street, Toronto, Ontario, during the period of (Date/Month), (Year) for the purpose of presenting
(Event Title). The agreement is subject to the following terms and conditions:
1. RENTAL FEE/REVENUE REMITTANCE
a) The Rental Fee for the Theatre, totaling $ + $ HST = $ (Amount in Canadian dollars) shall be
payable to The Alexander Street Theatre Project according to the following schedule:
$- payable upon signing of the agreement (non-refundable deposit).
b) The theatre shall remit net box office revenues (net being defined as gross revenues minus the
$1.00 (one dollar) per ticket capital fund charge and any other agreed upon service charges set
forth therein) derived from the sale of the Renters tickets no later than 7 (seven) business days,
following each week of performance(s); said remittance shall be in the form of a Theatre
company cheque, made payable to: (The Renter).
c) The Theatre reserves the right to withhold payment of final remittance in the event that any
monies owed to the Theatre by the Renter are outstanding.
2. DAMAGE DEPOSIT
An additional, refundable damage deposit in the amount of $0 (WAIVED) will be required with
the initial rental payment. The damage deposit will be refunded at the conclusion of the rental
period upon confirmation from the Theatre technical staff that no damage to the Theatre has
occurred, and that all conditions as outlined in this agreement have been met.
3. CAPITAL FUND TICKET LEVY/HARMONIZED SALES TAX (HST)/TELEPHONE
CONVENIENCE CHARGE
a) The Theatre shall levy a $1.00 (one dollar) per ticket service charge on all tickets, excluding
those, which are complimentary; the Capital fund charge shall be included in any and all
advertised ticket prices.
b) The Theatre shall collect HST on the Renters tickets. Where appropriate, the Renter hereby
accepts full responsibility for the declaration and/or remittance of said HST to the appropriate
government office.
c) The Renter shall include the HST and the capital ticket levy in any and all advertised ticket
prices, which shall be rounded to the nearest dollar.

d) The Theatre shall levy a $3.00 (three dollars) convenience charge per ticket ordered by
telephone or online through the Buddies in bad times theatre website; said levy is charged directly
to the patron.
4. DEFAULT/TERMINATION
a) It is agreed that in the event of fire or other damage, restraint by competent authority, or other
unforeseen circumstance which, in the opinion of the Theatre, make the premises unsuitable or
unavailable, the Theatre may, by notice in writing, terminate this agreement and in such event
neither the Theatre nor the Renter shall have claim for loss or damages arising out of this
agreement. Should the agreement be terminated by the Theatre before the first public
performance the Theatre will reimburse rental fees paid by the Renter.
b) In the event that the Renter shall default in making any of the aforementioned payments, the
Theatre may, at its option, pursue one or more of the following:
i) Hold an emergency meeting at which the Renter shall produce any and all financial statements
as requested by the Theatre in order to determine whether an alternate payment schedule can be
reached;
ii) Refuse to deliver or retake possession of the premise until all payments have been made, in
which event the Theatre shall retain any moneys already paid as liquidated damages and not as a
penalty; the Renter shall be liable for any balance remaining unpaid as specified herein.
5. SCHEDULE
a) The Renter shall move into The Theatre no earlier than *(Time) on (Date), (Year) and shall
vacate The Theatre no later than **(Time) on (Date), (Year). (*subject to agreement with the
Cabaret Technician, **subject to agreement with the Bar Manager). Please note that on
Friday and Saturday evenings during the run, the cabaret space must be vacated and all
set/prop elements removed by 10pm to facilitate Buddies late night programming.
b) Detailed schedules are subject to approval by the Theatre; said schedules are to be provided by
the Renter to the Theatre no later than 21 (twenty-one) days prior to the move in date specified
above. Said approval will not be unreasonably withheld.
c) The Renter requires the approval of the Theatre to make any changes to schedules; said
approval shall not be unreasonably withheld.
6. USE OF FACILITY
a) Except as specified in this agreement, the Renter is not entitled to access, use, or lend the
services of any part of the Theatres premises or personnel.
b) The Renter shall not lease, sublet, donate, lend the or in any way cause or allow use or
occupancy by any third party without the written consent of the Theatre.
c) The Renter shall not in any way interfere with or obstruct the rights of other occupants.
d) The Renter is not to use, bring, or cause to be used or brought into the Theatre any flammable,
toxic, explosive, or otherwise dangerous materials. All set pieces, curtains, and costumes shall be
adequately fireproofed and constructed in accordance with the Fire protection safety Act.
e) The Renter will exercise good care in the use of the Theatre, and will reimburse the Theatre in
full for any costs resulting from any act or omission by the Renter, its members, employees,
agents or any other person(s) caused or allowed by the Renter into the Theatre.
f) The Renter will return The Cabaret to the same state of cleanliness and in the same set up (i.e.:
chairs, risers, lights and any and all other equipment) as at the start of the Renters time in the
Theatre. In the event that the Renter neglects its obligations in this area, the Renter shall
reimburse the Theatre for crew hired at $25 (twenty-five dollars) per hour, per person required.
g) The Theatre and its furnishings will not be altered in any way without the prior written consent
of the Theatre.

LETTER OF AGREEMENT
7. OBLIGATIONS OF THE THEATRE
The Theatre shall provide:
a) Chairs and stools, when combined, seat a maximum of 100 (potential for additional 50

standing, depending on set up);


b) A lighting package, inventory to be provided;
c) A sound package, inventory to be provided;
d) One dressing room;
e) An area for artists biographies and photos;
f) Box office and Front of House services;
g) One competent technician, who will run either lights or sound for the Renter; the technician
will be available for 8 (eight) hours per day, inclusive of adequate meal breaks; should the
technician be required for more than 8 (eight) hours per day, an overtime rate of $25 (twenty five
dollars) per hour will apply, which shall be payable directly to the technician.
8. OBLIGATIONS OF THE RENTER
The Renter shall:
a) Assign responsibility for use of the Theatre to a representative of the Renter. Said person will
be in the theatre or available via telephone or email at all times the Renter is using the Theatre.
b) Obtain all licenses, permits and arrangements necessary to present its events, presentations,
workshops, rehearsals, performances, and will hold the Theatre harmless from any and all actions
arising from the failure of the Renter to obtain said licenses, permits and/or arrangements.
c) Be responsible for any person(s) associated with or representative of the Renter while on the
premises for reasons associated with the Renters use of the Theatre.
d) Hold the Theatre harmless from any responsibility for theft of, damage to, or loss of any
property belonging to or rented by the Renter.
e) Be responsible for payment of any additional staff (above and beyond the staff provided by the
Theatre under the terms of this letter of agreement) within 30 (thirty) days of the Event.
f) Be responsible for the removal of all objects and items associated with the event (ie: programs,
set pieces, props, costumes and personal affects).
9. PROMOTION/PUBLICITY/SPONSORSHIPS
a) The Renter shall not, under any circumstances, enter into a sponsorship agreement which
includes any aspect of the Theatre, and/or services provided by the Theatre, without the express
written permission of the Theatre; said permission shall not be unreasonably withheld;
b) The Renter shall obtain written permission from the Theatre with regard to the placement of
any and all promotional signs. Permission will not be unreasonably withheld.
c) In any and all promotional material, the Renter will list the performance venue as exactly
as underlined: Buddies In Bad Times Theatre.
d) The Renter shall not place any posters or other promotional materials on city property (ie.
poles, construction boards) or any other public area where it is deemed illegal to do so. If
Buddies in Bad Times Theatre is held liable for an infraction due to the Renters placement of
promotional materials, the Renter agrees to reimburse Buddies in Bad Times Theatre the total
amount of said infraction.
10. FRONT OF HOUSE/BOX OFFICE SUPPORT
a) The Renter shall provide the Theatre with an information package including a 40 word
description, which the Theatre shall, in turn, use to record an outgoing information box office
message;
b) The Renter shall ensure that the Stage Manager or designate meet with the Theatres box
office/front of house personnel at least 7 (seven) days prior to the first public performance.

11. TICKETS
a) Complimentary tickets are at the sole discretion of the Renter.
12. LIABILTY
a) The Renter shall hold the Theatre harmless from any action, suit, or liability arising from the
Renters use of or activities on the premises;
b) The renter shall not incur any expenses related to production and/or promotion in the name of
the Theatre.
13. CONCESSION AND OTHER SALES
a) The Theatre shall retain any and all proceeds derived from bar and concession sales; said
proceeds are not, in any way, negotiable. The Theatre retains complete and absolute control over
any and all alcoholic and non-alcoholic sales, promotions, or giveaways related solely to food and
drink;
b) Bar rules and regulations are as follows:
i) You must be 19 years of age or older in order to consume alcohol. You may be asked for I.D. at
the bar so please make sure to bring it with you.
ii) You must be 19 years of age or older in order to attend our Friday and Saturday night late night
events. At 10:30pm Security will be asking for I.D. Those without it will be asked to leave.
iii) There is no consumption of alcohol in the dressing rooms.
iv) Any unopened alcohol must remain unopened while on the premises. Consumption of outside
alcohol is not permitted anywhere on the premises.
v) Smoking is not permitted anywhere in the building
c) The Renter shall not sell any production related goods or services without the prior written
consent of the Theatre.
14. ADDITIONAL CLAUSES
a) The Theatre may bar any person or group of persons from the Theatre either before, during, or
after the rental period on the grounds of:
i) Illegality, including, but not limited to, failure to comply with the Ontario Liquor License Act;
ii) Threat to property;
iii) Threat to the safety or rights of others;
iv) Discriminatory and/or abusive behaviour.
b) The Renter will use its best efforts to ensure that the house is open for seating to the public a
minimum of 30 (thirty) minutes prior to the scheduled start time of the performance.
This agreement and any and all documents as attached and noted, constitutes the entire
understanding of the parties executing it below.
