CONTRACT OF LEASE

KNOW ALL THESE MEN BY THESE PRESENTS:


This Contract of Lease executed and entered this _____ of ______ at
____________ by and between:
HELEN DIANA G. DIMAGUILA, Filipino, of legal age, with postal
address at 59 Derby St., White Plains, Quezon City hereinafter referred to as the
LESSOR
-andENGR. CEFERINO B. GARAY, JR., of legal age, with the postal address at
#16 Yakal St., Santolan, Pasig City hereinafter referred to as the LESSEE
WITHESSETH THAT:
WHEREAS, the LESSOR is the owner of ____________________

WHEREAS, the LESSOR desires to lease of the Building with an area of

to the LESSEE and the LESSEE is willing to lease the same, hereinafter referred to as
the unit;
NOW THEREFORE, for and in consideration of the foregoing premises,
the LESSOR leases unto the LESSEE hereby accepts from the LESSOR the Unit,
subject to the following terms and conditions:

PURPOSES: the Unit shall exclusively used by the LESSEE for an office
space and residential purposes only. It is hereby expressly agreed that if at
any time the Unit is used to other purposes, the LESSOR shall have the
right to rescind this Lease Contract without prejudice to its rights under the
law.
TERM: this term of lease is for one (1) year, from November 16, 2015 to
November 16, 2016. Upon its expiration, this lease contract maybe renewed
under such terms and conditions as maybe mutually agreed upon by both
parties, written notice of intention to renew the lease shall be served to the

LESSOR not later than thirty (30) days prior to the expiry date of the period
herein agreed upon.
RENTAL RATE: The monthly rental rate for the said extension shall be in
the amount of Thirty Thousand (PhP. 30,000.00) representing the lease
rental for the unit as well as the association dues if any.
DEPOSIT: That the LESSEE shall deposit upon signing of this Lease
Contract and prior to move-in the amount equivalent to the rent of three (3)
months or the sum of Ninety Thousand (PhP. 90,000.00) Pesos. Wherein
one (1) month deposit shall be applied to the 1 st months rent and the
remaining two (2) months shall answer partially for the damages and any
other obligations, fro utilities such as Water, Electricity, CATV,, Telephone
or damages resulting from violations of any of the provisions of this
contract.
POST-DATED CHAECKS: The LESSEE shall issue, in favor of the
LESSOR, the Eleven (11) checks corresponding to the monthly rental from
the second (2nd) to twelfth (12th) month of the lease contract. Each check
shall be dated on the Sixteenth (16th) day of the each month starting
December 16, 2015 to December 16, 2016.
DEFAULT PAYMENT: In case of default by the LESSEE in the payment of
the rent, such as when the checks are dishonored the LESSOR at its option,
may terminate this Lease Contract and eject the LESSEE. The LESSOR has
the right to padlock the unit when the LESSEE is in default of payment for
one (1) month and may forfeit whatever rental deposit or advances have
been given by the LESSEE.
PRE-TERMINATION OF THE CONTRACT: The parties hereby agree that
the LESSEE or LESSOR may pre-terminate this Lease Contract by giving
the LESSOR or LESSEE sixty (60) days written notice in advance of his
intention to pre-terminate. In the case LESSEE pre-terminating the Lease
Contract, the LESSEE shall forfeit in favor of the LESSOR the amount
equivalent to two (2) months rental by way of liquidated damages. Any
other advances, both un-used rental and deposit shall be refunded by the
LESSOR to the LESSEE within sixty (60) days after the return of the unit
and the settlement of accounts of the LESSEE.
SUB-LEASE: The LESSEE shall not directly or indirectly sub-lease allow
or permit the Unit to be occupied in whole or in part by any person, form or
corporation, neither shall the LESSEE assigns its rights hereunder to any
other person or entity and no right of interest thereto or herein shall be
conferred on or vested in anyone by the LESSEE without the LESSORs
written approval.
PUBLIC UTILITIES: The LESSEE shall pa for its telephone, electric, cable
TV, water, Internet and other public services and utilities during the duration
of lease.

10. FORCE MAJEURE: If whole or any part of the Unit shall be destroyed or
damaged by fire, flood, lightning, typhoon, earthquake, storm, riot or any
other unforeseen disabling cause of acts of God, as to render the leased
premises during the term substantially unfit for use and occupation of the
LESSEE, then this Lease Contract may be terminated without compensation
by the LESSOR or by the LESSEE by notice in writing to the other.
11. LESSORs RIGHT OF ENTITY: The LESSOR or its authorized agent shall
after giving due notice to the LESSEE have the right to enter the unit in the
presence of the LESSEE or its representative to any reasonable hour to
examine the same make repairs therein as for the operation and maintenance
of the building or to exhibit the Unit to prospective LESSEE, as for any
other lawful purposes which it may deemed necessary.
12. EXPIRATION OF LEASE: At the expiration of the term of this lease
