Agreement between the League of Legends Player and The Penguins

ON THE ONE HAND, Mr. Marco dos Santos Gonalves Mouro , of legal age, with
registered office in Portugal and ID No PT11284665 Intervening in the name and on behalf of
the company Club The Penguins Mafia located at Rua Comendador Anbal Xavier No 19, 5400
Chaves, Portugal as owner thereof (hereinafter, the Club)
AND ANOTHER, .. , with registered office
in ...................... . and Passport No .. Intervening on his own
behalf and right (hereinafter, the Player)
Both parties in his own name and right, recognizing the full legal capacity to execute
this lease.
DECLARE
I.

That,
the
Club
The
Penguins
Mafia
is
interested
in
Mr.
. services as a member thereof.

II. That Mr. .. is also interested in performing his

services for the Club.
III. That, after the timely negotiation, it is reached the entering of this document by both
parties, based on the following:
TERMS
FIRST.- The Club The Penguins Mafia acquires the sports rights of Mr. ...
................ who is obliged to carry out his activities as a
League of Legends Player for the benefit of the Club during 6 ( six ) months, being renewed
automatically for 6 more months unless any of the parties gives written notice of his intention to
withdraw from the contract within 15 days before this contract ends, which is the first day of
July 2016.
Accordingly, the term of this agreement is six months, counting from the first day of
January 2016 and ending the first day of July 2016 and its extension will end the last day of
December (31st) if none of the parties activates the not-renewal mechanism in order not to renew
it automatically. --------------------------------------------SECOND. - For the purposes of this agreement, the player must:
A) Participate as a player, in every official and friendly, national or international
competition, in which the main team of the Club participates, or in those competitions organized
by the Club or other entity on behalf of this, as well as in other official events or exhibition
games to which he is recruited.
B) Respect the rules, regulations and competition basis and statutes in which
the
Club, and specially Riot, operate.
C) Train with the technical services order of the Club, taking care of the good
physical condition in order to reach the best performance during the activity.

D) Whenever it is required by the Club, use only the equipment, sport material
and social distinctive visuals provided by the Club provided that participates in attendance
games, official displacements and other related with the Club, to this end, from this point, the
player gives explicit rights of image that may correspond to his participation of these activities.
E)

Refrain, during this contract, from committing sportingly with other club,
as well as training or participating in meetings under the discipline of other
Club without approval of the Club that subscribes this agreement.

THIRD.- The Club is committed to facilitate a Training Schedule to the player, made by
the couch and/or the technical staff.
FOURTH.- The Club will cover the costs to the player for his services, according to the
financial rewards table listed in Annex A of this contract.
FIFTH.- When the player carries a penalty of a fine by the competent organs because of
his unsporting behavior, the Club may charge the amount of that fine to the player. If the player
interferes negatively in the smooth functioning and harmony of the group or shows poor
performance, the Club may terminate the agreement unilaterally. In which case, the player does
not have the right of any compensation
SIXTH.- The validity and efficacy of this agreement are conditioned to a 15 days
probationary period since the sign of this contract, in which the player is tested in his
performance with the supervision of the technical staff.
Given the case of a negative result, this contract will be concluded and without right to
compensation of any kind for either of the parties, and the Club must communicate this
circumstance within the next 5 days after the end of the probationary period.
SEVENTH.- The player must tell the manager of every tournament that the prizes must
be collected by the Club, being the Club obliged to pay the premiums every start of the month ,
at most until day 8 (eight) as stipulated in Annex A of this contract.
When the player chooses unilaterally to omit the previous point, the Club may terminate
the agreement unilaterally, in which case, the player does not have the right of any
compensation.
EIGHTH.- The validity of this agreement is subject to the fulfillment of the
probationary period that will start the same day the player joins the Clubs activity and it cannot
exceed fifteen days, given the terms in section SIXTH.
NINTH.- The player will have to comply with the Internal Rules and the internal
discipline of the Club and respect the authority of the technical staff, respect the other fellows
and scheduled timing.
TENTH.- The player affirms that at the time of the sign of this contract there is not an
existing legal contract with other Club that disables the conclusion of this one, being the player
the only responsible if the affirmation is false and responsible of the adjacent compensations.
ELEVENTH. - During Streaming emissions in an individual level in any of the
available platforms, the players are obliged to use distinctive visuals, if is required by the Club,
such as advertising banners, overlays or other, which will be provided by the Club. During these
emissions, the players will not advertise objects or products that run counter to the interest or
legality of the Club and the entity it is represented, being the player the only responsible in case
of infringement. The monetary benefits of these emissions are wholly owned by the player:
partners, donations and so on.

TWELFTH. Any controversial matter or legal dispute will be resolved only and
exclusively in the Judicial Court of the Region of Chaves, located in Largo do Arrabalde,
Palcio de Justicia 5400-079 Chaves, Portugal. The interveners dismiss in own free will the use
of other Court for the treatment of legal issues related with this contract.
THIRTEEN. The Club keeps the right of adding or modifying terms of this contract,
always informing the interveners and giving them the choice of accepting or rescinding the
contract, without right of any compensation by the player or the Club.

ANNEX A
1. The monetary objectives will be applied only when the season 6 of League of
Legends has started, after the reset of the leagues.
2. The amount will be paid the next month of the objectives achievement, at most
until day 8 (eight), the Club is entitled to pay before if it is seemed convenient.
3. When the Club reaches Diamond 1, every player will be paid 30
(thirty)---------------------------------------------------------------------------------------------------4. When the Club reaches Master, every player will be paid 50 (fifty).
-------------------------------------------------------------------------------------------------------------5. When the Club reaches Challenger, every player will be paid 100 (a hundred).
---------------------------------------------------------------------------------------------------6. These bounties are unique and cumulative. In case of decline and reaching the
division again, it does not involve being paid again, in the same way that it does
not implies losing the previous bounty, already paid, in case of decline.
-----------------------------------------------------------7. Every player will receive a financial support of 100 (a hundred) monthly in order
to acquire gaming material, such as peripherals, etc. The first payment will be
given in February, at most until day 8 (eight), as referred to in point 2 of this
Annex. ----------------8. When this contract is signed, the player will receive a bounty of 50.
-------------------------------------------------------------------------------------------------9. The Online Classification (not being classified automatically by invitation) for
any of the tournaments of ESL Masters will imply a premium of 50 for each
player. -----------------------------------------------------------------------------10. During the Open of Challenger Series (Battleground), when the team is classified
in a classification phase until the Final (excluded), every player will be paid 20
for each classification phase.
11. In every weekly online tournament scheduled by the Club, the prize will be
distributed equitably among the players and technical staff, not being part of this
distribution the Club.

12. If any of the players does not participate in any of the games justifiably, he will
only be paid the proportional amount of the played games and the rest will be paid
to the substitute.
13. If the player participates in the 80% (eighty) or more of the classification games
for an in-site event, but does not takes part of the team at the time of the event
consensually by both parties, a proportion of the final prize will correspond to
him, given that he does not play the tournament with other organization.
------------------------------------14. In in-site tournaments in which the Club is classified, such as ESL, Dreamhack
and other, a 30% of the prize will be kept by the Club for travel and logistic
expenses, being the rest divided between players and technical staff. The applied
formula will be 30% expenses + 50% players + 20% technical staff. The Club will
determinate the value of the travel expenses and will give it to the Coach, being
him the responsible of the management of this unless it is designated to other
member with previous acceptance of the Club. -----15. In every tournament in which the Club participates, as explained in the
SEVENTH term, the players must inform the organization that every prize in
events must be paid to the Club, and the Club will pay every member of this as
described in this contract.
16. When the team is classified in Challenger TOP10 at the end of the split, every
player will be paid 150.
-------------------------------------------------------------------------------------------------17. When the Club reaches the European Challenger Series, the player will be paid
500 (five hundred).
18. During the participation of the Challenger Series, every win will imply a premium
of 50 to each player.
-----------------------------------------------------------------------------------------------19. The Classification for LCS playoffs will imply a premium of 350 (three hundred
and fifty) to each player.
---------------------------------------------------------------------------------20. In case of displacement in order to play in Riot Studios, the Club will define an
amount for expenses, which will be indicated at the time and the Club will make
an advance payment and will also assign the person in charge of the management.
21. In case of reaching the classification for a spot in LCS, every player will be paid a
premium of 2000 (two thousand)
----------------------------------------------------------------------------------------------------22. The unilateral rescission of this contract by any of the players will imply the total
return of the prizes collected during this contract and a compensation of 5 (five)
for every day is missed for the conclusion of the contract on behalf the
Club.----------------------------------------------------------23. The unilateral rescission of this contract by the Club unjustifiably will imply
fulfilling the section 12 of this contract (twelve of this contract) and a
compensation of 5 (five) for every day is missed for the conclusion of the
contract on behalf the player. --------------------------------------------------------------24. If the classification for the European Challenger Series is reached, the Club keeps
the option of managing a Gaming House. In that moment, the terms of this
Gaming House will be given so every member can accept or rescind the
contractual alterations.

It is affirmed in this contract, composed by 5 (five) sheets, that it was signed freely and
spontaneously and the constituents are compromised to respect its content and terms described
in it.
