This has reference to our discussions yesterday for IGBT based rectifier 1x 160KVA, IGBT Rectifier for your
Project. In line with the same we are pleased to offer our best commercials for the same.
This quotation is based on our APC MGE Galaxy UPS series system, with a high quality valve regulated lead
acid battery, which provides the UPS with power in the event of mains failure. We have based this quotation on
our standard IGBT based high efficiency UPS module Galaxy 7000.
The APC Galaxy 7000, UPS has the following benefits which we would like to draw to your attention;

Double conversion (VFI as per IEC 62040-3/EN 62040-3), providing regeneration of the output voltage
and frequency.
ACTIVE Filtering with low input current harmonic distortion THDi <5% and high power factor correction
0.99 even at low loads
Soft start, walk-in charger for excellent compatibility with generator sets
4-5% Better Efficiency-Huge Energy Savings: High AC input to AC output efficiency 94.5% even at part
loads where typically a UPS operates. Legacy UPSs have efficiency in the range of 89-91% with all options
added at rated loads.
Small equipment footprint to save on your premium floor area,
Life Cycle Monitoring of Components: Each UPS has inbuilt monitoring facility to ensure life cycle availability of the overall UPS.
Upto 8% Higher Output Deliverable with Temperature: 200kVA can deliver 7-8% more output power at
varying temperatures. Normally in critical environment temperature is 25 Degree; hence customer can
achieve more output from the same UPS.
Green UPS Technology: End of life process compliant to WEEE directive, 91% of goods can be recycled, 94% of goods can be recoverable

SCOPE OF WORK
This Scope of Work (SOW) defines the responsibilities of Customer and APC for this proposal. Customers responsibilities specified in this section shall be provided at no charge to APC. APCs performance is contingent upon the responsibilities being fulfilled by Customer according to the Project
Schedule.
Any delay or failure by Customer to fulfill its responsibilities may result in an adjustment to the terms
of the agreement and shall release APC from its obligations hereunder to the extent that APC is affected by the delay or failure.
1.1 Assumptions
The following assumptions have been used in order to develop this proposal's Scope, Baselines and
associated costs. In the event of any change in these assumptions, APC reserves the right to redefine
the statement of work and pricing. Any change in these assumptions will be assessed and documented by both APC and Customer via the Change Control Procedure. APC reserves the right to
submit request for change in schedule/cost due to a change in requirements.
The maximum distance between UPS and battery bank should be 5Mtr.
Battery Rack would be of Open type.
Unloading and Positioning of equipments under scope is considered for the Ground Floor
only.
Availability of construction power to APC at no cost.
Service Lift available at site to unload and position the equipments at site.
All legal, site & statutory clearance, compliance and approval will be arranged by customer.
Warranty of equipments starts from one month after delivery of materials or date of commissioning of UPS systems at site, whichever is earlier.
1.2 APC Responsibility
Supply of, 1 x 160KVA , 3 phase UPS System with 3phase input and 3phase output arrangement
along with SMF Batteries The details are mentioned hereunder:
APC-MGE Galaxy 7000 Series, 1 x 160 KVA Online UPS with 3-phase input & 3-phase output.
Battery Bank for each UPS.
Accessories:
Open Type Battery Rack
Battery connecting links
Battery Breaker
Battery cable connecting UPS to Battery Bank upto a maximum distance of 5mtrs

1.3 Customers Responsibility


Input & output Power Cabling to and from UPS & DB.
Availability of clean earth till UPS connecting terminal.
Availability and maintenance of UPS environment conditions at site as per APC Site Prerequisite & warranty recommendations.
Provide Cable tray for Power, Battery and Control Cables.
Safety and Security of Materials delivered at site.
If the UPS system needs to unload & position on other floor except ground floor, the associated cost against the same shall be borne by customer.

All legal,site,statutory clearances,compliance and approvals
Insurance
1.4 Exclusions of the offer
All legal, site and statutory approvals.
Anti Flooring with required space to install UPS and Batteries.
UPS positioning on floors other than ground floor and non-availability of service lift at site.
Any Civil, interior, Fire proofing, IBMS, Fire, Security, All networking, cabling and IT migration works.
The building/ structural strengthening.
All work permit or license.
All necessary site insurance.
For the local movement of supplied items at customer site, any modification required for the
same in the building, approach road etc.
To have normal precautions to backup systems to safeguard against any accidental loss of
data.
Room Housing the UPS should be adequately cooled, cooling to be provided by customer.
Supply & Installation of Cabling between Input Panel to UPS.
Supply & Installation of UPS to Output Panel.
Supply of Cable Tray.
Supply & Installation of BMS Cabling.
Supply & Installation of Earthing Cabling.
Supply & Installation of Bypass Cabling.
Site Testing with Load Bank.
Safety & Security of Material at site.
Supply & Installation of Base Frame.
Also consumables like Switch, Plug, electrical cable and conduits etc are not covered in warranty.

COMMERCIAL TERMS & CONDITIONS:


1.1 PRICES
The quoted prices are valid for delivery is FOR SITE BASIS.
1.2

STATUTORY LEVIES/TAXES/DUTIES

EXCISE DUTY PLUS CUSTOMS ON UPS :


Excise duty plus Customs Extra @17.192% on NON-IT application unless it is
exempted as per government notifications. (Documentary support as determined shall be provided by the customer)
SALES TAX :
CST @ 2% against form C shall be charged extra
SERVICE CHARGES:
Service Tax @ 12.36% shall be charged extra
All taxes and duties indicated above are at current rates however, the same shall be as
applicable as at the time of delivery.

1.6 EQUIPMENT WARRANTY :


We warrant the equipments supplied by us against any defects in design, material and workmanship for a period of 12 months for UPS & Batteries from the
date of commissioning or 13 months from the date of dispatch whichever is earlier.

1.7 VALIDITY :
This offer is valid for 30 days from the date of submission.
1.8

PAYMENT TERMS :
a) 50% interest free advance along with Purchase Order.
b) Balance 50% of the order value along with 100% Taxes, Duties & freight
charges through Letter of Credit negotiable at sight.
If the advance payment or agreed payment security is not provided in accordance with the terms of contract, Seller shall be entitled to either adhere to or
terminate the contract and shall, in either case, be entitled to claim damages including compensation for loss of profit.
If Purchaser exceeds the agreed periods of payments, it shall be liable, without
reminder and with reservation of the right to bring further claims, for interest at
a rate depending on the terms prevailing at Sellers domicile, but not less than
24% per annum. The contractual payment obligations continue to remain in
force.

1.9

DELIVERY BASIS :
All equipment will be delivered Ex-respective Manufacturer's Works.

1.10

DELIVERY SCHEDULE :
We shall complete the delivery within 6 to 8 weeks from the date of receipt of
technically & commercially clear purchase order or final approval of drawing
whichever is later.
The delivery period is given in good faith and is subject to:Our works/our suppliers being able to obtain the required raw materials
and components without any undue difficulties or delays beyond their reasonable control.
Force Majeure Conditions.
In case the delivery is deferred/delayed for no fault of ours, the prices after
the contracted date of delivery shall be subject to our confirmation.

FORCE MAJEURE CONDITIONS :


We do not hold ourselves liable/responsible for losses, damages, detention or
delays or non-performance, if it is occasioned due to reasons beyond our control from any of the following :-

a) War, Political disturbances, fire, flood, earthquake or such other calamities.


b) Strike, labour-unrest, riot, embargo, insurrection or any other similar causes,
in our or our sub-suppliers works.
c) Delays or shortages in transportation or delivery, shortage of rawmaterials/component parts, labour or such similar causes.
d) Compliance with any Governmental rules, regulations or requirements
e) Restrictions in the use of power.
f) Delays caused to our sub-contractors/suppliers due to any of the foregoing
enumerated causes.
In the event of delay due to any of the causes referred to above, we shall notify
you in writing on the intervention and on the cessation thereof, without any delay, in
which case the date of delivery/dispatch will be postponed by such length of time as
may be reasonably necessary to compensate for the delay occasioned due to any of the
causes enumerated

PRICE VARIATION CLAUSE :


STATUTORY VARIATION: The prices quoted are based on the present
rates of various Government Taxes, duties as applicable on the material.
Should there be any statutory variation in these rates later on; the same
will be added to Purchasers account.
FOREIGN EXCHANGE VARIATION: The prices quoted are on present
US Dollar rate. Any variation in Foreign Exchange beyond 2% at the time
of import shall be to Purchasers account.
PRICE VARIATION WRT LME INDEX: The battery price is directly
proportional to lead price. The lead price is governed by LME index
(London Metal Exchange index). Any variation in battery prices to purchasers account.

Cu = Current Copper 3-Months Buyer Rate in US$ / tonne
Al = Current Aluminum 3-Months Buyer Rate in US$ / tonne

P0 = UPS Starting Price (as per contract)
Cu0 = Copper 3-Months Buyer Rate in US$ / tonne on the day when
contract starts
Al0 = Aluminum 3-Months Buyer Rate in US$ / tonne on the day when
contract starts

S0 = Steel 3-Months Buyer Rate in US$ / tonne on the day when contract
starts
BATTERY :
The battery price is based at 16000 RMB at the Shanghai Metal Exchange. If the lead variation is more than 5 8%, APC as a right to
request Purchaser for reasonably upward price revision.
For Batteries: Forex is based on USD1=47INR. If Forex variation is
beyond 4-5%, APC as a right to request Purchaser for reasonably
upward price variation.
1.13

LIMITATIONS OF LIABILITY :

Under no event, we or our suppliers/manufacturer's shall be held liable for any


incidental or consequential damages (direct or indirect) such as loss of revenue,
loss of use, loss of production, loss of property, costs of capital or costs
connected with interruption of operation, or for any reason whatsoever except
to the extent of our obligation as set forth in the "Equipment Warranty" clause
above. TO THE EXTENT PERMITTED BY LAW AND NOTWITHSTANDING
ANYTHING ELSE CONTAINED IN THIS AGREEMENT, IN NO EVENT
SHALL APC's maximum aggregate liability on any claim of any kind for any
loss or damage arising out of or in connection with or resulting from this
Agreement or from the performance or breach hereof exceed the amounts
actually paid to APC for such Services. Customer is placed on notice that APCs
prices are based on the limitation of liability clause as contained herein. The
parties agree that the limitation of liability clause reflects a fair allocation of risks
between the parties.
1.14

STATUTORY & OTHER REGULATIONS :


If due to changes in any law, rule, etc., or introduction of any new law/rule occurring after the date of the tender, the cost to the Contractor in performing his
obligations under this contract should be increased, the amount of such increase
shall be added to the contract price and paid by the Purchaser.

1.15

SUSPENSION OF WORK :
After release of LOI/P.O./Approval of drawings/signing of contract whichever
is earlier, if the manufacturing or any other work is suspended then same shall
be after mutual discussion and agreement. Any damages/loss incurred by us to
such suspension of work initiated by the Purchaser shall be made good by the
Purchaser.

TERMINATION :

The contact/LOI/P.O. cannot be terminated unilaterally. However, if


either party wishes to terminate the Contract/LOI/P.O. the following shall apply and considered as valid.

Party who wish to terminate the contract shall give prior notice to the other
party
Sufficient time and opportunity shall be given to party who has defaulted to
rectify the default as desired by defaulted party
Only against mutual consent and as per mutually agreed terms the termination process shall be carried out.

ARBITRATION :

The parties agree that, any and all disputes, claims, controversy or causes of action
(Dispute) which the parties are unable to resolve for any reason after applying the
process set out above, shall be completely and finally settled by submission of any
such Dispute to arbitration by the Indian Council of Arbitration in accordance with
its Rules of arbitration then in effect. For resolution of any Dispute, the parties shall
select three (3) arbitrators in accordance with such rules. Any arbitration proceeding shall take place in Bangalore. Any award made by the arbitrators shall be final
and binding on the parties. Judgment, on such award may be entered in any court
of appropriate jurisdiction, or application may be made to that court for a judicial
acceptance of the award and an order of enforcement, as the party seeking to enforce that award may elect. The parties expressly subject themselves to the personal
jurisdiction of such court for the entry of any such judgment and for the resolution
of any dispute, action or suit arising in connection with the entry of such judgment.
The language of the arbitration shall be English. The parties submit to the exclusive
jurisdiction of the courts in Bangalore, India.
1.18

LEGAL CONSTRUCTION & JURISDICTION:


This shall always be operated as a contract under the applicable Indian Laws
and will be subject to the jurisdiction of Indian Courts in Bangalore.

1.19

TRANSFER OF RISK & TITLE :


The risk of loss of or damage to the Product shall pass from the Seller to the
Purchaser upon Delivery of the
Product at the named destination.

1.20

DEFECT LIABILITY PERIOD :


APC shall guarantee the entire installation for 12 months on ups & 12 months on
batteries as defects liability period which shall be reckoned from the date, installation has been successfully handed over to the purchaser. If the installation is
delayed by the Purchaser for more than a month from the date of supply by the
seller, then the seller will not stand guarantee for the installation.

1.21

SITE READINESS :
If the site is not ready for installation, then Seller shall be entitled to claim from
Purchaser the Engineer idling charges @ 3% of the contract value of that particular site for every 1 week of delay up to a maximum of 12% of the contract value.
In case the delay goes beyond 04 weeks, than Seller shall be entitled to terminate
from the contract and also claim such other costs, claims and direct reasonable
losses incurred towards carrying out this contract.
Installation of UPS System & Accessories to be carried out within 30days of delivery at site. Additional installation & commissioning charges will be charged
on per day basis, if installation & Commissioning are delayed due to site related
challenges.

1.22

WATER & ELECTRICITY :


The Purchaser shall provide water and Power at free of cost to the supplier /
contractor for construction / installation / cleaning / testing purposes.
The Purchaser shall arrange for the supply of good quality potable water at site,
for the supplier / contractor labour at site.

1.23

STORAGE OF MATERIALS & EQUIPMENT AT SITE :


The Purchaser shall, at his own cost, provide access to adequate storage sheds
and yards at the Site, at locations near to the project site, for all materials and
equipment that are to be incorporated in the Work. This shall be for all the materials and equipment, supplied by the Contractor / Supplier or any SubContractor/ Supplier. In addition to being water-tight and weather-proof, the
storage facilities shall be of such a manner that all the materials and equipment
are adequately protected in every way from any deterioration or contamination
or damage whatsoever, and to the complete satisfaction of supplier.

1.24

WARRANTY OF THE EQUIPMENT VOIDS :


If UPS & Batteries installed at a place where ambient temperature exceeds
more than 27 degree centigrade
Any damages happened due to environmental issues such as water logging,
fire, short-circuit, damage by rodents etc will not covered under warranty
Delay in SLA due to issues beyond the control of supplier such as riots, road
blockages, bandhs etc.
The batteries will be replaced only for reasons arising due to manufacturing
defects.
Damage or defect caused by transportation, accident, misuse, abuse, improper usage or negligence.
Damage or defect caused by fire, earthquake, flood or other similar natural
disasters.

Damage or defect caused by alteration, modification, conversion not authorized by APC in writing.
Usage of equipment beyond the working conditions and environment as
specified in the User or Product Manual.
Factory applied Serial No. is altered removed or defaced from the product.
Repairs carried out by any other personnel other than an Authorized and
Certified APC Repair Engineer or Technician or ASP (Authorized Service
Provider).
Defects due to abnormally high input voltages or surges if the equipment is
not designed to protect itself against such input voltages and surges.
Defects or damages due to any other external means or causes.
Charge the batteries promptly after use. If the batteries are left in a discharged state, the plates will get sulphated.
A Minimum of 10 hours should be available for recharging after a prolonged
use.
Operated under conditions that violate the recommendations practices and /
or guidelines and / or specifications mentioned in the installation and operations manual.
Physically damaged
Willfully abused
Permissible operating temperature range of battery is 0 45 C, but using
within an operating of 5 deg C to 35 deg C will be most recommendable.
Maximum life can be obtained if the batteries are operated in ambient temperature ranges of 20 deg C to 25 deg C.
Standby Use: Sealed Maintenance Free batteries are well suited for Standby
applications (such as UPS) and not for Cyclic Use. The number of cycles expected from the batteries are aprox. 1000 cycles at an average depth of discharge (30%) and the expected cycles are aprox. 250 at 100% depth of discharge.
UPS has to be Turned OFF using the front Panel switch and input mains
should be left ON, for the UPS to charge the batteries.
Warranty of UPS & Batteries will be null & void if stored / kept without
powering ON for more than Six months.

Road permit/entry tax will not be arranged/ borne by Seller for delivery of material from Sellers
Warehouse to Customer site/stores

Approval/permission/license from state/central authority for Installation &


Commissioning of hardware at endCustomer site will be out of scope.

Input and Output cables for UPS is not in Sellers scope.

Installation & Commissioning will be carried out by APC / APC authorized
