ANNUAL MAINTENANCE CONTRACT


FOR 12 KVA D.G. SET
Dear Sir,
Reference our engineers visit to Mr. Muneer Kamals residence as requested. We are pleased to
enclose our service and maintenance contract specifying our scope of work.
Our deputed engineer will visit the above-mentioned residence once a month. Our coordinator
officer will notify you or your assigned representative 48 hours in advance by fax of our
engineers name and expected arrival time.
If for any reason an emergency arises during our office hours (9.00 a.m. to 5.00 p.m. Monday to
Friday) please contact us on PABX No. 5682565-69 Ext. 399 & 340 or after 5.00 p.m. please
contact us on mobile phone Nos. 0320-4310919 and 0320-4320955.
Our service engineer on completion of the assigned task at the respective site is directed to hand
over a copy of his visit report at your residence, duly signed by the engineer and your staff. Any
complaints / suggestions or further required assistance can also be noted in our Engineers Report
for further action at our end.

ANNUAL MAINTENANCE CONTRACT (AMC)


FOR 1 x 12 KVA F.G. WILSON D.G. SET
This maintenance contract made at Karachi between M/S. GREAVES PAKISTAN (PVT.)
LIMITED having its registered Branch Office at Modern Motors House, Beaumont Road,
Karachi their successors and legal assigns hereinafter called GPL as party of the FIRST PART
AND M/S. UNION BANK, 4th Floor, N.J.I. House, I.I. Chundrigar Road, Karachi their
successors and legal assigns hereinafter called CLIENT as party of the SECOND PART.
WITNESSETH
Whereas the CLIENT intends that GPL maintains the Diesel Generating Set hereinafter called
the EQUIPMENT and GPL agrees to maintain the EQUIPMENT on the following mutually
agreed upon terms and conditions: 1.1

The EQUIPMENT to be maintained is 01 No. 12 KVA F.G. Wilson D.G. Set installed at
residence of Mr. Muneer Kamal, G Street, D.H.A., Karachi.

1.2

The period is effective from ___________, 2003 and would remain valid for a period of
one year therefrom. It will be considered renewed automatically for the next year, unless
otherwise advised. In the event any of the two parties are unwilling to continue this
agreement during contract period, 01 month prior notice shall be served by the party of
second part in writing. The period of contract shall be extended on mutually agreed
terms.

1.3

The Maintenance Charges for one visit per month for the EQUIPMENT maintained in
Para 1.1 will be Rs.2,500/- (Rupees Two Thousand Five Hundred Only) per month. The
charges to be paid on semiannually / annually basis in advance within 07 days of receipt
of invoice/bills.

2.1

Maintenance would include: -

a.

GPL will carry out routine visit for normal maintenance and checking as per
manufacturers recommendations (details in related manuals of the set) and
running the set for one hour on the maximum available LOAD and recording all
parameters.

b.

Replacement of consumable spares such as oil filter, fuel filter, water filter, air
filter etc., as specified by manufacturers manual and as required. The cost of allconsumable spares and material would be to the account of the CLIENT.

c.

Checking and maintenance of electrical circuitry including panels, circuit


breakers, changeover, contactors etc. is the responsibility of GPL.

d.

Checking of log sheets, which will be maintained by the CLIENT on hourly basis
during D.G. set operation.

Any modification to the EQUIPMENT shall be carried out by GPL after intimating to the
CLIENT.

2.3

Defect rectification and maintenance of EQUIPMENT shall be carried out by qualified


and factory trained GPL staff either during normal business hours of GPL (Monday to
Friday 1000 hrs. to 1700 hrs. except Saturday & holidays) with the mutual consent of
CLIENTs Manager and GPL Service Manager. In addition to one visit as mentioned
vide para 1.3, GPL staff will attend to 06 emergency calls (if called upon to do so by the
CLIENT) with no extra cost to the CLIENT. GPL will make every effort to attend the
emergency calls within minimum possible time of its acknowledgement by the Service
Department. These emergency calls do not include major repairs like top or major
overhauling etc.

2.4

Major jobs like top or major overhauling will be carried out by GPL at the stipulated
time as per manufacturers recommendations. Since execution of these jobs incur
considerable time and costs, a work schedule for the same along with quotation for
services and spares will be sent to CLIENT for necessary approval. GPL will give
sufficient notice to CLIENT prior to execution of top or major overhauling. In case of
EQUIPMENT, standby rental power will be arranged during the course of top or major
overhauling jobs.

2.5

All consumables required for periodic maintenance such as filters, oil etc. will be
arranged by GPL and a separate invoice of the same will be sent to CLIENT for
necessary payment after satisfactory completion of job. In case of local repair / service
e.g. battery charging alternator, water body, radiator, control panel, safety switches,
gauges, meters and other associated parts, GPL service team will remove / dismantle the
damaged / faulty part and make every possible effort to repair / service with minimum
downtime with due intimation to the CLIENT.

2.6

The CLIENT fully understands and agrees that in case CLIENT does not stop the
engine at the time our service engineer visit the site to perform the maintenance service at
mutually agreed date and time, the visit will be deemed to have been made as per this
contract. Additional visit or visits other than one visit per month and six emergency visits
thus made as a result of non-availability of EQUIPMENT to our engineer shall be either
adjusted against the on coming due visit or shall be charged extra.

2.7

Though every endeavor will be made by GPL to ensure defect rectification of the
EQUIPMENT in minimum possible time, yet GPL cannot be held responsible
whatsoever for any delays due to non-availability of D.G. Set / EQUIPMENT, required
spares, repairs, Force-majeure or any other reason beyond the control of GPL.

IN WITNESS WHEREOF the parties hereto and named above have set and subscribed
respective hands and seal on the day, month and the year first above mentioned.
