8. Miscellany.ThisAgreementshallbebindinguponthepartieshereto,theirheirs,successors,assigns,andpersonal
representatives. This Agreement constitutes the entire understanding between the parties. Its terms can be

modifiedonlybyaninstrumentinwritingsignedbybothparties.Awaiverofanybreachofanyoftheprovisions
ofthisAgreementshallnotbeconstruedasacontinuingwaiverofotherbreachesofthesameorotherprovisions
