AGREEMENT FOR SALE
THIS AGREEMENT is made this ..day of

BETWEEN:
1.

of Post Office Box Number in the Republic of Kenya,


(hereinafter called the Vendor which expression shall, where the
context so requires, include the Vendors respective personal
representatives and assigns ON THE ONE PART AND
IT IS HEREBY AGREED as follows:
1. WHEREAS the vendors are registered as the proprietors of
TITLE NUMBER ........
2. The vendors HEREBY AGREE to sell and the Purchaser HEREBY
AGREES to purchase 15 acres to be excised out of TITLE
NUMBER .............................on the following terms and
conditions
(i). The total purchase price for the Property is Kenya Shillings
900,000/= (Kenya Shillings NINE HUNDRED THOUSAND ONLY )
(ii) The purchaser has paid a deposit of Kshs 740,000/= ( Kenya
shillings seven hundred and forty thousand) on or before the execution
of this agreement, receipt of which the vendor hereby acknowledges
by executing this agreement.
(iii). The balance of Kshs 160,000/= ( Kenya shillings one hundred
and fourty thousand) shall be paid on or before 12th February 2016.
(iv). The Sale is subject to the Law Society Conditions of Sale (1989
Edition) (hereinafter referred to as the LSK Conditions) which
shall be deemed to be incorporated herein in extensor save in so far
as the said Conditions of Sale are not inconsistent with the other
provisions of this Agreement or are expressly or impliedly waived.
v.

The contractual completion date shall be 90 ( ninety) days


from the date of the execution of this agreement (hereinafter
referred to as the Completion Date).

vi.
The Vendors Advocates shall be ONCHARI OTISO & CO.
ADVOCATES
vii. The property is sold free from all charges, mortgages and other
security interests, otherwise free from any encumbrances
viii.

The property is sold with vacant possession at the Completion


Date and, for the avoidance of doubt; it is hereby agreed and
confirmed that the Purchaser shall be entitled to take
possession of the Property at the Completion Date.

ix.

The formal transfer of the Property shall be made in favour of


the Purchaser

x.

The sale does not include any movables.

xi.

All stamp duty and registration fees payable in connection


with the transfer of the Property from the Vendor in favour of
the Purchaser shall be paid by the Purchaser. Each party
hereto shall bear and pay its respective Advocates legal fees
and costs.

SPECIAL CONDITIONS:
1.

Time shall be of the essence for purposes of this agreement.

2.

The Vendor shall deliver to the Purchaser the following


documents in respect of the Property on or before the signing
of this agreement
(i) the original Title Deed;
(ii) the duly executed Transfer in favour of the Purchaser
and/or the Purchasers nominee (s) (in triplicate);
(iii) original Consent To Transfer
(iv) Rent and/ Or Rates Clearance Certificate from the relevant
Authority.
(v) Three colour passport size photos, certified copies of the PIN
Certificate and National Identity Cards of the Vendors.

The parties herein agree to have the completion dated


extended in the event same is not completed within the

stipulated period on the terms and conditions conducive to


both parties.
4.

Each of the parties hereto hereby agrees and confirms for the
purposes of the Law of Contract Act (Chapter 23, Laws of
Kenya) that it has executed this Agreement with the intention
to bind itself to the provisions of this Agreement.

IN WITNESS WHEREOF this Agreement has been duly executed by the


parties hereto as of the day and year first above written.
