MEMORANDUM OF UNDERSTANDING

This agreement is made and executed at Noida, District Gautam Budh Nagar, U.P on
..,
BETWEEN
M/s BRYS INTERNATIONAL PVT LIMITED, having its Corporate Office at A-64,
Sector-63, Noida-201301, through its Chairman & Managing Director, Mr. Rahul
Gaur, hereinafter referred to as FIRST PARTY) which expression shall unless
repugnant to the subject or context thereof will include its representatives, heirs ,
successors and permitted
AND

Nexgen Realty through its Director. (hereinafter referred to as


SECOND PARTY) which expression shall unless repugnant to the subject or context
thereof will include its representatives, heirs , successors and permitted assigns.

WHEREAS, the First Party is engaged inter-alia in Real Estate, Advertising and
Hospitality business. The First Party is planning to launch its Premier, Iconic &
Luxurious Residential, Commercial and I.T Projects BRYS BIGG situated at Plot
No. 18, TECHZONE IV, GREATER NOIDA (WEST), Distt. Gautam Buddha Nagar .

WHEREAS, the Second Party is desirous to undertake as underwriter commercial


space approximate area 5,000 sq.ft in Shops, detailed Shop area is attached as per
Annexure A.
WHEREAS, the Second Party understood that First Party is under process to take
ownership of the I.T. Plot on which project to be launched and in order to reap the
benefit of pre-launch price of the commercial space, the Second Party is desirous to
invest in the commercial space/shops.

NOW BOTH THE PARTIES MUTUALLY HEREBY AGREE & DECLARE AS UNDER:
1. That the Second Party is undertake to buy approximate 5000 Sq.ft area of
commercial shops at 10%discount on the underwriting area ie. approx
5000sqft and as per the attached Annexure A and price consideration for
the above area will be Rsas mentioned in the Annexure A,
out of which Rs.40 Lacs has been paid by him vide Cheque no.000083 dated
12/4/2014 for an amount of Rs.20 Lacs and Cheque no.000084 dated
12/4/2014 for an amount of Rs.20 Lacs .
2. The Second Party is undertake to give 40% of the total consideration within
80 days from the date of this MOU, out of which 10% will be paid by him on
the date of signing of this MOU. This amount paid by the Second Party will be
treated as security money as underwriter for the commercial space and shall
be refunded on the actual sale of the commercial space to be done by the
Second Party to the prospective buyers of the same.
3. That the Second Party can sell the commercial space on the price as decided
by him the difference between the agreed price and selling price will be the
profit of the underwriter. However, the underwriter cannot sell the above
commercial space more than 6% on the prevailing price list of the Company.
4. That the Second Party can sell to any prospective party in any payment plan
opted by the prospective buyer will be applicable on the sold commercial
area/shop and on the balance commercial area, the payment will be treated
40% on the booking and 60% on the possession.
5. That if the project is not conceived or abundant by the First party within 6
months from the date of this MOU, the First Party hereby undertake to refund
the amount received from the Second Party with interest @ 12% per annum
and the First Party will not claim any other charges except interest @12 % per
annum from the First Party.
6. The first party agrees to refund underwriting amount and profit at every
1000sq ft sale and payment should be 40%.
7. That the MOU is strictly confidential and not transferable/assignable
favouring Third Party except with the permission of the Honble Courts.
8. That the MOU is subject to force majeure reasons which may be beyond
control of human beings or parties to the MOU hereof.
9. That the dispute arising out of this agreement will be referred to the sole
arbitrator for adjudication. The sole arbitrator shall be of a rank not below
the retired Additional Distt. Judge and will be appointed mutually by both the
parties. The arbitration proceedings will only be held at Noida and the award
of the arbitrator will be binding on both the parties.
10.That the Courts at Distt. Gautam Budh Nagar will have exclusively jurisdiction
to entertain the disputes.

In witness, whereof the parties hereto have caused this MOU, to be executed by and
between the authorized representatives as of the date, day first above written.
