INVESTOR AGREEMENT

Know all men by these presents:

This an Investor Agreement by and between:
BURGER FRANCHASING, located at Tagaytay City herein represented by
its franchisee ROSEMARIE V. RUPIDO, of legal age, married, Filipino citizen,
hereinafter referred to as the FIRST PARTY;
-ANDCRIS ERIC VERGARA LANGRIO, of legal age, Filipino citizen,
single/married and presently residing at Goldcrest Villas San Agustin Trece
Martires City Cavite, hereinafter known as the SECOND PARTY;

-witnesseth-

WHEREAS, BURGER FRANCHASING as the First Party engaged in the

business of providing manpower to local employees;
WHEREAS, CRIS ERIC VERGARA LANGRIO, as the Second Party
desire to invest in the said business undertaking;
WHEREAS, the First Party has accepted the Second Partys offer of
investment under the following terms and conditions:
1. The SECOND PARTY shall have an involvement on the Company of
the FIRST PARTY;
2. That the amount of the investment is TWO HUNDRED TWENTY
THOUSAND (P 220, 000) PESOS;
3. The SECOND PARTY will be informed or update of the status of the
business by the FIRST PARTY on a quarterly basis;
4. The term of investment is for FIVE (5) years ;
5. Should the SECOND PARTY wish to terminate or discontinue the
investment, he will inform the FIRST PARTY within a period of three
months prior to the termination;
6. Upon termination of the investment agreement, the principal
amount shall be returned to the SECOND PARTY;
7. The FIRST PARTY will release the interest of the invested amount to
the SECOND PARTY on a quarterly basis via cash in favor of the
SECOND PARTY;
8. The investment of the SECOND PARTY will earn a monthly interest of
______ percent (______%);

9. In the event that the SECOND PARTY would like to increase the
amount of his investment the same may be done during the
monthly maturity date of the principal investment upon notice
either verbal or written to the FISRT PARTY;
NOW THEREFORE the PARTIES hereto hereby affix their respective
signatures below in witness whereof.
