WhereastheAgentmayfromtimetotimereferpotentialcustomerstotheCompanyforareferralfee.
ThePartiesagreetothefollowing:
1.

ReferredclientswilleitherpurchasecontractswhereinamonthlyretainerfeeispaidORa
contractwhereinaonetimeflatfeeispaid.TheAgentwillreceivetenpercent(10%)ofthe
entiretotalvalueofthecontract.Totalvaluewillexcludeanyservicesthatextendbeyond
oneyear.Totalvalueshallexcludevalueaddedtax,postageandpackaging,insurance,
refundsandpaymentsnothonoredbyafinancialinstitution.Subsequentsalesofgoodsor
servicestothereferredcustomershallnotbesubjecttoareferralfee.

2.

Feeswillbereconciledaftertheclienthaspaidtwo(2)monthsoftheirmonthlycontractOR
30%oftheirflatfee(normallythefirstpayment).Uponreconciliationofreferralfeesdue,
theAgentshallissueaninvoicetotheCompanyandpaymentshallbeeffectedwithinthirty
(30)daysofsubmissionofsaidinvoice.

3.

PlacementofadvertisementsandreferralmethodsfortheCompanyareatthesolediscretion
oftheAgent.However,inordertosolicitsales,theAgentsshallnotmakepromisesorissue
anywarrantyeitherexpressedorimpliedpertainingtothegoodsorservicesofferedbythe
CompanyunlessauthorizedinwritingbytheCompanytodoso.

4.

TheAgentmaymakeuseoftheCompany'strademarksforthesolepurposeofpromotingthe
Company'sgoodsorservices.AnysuchuseshallbeinaccordancewiththeCompany's
trademarkpolicies.Itisexpresslyunderstoodthatthisreferralagreementdoesnotgrantthe
AgentanyinterestintheCompany'strademarksoranyotherintellectualpropertyrights.

5.

Therelationshipbetweenthepartiesshallatalltimesbethatofindependentcontractors.No
employment,partnershiporjointventurerelationshipisformedbythisreferralagreementand
atnotimemaytheAgentpositionitselfasaffiliatedtotheCompany,exceptasan
independentreferrer.InviewofthisindependentrelationshiptheAgentshallnotenterinto
anyagreementsonbehalfoftheCompany,shallmakenowarrantyeitherexpressedor

impliedonbehalfoftheCompanyandshallnotincuranyexpensesonbehalfofthe
Company.
6.

ThisreferralagreementdoesnotgrantexclusiverightstotheAgenttoactasreferreron
behalfoftheCompanyandtheAgentshallhavenorightsunderanyotheragreementsentered
intobytheCompanywithotherAgents.

7.

TheAgentagreesnottodiscloseanyconfidentialinformationpertainingtotheCompany's
goodsorservicesnorthatofprospectiveorexistingcustomerstoanythirdparty.TheAgent
maydofollowupenquirieswithitsreferredcustomerstoconfirmtheirpurchaseandto
gatherfeedbackabouttheirexperiencewiththeCompany'sgoodsorservicesassupplied.

8.

Eitherpartymayterminatethisreferralagreementatanytimebygivingtheotherpartyten
(10)dayspriorwrittennotice.Uponterminationbyeitherpartyalloutstandingreferralfees
duetotheAgentatthattimeshallbesettledinfullwithinthirty(30)days.

9.

IfanyprovisionorprovisionsofthisAgreementshallbeheldasinvalid,illegal,
unenforceableorinconflictwiththelawofanyjurisdiction,thevalidity,legalityand
enforceabilityoftheremainingprovisionsshallnotinanywaybeaffectedorimpaired
thereby

10. Thisagreementconstitutesthewholeagreementbetweenthepartiesandanyalterationmust
beinwritingandsignedbybothparties.
11. ThisagreementshallbegovernedbythelawsoftheStateofNewYork.Anydisputearising
hereundershallberesolvedinacourtoflawintheCountyofNewYork,StateofNewYork.
12. Thisagreementmaybeexecutedincounterparts;faxesandPDFsofsignaturesshallbe
treatedasoriginals.
