have received the Power of Attorney and the original Contract
regarding the Villa No. 69 at the Hayat Residence project from
MR. IBRAHIM MOHAMMED SALAH-EDDINE SAID. I do hereby
acknowledge my complete liability vis--vis the aforesaid Villa. I
do hereby covenant the reimbursement of the taxes and duties of
all kinds that may be claimed by all agencies and entities, as well
as the expenses relevant to assignment and conveyance of title
from Real Estate Development Hayat.

On this Monday, the 6th day of August, 2012, at 10:50 a.m, before
me, the Notary Public, Nada Ahmed Thabet, at the Gezerah
Authentication Office,

MR. IBRAHIM MOHAMMED SALAH-EDDINE SAID, an Egyptian

national, Muslim by religion, working as the Manager of Procorb
Egypt Co., dwelling at 73 Al-Ansar St., Dokki, and holder of the
National ID No. 26910242101051, issued on 6/2012,
APPEARED
In order to hereby authorize, procurate and give the Full Power of
Attorney to:
Mr. TAREK ISSA TAHA KHEDR, an Egyptian by nationality, a Muslim
by religion, working as the Vice-Chairman and Managing Director
of Inex Contracting Co., dwelling at Ninth District B-10 First Nasr
City, Cairo, holder of the National ID No. 27407130100397, in the
capacity of being his Attorney-in-fact vis--vis the following
matters:
in the full disposition of the land and the premises of Villa No. 69
at the Hayat Residence Project. The total area of the land and the
premises of this Villa amounts approximately 891.35 square
meters. The Premises of the Villa is erected on an area totaling
430 square meters at Hayat Residence Project owned by Hayat
Co. for Urban Development, located at the Eastern Extension of
the Northern Investors Area in New Cairo City, Cairo. He shall be
entitled to assign to himself and third parties at Hayat Co. for
Urban Development. He shall be entitled to let the Premises. The
Attorney-in-fact shall have the right to represent the Principal
before the governmental and non-governmental authorities (such
as New Cairo authority, the Cooperatives Authority, Water &
Electricity Authority, Telecom Egypt and Natural Gas authority in
the matters relevant to the said Villa. He shall be entitled to

represent the Principal and sign on his behalf on any proceedings

pertinent to the said Villa and in all administrative affairs; to
represent him before the administrative authorities, courts of
Law, and police stations in all disputes in respect of the said Villa;
to authorize attorneys-of-law. He shall have the right to disburse
and reimburse any sums of money relevant to the said Villa, as
well as affixing his signature on his behalf on any relevant
documents. The Attorney-in-fact shall be entitled to authorize
third parties in all or some of the aforesaid matters except for the
assigning procedures. This Power of Attorney may not be revoked
save by the mutual consent of the Parties hereto appearing
jointly.
