Proposed divestment by Total of its interests in Brunei Virtual Data Room Procedure
Thank you for Your continued interest in the proposed acquisition of 100% of the issued share capital of Total
E&P Borneo B.V. (TEPB) and Total E&P Deep Offshore Borneo B.V. (TEPDOB) (together the
"Companies") offered by Total Holdings International B.V. (Total Holdings or the Seller). The sale of 100%
of the issued share capital of both Companies being hereinafter referred to as the "Proposed Transaction".
Standard Chartered Bank (Standard Chartered) has been retained by Total as sole financial advisor in
connection with the Proposed Transaction.
As indicated in the Teaser that You have received, a Virtual Data Room (VDR) has been set up to facilitate
Your evaluation of the Proposed Transaction. This letter sets out the rules and procedures that apply to your
access to the VDR.

Virtual Data Room Procedure


The VDR is hosted by Intralinks. Inc (Intralinks) on a secure website (www.intralinks.com) and is remotely
accessible 24-hours a day. Access to the VDR will be coordinated by Standard Chartered.
The VDR contains various materials including, but not limited to, selected technical, financial, commercial, and
legal information. Please note that additional documents may be uploaded to the VDR from time to time. It is
Your responsibility to regularly check the VDR for any information updates that may occur. It is advised that
You elect to receive automated email notifications of such updates from Intralinks by enabling the automated
alert function.

Access to the VDR

In order to secure access to the VDR, please submit the names and contact details of Your
representatives (Representative) who wish to receive access to the VDR in the attached excel sheet
(VDR List of Representatives) and send it via email to Sarah Ubsdell (VDR Coordinator) and
copying Joseph Pragas at Standard Chartered.

You are requested to nominate one person in Your team as VDR Principal Contact. The VDR
Principal Contact will be the only contact person interacting with the VDR Coordinator and will also act
as the sole approver and submitter of Your teams questions. The VDR Principal Contact should be
identified in the VDR List of Representatives. If You wish to add any new Representatives to the VDR
at a later stage, please add the Representative (including name and contact details) to the originally
submitted list and resend it to the VDR Coordinator.

Each Representative will receive an email invitation from Intralinks with a unique login and password
combination. The login credentials are to be used solely by such Representative and should not be
shared under any circumstances.

All correspondence related to the VDR should be sent exclusively by the VDR Principal Contact to the
VDR Coordinator.

VDR Guidelines and Q&A

Documents in the VDR may be downloaded in accordance with the permission assigned to such
documents by Total.

A Q&A procedure has been established to address any questions You may have during Your
evaluation of the Proposed Transaction. Questions can be submitted to the VDR Coordinator via the
Q&A log, which You will find in the Key Documents folder in the VDR. The VDR Principal Contact
will be able to submit questions up to one week prior to the offer date.

When preparing and submitting questions, You are requested to ensure that each question refers to
one item or issue. Multiple questions formulated as one question will be returned to You for resubmission.

Adherence to these guidelines will help streamline the Q&A process, accelerate the response time
and ensure Your most important questions are answered first.

Management Presentation

You will have the option of attending a Management Presentation (MP).

The MP will be given by senior members of the Total team and will cover commercial, legal,
financial, and technical aspects relating to the opportunity. The MP is expected to take
approximately 3 hours.

Standard Chartered will provide you with further details on the location and timing of the MP in
due course.
