HELD:
NO. Health Maintenance Organizations are not engaged in the insurance business. It is a matter of common
knowledge that there is a great social need for adequate medical services at a cost which the average earner can
afford. HMOs arrange, organize and manage healthcare treatment in the furtherance of the goal providing a
more efficient and inexpensive healthcare system made possible by quantity purchasing of services and
economies of scale as what is also stated in Article 13 sec 11 regarding the state to adopt a comprehensive
approach to health development. . It will then be pursuant to Article 2 sec 15 and Article 13 sec 11 of the 1987
constitution promoting the right to health of the people and instill health consciousness among them.
Overall, petitioner appears to provide insurance-type benefits to its members (with respect to its curative
medical services), but these are incidental to the principal activity of providing them medical care. The
insurance-like aspect of petitioners business is miniscule compared to its noninsurance activities. Therefore,
since it substantially provides health care services rather than insurance services, it cannot be considered as
being in the insurance business.
