Party A and party B-unity signed the contract in principle with these terms and
conditions as follows:
(Both Party A and Party B-have mutually agreed to enter into this contract principles
with the following terms and condition):

Article 1 : scope of SERVICE (SERVICE AREA)

Party A party B and party requirements B agree to perform the assessment,
certificate of conformity as required in circular No. 58/2015/TTLT-BCT-BKHCN,
31/12/2015, of Industry and the Ministry of science and technology for steel
shipments imported by party A, details as follows:

Article 2 : the TIME and PLACE of EXAMINATION (DURATION AND PLACE

APPRAISE)
The time and location of the specific test each shipment will be party A notice a
minimum of 1 day to work for Party B to party B has the time to arrange the test
execution schedule.

Article 3 : INSPECTION (FEES OF APPRAISES)
Evaluation fees applicable to the shipment as in attachments.

- The examiner will quote specific prices for each shipment, if other such
shipments with shipments that have a quote above.
- This fixed price menu during 6 months from the date of signing the
contract. After 6 months, the price may change due to the actual situation.

Article 4 : payment (PAYMENT)

1. Billing period: (Payment time)
Based on the table of the debt incurred during the month of party A party B to send
the last day of the month, party A party B pay least, 's 20th after getting the debt
and BILL RATES of Side B.
4.2 Type of payment: (Payment currency)

Article 5 : RESPONSIBILITIES of party A
Provides a full range of vouchers, documents required as defined in circular
No. 58/2015/TTLT-BCT-BKHCN, to conduct checks and registration serves for
checking.
Submit the test certificate according to the model of the B-Party, before the
shipment was to open the import customs declaration.
Send representatives to location to witness inspection process monitoring to
check reviews of the quality of the shipment, at the same time help party B resolve
the difficulties arise in the process of checking reviews of the quality of the
shipment.
Compliance with the requirements for steel import organization defined in
circular No. 58/2015/TTLT-BCT-BKHCN.
Compliance with the rules in circular No. 128/2013/TT-BTC on 10/9/2013, the
Ministry of finance, for the Organization to import goods, seriously made the
pledge when giving the goods to conduct the inspection, test samples, preserved in
the repository (for shipments are customs and party B to approve the delivery of
inventory to conduct the sampling , checking, maintenance).
Pay the cost assessment for side B, full time both sides stipulated in article 4
above.
Article 6 : RESPONSIBILITIES of PARTY B

 Party B is responsible for performing inspections, certified according to the

content was required in article 1.
Consider approved arsenals party A proposal to do this specialized testing
repository as defined in circular No. 128/2013/TT-BTC on 10/9/2013, the Ministry of
finance.
Elected assessor has the appropriate capacity, available at the time the request
party A Examiner with the equipment necessary to perform the inspection, check the
reviews. At the same time, party B is responsible to arrange employees to do
overtime, work on holidays, holidays to meet production and business operations of A
Party without additional cost.
Quickly release announce test results evaluation for shipment within 3 working
days from the end date in the current job market.

Ensure fast, accurate, reliable, independent, honest in inspection, certification.

Notify party A by phone, text if detected unusual problems occur in the process of
checking the reviews.
Provide the prescribed Bill of the State, stating the total fees of the monetary
assessment Vietnam Dong.
Shortly after the release of the announcement of results GSPH, party B shall
notify the representative of party A to party B's headquarters to receive notice of
results GSPH;
In some specific cases, the recommended base of party A, party B will seal the
GSPH results announcement and sent by post to A party.
Side B of the case examination, certification or notice of release test results not
exactly cause damage to party A party B will give the party A compensation according
to the agreement between the two parties, based on the commercial law on June 14,
2005, the Socialist Republic of Vietnam.
Article 7: VIOLATIONS
If a registered party A check in accordance with the rules in circular No.
58/2015/TTLT-BCT-BKHCN that Party B not engage offers inspection, certified
according to the requirements of party A party B to compensate about cost variances

by party A to hire other inspection units and the actual damage incurred. If Party B
refused to provide services assessment too 2 times, then party A has the right to
unilaterally terminate the contract without compensation for any damage whatsoever.
If party A slow slow payments, then party A shall bear interest at the rate of
average overdue interest on the market for slow payment period.
Article 8 : THE ADJUSTMENT LAW AND DISPUTE RESOLUTION
This agreement is governed and interpreted by the laws of the Socialist Republic
of Vietnam.
Any dispute arising from or related to this agreement will be the party favor,
negotiation, mediation. If within 30 days from the date of birth dispute which the
parties could not negotiate, mediate was then given the competent people's Court at
the Pacific resolution as required by the law. The ruling of the Court is deciding the
final effect. All costs incurred in the process of judging will do the party at fault.
Article 9: GENERAL TERMS
This agreement is effective from 11/03/2016 to March 11, 2017, will continue in
effect for (1) next year if the two sides do not require modification or liquidation of
the contract. If either party has requested to change the content or terminate the
contract before the deadline, they must notify in writing to the other party at least 30
days before the intended modification or termination.
This contract was established 4 (four) copies by Vietnamese and English, have the
same legal value. Each side hold the 2 (two) copies.
