Now It Is Hereby Agreed As Follows:
1. TERM
The Model hereby appoints and Vmodels agrees to be appointed as the sole and exclusive agent in China.The Model
agrees to be represented on an exclusive basis for min days in BEIJING or SHANGHAI office.
2. REMUNERATION.COMMISSION.PAYMENT
(2.1)The Model shall pay to the Vmodels Agency 40% of all monies or such other remunerations received or to be
received by the Model for work in China.With deduction of Agency fees 40% and 10%,the remaining 50% of the
monies Model has earned during each contract term will be paid to the model a day before the model leaves
China.Model Agencys commission shall be payable by the Agency within 1 month after models departure.
(2.2)During the term,the Agency shall advance the fixed expenses of Models airfare,accommodation and weekly
allowances.The Model will also be responsible for the obligated expenses such as composite cards and
transportation.All expenses shall be deducted from the Models net earnings.(refer to appendix 1)If models earning
cannot over the expense,Model and Mother agency will not be liable for it.
(2.3)Agency shall,at its discretion,provide suitable accommodations,and the roommates(if any)for the Model during
his or her stay in Beijing or Shanghai or make timely changes in the arrangement without references to the Model.The
Model must give three weeks prior notice to the Agency if they so wish to seek accommodation elsewhere of their
choice,if not he/she is liable to pay up to the full contracted amount of the rental.Model is liable to pay for all of their
own accommodation arrangement outside of the Agency apartment.
(2.4)The Model must bring at least some money for personal and travel related expenses.The Agency will not be
obliged to advance money for various personal matters.The Model is responsible for obtaining International Health
Insurance prior to arrival.If the Model becomes sick,sustains an injury,or is involved in a natural disaster that would
alter the stipulations within this contract,the Model must immediately contact the Agency to determine a new course
of action.
(2.5)For each assignment or service that equal to exceeds 80,000(RMB Eighty Thousands or its equivalence in any
other currencies),the Model shall only receive his/hers entitlement for such assignment or service when Vmodels receives
the gross amount of such assignment or service from the Client or 3 months from the date of the assignment or service
whichever is earlier.
(2.6)In the case of the Model requesting an advance payment of any or the whole amount of his/hers entitlement,such

advancement is subjected to a 10% service charge on any such amount.

3. MODELS REPRESENTATIONS.UNDERTAKINGS AND OTHER DUTIES
(3.1)The Model shall always be easily reachable in order to receive notification of casting and job a ssignments and
must go to the assignment arranged by the Agency.Casting:in the event that the Model neglects or fails to go to a
casting,penalty will be charged for each.
(3.2)Working:in the event that the Model is late for work or the client is not satisfied with the Models performance
and behavior,the client may require the Model pay compensation.In addition the Agency shall charge some penalty of
jobs compensation if the Model is late for more than 30 minutes or the Agency receives complaints from the clients
regarding the Models performance and behavior.
(3.3)If the Model fails,refuses or neglects to go to work(confirmed booking)or to perform any the Models required
services to the full extent of the Models ability for any reason other than incapacity,the Model agrees to pay for all the
damages which may be charged by the client.In addition the Model is charged 40% of the jobs gross compensation as
a penalty for any resulting tangible or intangible damages and the loss caused to the Agency.
(3.4)The Model shall be fully responsible for his/her will-being and safty during all engagements as well as any and
all be it verbal or actions,demands,claims or proceedings of whatsoever nature arising or as a result of his/her acts or
omissions in relation to or in connection with any and all engagements.The Model shall absolve and shall not
explicitly or implicitly implicate or shift any liability whatsoever onto the Agency.
(3.5)The Model cannot engage in any acts considered illegal under China law.
(3.6)The Model agrees to keep all terms and conditions of this agreement and conpensation of each job
confidential,and shall not diclose said information to any third party or parties,including other models within the
Agency.
(3.7)The Model agrees to provide her/her own shoes and clothes and accessories if requested by the clients.
(3.8)Underwear:The Model and Mother agency is requested to inform the Agency of his/her intention regarding
underwear,bathing suit and bikini assignments before he/she arrives in the country.
(3.9)Overtime:If there is overtime the Model should call the Agency before the overtime start.(IN CHINA MARKET
OVERTIME FOR 15MINS IS NOT ACCOUNT)when the overtime is finished the Model should give Agency
another call.All payment including overtime payment should be taken back to the Agency by the Model.
(3.10)Incapacity:If the Model becomes incapacitated or prevented from performing fully and going on assignment by
the reasons of illness,accident,disfigurement or physical disability.The Model must inform the Agency before the job
and to present agency with medical or any related certificate.
4. TERMINATION

(4.1)The Agency any terminate this agreement in the event of any of the following.
-If the Model engages in any acts considered illegal under China law,such as the use of narcotics.
-If the Model continuous fails to go an assignment without giving prior notice.
-If the Model negotiate with other model agencies or clients.
-Where the Model's measurements bust
waist
hips
and height
proved to be different from the
measurements provided by Model and Mother agency.
-If the Model's measurements changed obviously during the term compared with the size listed above.
-If the Model continue incapacity for more than one week.
-If the Model changes his/her appearance of hair style/color without the prior approval of the Agency.
-If the Agency receives 3 or more complaints regarding Model's work performance or audition.
-If the Model leaves China before the term of his/her contract agreement, in such a case of termination of contract, the
Model agrees to forfeit all past earnings.
(4.2) The Agency reserved the final right to terminate the contract and send the Model home without any payment
obligation, the Model or Mother agency shall refund all actual expenses which were paid in advance for Model to the
Agency.
(4.3) Under such circumstances, the Model agrees to abide by the contract to refrain from any modeling or talent work
(in any form of media) assignments for any other persons, companies or entities in Beijing and Shanghai for a period
of 6 months from date of termination of this agreement.
(4.4) In the event that when the Model has a personal monetary liabilities with the Agency, be it an advance, a loan or
any monetary consideration taken as an indebtedness to the Agency, the Model is not allowed to make a switch to a
third party/agency in Beijing and Shanghai during or after the contractual period, only until such monetary liabilities
with the Agency is fully settled and the Agency is satisfied that there is no further implications of unfulfilled
contract/implicit and explicit liabilities whatsoever that the Agency may suffer a loss in monetary consideration.
(4.5) All notices to be given hereunder and all other communications concerning this Agreement shall be addressed to
the party concerned. The Model is to be referred as
as Model's name in respect to his/her work and services as a
model.
5. NON COMPETITION
The Model and the Mother agency agrees that the Model shall not take up employment with any other agencies in
China (except) Vmodel Agency within 1 year after model's departure, unless Vmodels Agency written approval.
6. GOVERNING LAW
This Agreement will be governed by and constructed according to the Laws of China and the parties hereto submit to
the jurisdiction to the Courts of China.
