WE COMMAND YOU, that all business and excuses being laid aside, you appear and attend the
Public Hearing sponsored by the New York State Assembly Standing Committee on
Corporations, Authorities and Commissions at Room 423, Legislative Office Building, Albany,
New York on the 28th day of June, 2010, at 11:00 o'clock in the forenoon, and at any recessed or
adjourned date thereafter to give testimony relevant to information related to the subject matter of
the Public Hearing (Hearing Notice Attached). You are also directed to produce and bring with
you the following documents and provide a list or description of all documents or
communications called for by this subpoena duces tecum which have or may have been destroyed,
altered, amended, or transferred:

1. A copy of the Fulton County Economic Development Corporations (hereinafter the


Corporation) constituting and operating documents including, but not limited to, the
Corporations articles of incorporation, by-laws, board and committee minutes, etc.
2. A copy of all minutes of any and all meetings of the board of directors, any committee
thereof, or any committee of the Corporation for the past seven (7) years.
3. A copy of the Corporations annual reports and audited financial statements for the past
seven (7) years.
4. A complete schedule of compensation paid to any officer, director or staff member of the
Corporation for the past seven (7) years.
5. All documents related to any policy or practice, formal or informal, that may permit or
authorize any payment of compensation to any officer, director or staff member
including, but not limited to, Board and committee actions.
6. All statements, opinions or documents related to whether the Public Authorities Reform
Act of 2009 and the Public Authorities Accountability Act of 2006 apply to the
Corporation and/or the Crossroads Incubator Corporation and/or the Crossroads
Incubator Corporation II.
7. Copies of any and all confidentiality agreements related to the actions of the board of
directors, or any committee thereof, or any officer, director or staff member of the
Corporation and/or the Crossroads Incubator Corporation and/or the Crossroads
Incubator Corporation II.
8. Any and all documents setting forth the purposes, activities and goals of the Corporation,
including, but not limited to, any religious, cultural, or social purposes, goals or activities.

To the extent you believe that any such document or material demanded above is subject to a
legally recognized privilege, please identify the document for which the claim is made, the nature
of such claim, and the persons who had access to the document or documents at any time. To the
extent that you believe any document or material subject to production pursuant to this subpoena
has already been produced to the committee, please identify the identity of the document and the
time and manner of transmittal. Previously produced documents are not subject to the demands
contained herein.

This request shall include, but not be limited to, any and all computer-generated information,
hand or typewritten documentation, emails, phone logs and any other logs or records, and all
drafts or copies of said documents.

FAILURE TO COMPLY WITH THIS SUBPOENA AND SUBPOENA


DUCES TECUM IS PUNISHABLE AS A CONTEMPT OF COURT AND
SHALL MAKE YOU LIABLE TO THE PERSON(S) ON WHOSE BEHALF
THIS WAS ISSUED FOR A PENALTY NOT TO EXCEED FIFTY
DOLLARS AND ALL DAMAGES SUSTAINED BY REASON OF YOUR
FAILURE TO COMPLY.

GENERAL STATEMENT OF THE SUBJECT
OF THE INQUIRY AND INVESTIGATION

This is to advise you that the New York State Assembly Standing Committee on
Corporations, Authorities and Commissions pursuant to Section 60 of the Legislative Law, and
pursuant to Paragraph (c) of section 1 of the Rule IV of the Rules of the Assembly, is holding a
hearing concerning the need for legislation to bring increased accountability, transparency,
efficiency and fiscal reliability to the activities and operations of authorities, municipal
governments, and other public entities, including economic development corporations, local
development corporations, industrial development agencies and affiliated corporations within the
state of New York relative to the compensation of officers, directors, employees, agents,
independent contractors, and any other key figures. The inquiry and hearings will develop
information, inter alia about the compensation of such individuals, which may require oversight
and change addressed in legislation currently before the New York State Assembly or the
Standing Committees on Corporations, Authorities and Commissions, including, but not limited
to, Assembly Bill No. A.11461, A.11223-A, and A.11222-A.
