ARTICLES OF PARTNERSHIP of The Imperial Gate

Restaurant
KNOW ALL MEN BY THESE PRESENTS:
That we, the undersigned, all of legal age and residents of the Republic of Moldova
have agreed to amend a partnership under the terms and conditions herein set forth
and subject to the provisions of existing laws of the Republic of Moldova.
AND WE HEREBY CERTIFY:
ARTICLE I.
That the name of the partnership shall be: The Imperial Gate Restaurant;
ARTICLE II.
That the principal office of the Partnership shall be located at #38 Calea Iesilor,
Chisinau, Republic of Moldova.
ARTICLE III.
That the names, and residence of thepartners of said partnership are as follows:

ARTICLE IV.
That the term for which said partnership is to exist is 20 years from the original
recording of said partnership by the Commission of Restaurant Control of Moldova .
ARTICLE V.
That the purpose for which said partnership is formed as follows:
1. To conduct business related to opening a ceremonial restaurant with many
kinds of kitchen;
2. To conduct food ,catering ,decoration , foto /video, services for all occasions
and events for all types of clients without discrimination;
3. To engage in business related to event organization as weedings, birthdays,
christenings, parties etc.
4. To provide catering and pastry services for all kinds of events.

ARTICLE VI.
That the capital of the partnership shall be six hundred thousand,Moldovian
Currency contributed in cash by the partners as follows:

ARTICLE VII.
That the profits and losses shall be divided pro-rata among the partners. It means
to divide exactly the same as the ratio above, also it will depend on the
amount of work, contribution to business developing and other profitable
actions.
ARTICLE VIII.

General Partner, Pelin Daniela, will approve payments and sign checks, because of
her deep knowledge in management. In case of her absence or other reasons, her
co-partner ,Raileanu Irina, will help or replace her for the needed period of time.
ARTICLE IX.
That the contribution of each limited partner may be returned to him/ her three (3)
years after the original recording of said partnership by the Special Commission. The
profits at the beginning will be poured into the business order for improvement, then
will be distributed to each partner as its contribution.
ARTICLE X.
General partner, Pelin Daniela, will be responsible for employees from
economical,accountant, marketing and sales sections; General partner, Raileanu
Irina, will be responsible for kitchen,pastry and hall employees.
ARTICLE XI.
General partner, Pelin Daniela, will be responsible for administrative requirements,
especially in maintaining the order and general status of the restaurant; general
partner, Raileanu Irina, will be responsible for quality of cooking and serving the
dishes, the environment in all halls of restaurant.

ARTICLE XII.
That the remaining general partner or partners shall have the right to continue the
business in cases of death, retirement, civil interdiction, insanity orinsolvency of a
general partner. In case, the one partner is dissatisfied with another partner, he have
the right to discuss and dissolute beside the issues, otherwise he/she will be obligates
to withdraw from business, and take just 10% of his/her contribution.
In case of conflicts, we will be able to settle them down without risks for business
ARTICLE XIII.
That the firm shall be under the management of Pelin Daniela , as General Manager
and as such she shall be in charge of the management of the affairs of the
partnership.
ARTICLE XIV.
That the partners willingly undertake to change the name of the partnership
immediately upon receipt of notice/ directive from the Special Commission that
another partnership, corporation, or person has been declare misleading, deceptive,
confusingly similar to a registered name or contrary topublic morals, good customs
or public policy.

IN WITNESS WHEREOF we have here unto set our hands this 9Th day of
February 2016 at Chisinau,Republic of Moldova.
