We have audited the quarterly financial results of VINYOFLEX LIMITED for the quarter
ended 31st March 2016 and the year to date result for the period 01st April 2015 to 31st
March 2016 attached herewith, being submitted by the company pursuant to the
requirement of regulation of the 33 of SEBI (LISTING OBLIGATIONS AND DISCLOSURE
REQUIREMENTS)Regulations,2015.Therequarterlyfinancialresultsaswellastheyearto
date financial results has been prepared on the basis of the interim financial statements,
whicharetheresponsibilityofthecompanysmanagement.Ourresponsibilityistoexpress
an opinion on Therese financial results based on our audit of such interim financial
statements, which have been prepared in accordance with the recognition and
measurement principles laid down in Accounting Standard for Interim Financial Reporting
(AS25/INDAS34),prescribedundertheSection133oftheCompaniesAct2013readwith
relevantrulesissuedthereunder,orbytheInstituteofCharteredAccountantsofIndiaas
applicableandotheraccountingprinciplesgenerallyacceptedinIndia.

We conducted our audit in accordance with the auditing standards generally accepted in
India.
Thosestandardsrequirethatweplanandperformtheaudittoobtainreasonableassurance
about whether the financial statements are free of material misstatements. An audit
includes examining, on a test check basis, evidence supporting the amounts disclosed as
financial results. An audit also includes assessing the accounting principles used and
significant estimates made by management. We believe that our audit provides a
reasonablebasisforouropinion.
