Individual Pay-Per-Click Agreement

This Individual Pay-Per-Click Agreement (this Agreement) is entered into by and between the
Independent Adoption Center (IAC) and the undersigned prospective adoptive parent(s) (Clients).
This Agreement, governed by the laws of the State of California, constitutes the sole agreement of the
parties and supersedes all oral negotiations and prior writings with respect to the subject matter hereof.

I. Services Provided By IAC

On behalf of its clients, IAC has engaged the Gonzberg Agency (Gonzberg) to implement the Pay-
Per-Click Program (the "Pay-Per Click Program"). As a participant in the program, IAC, through its
engagement with Gonzberg, will provide:

a. An individual search engine ad with the Clients name(s), and a direct link to the Clients
online IAC profile;

b. IAC will make a dedicated $200 spend per month on Clients behalf until the placement
of a child with Clients;

c. Clients ad will receive 15 to 25 qualified clicks per month;

d. IAC will not run competing search engine ads for other IAC clients while the Clients ad
is running each month;

Clients acknowledge and agree that the Pay-Per-Click Program is a dynamic advertising system
based on a 24/7 auction, which makes it impossible to predict the exact number of qualified clicks
that Clients ad will receive each month. The range of qualified clicks per month is an estimate.

II. Pay-Per-Click Program Fees

In consideration of the services to be provided by IAC in connection with the Pay-Per-Click Program,
Clients will pay to IAC a one-time, non-refundable fee in the aggregate amount of $2,400, which will be
paid in four (4) monthly installments (the Pay-Per-Click Fee). Clients will not receive any services in
connection with the Pay-Per-Click Program until IAC has received the full amount of the Pay-Per-Click
Fee. Clients acknowledge and agree that (i) the Pay-Per-Click Fee is required by IAC in order to defray
costs incurred by IAC in connection with providing the Pay-Per-Click Program, and (ii) the Pay-Per-
Click is an additional and separate service offered by IAC to the Clients. If Clients are matched with a
child (i) prior to the full payment of the Pay-Per-Click Fee and (ii) the commencement of services on
Clients' behalf in connection with the Pay-Per-Click Program, Clients will be entitled to a full refund of
the portion of the Pay-Per-Click Fee previously paid to IAC. Once Clients begin to receive services in
connection with the Pay-Per-Click Program, in no event will Clients be entitled to any refund of
the Pay-Per-Click Fee, regardless of any refund that may be issued to Clients under the Client
Agreement or any other agreement between IAC and the Clients.

III. Changes to the Pay-Per-Click Program

IAC may modify the terms of the Pay-Per-Click Program upon at least thirty (30) days prior written
notice to Clients.
