MUTUAL SETTLEMENT, RELEASE

AND CONFIDENTIALITY AGREEMENT

THIS MUTUAL SETTLEMENT, RELEASE AND CONFIDENTIALITY

AGREEMENT (hereinafter the "Release") is entered into by Warnock

and Associates, LLC, a Mississippi Limited Liability Company,

and its present and former membe rs , employees, agents,

representatives, subsidiaries , affiliates , insurers, reinsurers,

and counsel and by Rudy Warnock , individually, (hereinafter

collectively referred to as "Warnock") , and by Madison County ,

Mississippi, and all present and former Board of Supervisor

members, officers , employees, agents , representatives, insurers

and reinsurers , and counsel and by Daniel B . Gaillet, P.E ., Trey

Baxter, Sheila Jones, David Bishop, Gerald Steen, and Paul

Griffin, individually , (hereinafter collectively referred to as

"Madison County") . Wa rnoc k and Madison County are collectively

referred to as " the Parties ."

WHEREAS , Warnock and Madison County have asserted certain

claims and causes of action against each other in that certain

lawsuit filed in the United States District Court for the

Southern District of Mississippi, Northern Division, styled

Warnock Associates , LLC and Rudy Warnock v. Madison County,

Mis sissippi, et al ., bearing Civil Action No. 3 : 16-cv-68-CWR-

FKB, consolidated with that certain lawsuit filed by Madison

County in the Chancery Court of Madison County, Mississippi ,

styled Madison County, Mississippi v. Warnock and Associates,

LLC and Rudy Warnock , which was removed to the United States

District Court for the Southern District of Mississippi,

Northern Division, as Civil Action No. 3:16 - cv-240 (collectively

referred to as the "Lawsuit "); and

WHEREAS, Warnock and Madison County have denied and

continue to deny any liability to the other as a result of the

Lawsuit; and

WHEREAS, the Parties wish to assure that all claims and

causes of action made in the Lawsuit, or that could have been

made in the Lawsuit, are fully and finally settled, compromised

and resolved , without the risks and uncertainty of litigation

upon the terms and conditions set forth below.

NOW, THEREFORE, in consideration of the above, and the

mutual obligations set forth below, the sufficiency of which is

hereby acknowledged by the Parties, the Parties hereby agree ,

promise, covenant and undertake as follows , intending to be

legally bound hereby:

Supervisors will pay Warnock & Associates and Rudy' Warnock,

jointly, the sum of Five Hundred Fifty Thousand Dollars and

00/100 ($550,000.00), in exchange for Warnock 's simultaneous

delivery to the Madison County Board of Supervisors of copi es of

all engineering documents in Warnock's possession (including

plans and specifications), engineering work product, and

tangible engineering deliverables , and all documents received

from others (such as pay applications , contractor daily reports ,

engineer ' s inspection reports, and change orders) on all

projects in design or construction as of 12 / 31/15 to include but

not limited to all documents in Warnock ' s possession for State

Aid projects still in design or construction as of 12/31/15 as

set forth in Exhibit "A" and to include all other projects set

forth in Warnock's First Amended Complaint , Exhibit H, attached

hereto as Exhibit "B, " including surv eys, drawings, estimates,

correspondence , etc. in electronic format and any State Aid

markups, none of which has been or will be removed or discarded

by Wa~nock prior to such exchange .

2. On or before 10 days, Warnock will also provide copies

of plans and specifications and other tangible engineering

deliverables on previously completed Warnock - County projects ,

including but not limited to , those projects listed in Exhibit

"B. "

3. Warnock will cooperate with the County , State Aid and

the new County State Aid Engineer to facilitate the take over by

the new State Aid Engineer of all State Aid projects in progress

and provide all engineering documents and deliverables in the

possession of Warnock. Warnock is relieved of any further design

obligations on the projects listed in Exhibits "A" and " B" and

is not liable for the design work by other engineers on those

projects including without limitation as set forth in the letter

4. Warnock will pay Burns Cooley Dennis, Inc. the amount

of $14 , 384.92 , and will identify and pay all consultants on

Warnock projects currently unpaid on those projects and provide

proof of all such payments.

5. Warnock hereby grants to Madison County the right

(license) to use all Warnock plans and specifications and other

engineering deliverables in connection with all projects for

which those plans, specifications, and other engineering

documents were prepared for Madison County and for future

modifications to those specific projects.

6. In consideration of the above , the Parties do hereby

forever release, acquit, and discharge each other from any and

all claims, causes of action and damages made or that could have

been made in the Lawsuit. It is expressly understood and agreed

by the Parties that this is a full and final release of all such

claims.

7. The Parties represent and warrant that they have full

power and authority to make, execute, and deliver this Release

and that to their knowledge and belief no other individual or

entity has a claim against any of the Parties arising out of the

Lawsuit, which is not herein released .

8. The Parties represent and wa rrant that they have not

sold, transferred, conveyed , assigned, or hypothecated any of

their rights , either collectively or individually , in whole or

in part, in any of the matters being released here in.

9. Warnock represents and warrants that there are no

liens or claims of any kind whi ch have not been fully discharged

by a prior agreement and which could be asserted or made against

the settlement consideration.

10 . The Parties further agree to enter into an Agreed

Order of Dismissal with Prejudice dismissing all claims and

counterclaims asserted in the Lawsuit.

11. The Parties declare and understand that no promises,

inducements, or agreements not herein e xpressed have been made

and that this Release contains the entire agreement among the

Parties hereto and that the terms of this Release are

contractual, and not a mere recital and that this Release shall

not be modified or modifiable except by a written instrument

signed by the Parties. The Parties further represent and warrant

that they are under no legal disability material to their

ability to execute this Release.

12 . It is further understood and agreed that fulfillment

of the respective obligations of each party hereunder is being

accomplished for the purpose of compromise and settlement of

disputed claims and that no liability on the part of Warnock , or

any member of Warnock , or on the part of Madison County or the

individual defendants, is to be in any way construe d by the

t e rms contained herein , instead terms contained herein are

agreed to in settlement of disputed and unliquidated claims.

13 . If any Party to this Agreement files a motion to

enforce this Release, the prevailing Party in such motion shall

be entitled to an award of reasonable attorney s ' fe e s and court

costs incurred in connection with such motion.

14 . If any prov ision of this Release should for any reason

be held to be i n valid , unenforceable , or contrary to public

policy or any applicable law, the n the remainder of this Release

sha l l not be affected, provided that the portion which is held

invalid, unenforceable, or contrary to public policy or law does

not constitute a material part of the consideration of one of

the Parties.

15 . The Parties agree that this Release shall be governed

in all respects by the laws of the State of Mississippi

IN WITNESS WHEREOF, and intending to be legally bound herby

under all applicable law, t he Parties have executed this Release

on the date indicated underneath their respective signatures.

Madison County State Aid/LSBP Engineer Position

Dear Mr. Baxter:

Madison County has been unable to negotiate a transition agreement between your current
State Aid/LSBP Engineer and the previous due to litigation by your previous County/State Aid/LSBP
Engineer. It is our understanding that the Federal Court has assisted Madison County in negotiating a
Settlement Agreement with Warnock, and, thus, it will not be possible for Madison County and your
current State Aid/LSBP Engineer to negotiate a transition agreement with Warnock.

This situation has allowed four (4) programmed projects to remain incomplete. The four
projects that have been programmed but not yet completed for the Preliminary Engineering Phase
include the following:

STP 6979 ( l )B - Robinson Springs Road (State Aid has approved PS&E Assembly)
LSBPA5(16) - Dinkins Street (State Aid has Plans & Contract Documents)
LSBP-45( 17) - Ben Luckett Road
LSBP-45(18) - Way Road

This situation has allowed seven (7) construction contracts to remain active and has prevented
State Aid from closing out these projects and the contractors are unable to collect timely payment for
the work that has been completed. The seven projects that have been satisfactorily completed but not
yet closed out or contractors paid for the completed work include the following:

For these reasons, as Madison County has previously terminated its relationship with Rudy
Warnock and hired Jim Hust as the State Aid and LSBP engineer through its order of January 19,
2016, and so that the work may be completed by Madison County, Mr. Hust will be recognized as the
engineer of record for these projects from this point through completion. As such he is directed to
assume responsibility for the Preliminary Engineering and Construction Engineering and other
services normally defined in the state aid engineer's contract. Obviously, Mr. Hust will not have the
necessary documentation to complete the projects, but the Office of State Aid Road Construction will
make our tiles available to Mr. Hust to support and facilitate this work.

Madison County will be paid for the engineering services as per the agreement in the standard
state aid engineer's contract.

It is understood that the Settlement Agreement between Madison County and Warnock lhat
Warnock will deliver and authorize over to Madison County any plans, specifications, design files,
electronic files, AutoCad or other graphic format files, contract documents, construction files, etc. for
the projects listed above. To the fullest extent permitted by law, Madison County and State Aid will
release Jim Hust from liability with regard to said projects through the noted completion phase for any
problems which are related to the services performed by or under the supervision of Rudy Warnock.

To the fulJest extent permitted by law, Madison County and State Aid will release Rudy
Warnock of Warnock & Associates, LLC from liability with regard to said projects through the noted
completion phase for any problems which are related to the services performed by or under the
supervision of Jim Hust or his successor.
